CHARTER OF THE ASIAN VEGETABLE RESEARCH AND DEVELOPMENT CENTER
第一条 設立及び組織
Article I Establishment and Organization
第一項 アジアそ菜研究・開発センター(以下「センター」という。)は、アジアにおけるそ菜の生産、流通及び利用を促進することを目的として設立される研究及び開発のための自治、博愛及び非営利の機関である。
Section 1 - The Asian Vegetable Research and Development Center (hereinafter referred to as the "Center") shall be an autonomous, philanthropic, non-profit research and development organization established for the purpose of promoting production, marketing and utilization of vegetables in Asia.
第二項 センターの所在地は、中華民国台湾南部の台南市の北方約十九キロメートルの善化とする。
Section 2 - The seat of the Center shall be located at Shanhua, about nineteen (19) kilo-meters north of Taiwan City, in the Southern part of Taiwan, the Republic of China.
第三項 センターは、理事会、技術顧問団、所長、次長、センターの課又は室の長となる四人以上の課長又は室長並びに必要と認められる他の役員及び職員を有する。
Section 3 - The Center shall have a Board of Directors, a Technical Advisory Group, a Director, a Deputy Director, four or more Division/Office Chiefs to head the Divisions/Offices of the Center, and such other officers and staff as may be considered necessary.
第四項 センターは、必要に応じ、かつ、財源があるときは、構成国においてセンター支部又は試験農場を設置する。センター支部又は試験農場の所在国は、センター支部又は試験農場の運営に必要な職員、補佐職員、土地及び便益を提供する。センターは、センターが正式に設立された後一年以内に、温帯に適した品種のそ菜に関する研究活動及び開発活動を行なうため少なくとも一のセンター支部又は試験農場の設置を開始する。
Section 4 - The Center will establish sub-centers and/or experimental farms in member countries as required and as resources permit. The host countries of the sub-centers and/or experimental farms shall provide counterpart and supporting staff, land and facilities necessary for the operation of the sub-centers and/or experimental farms. The Center shall initiate the establishment of at least one sub-center and/or experimental farm to carry out research and development activities pertaining to varieties of vegetables suitable for the temperate zone within one year after the Center is formally founded.
第二条 センターの構成員の地位
Article II Membership of the Center
第一項 センターは、センターの設立のための了解覚書に署名し、センターの設立のために拠出を行ないかつセンターの設立に参加したすべての国及び機関で構成する。各構成員は、理事会に参加することができる。
Section 1 - Membership shall consist of all the countries/organizations that have signed the Memorandum of Understanding for the establishment of the Center and have contributed to and participated in the establishment of the Center. Each such member will be entitled to join the Board of Directors.
第二項 構成員の地位は、センターの共通の目的に貢献する他の国及び機関に対し、理事の投票による理事会の承認を条件として開放する。拠出を行なわない構成員は、理事に選出されることはないが、オブザーバーとして参加することができる。
Section 2 - Membership shall also be open to other countries/organizations that are dedicated to the common cause of the Center, subject to the approval of the Board of Directors by vote of the members of the Board. Non-contributing members shall not be voted to become members of the Board of Directors but may participate as observers.
第三条 センターの目的
Article III Objectives of the Center
第一項 センターは、そ菜の研究及び開発に関する次のいずれかの又はすべての目的を追求する。
Section 1 - The Center shall pursue any and/or all of the following objectives pertaining to vegetable research and development:
1 生産及び流通の計画に関する研究を行ない、かつ、参加国が自国の応用研究計画を開発することを援助すること。
1. To conduct research on production and marketing programs and to assist participating countries in developing their own adaptive research program.
2 生産及び流通の計画についての訓練を実施し、かつ、参加国が一層効果的な訓練及び流通の計画を開発することを援助すること。
2. To carry out training in production and marketing programs and to assist participating countries in developing more efficient training and marketing programs.
3 参加国における普及事業の利用に供するため、改善された生産及び流通に関する基礎的情報を開発し及び提供すること。
3. To develop and provide basic information on improved production and marketing for use in extension services in participating countries.
第二項 センターは、また、その構成国がそ菜の生産を増進することを次の方法及び手段によつて援助することができる。
Section 2 - The Center may also help its member countries promote their vegetable production through the following ways and means:
1 構成国における試作のための資材を無償で提供すること。
1. To supply free materials for trial in member countries;
2 構成国が試作の過程において遭遇した問題を調査し及び研究すること。
2. To investigate and study problems encountered by member countries in the course of their trials; and
3 必要な場合には、他の必要な援助を提供すること。
3. To offer other necessary assistance in case of necessity.
第四条 理事会
Article IV The Board of Directors
第一項 センターは、次の国及び機関を代表する構成員から成る理事会の指示を受ける。
Section 1 - The Center shall be guided by a Board of Directors to be composed of members representing:
1 センターに参加しかつ財政的拠出を行なう国
1. Countries that participate in and make financial contributions to the Center; and
2 センターに対して拠出を行なう主要な金融機関
2. Major financing agencies which contribute to the Center.
第二項 理事は、センターから報酬を受けることなくその業務を行なう。もつとも、センターは、理事に対し、理事会の会議に出席するために生じた妥当な費用を支払うことができる。
Section 2 - The members of the Board of Directors shall serve as such without remuneration from the Center, but the Center may pay them reasonable expenses incurred in attending meetings of the Board.
第三項 理事会は、センターの所在地又は理事会が定める場所において、少なくとも年二回会合する。
Section 3 - The Board of Directors shall meet at least twice a year in the principal office of the Center or at such places as the Board may determine.
第四項 理事会は、その第一回会合に出席した理事の投票により理事の中から選出された議長一人及び副議長一人を有する。議長及び副議長の任期は、二年とする。理事の間で交代に議長及び副議長の地位につく。
Section 4 - The Board of Directors shall have a chairman and a vice-chairman to be selected from among the members of the Board by vote of the members of the Board present at the first meeting of the Board. The chairman and the vice-chairman of the Board of Directors shall have a tenure of office for a period of two year. The chairmanship and the vice-chairmanship will be rotated among the members of the Board of Directors.
第五項 理事会の特別会議は、理事会の議長又は理事の過半数により、会議の通知書に明記される特別の目的のために招集することができる。会議の通知書は、理事に対し、会議が開催される四十五日前に送付する。
Section 5 - A special meeting of the Board of Directors may be called by the chairman or a majority of the members of the Board for a special purpose to be specified in the notice of the meeting, which shall be delivered to the members of the Board forty-five (45) days before the meeting is to be held.
第六項 理事会の会合は、理事の過半数をもつて議事に必要な定足数とする。理事会の決定は、この憲章に別段の定めがない限り、出席しかつ投票する理事の過半数による議決で行なう。
Section 6 - At meetings of the Board of Directors, a majority of the members of the Board shall constitute a quorum for the transaction of business. Except as otherwise provided in this charter, the decisions of the Board of Directors will be made by a majority of the members present and voting.
第七項 理事会は、次の権限及び任務を有する。
Section 7 - The Board of Directors shall have the following powers and functions:
1 センターの政策立案の主体として行動し、センターの主要計画を原則的に立案し又は承認すること。
1. To act as the policy-making body of the Center and lay down or approve in principle its major programs;
2 センターの予算を承認し及び財政状態を審査すること。
2. To approve the budget and review the financial condition of the Center;
3 所長によつて提出されるセンターの進捗状況の報告を審査し及び評価すること。
3. To review and evaluate the progress reports of the Center as may be submitted by the Director of the Center;
4 金融機関からセンターの運営に必要な財政的援助を受けること。
4. To receive financial aid from agencies for the operations of the Center as may be required;
5 技術顧問団の構成員及び所長を任命し、所長が指名する次長並びに課長及び室長を承認すること。
5. To appoint members of the Technical Advisory Group and the Director, and to approve the Deputy Director and the Division/Office Chiefs of the Center to be nominated by the Director;
6 いずれか一の又は若干の権限を所長又は技術顧問団に委任すること。
6. To delegate any or some of its powers to the Director and the Technical Advisory Group; and
7 センターの目的の達成に資する他の権限を行使し及び行動すること。
7. To exercise such other powers and to do such acts as may be conducive to the achievement of the objectives of the Center.
第八項 理事会は、最初の五年が終了するまでにセンターがその存続に必要な財源を入手することができることを確保するための手段を検討する。
Section 8 - The Board of Directors shall consider means of ensuring that by the end of the first five years the Center will by able to obtain the financial resources necessary to its continued existence.
第五条 技術顧問団
Article V The Technical Advisory Group
第一項 技術顧問団は、理事会によつて任命される三人又は五人の構成員を有する。所長は、職権上、技術顧問団の議長となる。
Section 1 - The Technical Advisory Group shall have three or five members to be appointed by the Board of Directors. The Director of the Center shall be ex-officio the chairman of the Group.
第二項 技術顧問団は、所長が理事会の定める政策及び決定を実施するにあたり、所長に技術的助言を行なうこと並びに理事会によつて委任される権限を行使し及びそのように委任される義務を履行することによつて所長を援助する義務を有する。
Section 2 - The Technical Advisory Group shall have the duty to assist the Director of the Center in implementing and executing the policies and decisions laid down by the Board of Directors by offering technical advices to the Director of the Center, and exercising the powers and performing the duties as may be delegated to it by the Board.
第三項 技術顧問団は、センターの運営上の技術面を審査するため年二回会合する。特別会議は、議長の招集又は技術顧問団の構成員の過半数の要請により、開催する。
Section 3 - The Technical Advisory Group shall meet twice a year to review the technical aspect of the operations of the Center. Special meetings may be held upon call of its chairman or upon request of a majority of the members of the Group.
第四項 技術顧問団の構成員は、センターから報酬を受けることなくその業務を行なう。もつとも、センターは、技術顧問団の会議に出席するために生じた妥当な費用を支払うことができる。
Section 4 - The members of the Technical Advisory Group shall serve as such without remuneration from the Center, but the Center may pay them reasonable expenses incurred in attending meetings of the Group.
第六条 所長
Article VI The Director of the Center
第一項 所長は、理事会により少なくとも三年の任期で任命されるものとし、理事会の裁量によつて再任されることができる。
Section 1 - The Director of the Center shall be appointed by the Board of Directors for a period of at least three years and may be reappointed at the discretion of the Board of Directors.
第二項 所長は、センターの権限を有する代表者である。
Section 2 - The Director shall be the authorized representative of the Center.
第三項 所長は、次の職務を有する。
Section 3 - The Director shall have the following functions:
1 センターの管理、組織及び運用
1. Management, organization and administration of the Center;
2 センターの名において発表される出版物の作成
2. Preparation of publications to be released under the name of the Center;
3 センターの代表者としての関係機関との協調
3. Coordination with agencies concerned as representative of the Center; and
4 理事会によつて与えられることのある他の職務
4. Other functions as may be assigned to him by the Board of Directors.
第四項 所長が不在であり又は任務を行なうことができない場合には、次長は、所長が任務を行なうことができるようになるまで又は理事会によつて新たな所長が任命されるまで、所長に代わつてその任務を行なう。
Section 4 - In case of absence or inability of the Director to perform his duties, the Deputy Director shall act for him until the Director is available or a new Director is appointed by the Board of Directors.
第七条 次長
Article VII The Deputy Director
第一項 次長は、所長によつて指名され、理事会の承認を受ける。
Section 1 - The Deputy Director of the Center shall be nominated by the Director of the Center and approved by the Board of Directors.
第二項 次長は、センターのすべての事務の取扱いにおいて所長を補佐する。
Section 2 - The Deputy Director shall assist the Director in handling all affairs of the Center.
第三項 次長は、所長が不在であり又は任務を行なうことができない場合には、所長に代わつてその任務を行なう。
Section 3 - The Deputy Director shall act for the Director in case of absence or inability of the Director to perform his duties.
第八条 課長又は室長
Article VIIIThe Division/Office Chiefs
第一項 課長又は室長は、所長によつて指名され、理事会の承認を受ける。
Section 1 - The Division/Office Chiefs of the Center shall be nominated by the Director of the Center and approved by the Board of Directors.
第二項 課長又は室長は、技術的及び行政的運営を行なうため課又は室の責任を負う。
Section 2 - The Division/Office Chiefs shall be in charge of the Divisions/Offices of the Center to carry out technical and administrative operations respectively.
第九条 職員
Article IX Staff
第一項 センターの前記の上級職員以外のすべての職員は、所長の推薦によりセンターが雇用する。
Section 1 - All staff of the Center other than the senior officers specified above shall be employed by the Center upon the recommendation of the Director of the Center.
第二項 センターの技術職員は、できる限り広範な地理的基礎に基づいて採用する。
Section 2 - Technical staff of the Center shall be recruited on as wide a geographical basis as possible.
第三項 すべての行政職員及び技術職員は、所長に対して責任を負い、所長の一般的監督及び直属の監督者の直接の監督を受ける。
Section 3 - All staff, administrative and technical, shall be responsible to the Director and shall be under the general supervision of the Director and the direct supervision of their immediate supervisor.
第十条 会計及び監査
Article X Financing and Auditing
第一項 参加国によつて約束された資金の支払は、センターに対し、センターの各実施年度の開始前又は関係政府が適当と認める支払計画に従つて行なわれる。
Section 1 - Payment of funds committed by participating countries shall be made avail-able to the Center prior to the beginning of each operational year of the Center or according to a payment schedule deemed appropriate by the governments concerned.
第二項 国又は国際金融機関からの資金の贈与は、センターに対し、年間を通じていつでも行なうことができる。
Section 2 - Donation of funds from countries or international financial agencies may be made available to the Center at and time of the year.
第三項 理事会は、資金がセンターの目的に合致して適正に使用されることを確保するため、センターの会計報告の年次外部監査を取り計らう。
Section 3 - The Board of Directors shall arrange outside annual audits of the financial accounts of the Center to ensure that funds are properly used to meet the objectives of the Center.
第十一条 雑則
Article XI Miscellaneous
第一項 この憲章は、次条に掲げるすべての参加国から正当に委任を受けた代表者が署名したときに効力を生ずる。
Section 1 - This charter shall enter into force when it is signed by the duly authorized representatives of all participating countries shown in Article XII.
第二項 センターは、すべての理事の全会一致の承認による理事会の決議によつてその運営を終了することができる。
Section 2 - The Center may terminate its operation by a resolution of the Board of Directors approved unanimously by all members of the Board of Directors.
第三項 個個の加盟国によるセンターからの脱退は、センターに対し、次の会計年度の開始の少なくとも六箇月前に文書で通報する。
Section 3 - Withdrawal of participation from the Center by an individual member country shall be communicated in written notice to the Center at least six months prior to the beginning of the next fiscal year.
第四項 第二項の規定に従つてセンターが運営を終了する場合には、センター又はセンター支部に属するすべての建物、設備その他の資産は、理事会及び所在国の同意及び承認を得て所在国の適当な機関に譲渡する。
Section 4 - In case the Center terminates its operation as set forth in the foregoing Section 2 of this Article, all buildings, equipment and other assets belonging to the Center and/or the sub-centers will be transferred to appropriate organizations of the host countries upon the concurrence and approval of the Board of Directors and the host countries.
第五項 センターの公用語は、英語とする。
Section 5 - The official language of the Center shall be English.
第六項 センターは、センターの名称を表示する円形の公の印章を有する。
Section 6 - The Center shall have an official seal of a circular design on which the name of the Center shall appear.
第七項 この憲章は、理事会の全会一致の合意によつて改正し又は修正することができる。
Section 7 - This charter may be amended or modified by unanimous agreement of the Board of Directors.
第十二条 採択及び承認
Article XII Adoption and Approval
この憲章は、千九百七十一年五月二十二日に中華民国の台北市で、次の国及び機関から正当に委任を受けた代表者によつて署名された。
This charter is signed in the City of Taipei, the Republic of China on the twenty-second day of May, 1971 by duly authorized representatives of the following countries/organizations:

アジアそ菜研究・開発センターの設立のための了解覚書
MEMORANDUM OF UNDERSTANDING FOR THE ESTABLISHMENT OF THE ASIAN VEGETABLE RESEARCH AND DEVELOPMENT CENTER
アジア諸国民の栄養水準は、重要なたん白質及びビタミンの欠乏のため適当でない事実にかんがみ、アジア地域におけるそ菜の生産を増進することにより植物性たん白質、ミネラル及びビタミンの供給を増強することが必要であると考えられる。この目的を達成するためには、主要な生産及び流通の問題が、そ菜の生産の全般的増加への道を開くため、科学的研究及びすでに知られている技術の効果的適用を通じて解決されなければならない。もつとも、これに関する科学的能力は、地域内の大部分においてまだ不十分であるので、地域全体の利益のために技術的能力を増進するためのそ菜研究・開発センターを設立する切実な必要性がある。
In view of the fact that nutritional levels of Asian people are inadequate for lack of essential protein and vitamins, it is deemed necessary to strengthen the supply of plant proteins, minerals and vitamins by promoting the production of vegetables in the region of Asia. To attain this end, major production and marketing problems must be solved through scientific research and efficient application of known techniques to pave the way for an overall increase in the production of vegetables. Since scientific competence in this connection is still inadequate in most parts of the region, however, there is a felt need to establish a vegetable research and development center to promote technical competence for the benefit of the whole region.
重要な栄養物の十分な供給により、アジア諸国民の健康状態を改善するという究極の目的のために前記のセンターを設立する意義を認識しつつ、地域内の諸国の責任のある政府職員の間で過去八年間にわたり意見が交換され、できる限り早い時期にそのようなセンターが設立されることをこれらのすべての職員が切望するとの非常に力強い了解に到達した。当事者間で緊密な友好を基調として交渉が進められ、この共通の目的に関心を有する諸国によるセンターの設立及びセンターへの積極的参加についての一般的合意をこの了解覚書に記録することが望ましいと考えられるとの結論に到達した。
Realizing the significance of establishing the aforementioned center for the ultimate purpose of improving the health condition of Asian people through and adequate supply of essential nutrients, views have been exchanged during the past eight years among responsible governmental officials of various countries in the region to reach a very encouraging understanding that all of them are eager to see such a center established at the ealiest possible date. Negotiations among parties concerned have proceeded on the most cordial basis and have reached the point at which it is deemed desirable to record in this Memorandum of Understanding general agreement to the establishment of the center and active participation in the center by countries interested in this common cause.

Proposal
中華民国政府が設立されるセンターに対し理想的土地を提供するので、台湾南部の台南市近郊の善化にセンターを設立することが、提案された。設立されるセンターは、アジアそ菜研究・開発センター(以下「センター」という。)と呼称され、次の目的に従つて研究活動及び開発活動を行なう。
Whereas the Government of the Republic of China will provide an ideal site for the forthcoming center, it is proposed to establish such a center at Shanhua in the neighborned of Tainan City in the southern part of the Province of Taiwan. The center to be established will be known as the Asian Vegetable Research and Development Center (hereinafter referred to as the "Center") and will carry out its research and development activities in conformity with the following objectives:
1 生産及び流通の計画に関する研究を行ない、かつ、参加国が自国の応用研究計画を開発することを援助すること。
1. To conduct research on production and marketing programs and to assist participating countries in developing their own adaptive research programs.
2 生産及び流通の計画についての訓練を実施し、かつ、参加国が一層効果的な訓練及び流通の計画を開発することを援助すること。
2. To carry out training in production and marketing programs and to assist participating countries in developing more efficient training and marketing program.
3 参加国における普及事業に利用するため改善された生産及び流通に関する基礎的情報を開発し及び提供すること。
3. To develop and provide basic information on improved production and marketing for use in extension services in participating countries.
組織
Organization
自治、博愛及び非営利の機関としてセンターが設立され、次の国及び機関を代表する構成員から成る理事会が管理することが、提案された。
It is proposed that the Center be established as an autonomous, philanthropic, non-profit organization to be administered by a Board of Directors with members representing:
1 センターに参加しかつ財政的拠出を行なう国
1. Countries that participate in and make financial contributions to the Center; and
2 センターに対して拠出を行なう主要な金融機関
2. Major financing agencies which contribute to the Center.
理事会は、センターの政策を立案し、総合計画及び運営予算を原則的に承認するため少なくとも年二回会合し並びに所長が理事会の定める政策及び決定を実施することを援助するための技術顧問団を構成する三人又は五人の構成員を任命する。技術顧問団も、センターの技術的運営を審査するため少なくとも年二回会合し、必要な場合には技術的援助を行なう。
The Board of Directors will meet at least twice a year to formulate policies for the Center and approve, in principle, general programs and operation budget, and appoint three or five members to form a Technical Advisory Group to help the director of the Center implement and execute the policies and decisions laid down by the Board of Directors. The Technical Advisory Group will also meet at least twice a year to review technical operations of the Center and render technical assistance in case of necessity.
理事会は、所長を任命する。所長は、理事会の承認を条件として次長及びセンターの幹部職員を任命する。所長は、職権上、技術顧問団の議長となり、理事会の政策及び決定に従つてセンターのすべての事務を直接に処理し及び管理する。
The Board of Directors will appoint a director for the Center. A deputy director and key officers of the Center will be appointed by the director of the Center, subject to the approval or the Board of Directors. The director of the Center, who shall be ex-officio the chairman of the Technical Advisory Group, will directly manage and administer all affairs of the Center in accordance with the policies and decisions of the Board of Directors.
会計
Financing
センターの最初の五年の総予算は、センターの設立のための計画案に掲げられるとおり、七百五十万合衆国ドルに等しい額に見積られる。この総額に達するため、構成国が自国の国内規則に従いかつ自国の年次予算割当ての範囲内で、次に示す割合に従つて拠出することが、期待される。
The total budget of the Center for the first five (5) years is estimated at an amount equivalent to US$7,500,000 as indicated in the project proposal for the establishment of the Center. Towards this total amount, member countries are expected to make their contributions in conformity with the percentage showm below in accordance with their respective national regulations and within the limits of their respective annual budgetary appropriations.
日本国は、その技術協力計画のわく内でセンターに協力する用意があること、すなわち、適当な専門家を派遣することができる場合にはその者を派遣し、かつ、機材を送付する用意があることを示唆した。日本国は、第一年度分として、四万合衆国ドルを現金でセンターに拠出する用意があることも、表明した。残りの四年については、日本国は、その国内法規に従いかつ年次予算割当ての範囲内で拠出する。
Japan indicated its preparedness to cooper-ate with the Center within the framework of its technical cooperation program, namely, its preparedness to consider sending experts and equipment, if appropriate experts are avail-able. Japan also expressed its readiness to contribute to the Center US$40,000 in cash for the first year. For the remaining four years, Japan will make its contribution in accordance with its laws and regulations and within the limits of its annual budgetary appropriations.

* The Republic of China will make up the balance required to ensure a total contribution of US$7,500,000 (100%), including the use of 116 hectares of land at the site of the Center as long as the Center is there in operation.

アジア諸国民の福祉を増進する目的のために前記のわれわれの共通の理念を具体化することを希望し、千九百七十一年五月二十二日に中華民国の台北市においてそれぞれ自国の政府及び機関に代わつてこの了解覚書に署名することにより、センターへ参加することに合意した。
With a view to embodying this common idea of ours as set forth above for the purpose of promoting the welfare of Asian people, we, the undersigned, hereby agree to participate in the Center by signing this Memorandum of Under-standing on behalf of our Governments and agencies respectively in the City of Taipei, the Republic of China on the twenty-second day of May, 1971.
