TERMS OF REFERENCE OF THE INTERNATIONAL COPPER STUDY GROUP
1 設立
Establishment
この付託条項を運用し、かつ、この付託条項の実施を監視するため、この付託条項により国際銅研究会を設立する。
1. The International Copper Study Group is hereby established to administer the provisions and supervise the operation of these terms of reference.
2 目的
Obiective
国際銅研究会は、国際的な銅経済に関し入手可能な情報を改善し及び銅に関する政府間の協議の場を提供することにより、銅に関する問題について国際協力を強化することを確保することを目的とする。
2. To ensure enhanced international co-operation on issues concerning copper, by improving the information available on the international copper economy and by providing a forum for intergovernmental consultations on copper.
3 定義
Definitions
(a) 「研究会」とは、この付託条項により設立される国際銅研究会をいう。
3.(a) "The Group" means the International Copper Study Group as constituted in these terms of reference.
(b) 「銅」とは、銅鉱石及び銅精鉱、再生銅を含む粗銅及び精製銅、銅合金、銅のくず並びに半製品及び研究会が定めることのできるその他の銅製品をいう。
(b) "Copper" means ores and concentrates of copper; unrefined and refined copper metal, including secondary copper; copper alloys; scrap, wastes and residues of copper; semi-manufactured products and such other products of copper as the Group may determine.
(c) 「加盟国」とは、２２の規定による受諾の通告を行った５に規定するすべての国及び政府間機関をいう。
(c) "Members" means all States and intergovernmental organizations as provided for in paragraph 5 which have notified their acceptance pursuant to paragraph 22.
4 任務
Functions
研究会は、その目的を遂行するため次の任務を有する。
4. In pursuance of its objective, the Group shall have the following functions:
(a) 国際的な銅経済に関する協議及び情報交換を行うこと。
(a) To conduct consultations and exchanges of information on the international copper economy;
(b) 銅に関する統計を改善すること。
(b) To improve statistics on copper;
(c) 市況及び世界の銅産業の見通しについて定期的評価を行うこと。
(c) To undertake regular assessments of the market situation and outlook for the world copper industry;
(d) 研究会が関心を有する問題について研究を行うこと。
(d) To undertake studies on issues of interest to the Group;
(e) 銅市場を開発し及び銅の需要の増加に貢献することを目的とした他の団体が払う努力に関連する活動を行うこと。
(e) To undertake activities related to efforts pursued by other organizations aimed at developing the market for copper and contributing to the demand for copper;
(f) 国際的な銅経済において存在し又は生ずるおそれのある特別な問題又は困難について考慮すること。
(f) To consider special problems or difficulties which exist or may arise in the international copper economy.
研究会は、各加盟国が自国の銅経済のすべての分野を運営する当該各加盟国の権利を害することなく、かつ、他の国際機関の管轄の範囲内にある事項についての当該他の国際機関の権限を害することなく、(a)から(f)までに規定する任務を遂行する。
The Group shall carry out the above functions without derogating from the right of every member to manage all aspects of its domestic copper economy and without prejudice to the competence of other international organizations in matters falling within their jurisdiction.
5 加盟国の地位
Membership
研究会の加盟国の地位は、銅の生産、消費又は国際貿易に関心を有するすべての国並びに国際協定特に商品協定の交渉、締結及び適用について責任能力を有するあらゆる政府間機関に開放される。
5. Membership of the Group shall be open to all States which are interested in the production or consumption of or international trade in copper, and to any intergovernmental organization having responsibilities in respect of the negotiation, conclusion and application of international agreements, in particular commodity agreements.
6 研究会の権限
Powers of the Group
(a) 研究会は、この付託条項の実施及び適用の確保のために必要な権限を行使し、並びにその実施及び適用の確保のために必要な行動をとり又はこれらの行動をとるための措置をとる。
6.(a) The Group shall exercise such powers and take action or arrange for action to be taken as may be necessary to carry out and ensure the application of the provisions of these terms of reference.
(b) 研究会は、直接に又は間接に、銅その他一次産品若しくは製品の貿易を目的とするいかなる契約又は先物取引のためのいかなる契約を締結する権限も有しないものとし、また、このためのいかなる財政的義務を負う権限も有しない。
(b) The Group shall not have the power, directly or indirectly, to enter into any contract for the purposes of trade in copper or in any other commodity or product, or any contract for future transaction; nor shall it have the power to enter into any financial obligations for such purposes.
(c) 研究会は、その任務の実施のために必要と認める手続規則でこの付託条項に従い及びこれと矛盾しないものを採択する。
(c) The Group shall adopt such rules of procedure as are considered necessary to carry out its functions and which shall be subject to, and not inconsistent with, these terms of reference.
(d) 研究会は、この付託条項又は手続規則の範囲外のいかなる義務を負う権限も有しない。また、加盟国が研究会に対しこのような権限を与えているものとみなしてはならない。
(d) The Group shall not have the power and shall not be taken to have been authorized by its members to incur any obligation outside the scope of these terms of reference or the rules of procedure.
7 本部
Headquarters
研究会の本部は、研究会が別段の決定を行わない限り、加盟国の領域内の研究会が選定する場所に置く。研究会は、この付託条項の効力発生の後できる限り速やかに本部協定が締結されるように、接授国政府と本部協定について交渉する。
7. The Headquarters of the Group shall be at a location selected by it in the territory of a member State, unless the Group decides otherwise. The Group shall negotiate a Headquarters Agreement with the host Government to be concluded as soon as possible after these terms of reference have entered into force.
8 意思決定
Decision-making
(a) この付託条項によって設立される研究会の最高機関は、総会とする。
8.(a) The highest authority of the Group established under these terms of reference shall be vested in the General Session.
(b) 研究会、９に規定する常任委員会並びに設置することのできる委員会及び補助機関は、この付託条項又は手続規則に定める特定の多数決で決定を行う場合を除くほか、意見の一致によって、かつ、投票することなく決定を行う。
(b) The Group, the Standing Committee referred to in paragraph 9, and such committees and subsidiary bodies as may be established, shall take decisions by consensus and without a vote, except in the case of decisions for which a specific voting majority is specified in these terms of reference of in the rules of procedure.
(c) 各加盟国は、一個の投票権を有する。
(c) Each member State shall be entitled to one vote.
9 常任委員会
Standing Committee
(a) 研究会は、その作業への参加を希望することを表明する研究会の加盟国で構成する常任委員会を設置する。
9.(a) The Group shall establish a Standing Committee, which shall consist of those members of the Group which have indicated their desire to participate in its work.
(b) 常任委員会は、研究会が割り当てる任務を遂行するものとし、また、その作業の完了又は進捗状況について研究会に報告する。
(b) The Standing Committee shall undertake such tasks as may be assigned to it by the Group and shall report to the Group on completion, or on the progress, of its work.
10 委員会及び補助機関
Committees and subsidiary bodies
研究会は、常任委員会のほかに、その決定する条件により委員会又は他の補助機関を設置することができる。
10. The Group may establish committees or other subsidiary bodies, in addition to the Standing Committee, on such terms and conditions as it may determine.
11 事務局
Secretariat
(a) 研究会は、事務局長と必要な職員とから成る事務局を置く。
11.(a) The Group shall have a Secretariat consisting of a Secretary-General and such staff as may be required.
(b) 事務局長は、研究会の首席の管理職員であるものとし、研究会の決定に従ってこの付託条項を運用し及び実施することにつき、研究会に対して責任を負う。
(b) The Secretary-General shall be the chief administrative officer of the Group and shall be responsible to it for the administration and operation of these terms of reference in accordance with the decisions of the Group.
12 他との協力
Co-operation with others
(a) 研究会は、国際連合、その諸機関又は専門機関その他適当な政府間機関との協議又は協力のための措置をとることができる。
12.(a) The Group may make arrangements for consultations or co-operation with the United Nations, its organs or specialized agencies, and with other intergovernmental institutions, as appropriate.
(b) 研究会は、また、関心を有する政府で加盟していないもの、他の国際的な非政府機関又は民間部門の団体と適当な連絡を維持するための適当と認める措置をとることができる。
(b) The Group may also make arrangements as it considers appropriate for maintaining contact with interested non-participating Governments, with other international non-governmental organizations, or with private sector institutions, as appropriate.
(c) 研究会又はその補助機関の会合には、研究会又はその補助機関の決定した条件で出席するオブザーバーを招請することができる。
(c) Observers may be invited to attend meetings of the Group or its subsidiary bodies on such terms and conditions as the Group or those bodies may decide.
13 共通基金との関係
Relationship with the Common Fund
研究会は、一次産品のための共通基金の第二勘定を通じて同基金からの資金供与を受ける事業計画で銅に関するものをこの付託条項の規定に従って企画するため、一次産品のための共通基金を設立する協定第七条９の規定に基づく国際商品団体(ＩＣＢ)として指定されるよう申請することができる。当該事業計画の企画に関する決定は、通常、意見の一致によって行う。意見の一致を得ることができない場合には、決定は、三分の二以上の多数票による議決で行う。研究会は、当該事業計画についていかなる財政的義務も負ってはならないものとし、また、当該事業計画の実施機関として行動してはならない。いずれの加盟国も、当該事業計画に関する他の加盟国又は主体による借入れ又は貸付けから生ずる責任について研究会の加盟国であるという理由により責任を負うものではない。
13. The Group may apply to be designated as an International Commodity Body (ICB) under article 7(9) of the Agreement establishing the Common Fund for Commodities, for the purpose of sponsoring, in accordance with the provisions of these terms of reference, projects on copper to be financed by the Fund through its Second Account. Decisions on the sponsoring of such projects shall normally be taken by consensus. If consensus cannot be reached, decisions shall be taken by a two-thirds majority vote. The Group shall not incur any financial obligations in respect of such project; nor shall it act as executing agency for any such project. No member shall be responsible by reason of its membership in the Group for any liability arising from borrowing or lending by any other member or entity in connection with projects.
14 法的地位
Legal status
(a) 研究会は、国際法上の法人格を有する。
14.(a) The Group shall have international legal personality.
(b) 接授国の領域における研究会の地位は、接授国政府と研究会との間の本部協定による。
(b) The status of the Group in the territory of the host country shall be governed by a Headquarters Agreement between the host Government and the Group.
(c) 研究会は、各加盟国の領域において、かつ、各加盟国の国内法令に従うことを条件として、その任務を遂行するために必要な法律上の能力を有するものとし、特に、６(b)の規定に従うことを条件として、契約を締結し、動産を取得し及び処分し並びに訴えを提起する能力を有する。
(c) In the territory of each member, and subject to its national legislation, the Group shall have the requisite legal capacity to perform its functions and in particular, subject to paragraph 6(b) above, the capacity to enter into contracts, to acquire and to dispose of movable property, and to institute legal proceedings.
15 予算に係る分担金
Budget contributions
(a) 各加盟国は、手続規則の規定に従い研究会により承認された年次予算に係る分担金を支払う。加盟国の分担金の額を決定するため、当該年次予算の五十パーセントの額は、加盟国の間で均等に割り当てられるものとし、二十五パーセントの額は、銅含有量で計算した銅鉱石及び銅精鉱並びに粗銅及び精製銅の各加盟国における輸出量及び輸入量の合計に対して各加盟国が占める割合に比例して割り当てられる。残余の二十五パーセントの額は、各加盟国における銅鉱石の生産量又は精製銅の消費量のいずれか多い方の数量の合計に対して各加盟国が占める割合に比例して割り当てられる。これらの割合の計算は、利用可能な最近の三暦年間の統計に基づいて行う。
15.(a) Each member shall contribute to an annual budget which shall be approved by the Group in accordance with the provisions of the rules of procedure. For the purpose of assessing the contributions of members, 50 per cent of the budget shall be apportioned equally among them; 25 per cent shall be apportioned among member States in proportion to their shares in the total exports and imports of member State of copper ores and concentrates， measured in copper metal content, and unrefined and refined copper; and the remaining 25 per cent shall be apportioned among member States in proportion to their shares in a total which shall consist of the mine production or refined consumption of copper of each member State, whichever is the higher. The calculation of these shares shall be based on the latest three calendar years for which statistics are available.
(b) 研究会は、手続規則に定める分担金に関する規定に従い、研究会が定めた通貨で各会計年度における各加盟国の分担金の額を決定する。加盟国による分担金の支払は、当該加盟国の憲法上の手続に従って行う。
(b) The Group shall determine the contribution of each member for each financial year in a currency to be decided by the Group and in accordance with the provisions for contributions specified in the rules of procedure. The payment of the contribution by each member shall be made in accordance with its constitutional procedures.
(c) 研究会は、予算に係る分担金のほかに、外部からの寄付金を受領することができる。
(c) In addition to the budget contributions, the Group may accept donations from external sources.
16 統計及び情報
Statistics and information
(a) 研究会は、この付託条項の効果的な実施のために適当であると認める銅の生産、貿易、在庫及び消費(特定の市場及び最終消費産業における消費を含む。)に関する統計上の情報並びに(b)の情報を収集し、取りまとめ並びに加盟国が利用することができるようにする。
16.(a) The Group shall collect collate and make available to members such statistical information on production trade stocks and consumption of copper including consumption by specific markets and end-use industries, as it deems appropriate for the effective operation of these terms of reference as well as the information referred to in subparagraph (b) below.
(b) 研究会は、作業の重複を避けるため並びに銅の生産、消費、在庫、国際貿易及び国際的に認められている公表された価格、銅に関連する技術及び研究開発に関する活動並びに銅の需要及び供給に対して影響を及ぼす他の要素に関する最新の信頼し得る完全な情報の入手を確保するため、関心を有する政府で加盟してないもの並びに適当な非政府機関及び政府間機関と情報を交換するための適当と認める措置をとる。
(b) The Group shall make such arrangements as it considers appropriate by which information may be exchanged with interested non-participating Governments and with appropriate non-governmental and intergovernmental organizations in order to avoid duplication of work and to ensure the availability of recent, reliable and complete information on production, consumption, stocks, international trade, internationally recognized published prices of copper, technology, research and development activities relating to copper and other factors that influence the demand for and supply of copper.
(c) 研究会は、その提供した情報が銅を生産し、加工し、販売し又は消費する政府、個人又は企業の営業上の秘密を侵さないことを確保するよう努める。
(c) The Group shall endeavour to ensure that information made available by it does not prejudice the confidentiality of the operations of Governments of persons or enterprises producing processing marketing or consuming copper.
17 年次評価及び報告
Annual assessment and reports
(a) 研究会は、加盟国の提供する情報及び他のすべての関係する情報源からの情報により補足された情報を参考として、世界の銅事情及び関連事項に関する年次評価を行う。年次評価には、加盟国が国際的な銅経済の発展に関する個別の評価を行うことを助けるため、将来の予見される銅の生産能力の検討並びに次の暦年の銅の生産、消費及び貿易の見通しを含める。
17.(a) The Group shall undertake an annual assessment of the world copper situation and related matters in the light of information supplied by members and supplemented by information from all other relevant sources. The annual assessment shall include a review of anticipated copper production capacity for future years and an outlook for copper production, consumption and trade for the following calendar year, for the purpose of assisting members in their individual assessments of the evolution of the international copper economy.
(b) 研究会は、年次評価の結果を含む報告書を作成し、これを加盟国に配布する。研究会が適当と認める場合には、この報告書は、既に加盟国に配布された他の報告書及び調書と同様に、手続規則に従い、関心を有する他の者の利用に供することができる。
(b) The Group shall prepare a report incorporating the results of the annual assessment and distribute it to members. If the Group deems it appropriate, this report, as well as other reports and studies distributed to members, may be made available to other interested parties in accordance with the rules of procedure.
18 市場開発
Market development
(a) 研究会は、加盟国間並びに加盟国と銅の研究及び市場開発を行う団体のような第三者との間で、銅の需要を増加し及び市場を開発するための方法及び手段について討議を行う。この枠内で、市場開発を支援するために研究会が行った研究は、銅の市場開発を行う団体に対し、検討のため研究会に提出する市場開発に関する事業計画案を作成するために使用することを目的として公表する。このような事業計画の実施は、銅の市場開発を行う団体が行う。研究会は、一次産品のための共通基金の第二勘定を通じて資金供与を受ける事業計画を選定し及び企画することができる。
18.(a) The Group shall hold discussions among members and between members and third parties, such as copper research and market development organizations, on ways and means of increasing the demand and developing the market for copper. Within this framework the studies done by the Group in support of market development will be disseminated to copper development organizations for their use in preparing market development project proposals to be submitted to the Group for consideration. Execution of these projects will be undertaken by market development organizations. The Group may select and sponsor projects to be financed by the Common Fund through its Second Account.
(b) 研究会は、銅の市場開発を行う団体の間の調整を促進し及び市場開発に関する活動の拡張を支援することを申し入れる。
(b) The Group shall offer to facilitate co-ordination between market development organizations and support the extension of market development activities.
19 研究
Studies
(a) 研究会は、国際的な銅経済に関する特別な研究で研究会が同意するものを行い、又はこれらの研究を行うための適当な措置をとる。
19.(a) The Group shall undertake or make appropriate arrangements to undertake ad hoc studies related to the international copper economy as may be agreed by the Group.
(b) 研究には、研究会に対する一般的な勧告又は提案を含むことができるが、これらの勧告又は提案は、各加盟国が自国の銅経済のすべての分野を運営する当該各加盟国の権利を害するものではなく、かつ、他の国際機関の管轄の範囲内にある事項についての当該他の国際機関の権限を害するものではない。
(b) The studies may contain general recommendations or suggestions to the Group but such recommendations or suggestions shall not derogate from the right of every member to manage all aspects of its domestic copper economy and shall be without prejudice to the competence of other international organizations in matters falling within their jurisdiction.
20 加盟国の義務
Obligations of members
加盟国は、特に16(a)に規定する資料を提供することにより、協力し及び研究会の目的の達成を促進するよう最善の努力を払う。
20. Members shall use their best endeavours to co-operate and to promote the attainment of the objective of the Group, in particular by providing the data referred to in paragraph 16 (a).
21 改正
Amendment
この付託条項は、研究会の意見の一致によってのみ改正することができる。
21. These terms of reference may be amended only by consensus of the Group.
22 効力発生
Entry into force
(a) この付託条項は、この付託条項の付表に掲げるところにより銅の貿易量の総計が少なくとも八十パーセントとなる国が国際連合事務総長(以下「寄託者」という。)に対し(c)に規定するこの付託条項の確定的な受諾の通告を行った時に確定的に効力を生ずる。
22.(a) These terms of reference shall enter into force definitively when States together accounting for at least 80 per cent of trade in copper, as set out in the annex to these terms of reference, have notified the Secretary-General of the United Nations (hereinafter referred to as "the depositary") pursuant to subparagraph (c) below of their definitive acceptance of these terms of reference.
(b) この付託条項は、この付託条項の付表に掲げるところにより銅の貿易量の総計が少なくとも六十パーセントとなる国が寄託者に対し(c)に規定するこの付託条項の暫定的な受諾又は確定的な受諾の通告を行った時に暫定的に効力を生ずる。
(b) These terms of reference shall enter into force provisionally when States together accounting for a: least 60 per cent of trade in copper, as set out in the annex to these terms of reference, have notified the depositary pursuant to subparagraph (c) below of their provisional or definitive acceptance of these terms of reference
(c) 研究会の加盟国となることを希望する５に規定するすべての国又は政府間機関は、国内手続が完了するまでの間暫定的に、又は確定的にこの付託条項を受諾する旨を寄託者に通告する。この付託条項の暫定的な受諾の通告を行った国又は政府間機関は、この付託条項の効力が生ずる日又は暫定的な受諾の通告を行った日のいずれか遅い日の後三十六箇月以内に国内手続を完了するよう努めるものとし、その完了を寄託者に通告する。国又は政府間機関がこの(c)に規定する期限内に国内手続を完了することができない場合には、研究会は、当該国又は当該政府間機関に対し、当該期限の延長を認めることができる。
(c) Any State or any intergovernmental organization referred to in paragraph 5 which desires to become a member of the Group shall notify the depositary that it accepts these terms of reference either, provisionally, pending the conclusion of its internal procedures, or definitively. Any State or intergovernmental organization which has notified its provisional acceptance of these terms of reference shall endeavour to compete its procedures within 36 months of the date of entry into force of these terms of reference or the date of its notification of provisional acceptance, whichever is the later, and shall notify the depositary accordingly. Where a State or intergovernmental organization is not able to complete its procedures within the time-limit referred to above, the Group may grant an extension of time to the State or intergovernmental organization concerned.
(d) 寄託者は、この付託条項の効力発生のための要件が千九百九十年六月三十日に満たされていない場合には、この付託条項の暫定的な受諾又は確定的な受諾の通告を行った国及び政府間機関による会合を、この付託条項を当該国及び当該政府間機関の間で暫定的に又は確定的に発効させるかどうかを決定するために招集する。
(d) If the requirements for entry into force of these terms of reference have not been met on 30 June 1990, the depositary shall invite those States and intergovernmental organizations that have notified their provisional or definitive acceptance of these terms of reference to decide whether or not to put these terms of reference into force provisionally or definitively among themselves.
(e) 寄託者は、この付託条項が効力を生じた場合には、その後できる限り速やかに、研究会の創立会合を招集する。加盟国は、できる限りこの会合の少なくとも一箇月前までに通報を受ける。
(e) When these terms of reference enter into force, the depositary shall convene an inaugural meeting of the Group as soon as possible thereafter. Members shall be notified at least one month, where possible, prior to that meeting.
23 脱退
Withdrawal
(a) 加盟国は、寄託者及び研究会の事務局長に対して書面による脱退の通告を行うことにより、いつでもこの研究会から脱退することができる。
23.(a) A member may withdraw from the Group at any time by giving written notice of withdrawal to the depositary and to the Secretary-General of the Group.
(b) 脱退する加盟国が既に負っている財政的義務は、その脱退による影響を受けることなく、また、当該加盟国は、脱退が生ずる年の分担金の払戻しを受ける権利を有しない。
(b)Withdrawal shall be without prejudice to any financial obligations already incurred by the withdrawing member and shall not entitle it to any rebate of its contribution for the year in which the withdrawal occurs.
(c) 脱退は、寄託者が(a)の規定による通告を受領した後六十日で効力を生ずる。
(c)Withdrawal shall become effective 60 days after the notice is received by the depositary.
(d) 研究会の事務局長は、(a)の規定により受領したすべての通告を各加盟国に速やかに通報する。
(d)The Secretary-General of the Group shall promptly notify each member of any notification received under this paragraph.
24 終了
Termination
(a) 研究会は、いつでも、加盟国の三分の二以上の多数票による議決で、この付託条項を終了させることを決定することができる。終了は、研究会の定める日に効力を生ずる。
24.(a) The Group may at any time decide by a two-thirds majority vote of member States to terminate these terms of reference. Such termination shall take effect on such date as the Group shall decide.
(b) 研究会は、この付託条項の終了の後も、研究会の清算(会計上の決済を含む。)を行うために必要な期間存続する。
(b) Notwithstanding the termination of these terms of reference, the Group shall continue in being for as long as it is necessary to carry out its liquidation, including the settlement of accounts.
25 留保
Reservations
留保は、この付託条項のいかなる規定についても付することができない。
25. No reservations may be made to any of the provisions of these terms of reference.
注 千九百八十八年の銅に関する国際連合会議に参加した国における銅含有量で計算した銅鉱石及び銅精鉱並びに粗銅及び精製銅の輸入量及び輸出量についての千九百八十四年から千九百八十六年までの間の年平均
