TERMS OF REFERENCE THE INTERNATIONAL NICKEL STUDY GROUP,AS ADOPTED ON 2 MAY 1986 BY THE UNITED NATIONS CONFERENCE ON NICKEL, 1985
この取極の締約国は、次に定める付託条項を有する国際ニッケル研究会を設立するための了解に達した。
The parties to this arrangement have reached an understanding for the establishment of an International Nickel Study Group which will have the following Terms of Reference.
1 設立
1. Establishment
この付託条項を運用し、かつ、この付託条項の実施を監視するため、この付託条項により国際ニッケル研究会を設立する。
The International Nickel Study Group is hereby established to administer the provisions and supervise the operation of the Terms of Reference.
2 目的
2. Objectives
研究会の目的は、特に、国際的なニッケル経済に関し入手可能な情報を改善し及びニッケルに関する政府間の協議の場を提供することにより、ニッケルに関する問題について国際協力を強化することを確保することとする。
To ensure enhanced international co-operation on issues concerning Nickel, in particular by improving the information available on the international nickel economy and by providing a forum for intergovernmental consultations on Nickel.
3 定義
3. Definitions
(a) 「研究会」とは、この付託条項により設立される国際ニッケル研究会をいう。
(a) "The Group" means the International Nickel Study Group as constituted in these Terms of Reference;
(b) 「ニッケル」には、特に、ニッケルのくず及び研究会が定めることのできるニッケル製品を含む。
(b) "Nickel" shall include, inter alia, scraps, wastes, and/or residues and such nickel products as the Group may determine;
(c) 「加盟国」とは、19の規定により通告を行った5に規定するすべての国をいう。
(c) "Members" means all States as provided for in paragraph 5 which have notified their acceptance pursuant to paragraph 19.
4 任務 研究会の任務は、次のとおりとする。

(a) 特に、世界におけるすべての形態のニッケルの生産、在庫、貿易及び消費に関する統計制度を確立し、維持し並びに継続的に更新することにより、世界のニッケル経済及びその動向について継続的な監視を行う能力を備え及び実施すること。
(a) To establish the capacity for and to undertake the continued monitoring of the world nickel economy and its trends, particularly by establishing, maintaining and continuously updating a statistical system on world production, stocks, trade and consumption of all forms of Nickel.
(b) すべての形態のニッケルの生産、在庫、貿易及び消費の推移について加盟国間の協議及び情報交換を行うこと。
(b) To conduct between Members consultations and exchanges of information on developments related to the production, stocks, trade and consumption of all forms of Nickel.
(c) 研究会の決定に従い、ニッケルに関する幅広い重要問題について適宣研究を行うこと。
(c) To undertake studies as appropriate on a broad range of important issues concerning Nickel, in accordance with the decisions of the Group.
(d) 国際的なニッケル経済において存在し又は生ずるおそれのある特別な問題又は困難について考慮すること。
(d) To consider special problems or difficulties which exist or may be expected to arise in the international nickel economy.
5 加盟国の地位
5. Membership
研究会の加盟国の地位は、ニッケルの生産、消費又は国際貿易に関心を有するすべての国に開放される。
Membership of the Group shall be open to all States which are interested in the production or consumption of, or international trade in Nickel.
6 研究会の権限
6. Powers of the Group
(a) 研究会は、この付託条項の実施のために必要な権限を行使し及びその実施のために必要な任務を遂行し又はこれらの任務の遂行のための措置をとる。
(a) The Group shall exercise such powers and perform or arrange for the performance of such functions as are necessary to carry out the provisions of the Terms of Reference.
(b) 研究会は、取引を行う機関ではないものとし、また、ニッケル又は他の一次産品若しくは製品のいかなる取引契約を締結する権限も有しない。
(b) The Group is not a trading organization and shall not have power to enter into any trading contract for Nickel or any other commodity or product.
(c) 研究会は、その任務の実施のために必要と認める手続規則を採択する。
(c) The Group shall adopt such Rules of Procedure as are considered necessary to carry out its functions.
7 本部
7. Headquarters
研究会の本部は、研究会が選定する加盟国の領域に置く。研究会は、接受政府と本部協定について交渉する。
The Headquarters of the Group shall be at a location selected by it in the territory of a Member State. The Group shall negotiate a Headquarters Agreement with the host Government.
8 意思決定
8. Decision-making
(a) この付託条項によって設立される研究会の最高機関は、総会とする。
(a) The highest authority of the Group established under these Terms of Reference shall be vested in the General Session.
(b) 研究会、9に規定する常任委員会並びに設置することのできる委員会及び補助機関は、通常、意見の一致によって決定を行う。投票を要する場合には、その投票は、手続規則に定める条件に従って行う。
(b) The Group, the Standing Committee referred to in paragraph 9, and such committees and subsidiary bodies as may be established, shall normally take decisions by consensus. If a vote is called for, it shall be taken under the conditions set out in the Rules of Procedure.
9 常任委員会
9. Standing Committee
(a) 研究会は、その作業への参加を希望することを表明する研究会の加盟国から成る常任委員会を設置する。
(a) The Group shall establish a Standing Committee which shall consist of those Members of the Group who have indicated their desire to participate in its work.
(b) 常任委員会は、研究会が割り当てる任務を遂行するものとし、また、その作業の完了又は進捗状況について研究会に報告する。
(b) The Standing Committee shall undertake such tasks as may be assigned to it by the Group and shall report to the Group on completion, or on progress, of its work.
10 委員会及び補助機関
10. Committees and Subsidiary Bodies
研究会は、常任委員会のほかに、その決定する条件により他の委員会又は補助機関を設置することができる。
The Group may establish such committees or subsidiary bodies, in addition to the Standing Committee, on such terms and conditions as it may determine.
11 事務局
11. Secretariat
(a) 研究会は、事務局長と必要な職員とから成る事務局を置く。
(a) The Group shall have a Secretariat consisting of a Secretary-General and such staff as may be required.
(b) 事務局長は、研究会の首席の管理職員であるものとし、研究会の決定に従ってこの付託条項を運用し及び実施することにつき、研究会に対して責任を負う。
(b) The Secretary-General shall be the chief administrative officer of the Group and shall be responsible to it for the administration and operation of these Terms of Reference in accordance with the decisions of the Group.
12 他との協力
12. Co-operation with others
(a) 研究会は、国際連合、その諸機関又は専門機関その他適当な政府間機関との協議又は協力のための措置をとることができる。
(a) The Group may make arrangements for consultations or co-operation with the United Nations, its organs or specialized agencies, and with other intergovernmental institutions, as appropriate.
(b) 研究会は、また、5に規定する関心を有する国で加盟していないものの政府、他の国際的な非政府機関又は民間部門の団体と適当な連絡を維持するための措置をとることができる。
(b) The Group may also make arrangements for maintaining contact with interested non-participating Governments of the States referred to in paragraph 5, with other international non-governmental organizations, or with private sector institutions, as appropriate.
13 法的地位
13. Leqal status
(a) 研究会は、接受国において法人格を有する。研究会は、特に、契約を締結し、動産及び不動産を取得し及び処分し並びに訴えを提起する能力を有する。
(a) The Group shall have legal personality in its host country. It shall, in particular, have the capacity to enter into contracts, to acquire and to dispose of movable and immovable property, and to institute legal proceedings.
(b) 接受政府の領域における研究会の地位は、接受政府と研究会との間の本部協定であってこの付託条項の効力発生後できる限り速やかに締結されるものによる。
(b) The status of the Group in the territory of the host Government shall be governed by a Headquarters Agreement between the host Government and the Group, to be concluded as soon as possible after these Terms of Reference have come into effect.
14 予算に係る分担金
14. Budget contributions
研究会は、手続規則に定める分担金に関する規定に従い、接受国の通貨で、各会計年度における各加盟国の分担金の額を決定する。加盟国による分担金の支払は、当該加盟国の憲法上の手続に従って行う。
The Group shall assess the contribution of each Member for each financial year, in the currency of the host country, in accordance with the provisions for contributions specified in the Rules of Procedure. The payment of the contribution by each Member shall be made in accordance with its constitutional procedures.
15 統計及び情報
15. Statistics and information
(a) 研究会は、この付託条項の効果的な実施に適当と認めるニッケルの生産、貿易、在庫、消費及び国際的に認められている公表された価格に関する統計上の情報を収集し、取りまとめ並びに加盟国が利用することができるようにする。
(a) The Group shall collect, collate and make available to Members such statistical information on production, trade, stocks, consumption and internationally recognized published prices of Nickel as it deems appropriate for the effective operation of these Terms of Reference.
(b) 研究会は、ニッケルの生産、消費、在庫、国際貿易、国際的に認められている公表された価格並びにニッケルの需要及び供給に影響を及ぼす他の要素に関する最新の信頼し得る資料の入手を確保するため、関心を有する政府で加盟していないもの並びに適当な非政府機関及び政府間機関と情報を交換するための適当と認める措置をとる。
(b) The Group shall make such arrangements as it considers appropriate by which information may be exchanged with the interested non-participating Governments and with appropriate non-governmental and intergovernmental organizations in order to ensure the availability of recent and reliable data on production, consumption, stocks, international trade, internationally recognized published prices, and on other factors that influence the demand for and supply of Nickel.
(c) 研究会は、ニッケルを生産し、加工し、販売し又は消費する個人又は企業の営業上の秘密を侵すこととなるいかなる情報も公表されないことを確保するよう努める。
(c) The Group shall endeavour to ensure that no information published shall prejudice the confidentiality of the operations of persons or enterprises producing, processing, marketing or consuming Nickel.
16 年次評価及び研究
16. Annual assessment and studies
(a) 研究会は、加盟国の提供する情報及び他の関係する情報源からの情報により補足された情報を参考として、世界のニッケル事情及び関連事項に関する年次評価を作成し、これを加盟国に配布する。
(a) The Group shall prepare and distribute to Members an annual assessment of the world nickel situation and related matters in the light of information supplied by Members and supplemented by information from all other relevant sources.
(b) 研究会は、加盟国が国際的なニッケル経済の発展に関する個別の評価を行う際に技術的な援助となるように、国際的なニッケル経済の短期及び長期の傾向に関する望ましいと認める研究(一年に一回の又は研究会の承認を得て一年に二回以上の次の暦年のニッケルの生産、消費及び貿易の見通しを示すことを含む。)を行い又はこれらの研究を行うために適当な措置をとる。
(b) The Group shall, as deemed desirable, undertake or make appropriate arrangements to undertake studies of short- and long-term trends in the international nickel economy, including, once a year or, with the approval of the Group, more than once a year, the provision of an outlook on nickel production, consumption and trade for the following calendar year, so that such an exchange of information will be a technical aid to Members in their individual assessments of the evolution of the international nickel economy.
17 加盟国の義務
17. Obligations of Members
加盟国は、特にニッケル経済について15に規定する資料の提供に関する限り、協力し及び研究会の目的の達成を促進するよう最善の努力を払う。
Members shall use their best endeavours to co-operate and to promote the attainment of the objectives of the Group, in particular as far as the provision of data referred to in paragraph 15 on the nickel economy is concerned.
18 改正
18. Amendment
この付託条項は、研究会の意見の一致によってのみ改正することができるものとし、投票は、行わない。
The Terms of Reference may only be amended by consensus of the Group and without a vote.
19 効力発生
19. Coming into effect
(a) この付託条項は、ニッケルの世界貿易においてその総計が五十パーセントを上回る少なくとも十五箇国が国際連合事務総長に対して(c)に規定する通告を行った時に効力を生ずる。この付託条項がこの19の規定により効力を生じた場合には、加盟国は、創立会合に出席するよう招請される。加盟国は、できる限りこの会合の少なくとも一箇月前までに通報を受ける。
(a) These Terms of Reference shall come into effect when at least 15 States which in total account for over 50 per cent of the world trade in Nickel have notified the Secretary-General of the United Nations pursuant to (c) below. If the Terms of Reference come into effect under this article, members shall be invited to attend an inaugural meeting. Members shall be notified at least one month, where possible, prior to that meeting.
(b) 国際連合事務総長は、この付託条項の効力発生のための要件が千九百八十六年九月二十日に満たされていない場合には、(c)の規定に従って研究会の加盟国になる意思を通告した政府を、この付託条項の全部又は一部を当該政府の間で発効させるかどうかを決定するため、実行可能な最も早い時に会合するよう招集する。
(b) If the requirements for the coming into effect of these Terms of Reference have not been met on 20 September 1986, the Secretary-General of the United Nations shall invite those Governments having notified, pursuant to (c) below, their intention to become members of the Group, to meet at the earliest time practicable to decide whether or not to put these Terms of Reference into effect among themselves in whole or in part.
(c) 研究会の加盟国になることを希望する5に規定するすべての国は、国内手続が完了するまでの間暫定的に、又は確定的にこの付託条項を適用する意思を有する旨を書面により通告する。この付託条項が効力を生じて研究会の事務局長が就任するまでの間、その通告は、国際連合事務総長に行い、その後は研究会の事務局長に行う。この付託条項を暫定的に適用する国は、その通告の日から六箇月以内に、いかなる場合にも十二箇月以内に国内手続を完了するよう努めるものとし、その完了を寄託者に通告する。
(c) Any State referred to in paragraph 5 which desires to become a Member of the Group shall give written notice that it intends to apply these Terms of Reference either provisionally, pending the conclusion of its internal procedures, or definitively. Pending the coming into effect of these Terms of Reference and the assumption of office by the Secretary-General of the Group, such notice shall be given to the Secretary-General of the United Nations, thereafter it shall be given to the Secretary-General of the Group. A State applying these Terms of Reference provisionally shall endeavour to complete its procedures within six months but in any case not later than 12 months from the date of its notification and shall notify the depositary accordingly.
20 脱退
20. Withdrawal
(a) 加盟国は、研究会の事務局長に対して書面による脱退の通告を行うことにより、いつでもこの研究会から脱退することができる。
(a) A Member may withdraw from the Group at any time by giving written notice of withdrawal to the Secretary-General of the Group.
(b) 脱退する国が既に負っている財政的義務は、その脱退による影響を受けることなく、また、当該国は、脱退が生ずる年の分担金の払戻しを受ける権利を有しない。
(b) Withdrawal shall be without prejudice to any financial obligations already incurred and shall not entitle the withdrawing State to any rebate of its contribution for the year in which the withdrawal occurs.
(c) 脱退は、事務局長が(a)の規定による通告を受領した後六十日で効力を生ずる。
(c) Withdrawal shall become effective 60 days after the notice is received by the Secretary-General.
(d) 事務局長は、(a)の規定により受領したすべての通告を各加盟国に通報する。
(d) The Secretary-General shall notify each Member of any notification received under this paragraph.
21 研究会の存続期間
21. Duration of the Group
研究会は、22の規定により終了しない限り、有益な目的に引き続き資すると加盟国が認める期間存続する。
The Group shall remain in existence as long as it continues in the opinion of the Members to serve a useful purpose, unless terminated in accordance with paragraph 22.
22 終了
22. Termination
(a) 研究会は、いつでも、加盟国の三分の二以上の多数票による議決で、この付託条項を終了させることを決定することができる。終了は、研究会の定める日に効力を生ずる。
(a) The Group may at any time decide by a two-thirds majority vote of the Members to terminate these Terms of Reference. Such termination shall take effect on such date as the Group shall decide.
(b) 研究会は、この付託条項の終了の後も、研究会の清算(会計上の決済を含む。)を行うために必要な期間存続する。
(b) Notwithstanding the termination of these Terms of Reference, the Group shall continue in being for as long as it is necessary to carry out its liquidation, including the settlement of accounts.
