AGREEMENT ON ECONOMIC AND TECHNICAL COOPERATION BETWEEN THE GOVERNMENT OF JAPAN AND THE GOVERNMENT OF THE REPUBLIC OF IRAQ

　AGREEMENT ON ECONOMIC AND TECHNICAL COOPERATION BETWEEN THE GOVERNMENT OF JAPAN AND THE GOVERNMENT OF THE REPUBLIC OF IRAQ

　日本国政府とイラク共和国政府は、両国の間に存在する友好関係を更に発展させ、かつ、強化することを希望して、次のとおり協定した。

　The Government of Japan and the Government of the Republic of Iraq, being desirous of further developing and strengthening friendly relations that exist between the two countries, have agreed as follows:

第一条
　両政府は、すべての可能な方法及び措置により、両国の間及び両国民(「国民」という語は、この協定で用いるときはいつでも、法人を含む。)の間の及び技術協力を強化する。この目的のために、

ARTICLE I
　The two Governments shall strengthen economic and technical cooperation between the two countries and between their nationals (the term "nationals" whenever used in this Agreement includes juridical persons) by all possible ways and measure. For this purpose:

1　日本国政府は、

1. The Government of Japan will:

(a)　イラクにおける経済開発事業計画で両政府の間で合意するものの実施への関係日本国民の協力及び参加を通じて、同事業計画の実現のため努力し、すべての可能な措置をとる。

(a) endeavour and take all possible measures for the realization of economic development projects in Iraq to be agreed upon between the two Governments through the cooperation and participation of nationals concerned of Japan in the implementation of the said projects;

(b)　この協定のわく内で当該日本国民に対しすべての可能な便宣を供与する。

(b) provide all possible facilities to the said nationals within the framework of this Agreement;

(c)　この協定のわく内で当該日本国民により契約の行われた事業計画の完全な実施を促進するため、すべての可能な方法の範囲内で、行動する。

(c) act within all possible means to speed up the complete implementation of the projects contracted by the said nationals within the framework of this Agreement;

(d)　当該契約から生ずることがあり又は実施された事業計画の効率的な運営を妨げることがある問題及び障害を解決又は除去するため、イラク共和国政府との連絡を通じて、すべての可能な措置をとる。

(d) take all possible measures to solve the problems and eliminate the obstacles which may arise from such contracts or hinder the efficient operations of the implemented projects through contacts with the Government of The Republic of Iraq.

2　イラク共和国政府は、日本国民に対し、当該日本国民が契約を行つた事業計画の完全な実施の促進に資するためすべての可能な便宣を与えるとともに、当該契約から生ずることがある問題及び障害を解決し又は除去するため、日本国政府との連絡を通じて、すべての可能な措置をとる。

2. The Government of the Republic of Iraq will accord all possible facilities to the nationals of Japan so as to assist them in accelerating the complete implementation of the contracted projects and take all possible measures to solve the problems and eliminate the obstacles which may arise from such contracts through contacts with the Government of Japan.

第二条
1　日本国政府は、イラクにおける経済開発事業計画で両政府の間で合意するものの実施のため、日本輸出入銀行による円借款の供与のために及びその他の信用の供与を容易にするために、イラク共和国政府に対し、協力する。

ARTICLE II
1. The Government of Japan will cooperate with the Government of the Republic of Iraq for the extension of yen loans by the Export-Import Bank of Japan and for facilitating the extension of other credits for the implementation of economic development projects in Iraq to be agreed upon between the two Governments.

2　円借款及びその他の信用の供与は、両政府間の新たな取極によらなければならない。

2. The extension of yen loans and other credits shall be subject to further arrangements between the two Governments.

第三条
　第一条及び第二条にいう事業計画の実施は、両国の関係国民の間で締結される契約に従うものとする。

ARTICLE III
　The implementation of the projects mentioned in Articles I and II shall be in accordance with contracts to be concluded between the nationals concerned of the two countries.

　日本国政府は、日本国の関係国民に対し、前記の事業計画のための契約及びそのために行う入札において次の原則を考慮に入れるよう勧奨する。

　The Government of Japan will recommend and encourage the nationals concerned of Japan to take into consideration the following principles in tenders submitted for as well as the contracts for the projects mentioned above:

(a)　高水準の技術上の明細

(a) High quality of technical specifications;

(b)　入札並びに契約の締結及びその実施の速さ

(b) The speed in submitting tenders, concluding contracts and implementation thereof;

(c)　競争価格

(c) Competitive prices;

(d)　完成後引渡し方式による事業計画の実施(それが適当である場合)

(d) The implementation of projects on a turn-key basis, wherever appropriate.

第四条
1　イラク共和国政府は、両政府間の新たな取極に定めるところに従い、原油、液化天然ガス、液化石油ガス、石油製品及びその他の炭化水素産品の安定供給のための「イラク国営石油会社」又はその他のイラクの国営の石油会社と日本国民との間の長期契約の締結及び円滑な実施を容易にする。これらの産品の供給は、関係当事者の間で相互に合意される条件に従うものとする。

ARTICLE IV
1. The Government of the Republic of Iraq will facilitate the conclusion and smooth implementation of long-term contracts between the Iraq National Oil Company or any other national oil companies of Iraq and nationals of Japan for the stable supply of crude oil, liquefied natural gas, liquefied petroleum gas, petroleum products and any other hydrocarbon products as provided in further arrangements between the two Governments, upon terms and conditions to be mutually agreed upon between the parties concerned.

2　日本国政府は、1にいう契約の締結及び円滑な実施を容易にする。

2. The Government of Japan will facilitate the conclusion and smooth implementation of contracts mentioned in paragraph 1 above.

第五条
　日本国政府は、イラク共和国の需要を考慮に入れ、かつ、両政府の間で行われることがある取極によることを条件として、次を含む特定の技術協力計画を実施するために必要な措置をとる。

ARTICLE V
　The Government of Japan will, taking into account requirements of the Republic of Iraq and subject to such arrangements as may be made between the two Governments, take necessary measures to carry out specific technical cooperation programs which will include:

(a)　日本人の専門家をイラク共和国に派遣すること。

(a) Dispatching Japanese experts to the Republic of Iraq;

(b)　日本国における技術訓練のための研修手当をイラクの研修生に支給すること。

(b) Providing Iraqi trainees with fellowships for technical training in Japan;

(c)　調査を行うため調査団をイラク共和国に派遣すること。

(c) Sending missions to the Republic of Iraq to conduct surveys;

(d)　設備、機械及び資材をイラク共和国政府に供与すること。

(d) Providing the Government of the Republic of Iraq with equipment, machinery and materials;

(e)　イラクにおける訓練センター及び技術研修所で相互に合意するものに技術援助を行うこと。

(e) Providing technical assistance for training centres and technical institutes in Iraq to be mutually agreed upon;

(f)　相互に合意することがあるその他の形の技術協力を行うこと。

(f) Providing any other form of technical cooperation which may be mutually agreed upon.

第六条
　日本国政府は、イラク共和国政府の要請があつたときは、日本国民が実施した事業計画により生産されたイラクの生産物の一部の日本国への輸入を促進するため可能な措置をとる。

ARTICLE VI
　The Government of Japan will take possible measures to promote the import to Japan of some of Iraqi products produced by the projects implemented by nationals of Japan upon the request of the Government of the Republic of Iraq.

第七条
　両政府は、いずれか一方の政府の要請があつたときは、この協定の実施から又はそれに関連して生ずることがあるいかなる事項についても、相互に協議する。

ARTICLE VII
　The two Governments will, at the request of either Government, consult with each other in respect of any matter that may arise from or in connection with the implementation of this Agreement.

第八条
　この協定の実施に関する事項について協議を行い及び両政府に勧告するために、両政府の代表者で構成する合同委員会が設置される。委員会は、少なくとも一年に一回、また、必要な場合にはいつでも、バグダッドと東京で交互に会合する。

ARTICLE VIII
　A Joint Committee comprising the representatives of the two Governments will be established to hold consultations and make recommendations to the two Governments on matters concerning the implementation of this Agreement. The Committee will meet at least once a year and whenever necessary alternately in Baghdad and Tokyo.

　会合の期日及び議題並びに両政府の代表者の構成は、委員会のそれぞれの会合の前に十分な時間的余裕をもつて、両国の間の外交経路を通じて決定される。

　The date and the agenda of the meeting and the composition of representatives of the two Governments will be fixed through the diplomatic channel between the two countries well in advance of each meeting of the Committee.

　委員会は、その会合の手続規則を採択し、必要があるときは、修正することができる。

　The Committee may adopt and amend, when necessary, rules of procedure for its meetings.

第九条
　この協定は、それぞれの国の関係法令に従い及び予算の範囲内で実施される。

ARTICLE IX
　This Agreement shall be implemented in accordance with the relevant laws and regulations and within the budgetary appropriations of the respective countries.

第十条
1　この協定は、日本国政府がイラク共和国政府からこの協定の効力発生のために必要な憲法上の手続を終了した旨の文書を受領した日に効力を生ずる。

ARTICLE X
1. This Agreement shall enter into force on the date of receipt by the Government of Japan of a note from the Government of the Republic of Iraq station that necessary constitutional procedures for the entry into force of the Agreement have been completed.

2　この協定は、いずれか一方の政府が協定を終了させるための書面による三箇月前の予告を他方の政府に対して与えない限り、無期限に効力を有する。

2. This Agreement shall remain valid for an indefinite period unless either of the two Governments shall submit to the other a three months' written notice to terminate the Agreement.

3　この協定の終了は、この協定に基づいて締結された取極及び契約の効力に影響を及ぼすものではない。

3. The termination of this Agreement shall not affect the validity of any arrangements and contracts concluded under this Agreement.

　Tokyo, August 16, 1974

　書簡をもつて啓上いたします。本大臣は、本日署名された経済及び技術協力に関する日本国政府とイラク共和国政府との間の協定(以下「協定」という。)第二条及び第三条に言及するとともに、円借款及びその他の信用の供与に関し両政府の代表者の間で到達した次の了解を確認する光栄を有します。

　Excellency,I have the honour to refer to Articles II and III of the Agreement on Economic and Technical Cooperation between the Government of Japan and the Government of the Republic of Iraq signed today (hereinafter referred to as "the Agreement") and to confirm the following understanding reached between the representatives of the two Governments concerning the extension of yen loans and other credits.

　日本国とイラク共和国との間の経済協力が、イラクにおける経済開発事業計画で両政府の間で合意するものの実施のため、II及びIIIに従つて行われる。個々の事業計画の実施の前には、当該事業計画に関する基礎的な資料を含む適当な実行可能性調査が行われるものとし、また、日本国政府及び日本輸出入銀行は、その調査につき通報を受けるものとする。借款及びその他の信用は、事業計画の迅速な実施を容易にするような方法で使用される。

　The economic cooperation between Japan and the Republic of Iraq will be carried out in accordance with II and III below for the implementation of economic development projects in Iraq to be agreed upon between the two Governments. The implementation of each project will be preceded by appropriate feasibility study covering basic data relevant to the project and the Government of Japan and the Export-Import Bank of Japan will be informed of such study. The loans and other credits shall be utilized in such a way as to facilitate the speedy implementation of the projects.

II

II

1　日本国政府は、事業計画の実施のための、イラク共和国政府又は相互に合意することがあるイラク共和国の国民に対する七百四十五億円(七四、五〇〇、〇〇〇、〇〇〇円)の額までの日本円による借款の日本輸出入銀行による供与のため、イラク共和国政府に対し、協定第二条に従い、協力する。

1. The Government of Japan will cooperate, in accordance with Article II of the Agreement, with the Government of the Republic of Iraq for the extension of loans in Japanese yen to the amount of seventy-four billion five hundred million yen (/74,500,000,000) to the Government of the Republic of Iraq or such nationals of the Republic of Iraq as may be mutually agreed upon, by the Export-Import Bank of Japan for the implementation of the projects.

2　各借款の条件は、次のとおりとなる。

2. The terms and conditions of each loan will be as follows:

　各借款の償還期間は、七年の据置期間の後十八年、利子率は、年四パーセントとなる。

　The repayment period of each loan will be eighteen (18) years after the grace period of seven (7) years and the rate of interest will be four (4) per cent per annum.

III

III

1　日本国政府は、IIにいう借款の対象として取り上げられた事業計画の実施のために締結されることがある適当な契約を通じての日本国民によるイラク共和国政府又は同国の国民に対する二千二百三十五億円(二二三、五〇〇、〇〇〇、〇〇〇円)の額までの商業上の基礎による信用の供与を、協定第二条に従い、容易にする。これらの信用は、日本輸出入銀行及びその他の日本国の銀行から融資を受けるものとなる。

1. The Government of Japan will facilitate, in accordance with Article II of the Agreement, the extension of credits on a commercial basis to the amount of two hundred and twenty-three billion five hundred million yen (/223,500,000,000) to the Government or nationals of the Republic of Iraq by nationals of Japan through appropriate contracts that may be concluded for the implementation of the projects taken up for the loans mentioned in II. These credits will be those to be financed by the Export-Import Bank of Japan and other Japanese banks.

2　各信用の条件は、次のとおりとなる。

2. The terms and conditions of each credit will be as follows:

　各信用の償還期間は、二年の据置期間の後八年、利子率は年六・三パーセントとなる。

　The repayment period of each credit will be eight (8) years after the grace period of two (2) years and the rate of interest will be six and three tenths (6.3) per cent per annum.

IV

IV

1　それぞれII及びIIIにいう借款及び信用は、イラクの輸入者が、日本国の供給者、請負業者又はコンサルタントに対して行う支払で、事業計画の実施のために必要な日本国の生産物及び日本国民の役務の購入のために行われるものを対象として使用される。

1. The loans and credits mentioned respectively in II and III will be used to cover such payments as may be made to Japanese suppliers, contractors or consultants by Iraqi importers for the purchase of the products of Japan and services of nationals of Japan to be required for the implementation of the projects.

2　日本国政府は、II及びIIIにいう借款及び信用の供与が、個々の事業計画につき、それぞれ一対三の割合で行われることを容易にすることについて協力する。借款及び信用の供与は、個々の事業計画につき別個に行われる両政府間の新たな取極によらなければならない。新たな取極は、協定の署名の日から四年以内に行われる。

2. The Government of Japan will cooperate in facilitating the extension of the loans and credits mentioned in II and III for each of the projects in the proportion of one to three respectively. The extension of the loans and credits shall be subject to further arrangements between the two Governments to be separately made for each of the projects. Such arrangements will be made within four (4) years form the date of the signature of the Agreement.

　本大臣は、更に、この書簡及びイラク共和国政府に代わつて前記のことを確認する閣下の返簡を協定第二条2にいう「両政府間の新たな取極」とみなし、かつ、両政府間の合意を構成するものとみなすことを提案する光栄を有します。

　I have further the honour to propose that the present Note and Your Excellency's Note in reply confirming the foregoing on behalf of the Government of the Republic of Iraq shall be regarded as the "further arrangements between the two Governments" referred to in paragraph 2 of Article II of the Agreement and shall be regarded as constituting an agreement between the two Governments.
