円借款の供与に関する日本国政府と中華人民共和国政府との間の交換公文

Beijing, September 4, 1997
書簡をもって啓上いたします。本使は、中華人民共和国の経済の安定に寄与し経済近代化努力を促進することを目的として供与される日本国の借款に関して日本国政府の代表者と中華人民共和国政府の代表者との間で最近到達した次の了解を確認する光栄を有します。
Excellency, I have the honour to confirm the following understanding recently reached between the representatives of the Government of Japan and of the Government of the People's Republic of China concerning Japanese loans to be extended with a view to contributing to the economic stabilization and promoting the economic modernization efforts of the People's Republic of China:

I
1(1) 二千一億千四百万円(二〇〇、一一四、〇〇〇、〇〇〇円)の額までの円貨による借款(以下「借款I」という。)が、この書簡に附属する表(以下「付表」という。)に掲げる事業計画を実施するため、付表に定める各事業計画についての額に応じ、海外経済協力基金(以下「基金」という。)により、日本国の関係法令に従って、中華人民共和国政府に供与されることになる。中華人民共和国対外貿易経済合作部(以下「対外貿易経済合作部」という。)は、中華人民共和国政府により、中華人民共和国政府に代わって、借款Iを受け入れ及び基金との間で借款契約に署名する権限を与えられる。
1.(1) A loan in Japanese yen up to the amount of two hundred billion one hundred and fourteen million yen (200,114,000,000) (hereinafter referred to as "the Loan I")will be extended, in accordance with the relevant laws and regulations of Japan, to the Government of the People's Republic of China by the Overseas Economic Cooperation Fund (hereinafter referred to as "the Fund") to implement the projects listed in the List attached hereto (hereinafter referred to as "the List"), according to the amount for each project as specified in the List. The Ministry of Foreign Trade and Economic Cooperation of the People's Republic of China (hereinafter referred to as "the Ministry") is authorized by the Government of the People's Republic of China to accept the Loan I and sign the loan agreements with the Fund on behalf of the Government of the People's Republic of China.
(2) 借款Iは、千九百九十三年六月二十五日に日本国政府により公表された開発途上国への資金協力計画の2(2)に沿って供与されることになる。
(2) The Loan I will be extended in line with sub-paragraph (2) of paragraph 2 of the "Funds for Development" Initiative announced by the Government of Japan on June 25, 1993.
2(1) 借款Iは、1(1)にいう事業計画のそれぞれにつき対外貿易経済合作部と基金との間で締結される借款契約に基づいて使用に供される。借款Iの条件及び使用に関する手続は、なかんずく次の原則を含むことになる前記の借款契約によって規制される。
2.(1) The Loan I will be made available by loan agreements to be concluded for each of the projects mentioned in sub-paragraph (1) of paragraph 1 between the Ministry and the Fund. The terms and conditions of the Loan I as well as the procedures for its utilization will be governed by the said loan agreements which will contain, inter alia, the following principles:
(a) 償還期間は、十年の据置期間の後二十年とする。
(a) The repayment period will be twenty (20) years after the grace period of ten (10) years.
(b) 利子率は、付表の1から3及び6から9に掲げる事業計画については、年二・三パーセントとし、付表の4、5及び10から13に掲げる環境案件については、年二・一パーセントとする。
(b) The rate of interest will be two point three per cent (2.3%) per annum with regard to the projects mentioned in 1 to 3 and 6 to 9 of the List and two point one per cent (2.1%) per annum with regard to the environmental projects mentioned in 4, 5 and 10 to 13 of the List.
(c) 支出期間は、付表の7から9に掲げる事業計画については、関係借款契約の発効の日から七年とし、付表の1から6及び10から13までに掲げる事業計画については、関係借款契約の発効の日から五年とする。
(c) The disbursement period will be seven (7) years with regard to the projects mentioned in 7 to 9 of the List, and five (5) years with regard to the projects mentioned in 1 to 6 and 10 to 13 of the List from the dates of coming into force of the relevant loan agreements.
(2) (1)にいう借款契約の各々は、基金が当該借款契約に係る事業計画の実行可能性(環境に対する配慮を含む。)を確認した後に締結される。
(2) Each of the loan agreements mentioned in sub-paragraph (1) above will be concluded after the Fund is satisfied of the feasibility, including environmental consideration, of the project to which such loan agreement relates.
3(1) 借款Iは、中国の実施機関が調達適格国の供給者、請負業者又はコンサルタントに対して既に行ったか又は行う支払で、1(1)にいう事業計画の実施に必要な生産物又は役務の購入のために両者の間で既に締結されたか又は締結されることのある契約に基づいて行われるものを対象として使用に供される。ただし、当該購入は、調達適格国において、それらの国で生産される生産物又はそれらの国から供給される役務について行われる。
3.(1) The Loan I will be made available to cover payments already made and/or to be made by Chinese executing agencies to suppliers, contractors and/or consultants of eligible source countries under such contracts as have been and/or may be entered into between them for purchases of products and/or services to be required for the implementation of the projects mentioned in sub-paragraph (1) of paragraph 1, provided that such purchases are made in such eligible source countries for products produced in and/or services supplied from those countries.
(2) (1)にいう調達適格国の範囲は、両政府の関係当局間で合意される。
(2) The scope of eligible source countries mentioned in sub-paragraph (1) above will be agreed upon between the authorities concerned of the two Governments.
4 中華人民共和国政府は、3(1)にいう生産物又は役務が基金の調達のためのガイドライン(国際入札の手続が適用できないか又は適当でない場合を除くほか従うべき国際入札の手続をなかんずく定める。)に従って調達されるよう必要な措置をとる。
4. The Government of the People's Republic of China will take necessary measures for products and/or services mentioned in sub-paragraph (1) of paragraph 3 to be procured in accordance with the guidelines for procurement of the Fund, which set forth, inter alia, the procedures of international tendering to be followed except where such procedures are inapplicable or inappropriate.
Ⅱ
II
1(1) 二十七億九千二百万円(二、七九二、〇〇〇、〇〇〇円)の額までの円貨による借款(以下「借款Ⅱ」という。)が、黒龍江省三江平原商品穀物基地開発計画(Ⅱ)(以下「計画」という。)を実施するため、基金により、日本国の関係法令に従って、中華人民共和国政府に供与されることになる。対外貿易経済合作部は、中華人民共和国政府により、中華人民共和国政府に代わって、借款Ⅱを受け入れ及び基金との間で借款契約に署名する権限を与えられる。
1.(1) A loan in Japanese yen up to the amount of two billion seven hundred and ninety-two million yen (2,792,000,000) (hereinafter referred to as "the Loan II") will be extended, in accordance with the relevant laws and regulations of Japan, to the Government of the People's Republic of China by the Fund to implement the Sanjiang Plain Agricultural Development Program (II) (hereinafter referred to as "the Program"). The Ministry is authorized by the Government of the People's Republic of China to accept the Loan II and sign the loan agreement with the Fund on behalf of the Government of the People's Republic of China.
(2) 借款Ⅱは、千九百九十三年六月二十五日に日本国政府により公表された開発途上国への資金協力計画の2(2)に沿って供与されることになる。
(2) The Loan II will be extended in line with sub-paragraph (2) of paragraph 2 of the "Funds for Development" Initiative announced by the Government of Japan on June 25, 1993.
2(1) 借款Ⅱは、1(1)にいう計画につき対外貿易経済合作部と基金との間で締結される借款契約に基づいて使用に供される。借款Ⅱの条件及び使用に関する手続は、なかんずく次の原則を含むことになる前記の借款契約によって規制される。
2.(1) The Loan II will be made available by a loan agreement to be concluded for the Program between the Ministry and the Fund. The terms and conditions of the Loan II as well as the procedures for its utilization will be governed by the said loan agreement which will contain, inter alia, the following principles:
(a) 償還期間は、十年の据置期間の後二十年とする。
(a) The repayment period will be twenty (20) years after the grace period of ten (10) years.
(b) 利子率は、年二・三パーセントとする。
(b) The rate of interest will be two point three per cent (2.3%) per annum.
(c) 支出期間は、関係借款契約の発効の日から五年とする。
(c) The disbursement period will be five (5) years from the date of coming into force of the relevant loan agreement.
(2) (1)にいう借款契約は、基金が計画の実行可能性(環境に対する配慮を含む。)を確認した後に締結される。
(2) The loan agreement mentioned in sub-paragraph (1) above will be concluded after the Fund is satisfied of the feasibility, including environmental consideration, of the Program.
(3) 借款Ⅱは、1(1)にいう計画を実施するために中国輸出入銀行が借入人に対して行う融資に充てるために使用に供される。
(3) The loan for the Program will be made available to cover credits to be extended by the Export-Import Bank of China to sub-borrowers for the implementation of the Program.
Ⅲ
III
1 I2(1)(c)及びⅡ2(1)(c)にいうそれぞれの支出期間は、両政府の関係当局の同意を得て延長することができる。
1. The respective disbursement periods mentioned in sub-paragraph (1) (c) of paragraph 2 of Part I and sub-paragraph (1) (c) of paragraph 2 of Part II may be extended with the consent of the authorities concerned of the two Governments.
2 中華人民共和国政府は、次のものを免除する。
2. The Government of the People's Republic of China will exempt:
(1) 基金について、借款I及び借款Ⅱ並びにそれらから生ずる利子に対して又はそれらに関連して課される中国の財政課徴金及び租税
(1) the Fund from Chinese fiscal levies and taxes on and/or in connection with the Loan I and the Loan II as well as interest accruing therefrom; and
(2) 請負業者又はコンサルタントとして活動する日本国の会社について、I1(1)にいう事業計画及びⅡ1(1)にいう計画の実施に必要な自己の建設機材の搬入及び搬出に関して課される中国の関税及び関連の財政課徴金
(2) Japanese companies operating as contractors and/or consultants from Chinese duties and related fiscal charges with respect to the bringing-in and bringing-out of their own construction equipment needed for the implementation of the projects mentioned in sub-paragraph (1) of paragraph 1 of Part I and the Program mentioned in sub-paragraph (1) of paragraph 1 of Part II.
3 借款Iに基づいて行われる生産物又は役務の供給及び借款Ⅱに基づく融資に基づいて行われる生産物又は役務の供給に関連して中華人民共和国においてその役務が必要とされる日本国民は、作業の遂行のため中華人民共和国への入国及び同国における滞在に必要な便宜を与えられる。
3. Japanese nationals whose services may be required in the People's Republic of China in connection with the supply of products and/or services to be provided under the Loan I and under the credits covered by the Loan II will be accorded such facilities as may be necessary for their entry into the People's Republic of China and stay therein for the performance of their work.
4 両政府は、借款Iに基づいて購入される生産物及び借款Ⅱに基づく融資に基づいて購入される生産物の海上輸送及び海上保険に関し、それぞれの国の関係法令の範囲内で、海運会社及び海上保険会社の公正かつ自由な競争を妨げることのあるいかなる制限も課さない。
4. With regard to the shipping and marine insurance of products purchased under the Loan I and under the credits covered by the Loan II, the two Governments will refrain, within the scope of the relevant laws and regulations of their respective countries, from imposing any restrictions that may hinder fair and free competition of the shipping and marine insurance companies.
5 中華人民共和国政府は、次のことを確保するために必要な措置をとる。
5. The Government of the People's Republic of China will take necessary measures to ensure that:
(1) 借款I及び借款Ⅱが適正にかつ専らI1(1)にいう事業計画及びⅡ1(1)にいう計画のために使用されること。
(1) the Loan I and the Loan II be used properly and exclusively for the projects mentioned in sub-paragraph (1) of paragraph 1 of Part I and the program mentioned in sub-paragraph (1) of paragraph 1 of Part II; and
(2) 借款Iに基づいて建設される施設がこの了解に定める目的のために適正にかつ効果的に維持され及び使用されること。
(2) the facilities constructed under the Loan I be maintained and used properly and effectively for the purposes prescribed in this understanding.
6 中華人民共和国政府は、要請に応じ、日本国政府に対し、I1(1)にいう事業計画及びⅡ1(1)にいう計画の進捗状況についての情報を提供する。
6. The Government of the People's Republic of China will, upon request, furnish the Government of Japan with information on the progress of the projects mentioned in sub-paragraph (1) of paragraph 1 of Part I and the Program mentioned in sub-paragraph (1) of paragraph 1 of Part II.
7 両政府は、共同して借款I及び借款Ⅱの実施状況を随時検討し、借款I及び借款Ⅱの円滑かつ効果的な使用を確保するために必要な措置をとり、また、前記の了解から又はそれに関連して生ずることのあるいかなる事項についても相互に協議する。
7. The two Governments will jointly review from time to time the progress of the implementation of the Loan I and the Loan II and take measures necessary to secure smooth and effective utilization of the Loan I and the Loan II and otherwise consult with each other in respect of any matter that may arise from or in connection with the foregoing understanding.
本使は、閣下が前記の了解を中華人民共和国政府に代わって確認されれば幸いであります。
I should be grateful if Your Excellency would confirm the foregoing understanding on behalf of the Government of the People's Republic of China.

Excellency, With reference to the Exchange of Notes dated today concerning Japanese loans to be extended with a view to contributing to the economic stabilization and promoting the economic modernization efforts of the People's Republic of China, I have the honour to propose, on behalf of the Government of Japan, that in case there is any divergence of interpretation of the said Exchange of Notes which is done in the Japanese, Chinese and English languages, the English text shall prevail.
