円借款の供与に関する日本国政府とブラジル連邦共和国政府との間の交換公文

書簡をもって啓上いたします。本使は、ブラジル連邦共和国の開発努力を促進し、ブラジル連邦共和国の経済の安定及び両国の友好関係を強化することを目的として供与される日本国の借款に関して日本国政府の代表者とブラジル連邦共和国政府の代表者との間で最近到達した次の了解を確認する光栄を有します。
Excellency, I have the honour to confirm the following understanding recently reached between the representatives of the Government of Japan and of the Government of the Federative Republic of Brazil concerning a Japanese loan to be extended with a view to Promoting development efforts and strengthening the economic stabilization of the Federative Republic of Brazil and the friendly relations between the two countries.
1(1) 五百五十一億九千七百万円(五五、一九七、〇〇〇、〇〇〇円)の額までの円貨による借款(以下「借款」という。)が、この書簡に附属する表(以下「付表」という。)に掲げる事業計画を実施するため、各事業計画につき付表に定める配分に応じ、海外経済協力基金(以下「基金」という。)により、日本国の関係法令に従って、サンタ・カタリーナ州、パラナ州、バイア州及びセアラ州(以下「ブラジル側の借入人」という。)に供与されることになる。
1.(1) A loan in Japanese yen up to the amount of fifty-five billion one hundred ninety-seven million yen (55,197,000,000) (hereinafter referred to as "the Loan") will be extended to the State of Santa Catarina, the State of Parana, the State of Bahia and the State of Ceara (hereinafter referred to as "the Brazilian Borrowers") by the Overseas Economic Cooperation Fund (hereinafter referred to as "the Fund") in accordance with the relevant laws and regulations of Japan for the implementation of the projects enumerated in the List attached hereto (hereinafter referred to as "the List") according to the allocation for each project as specified in the List.
(2) 借款は、千九百九十三年六月二十五日に日本国政府により公表された開発途上国への資金協力計画の2(2)に沿って供与されることになる。
(2) The Loan will be extended in line with sub-paragraph (2) of paragraph 2 of the "Funds for Development" Initiative announced by the Government of Japan on June 25, 1993.
2(1) 借款は、ブラジル側の借入人と基金との間で締結される借款契約に基づいて使用に供される。借款の条件及び使用に関する手続は、なかんずく次の原則を含むことになる前記の借款契約によって規制される。
2.(1) The Loan will be made available by loan agreements to be concluded between the Brazilian Borrowers and the Fund. The terms and conditions of the Loan as well as the procedures for its utilization will be governed by the said loan agreements which will contain, inter alia, the following principles:
(a) 償還期間は、七年の据置期間の後十八年とする。
(a) The repayment period will be eighteen (18) years after the grace period of seven (7) years;
(b) 利子率は、年四パーセントとする。ただし、借款の一部がコンサルタントに対して行う支払のために使用される場合には、当該部分に係る金利については、利子率は年二・三パーセントとする。
(b) The rate of interest will be four per cent (4%) per annum. Where, however, a part of the Loan is made available to cover payments to consultants, then the rate of interest on the said part will be two and three-tenths per cent (2.3%) per annum; and
(c) 支出期間は、付表の1及び2に掲げる事業計画については、関係借款契約の発効の日から八年とし、付表の3に掲げる事業計画については、関係借款契約の発効の日から六年とし、付表の4に掲げる事業計画については、関係借款契約の発効の日から七年とする。
(c) The disbursement period will be eight (8) years with regard to the projects mentioned in 1 and 2 of the List, six (6) years with regard to the project mentioned in 3 of the List, and seven (7) years with regard to the project mentioned in 4 of the List from the date of coming into force of the relevant loan agreement.
(2) (1)にいう借款契約の各々は、基金が当該借款契約に係る計画の実行可能性(環境に対する配慮を含む。)を確認した後に締結される。
(2) Each of the loan agreements mentioned in sub-paragraph (1) above will be concluded after the Fund is satisfied of the feasibility, including environmental consideration, of the project to which such loan agreement relates.
(3) (1)(c)にいう支出期間は、両政府の関係当局の同意を得て延長することができる。
(3) The disbursement period mentioned in sub-paragraph (1) (c) above may be extended with the consent of the authorities concerned of the two Governments.
3 借款の元本の償還及び利子の支払は、ブラジル連邦共和国によって保証される。
3. The repayment of principal of the Loan, as well as the payment of interest thereon, shall be guaranteed by the Federative Republic of Brazil.
4(1) 借款は、ブラジルの実施機関が調達適格国の供給者、請負業者又はコンサルタントに対して行う支払で、各事業計画の実施に必要な生産物又は役務の購入のために両者の間で締結されることのある契約に基づいて行われるものを対象として使用に供される。ただし、当該購入は、調達適格国において、それらの国で生産される生産物又はそれらの国から供給される役務について行われる。
4.(1) The Loan will be made available to cover payments to be made by Brazilian executing agencies to suppliers, contractors and/or consultants of eligible source countries under such contracts as may be entered into between them for purchases of products and/or services to be required for the implementation of the projects, provided that such purchases are made in such eligible source countries for products produced in and/or services supplied from those countries.
(2) (1)にいう調達適格国の範囲は、両政府の関係当局間で合意される。
(2) The scope of eligible source countries mentioned in sub-paragraph (1) above will be agreed upon between the authorities concerned of the two Governments.
(3) 借款の一部は、各事業計画の実施のための適格な現地通貨の需要に充てるために使用することができる。
(3) A part of the Loan may be used to cover eligible local currency requirements for the implementation of the projects.
5 ブラジル連邦共和国政府は、4(1)にいう生産物又は役務が基金の調達のためのガイドライン(国際入札の手続が適用できないか又は適当でない場合を除くほか従うべき国際入札の手続をなかんずく定める。)に従って調達されることを確保する。
5. The Government of the Federative Republic of Brazil will ensure that products and/or services mentioned in sub-paragraph (1) of paragraph 4 are procured in accordance with the guidelines for procurement of the Fund, which set forth, inter alia, the procedures of international tendering to be followed except where such procedures are inapplicable or inappropriate.
6 ブラジル連邦共和国政府は、基金について、借款及びそれから生ずる利子に対して又はそれらに関連してブラジル連邦共和国において課されるすべての財政課徴金及び租税を免除する。
6. The Government of the Federative Republic of Brazil will exempt the Fund from all fiscal levies and taxes imposed in the Federative Republic of Brazil on and/or in connection with the Loan as well as interest accruing therefrom.
7 ブラジル連邦共和国政府は、借款に基づいて購入される生産物の海上輸送及び海上保険に関し、ブラジル連邦共和国の特定の手続に従い、両国の海運会社及び海上保険会社による公正かつ自由な競争の原則を尊重する。
7. With regard to the shipping and marine insurance of products purchased under the Loan, the Government of the Federative Republic of Brazil will respect the principles of fair and free competition between the shipping and marine insurance companies of the two countries in accordance with the specific procedures of the Federative Republic of Brazil.
8 4(1)にいう生産物又は役務の供給に関連してブラジル連邦共和国においてその役務が必要とされる日本国民は、作業の遂行のためブラジル連邦共和国への入国及び同国における滞在に必要な便宜を与えられる。
8. Japanese nationals whose services may be required in the Federative Republic of Brazil in connection with the supply of products and/or services mentioned in sub-paragraph (1) of paragraph 4 will be accorded such facilities as may be necessary for their entry into the Federative Republic of Brazil and their stay therein for the performance of their work.
9 ブラジル連邦共和国政府は、次のことを確保するためにブラジルの関係法令に従って必要な措置をとる。
9. The Government of the Federative Republic of Brazil will take necessary measures under applicable Brazilian laws and regulations to ensure that:
(a) 借款が適正にかつ専ら付表に掲げる事業計画のために使用されること。
(a) the Loan be used properly and exclusively for the projects enumerated in the List; and
(b) 借款に基づいて建設される施設がこの了解に定める目的のために適正にかつ効果的に維持され及び使用されること。
(b) the facilities constructed under the Loan be maintained and used properly and effectively for the purpose prescribed in this understanding.
10 ブラジル連邦共和国政府は、要請に応じ、日本国政府に対し、ブラジル側の借入人及び実施機関より提供された情報に基づき、各事業計画の実施の進捗状況に関する情報及び資料を提供する。
10. The Government of the Federative Republic of Brazil will, upon request, furnish the Government of Japan with information and data concerning the progress of the implementation of the projects, based on the information provided by the Brazilian Borrowers and implementing agencies.
11 両政府は、この了解から又はそれに関連して生ずることがあるいかなる事項についても相互に協議する。
11. The two Governments will consult with each other with respect to any matter which may arise from or in connection with the foregoing understanding.
本使は、更に、この書簡及び前記の了解をブラジル連邦共和国政府に代わって確認される閣下の返簡が両政府間の合意を構成するものとみなし、その合意がその効力発生のために必要な国内手続を完了した旨のブラジル連邦共和国政府からの書面による通告を日本国政府が受領した時に効力を生ずるものとすることを提案する光栄を有します。
I have further the honour to propose that this Note and Your Excellency's Note in reply confirming the foregoing on behalf of the Government of the Federative Republic of Brazil shall be considered as constituting an agreement between the two Governments, which will become effective upon the receipt by the Government of Japan of the written notification from the Government of the Federative Republic of Brazil of the completion of necessary domestic procedures for the entry into force of such agreement.

Excellency, I have the honour to acknowledge the receipt of Your Excellency's Note of today's date, which reads as follows:

本大臣は、更に、前記の了解がブラジル連邦共和国政府の了解でもあることを同国政府に代わって確認するとともに、閣下の書簡及びこの返簡が両政府間の合意を構成するものとみなし、その合意がその効力発生のために必要な国内手続を完了した旨のブラジル連邦共和国政府からの書面による通告を日本国政府が受領した時に効力を生ずるものとすることに同意する光栄を有します。
I have further the honour to confirm on behalf of the Government of the Federative Republic of Brazil that the foregoing is also the understanding of the Government of the Federative Republic of Brazil and to agree that Your Excellency's Note and this Note in reply shall be regarded as constituting an agreement between the two Governments, which will become effective upon the receipt by the Government of Japan of the written notification from the Government of the Federative Republic of Brazil of the completion of necessary domestic procedures for the entry into force of such agreement.
