円借款の供与に関する日本国政府とフィリピン共和国政府との間の交換公文

Manila, March 27, 1996
書簡をもって啓上いたします。本使は、フィリピン共和国政府の経済安定と開発努力を支援することを目的として供与される日本国の借款に関して日本国政府の代表者とフィリピン共和国政府の代表者との間で最近到達した次の了解を確認する光栄を有します。
Excellency, I have the honour to confirm the following understanding recently reached between the representatives of the Government of Japan and of the Government of the Republic of the Philippines concerning Japanese loans to be extended with a view to promoting the economic stabilization and the development efforts of the Government of the Republic of the Philippines:

I
1(1) 三百十六億二千三百万円(三一、六二三、〇〇〇、〇〇〇円)の額までの円貨による事業計画借款(以下「借款I」という。)が、この書簡に附属する付表A(以下「付表A」という。)に掲げる事業計画の実施のため、各事業計画につき付表Aに定める配分に応じ、海外経済協力基金(以下「基金」という。)により、日本国の関係法令に従って、フィリピン共和国政府及び軽量鉄道公社(以下「借入人I」と総称する。)に供与されることになる。
1.(1) A project loan in Japanese yen up to the amount of thirty-one billion six hundred and twenty-three million yen (31,623,000,000) (hereinafter referred to as "the Loan I" ) will be extended to the Government of the Republic of the Philippines and Light Rail Transit Authority (hereinafter jointly referred to as "the Borrowers I" ) by the Overseas Economic Cooperation Fund (hereinafter referred to as "the Fund" ) in accordance with the relevant laws and regulations of Japan for the implementation of the projects enumerated in the List A attached hereto (hereinafter referred to as "the List A" ), according to the allocation for each project as specified in the List A.
(2) 付表Aに掲げる事業計画のための借款Iは、千九百九十三年六月二十五日に日本国政府により公表された開発途上国への資金協力計画の2(2)に沿って供与されることになる。
(2) The Loan I for the projects mentioned in the List A will be extended in line with sub-paragraph (2) of paragraph 2 of the "Funds for Development" Initiative announced by the Government of Japan on June 25, 1993.
2(1) 借款Ⅰは、借入人Iと基金との間で締結される借款契約に基づいて使用に供される。借款Iの条件及び使用に関する手続は、なかんずく次の原則を含むことになる前記の借款契約によって規制される。
2.(1) The Loan I will be made available by loan agreements to be concluded between the Borrowers I and the Fund. The terms and conditions of the Loan I as well as the procedures for its utilization will be governed by the said loan agreements which will contain, inter alia, the following principles:
(a) 償還期間は、十年の据置期間の後二十年とする。
(a) The repayment period will be twenty (20) years after the grace period of ten (10) years;
(b)(ⅰ) 利子率は、付表Aの2に掲げる事業計画については年二・七パーセントとし、付表Aの1に掲げる環境案件については年二・五パーセントとする。
(b)(i) The rate of interest will be two and seven-tenths per cent (2.7%) per annum with regard to the project mentioned in 2 of the List A and two and five-tenths per cent (2.5%) per annum with regard to the environmental project mentioned in 1 of the List A;
(ⅱ) ただし、(ⅰ)にもかかわらず、借款の一部がコンサルタントに対して行う支払のために使用される場合には、当該部分に係る金利については、付表Aの2に掲げる事業については年二・三パーセントとし、付表Aの1に掲げる環境案件については年二・一パーセントとする。
(ii) Notwithstanding sub-paragraph (b) (i) above, where a part of the loan is made available to cover payments to consultants, then the rate of interest on the said part will be two and three-tenths per cent (2.3%) per annum with regard to the project mentioned in 2 of the List A and two and one-tenth per cent (2.1%) per annum with regard to the environmental project mentioned in 1 of the List A; and
(c)支出期間は、付表Aの1に掲げる事業計画については、関係借款契約の発効の日から五年とし、付表Aの2に掲げる事業計画については関係借款契約の発効の日から七年とする。
(c) The disbursement period will be five (5) years with regard to the project mentioned in 1 of the List A, and seven (7) years with regard to the project mentioned in 2 of the List A from the date of coming into force of the relevant loan agreement.
(2) (1)にいう借款契約の各々は、基金が当該借款契約に係る計画の実行可能性(環境に対する配慮を含む。)を確認した後に締結される。
(2) Each of the loan agreements mentioned in sub-paragraph (1) above will be concluded after the Fund is satisfied of the feasibility, including environmental consideration, of the project to which such loan agreement relates.
3(1) 借款Iは、フィリピンの実施機関が調達適格国の供給者、請負業者又はコンサルタントに対して行う支払で、付表Aに掲げる事業計画の実施に必要な生産物又は役務の購入のために両者の間で既に締結されたか又は締結されることのある契約に基づいて行われるものを対象として使用に供される。ただし、当該購入は、調達適格国において、それらの国で生産される生産物又はそれらの国から供給される役務について行われる。
3.(1) The Loan I will be made available to cover payments to be made by the Philippine executing agencies to suppliers, contractors and/or consultants of eligible source countries under such contracts as have been and/or may be entered into between them for purchases of products and/or services required for the implementation of the projects enumerated in the List A, provided that such purchases are made in such eligible source countries for products produced in and/or services supplied from those countries.
(2) (1)にいう調達適格国の範囲は、両政府の関係当局間で合意される。
(2) The scope of eligible source countries mentioned in sub-paragraph (1) above will be agreed upon between the authorities concerned of the two Governments.
(3) 借款Iの一部は、付表Aに掲げる事業計画の実施のための適格な現地通貨の需要に充てるために使用することができる。
(3) A part of the Loan I may be used to cover eligible local currency requirements for the implementation of the projects enumerated in the List A.
Ⅱ
II
1(1) 百五十九億五千七百万円(一五、九五七、〇〇〇、〇〇〇円)の額までの円貨による借款(以下「借款Ⅱ」という。)が、この書簡に附属する付表B(以下「付表B」という。)に掲げる計画の実施のため、各計画につき付表Bに定める配分に応じ、基金により、日本国の関係法令に従って、フィリピン共和国政府、フィリピン土地銀行及びフィリピン開発銀行(以下「借入人Ⅱ」と総称する。)に供与されることになる。
1.(1) A loan in Japanese yen up to the amount of fifteen billion nine hundred and fifty-seven million yen (15,957,000,000) (hereinafter referred to as "the Loan II" ) will be extended to the Government of the Republic of the Philippines, the Land Bank of the Philippines and the Development Bank of the Philippines (hereinafter jointly referred to as "the Borrowers II" ) by the Fund, in accordance with the relevant laws and regulations of Japan, for the implementation of the programs enumerated in the List B attached hereto (hereinafter referred to as "the List B" ), according to the allocation for each program as specified in the List B.
(2) 借款Ⅱは、千九百九十三年六月二十五日に日本国政府により公表された開発途上国への資金協力計画の2(2)に沿って供与されることになる。
(2) The Loan II will be extended in line with sub-paragraph (2) of paragraph 2 of the "Funds for Development" Initiative announced by the Government of Japan on June 25, 1993.
2(1) 借款Ⅱは、借入人Ⅱと基金との間で締結される借款契約に基づいて使用に供される。借款Ⅱの条件及び使用に関する手続は、なかんずく次の原則を含むことになる前記の借款契約によって規制される。
2.(1) The Loan II will be made available by loan agreements to be concluded between the Borrowers II and the Fund. The terms and conditions of the Loan II as well as the procedures for its utilization will be governed by the said loan agreements which will contain, inter alia, the following principles:
(a) 償還期間は、十年の据置期間の後二十年とする。

(ⅱ) ただし、(ⅰ)にもかかわらず、借款の一部が、コンサルタントに対して行う支払のために使用される場合には、当該部分に係る金利については、付表Bの1に掲げる事業計画については年二・三パーセントとし、付表Bの2に掲げる環境案件については年二・一パーセントとする。
(ii) Notwithstanding sub-paragraph (b) (i) above, where a part of the loan is made available to cover payments to consultants, then the rate of interest on the said part will be two and three-tenths per cent (2.3%) per annum with regard to the program mentioned in 1 of the List B and two and one-tenth per cent (2.1%) per annum with regard to the environmental program mentioned in 2 of the List B; and
(c) 支出期間は、前記の借款契約の発行の日から六年とする。
(c) The disbursement period will be six (6) years from the date of coming into force of the said loan agreements.
(2) (1)にいう借款契約は、基金が計画の実行可能性(環境に対する配慮を含む。)を確認した後に締結される。
(2) Each of the loan agreements mentioned in sub-paragraph (1) above will be concluded after the Fund is satisfied of the feasibility, including environmental consideration, of the program to which such loan agreement relates.
3(1) 付表Bの1に掲げる計画に係る借款Ⅱは、計画に基づきフィリピン土地銀行が借入人に対して既に行ったか又は行う融資に充てるために使用に供される。
3.(1) The Loan II for the program mentioned in 1 of the List B will be made available to cover credits already extended or to be extended by the Land Bank of the Philippines to sub-borrowers under the said program.
(2) 付表Bの2に掲げる計画に係る借款Ⅱは、計画に基づきフィリピン開発銀行が借入人に対して既に行ったか又は行う融資に充てるために使用に供される。
(2) The Loan II for the program mentioned in 2 of the List B will be made available to cover credits already extended or to be extended by the Development Bank of the Philippines to sub-borrowers under the said program.
4(1) ただし、3(1)、(2)の規定にもかかわらず、付表Bの1に掲げる計画に係る借款の一部は、フィリピンの実施機関が調達適格国の供給者、請負業者又はコンサルタントに対して行う支払で、当該計画の実施に必要な生産物又は役務の購入のために両者の間で締結されることのある契約に基づいて行われるものを対象として使用に供される。ただし、当該購入は、調達適格国において、それらの国で生産される生産物又はそれらの国から供給される役務について行われる。
4.(1) Notwithstanding the provisions of sub-paragraph (1) and (2) of paragraph 3 above, a part of the Loan II for the program mentioned in 1 of the List B will be made available to cover payments to be made by the Philippine executing agencies for the purchase of products and/or services required for implementation of the said program, provided that such purchase is made in such eligible source countries for products produced in and/or services supplied from those countries.
(2) (1)にいう調達適格国の範囲は、両政府の関係当局間で合意される。
(2) The scope of eligible source countries mentioned in sub-paragraph (1) above will be agreed upon between the authorities concerned of the two Governments.
Ⅲ
III
1 軽量鉄道公社に供与される借款I及びフィリピン土地銀行及びフィリピン開発銀行に供与される借款Ⅱの元本の償還及び利子の支払は、フィリピン共和国政府によって保証される。
1. The repayment of principal of the Loan I extended to Light Rail Transit Authority and of the Loan II extended to the Land Bank of the Philippines and the Development Bank of the Philippines, as well as the payment of interest thereon, shall be guaranteed by the Government of the Republic of the Philippines.
2 I2(1)(c)及びⅡ2(1)(c)にいうそれぞれの支出期間は、両政府の関係当局の同意を得て延長することができる。
2. The respective disbursement periods mentioned in sub-paragraph (1) (c) of paragraph 2 of Part I and sub-paragraph (1) (c) of paragraph 2 of Part II may be extended with the consent of the authorities concerned of the two Governments.
3 フィリピン共和国政府は、I3(1)及びⅡ4(1)にいう生産物又は役務が基金の調達のための、ガイドライン(国際入札の手続が適用できないか又は適当でない場合を除くほか従うべき国際入札の手続をなかんずく定める。)に従って調達されることを確保する。
3. The Government of the Republic of the Philippines will ensure that products and/or services mentioned in sub-paragraph (1) of paragraph 3 of Part I and sub-paragraph (1) of paragraph 4 of Part II are procured in accordance with the guidelines for procurement of the Fund, which set forth, inter alia, the procedures of international tendering to be followed except where such procedures are inapplicable or inappropriate.
4 I3(1)及びⅡ4(1)にいう生産物又は役務の供給に関連してフィリピン共和国においてその役務が必要とされる日本国民は、作業の遂行のためフィリピン共和国への入国及び同国における滞在に必要な便宜を与えられる。
4. Japanese nationals whose services may be required in the Republic of the Philippines in connection with the supply of products and/or services mentioned in sub-paragraph (1) of paragraph 3 of Part I and sub-paragraph (1) of paragraph 4 of Part II shall be accorded such facilities as may be necessary for their entry into the Republic of the Philippines and stay therein for the performance of their work.
5 両政府は、I3(1)及びⅡ4(1)にいう生産物の海上輸送及び海上保険に関し、両国の海運会社及び海上保険会社の間の公正かつ自由な競争を妨げることのあるいかなる制限も課さない。
5. With regard to the shipping and marine insurance of products mentioned in sub-paragraph (1) of paragraph 3 of Part I and sub-paragraph (1) of paragraph 4 of Part II, the two Governments will refrain from imposing any restrictions that may hinder fair and free competition between the shipping and marine insurance companies of the two countries.
6(1) フィリピン共和国政府は、基金について、借款I及び借款Ⅱ並びにそれらから生ずる利子に対して又はそれらに関連してフィリピン共和国において課されるすべての財政課徴金又は租税を免除する。
6.(1) The Government of the Republic of the Philippines will exempt the Fund from all fiscal levies or taxes imposed in the Republic of the Philippines on and/or in connection with the Loan I and the Loan II as well as interest accruing therefrom.
(2) フィリピン共和国政府は、供給者、請負業者又は、コンサルタントとして活動する日本国の会社及び国民が借款I及び借款Ⅱに基づいて行われる生産物又は役務の供給から取得する所得に対して又はそれに関連してフィリピン共和国において課される全ての財務課徴金又は租税を自ら又はその実施機関若しくは関係機関を通じて負担する。
(2) The Government of the Republic of the Philippines will, itself or through its executing agencies or instrumentalities, assume all fiscal levies or taxes imposed in the Republic of the Philippines on Japanese firms and nationals operating as suppliers, contractors or consultants on and/or in connection with any income that may accrue from the supply of products and/or services to be provided under the Loan I and the Loan II.
7 フィリピン共和国政府は、次のことを確保するために必要な措置をとる。
7. The Government of the Republic of the Philippines will take necessary measures to ensure that:
(1) 借款I及び借款Ⅱが適正にかつ専ら付表Aに掲げる事業計画及び付表Bに掲げる計画のために使用されること。
(1) the Loan I and the Loan II be used properly and exclusively for the projects enumerated in the List A and for the programs enumerated in the List B; and
(2) 借款Iに基づいて建設される施設がこの了解に定める目的のために適正にかつ効果的に維持され及び使用されること。
(2) the facilities constructed under the Loan I be maintained and used properly and effectively for the purposes prescribed in this understanding.
8 フィリピン共和国政府は、要請に応じ、日本国政府及び基金に対し、付表Aに掲げる事業計画及び付表Bに掲げる計画の実施の進捗状況に関する情報及び資料を提出する。
8. The Government of the Republic of the Philippines will, upon request, furnish the Government of Japan and the Fund with information and data concerning the progress of the implementation of the projects enumerated in the List A and of the programs enumerated in the List B.
9 両政府は、この了解から又はそれに関連して生ずることのあるいかなる事項についても相互に協議する。
9. The two Governments will consult with each other in respect of any matter that may arise from or in connection with this understanding.
本使は、閣下が前記の了解をフィリピン共和国政府に代わって確認されれば幸いであります。
I should be grateful if Your Excellency would confirm the foregoing understanding on behalf of the Government of the Republic of the Philippines.
