円借款の供与に関する日本国政府と中華人民共和国政府との間の交換公文

書簡をもって啓上いたします。本使は、中華人民共和国の経済の安定に寄与し経済近代化努力を促進することを目的として供与される日本国の借款に関して日本国政府の代表者と中華人民共和国政府の代表者との間で最近到達した次の了解を確認する光栄を有します。
Excellency, I have the honour to confirm the following understanding recently reached between the representatives of the Government of Japan and of the Government of the People's Republic of China concerning a Japanese loan to be extended with a view to contributing to the economic stabilization and promoting the economic modernization efforts of the People's Republic of China:
1(1) 千四百十四億二千九百万円(一四一、四二九、〇〇〇、〇〇〇円)の額までの円貨による借款にて(以下「借款」という。)が、この書簡に附属する事業計画表(以下「事業計画表」という。)に掲げる計画を実施するため、事業計画表に定める各計画についての額に応じ、海外経済協力基金(以下「基金」という。)により、日本国の関係法令に従って、中華人民共和国政府に供与されることになる。中華人民共和国対外貿易経済合作部(以下「対外貿易経済合作部」という。)は、中華人民共和国政府により、中華人民共和国政府に代わって、借款を受け入れ及び基金との間で借款契約に署名する権限を与えられる。
1.(1) A loan in Japanese yen up to the amount of one hundred and forty-one billion four hundred and twenty-nine million yen (141,429,000,000) (hereinafter referred to as "the Loan") will be extended, in accordance with the relevant laws and regulations of Japan, to the Government of the People's Republic of China by the Overseas Economic Cooperation Fund (hereinafter referred to as "the Fund") to implement the projects listed in the Project List attached hereto (hereinafter referred to as "the Project List"), according to the amount for each project as specified in the Project List. The Ministry of Foreign Trade and Economic Cooperation of the People's Republic of China (hereinafter referred to as "the Ministry") is authorized by the Government of the People's Republic of China to accept the Loan and sign the loan agreements with the Fund on behalf of the Government of the People's Republic of China.
(2) 借款は、千九百九十三年六月二十五日に日本国政府により公表された開発途上国への資金協力計画の2(2)に沿って供与されることになる。
(2) The Loan will be extended in line with sub-paragraph(2)of paragraph 2 of the "Funds for Development" Initiative announced by the Government of Japan on June 25, 1993.
2(1) 借款は、1(1)にいう計画のそれぞれにつき対外貿易経済合作部と基金との間で締結される借款契約に基づいて使用に供される。借款の条件及び使用に関する手続は、なかんずく次の原則を含むことになる前記の借款契約によって規制される。
2.(1) The Loan will be made available by loan agreements to be concluded for each of the projects mentioned in sub-paragraph(1)of paragraph 1 between the Ministry and the Fund. The terms and conditions of the Loan as well as the procedures for its utilization will be governed by the said loan agreements which will contain, inter alia, the following principles:
(a) 償還期間は、十年の据置期間の後二十年とする。
(a) The repayment period will be twenty(20)years after the grace period of ten(10)years.
(b) 利子率は、事業計画表の1及び3から11に掲げる計画については、年二．三パーセントとし、事業計画表の2に掲げる環境案件については、年二・一パーセントとする。
(b) The rate of interest will be two point three (2.3) per cent per annum with regard to the projects mentioned in 1 and 3 to 11 of the Project List and two point one (2.1) per cent per annum with regard to the environmental project mentioned in 2 of the Project List.
(c) 支出期間は、事業計画表の2、4、6、7及び8に掲げる計画については、関係借款契約の発効の日から七年とし、事業計画表の1、3、5及び9から11までに掲げる計画については、関係借款契約の発効の日から五年とする。
(c) The disbursement period will be seven(7)years with regard to the projects mentioned in 2, 4, 6, 7, 8 of the Project List, and five(5)years with regard to the projects mentioned in 1, 3, 5 and 9 to 11 of the Project List from the date of coming into force of the relevant loan agreement.
(2) (1)にいう借款契約の各々は、基金が当該借款契約に係る計画の実行可能性(環境に対する配慮を含む。)を確認した後に締結される。
(2) Each of the loan agreements mentioned in sub-paragraph(1)above will be concluded after the Fund is satisfied of the feasibility, including environmental consideration, of the project to which such loan agreement relates.
(3) (1)(c)にいう支出期間は、両政府の関係当局の同意を得て延長することができる。
(3) The disbursement period mentioned in sub-paragraph(1)(c)above may be extended, with the consent of the authorities concerned of the two Governments.
3(1) 借款は、中国の実施機関が調達適格国の供給者、請負業者又はコンサルタントに対して行う支払で、1(1)にいう計画の実施に必要な生産物又は役務の購入のために両者の間で既に締結されたか又は締結されることのある契約に基づいて行われるものを対象として使用に供される。ただし、当該購入は、調達適格国において、それらの国で生産される生産物又はそれらの国から供給される役務について行われる。
3.(1) The Loan will be made available to cover payments to be made by Chinese executing agencies to suppliers, contractors and/or consultants of eligible source countries under such contracts as have been or may be entered into between them for purchases of products and/or services to be required for the implementation of the projects mentioned in sub-paragraph(1)of paragraph 1, provided that such purchases are made in such eligible source countries for products produced in and/or services supplied from those countries.
(2) (1)にいう調達適格国の範囲は、両政府の関係当局間で合意される。
(2) The scope of eligible source countries mentioned in sub-paragraph(1)above will be agreed upon between the authorities concerned of the two Governments.
4 中華人民共和国政府は、3(1)にいう生産物又は役務が基金の調達のためのガイドライン(国際入札の手続が適用できないか又は適当でない場合を除くほか従うべき国際入札の手続をなかんずく定める。)に従って調達されるよう必要な措置をとる。
4. The Government of the People's Republic of China will take necessary measures for products and/or services mentioned in sub-paragraph(1)of paragraph 3 to be procured in accordance with the guidelines for procurement of the Fund, which set forth, inter alia, the procedures of international tendering to be followed except where such procedures are inapplicable or inappropriate.
5 中華人民共和国政府は、次のものを免除する。
5. The Government of the People's Republic of China will exempt:
(1) 基金について、借款及びそれから生ずる利子に対して又はそれらに関連して課される中国の財政課徴金又は租税
(1) the Fund from Chinese fiscal levies or taxes on and/or in connection with the Loan as well as interest accruing therefrom; and
(2) 請負業者又はコンサルタントとして活動する日本国の会社について、1(1)にいう計画の実施に必要な自己の建設機材の搬入及び搬出に関して課される中国の関税及び関連の財政課徴金
(2) Japanese companies operating as contractors and/or consultants from Chinese duties and related fiscal charges with respect to the bringing-in and bringing-out of their own construction equipment needed for the implementation of the projects mentioned in sub-paragraph(1)of paragraph 1.
6 借款に基づいて行われる生産物又は役務の供給に関連して中華人民共和国においてその役務が必要とされる日本国民は、作業の遂行のため中華人民共和国への入国及び同国における滞在に必要な便宜を与えられる。
6. Japanese nationals whose services may be required in the People's Republic of China in connection with the supply of products and/or services to be provided under the Loan will be accorded such facilities as may be necessary for their entry into the People's Republic of China and stay therein for the performance of their work.
7 借款に基づいて購入される生産物の海上輸送に関し、千九百七十四年十一月十三日に東京で署名された日本国と中華人民共和国との間の海運協定及び千九百七十六年八月二十五日付けの海運業務に関する協議のための民間団体の設立等に関する日本国政府と中華人民共和国政府との間の交換公文に従い、両政府は、同交換公文にいう両国の海運企業の団体の間の協議が円滑かつ適時に行われるよう奨励する。
7. With regard to the shipping of products purchased under the Loan, the two Governments will, in accordance with the Agreement on Maritime Transport between Japan and the People's Republic of China signed at Tokyo on November 13, 1974 and the Exchange of Notes between the two Governments dated August 25, 1976, concerning the establishment of private organizations for the consultation on shipping service and other related matters, encourage smooth and timely consultations between the organizations of shipping companies of the two countries referred to in the said Exchange of Notes.
8 中華人民共和国政府は、次のことを確保するために必要な措置をとる。
8. The Government of the People's Republic of China will take necessary measures to ensure that:
(1) 借款が適正にかつ専ら3(1)にいう生産物又は役務を購入するために使用されること。
(1) the Loan be used properly and exclusively for purchases of products and/or services mentioned in sub-paragraph(1)of paragraph 3; and
(2) 借款に基づいて建設される施設がこの了解に定める目的のために適正にかつ効果的に維持され及び使用されること。
(2) the facilities constructed under the Loan be maintained and used properly and effectively for the purposes prescribed in this understanding.
9 中華人民共和国政府は、要請に応じ、日本国政府に対し、1(1)にいう計画の進捗状況についての情報を提供する。
9. The Government of the People's Republic of China will, upon request, furnish the Government of Japan with information on the progress of the projects mentioned in sub-paragraph(1)of paragraph 1.
10 両政府は、共同して借款の実施状況を随時検討し、借款の円滑かつ効果的な使用を確保するために必要な措置をとり、また、前記の了解から又はそれに関連して生ずることのあるいかなる事項についても相互に協議する。
10. The two Governments will jointly review from time to time the progress of the implementation of the Loan and take measures necessary to secure smooth and effective utilization of the Loan and otherwise consult with each other in respect of any matter that may arise from or in connection with the foregoing understanding.
本使は、閣下が前記の了解を中華人民共和国政府に代わって確認されれば幸いであります。

Excellency, With reference to the Exchange of Notes dated today concerning a Japanese loan to be extended with a view to contributing to the economic stabilization and promoting the economic modernization efforts of the People's Republic of China, I have the honour to propose, on behalf of the Government of Japan, that in case there is any divergence of interpretation of the said Exchange of Notes which is done in the Japanese, Chinese and English languages, the English text shall prevail.
