円借款の供与に関する日本国政府とアルバニア共和国政府との間の交換公文

書簡をもって啓上いたします。本使は、日本国とアルバニア共和国との間の友好関係及び経済協力を強化することを目的として供与される日本国の借款に関して日本国政府の代表者とアルバニア共和国政府の代表者との間で最近到達した次の了解を確認する光栄を有します。
Excellency, I have the honour to confirm the following understanding recently reached between the representatives of the government of Japan and of the Government of the Republic of Albania concerning a Japanese loan to be extended with a view to strengthening the friendly relations and the economic cooperation between the two countries:
1(1) 十六億八千百万円(一、六八一、〇〇〇、〇〇〇円)の額までの円貨による借款(以下「借款」という。)が、水力発電所改善計画(以下「計画」という。)を支援するため、海外経済協力基金(以下「基金」という。)により、日本国の関係法令に従つて、アルバニア電力公社(以下「借入人」という。)に供与されることになる。
1.(1) A loan in Japanese yen up to the amount of one billion six hundred and eighty-one million yen (1, 681, 000, 000) (hereinafter referred to as "the Loan") will be extended to the Albanian Electroenergetic Corporation (hereinafter referred to as "the Borrower") by the Overseas Economic Cooperation Fund (hereinafter referred to as "the Fund") in accordance with the relevant laws and regulations of Japan for the implementation of The Drin River Hydropower Stations Rehabilitation Project (hereinafter referred to as "the Project").
(2) 借款は、千九百九十三年六月二十五日に日本国政府により公表された開発途上国への資金協力計画の2(2)に沿つて供与されることになる。
(2) The Loan will be extended in line with paragraph (2) of paragraph 2 of the "Funds for Development Initiative announced by the Government of Japan on June 25, 1993.
2(1) 借款は、借入人と基金との間で締結される借款契約に基づいて使用に供される。借款の条件及び使用に関する手続は、なかんずく次の原則を含むことになる前記の借款契約によつて規制される。
2.(1) The Loan will be made available by a loan agreement to be concluded between the Borrower and the Fund. The terms and conditions of the Loan as well as the procedures for its utilization will be governed by the said loan agreement which will contain, inter alia, the following principles:
(a) 償還期間は、十年の据置期間の後二十年とする。
(a) The repayment period will be twenty (20) years after the grace period of ten (10) years;
(b) 利子率は、年二・六パーセントとする。
(b) The rate of interest will be two point six (2.6) per cent per annum; and
(c) 支出期間は、借款契約の発効の日から五年とする。
(c) The disbursement period will be five (5) years from the date of coming into force of the said loan agreement.
(2) (1)にいう借款契約は、基金が当該借款契約に係る計画の実行可能性(環境に対する配慮を含む。)を確認した後に締結される。
(2) The loan agreement mentioned in sub-paragraph (1) above will be concluded after the Fund is satisfied of the feasibility, including the environmental consideration, of the Project.
(3) (1)(c)にいう支出期間は、両政府の関係当局の同意を得て延長することができる。
(3) The disbursement period mentioned in sub-paragraph (1) (c) above may be extended with the consent of the authorities concerned of the two Governments.
3(1) 借款は、アルバニアの実施機関が調達適格国の供給者、請負業者又はコンサルタントに対して行う支払で、計画の実施に必要な生産物又は役務の購入のために両者の間で既に締結されたか又は締結されることのある契約に基づいて行われるものを対象として使用に供される。ただし、当該購入は、調達適格国において、それらの国で生産される生産物又はそれらの国から供給される役務について行われる。
3.(1) The Loan will be made available to cover payments to be made by the Albanian executing agency to suppliers, contractors and/or consultants of eligible source countries under such contracts as have been or may be entered into between them for purchases of products and/or services required for the implementation of the Project, provided that such purchases are made in such eligible source countries for products produced in and/or services supplied from those countries.
(2) (1)にいう調達適格国の範囲は、両政府の関係当局間で合意される。
(2) The scope of eligible source countries mentioned in sub-paragraph (1) above will be agreed upon between the authorities concerned of the two Governments.
(3) 借款の一部は、計画の実施のための適格な現地通貨の需要に充てるために使用することができる。
(3) A part of the Loan may be used to cover eligible local currency requirements for the implementation of the Project.
4 借款の元本の償還及び利子の支払は、アルバニア共和国政府によって保証される。
4. The repayment of principal of the Loan as well as the payment of interest thereon shall be guaranteed by the Government of the Republic of Albania.
5 アルバニア共和国政府は、3(1)にいう生産物又は役務が基金の調達のためのガイドライン(国際入札の手続が適用できないか又は適当でない場合を除くほか従うべき国際入札の手続をなかんずく定める。)に従つて調達されることを確保する。
5. The Government of the Republic of Albania will ensure that products and/or services mentioned in sub-paragraph (1) of paragraph 3 are procured in accordance with the guidelines for procurement of the Fund, which set forth, inter alia, the procedures of international tendering to be followed except where such procedures are inapplicable or inappropriate.
6 アルバニア共和国政府は、借款に基づいて購入される生産物の海上輸送及び海上保険に関し、両国の海運会社及び海上保険会社の間の公正かつ自由な競争を妨げることのあるいかなる制限も課さない。
6. with regard to the shipping and marine insurance of products purchased under the Loan, the Government of the Republic of Albania will refrain from imposing any restrictions that may hinder fair and free competition between the shipping and marine insurance companies of the two countries.
7 3(1)にいう生産物又は役務の供給に関連してアルバニア共和国においてその役務が必要とされる日本国民は、作業の遂行のためアルバニア共和国への入国及び同国における滞在に必要な便宜を与えられる。
7. Japanese nationals whose services may be required in the Republic of Albania in connection with the supply of products and/or services mentioned in sub-paragraph (1) of paragraph 3 will be accorded such facilities as may be necessary for their entry into the Republic of Albania and stay therein for the performance of their work.
8 アルバニア共和国政府は、次のものを免除する。
8. The Government of the Republic of Albania will exempt:
(a) 基金について、借款及びそれから生ずる利子に対して又はそれらに関連してアルバニア共和国において課されるすべての財政課徴金又は租税
(a) The Fund from all fiscal levies or taxes imposed in the Republic of Albania on and/or in connection with the Loan as well as interest accruing therefrom;
(b) 供給者、請負業者又はコンサルタントとして活動する日本国の会社について、借款に基づいて行われる生産物又は役務の供給から取得する所得に関してアルバニア共和国において課されるすべての財政課徴金又は租税
(b) Japanese companies operating as suppliers, contractors and/or consultants from all fiscal levies or taxes imposed in the Republic of Albania with respect to the income accruing from the supply of products and/or services to be provided under the Loan;
(c) 請負業者又はコンサルタントとして活動する日本国の会社について、計画の実施に必要な自己の資材及び設備の輸入及び再輸出に関してアルバニア共和国において課されるすべての関税及び関連の財政課徴金
(c) Japanese companies operating as contractors and/or consultants from all duties and related fiscal charges imposed in the Republic of Albania with respect to the import and re-export of their own materials and equipment needed for the implementation of the Project; and
(d) 計画の実施に従事する日本国民である被用者について、供給者、請負業者又はコンサルタントとして活動する日本国の会社から取得する個人所得に対してアルバニア共和国において課されるすべての財政課徴金又は租税
(d) Japanese employees engaged in the implementation of the Project from all fiscal levies or taxes imposed in the Republic of Albania on their personal income derived from Japanese companies operating as suppliers, contractors and/or consultants.
9 アルバニア共和国政府は、次のことを確保するために必要な措置をとる。
9. The Government of the Republic of Albania will take necessary measures to ensure that:
(a) 借款が適正にかつ専ら計画のために使用されること。
(a) the Loan be used properly and exclusively for the Project; and
(b) 借款に基づいて建設される施設がこの了解に定める目的のために適正にかつ効果的に維持され及び使用されること。
(b) the facilities constructed under the Loan be maintained and used properly and effectively for the purposes prescribed in this understanding.
10 アルバニア共和国政府は、要請に応じ、日本国政府及び基金に対し、計画の実施の進捗状況に関する情報及び資料を提供する。
10. The Government of the Republic of Albania will, upon request, furnish the Government of Japan and the Fund with information and data concerning the progress of the implementation of the Project.
11 両政府は、前記の了解から又はそれに関連して生ずることのあるいかなる事項についても相互に協議する。
11. The two Governments will consult with each other in respect of any matter that may arise from or in connection with the foregoing understanding.
本使は、閣下が前記の了解をアルバニア共和国政府に代わつて確認されれば幸いであります。
I should be grateful if Your Excellency would confirm the foregoing understanding on behalf of the Government of the Republic of Albania.
本使は、以上を申し進めるに際し、ここに閣下に向かつて敬意を表します。
