日本輸出入銀行関係の債務救済措置に関する日本国政府とロシア連邦政府との間の交換公文

(Japanese Note)
Tokyo, December 2, 1994
書簡をもって啓上いたします。本使は、日本輸出入銀行及び関係民間銀行(以下「銀行」という。)によりとられることになる債務繰延方式による債務救済措置に関する日本国政府の代表者とロシア連邦政府の代表者との間で行われた最近の交渉に言及する光栄を有します。同交渉は、千九百九十四年六月二日、三日及び四日にパリで開催されたロシア連邦政府の代表者と関係債権諸国政府の代表者との間の協議において到達した結論並びに千九百九十三年四月二日にそれぞれ署名されたソヴィエト社会主義共和国連邦の対外債務を確認するロシア連邦政府の宣言(以下「宣言」という。)及び宣言に関連して発出された参加債権諸国政府の代表者による声明に基づき行われました。本使は、更に、同交渉において到達した次の了解を確認する光栄を有します。
Excellency, I have the honour to refer to the recent negotiations between the representatives of the Government of Japan and of the Government of the Russian Federation on a debt relief measure in the forth of a rescheduling which will be taken by the Export-Import Bank of Japan together with private banks concerned (hereinafter referred to as "the Banks"). These negotiations were held on the basis of the conclusions reached during the consultations between the representatives of the Government of the Russian Federation and of the Governments of the creditor countries concerned held in Paris on June 2, 3 and 4, 1994, and the Declaration by the Government of the Russian Federation, acknowledging the foreign debts of the Union of Soviet Socialist Republics described therein, signed on April 2, 1993 (hereinafter referred to as "the Declaration"), as well as the Statement by the Representatives of the Governments of the Participating Creditor Countries issued in connection therewith, signed on April 2, 1993. I have further the honour to confirm the following understanding reached in the course of the said negotiations:
1(1) 繰り延ベられる債務(以下「繰延債務」という。)は、ソ連邦対外経済活動銀行(以下「VEB」という。)が銀行に対して負う次の債務(宣言の対象となっている範囲内のものに限る。)から成る。繰延債務の内訳は、この書簡の付表に掲げられる。
1.(1) The debts to be rescheduled (hereinafter referred to as "the Rescheduled Debts") consist of the following debts owed by Vnesheconombank of the USSR (hereinafter referred to as "VEB") to the Banks, to the extent covered by the Declaration. The breakdown of the Rescheduled Debts is show in the List attached hereto.
千九百九十四年一月一日から千九百九十四年十二月三十一日までの間(両期日を含む。)に弁済期限の到来したか又は到来する未払の債務の元本及び利子(遅延利子を除く。)
The principal of and the interest (excluding late interest) on the debts, having fallen or falling due between January 1, 1994 and December 31, 1994, both dates inclusive, and not paid.
(2) 繰延債務の総額は、日本円によって契約された債務については、十二億八千百九万三千百四十八円(一、二八一、〇九三、一四八円)、また、合衆国ドルによって契約された債務については、八千六百十三万千六百六十七合衆国ドル七十一セント(八六、一三一、六六七･七一合衆国ドル)になる。
(2) The total amount of the Rescheduled Debts is one billion two hundred eighty-one million ninety-three thousand one hundred and forty-eight yen (1,281,093,148) for the debts contracted in Japanese yen and eighty-six million one hundred thirty-one thousand six hundred and sixty-seven United States dollars and seventy-one cents ($86,131,667.71) for the debts contracted in United States dollars.
(3) (2)にいう債務の額及びこの書簡の付表は、VEBと銀行が行う最終的照合の後に日本国政府及びロシア連邦政府の関係当局間の合意により修正されることがある。
(3) Modifications may be made to the amounts referred to in sub-paragraph (2) above and to the List attached hereto by agreement between the authorities concerned of the Governments of Japan and of the Russian Federation, after the final verification to be made by VEB and the Banks.
2 債務繰延べの条件は、VEBと銀行との間で締結される債務繰延契約であって、なかんずく次の原則を含むものにおいて規定される。
2. The terms and conditions of the rescheduling will be stipulated in the Rescheduling Agreement to be concluded between VEB and the Banks, which will contain, inter alia, the following principles:
(1) 1(1)にいう債務の各々は、この書簡の附属書に掲げる支払計画に従って千九百九十七年九月三十日に始まる二十六回の半年賦払により支払われる。
(1) Each of the debts referred to in sub-paragraph (1) of paragraph 1 will be paid in twenty-six (26) semi-annual installments beginning on September 30, 1997 in accordance with the payment schedule shown in the Annex attached hereto.
(2) 日本円によって契約された債務に対する利子率は、年五･一パーセントとし、合衆国ドルによって契約された債務に対する利子率は、合衆国ドル預金に対する適用可能なロンドン銀行間取引金利(六箇月の貸出しに適用される年利)に年〇･五パーセントを加えたものとする。
(2) The rate of interest on the debts contracted in Japanese yen will be five point one per cent (5.1%) per annum, and the rate of interest on the debts contracted in United States dollars will be nought point five per cent (0.5%) per annum above the applicable London inter-bank offered rate on United States dollar deposits applied for six months lending.
3(1) 千九百九十四年一月一日から千九百九十四年十二月三十一日までの間(両期日を含む。)に生じたか又は生ずる繰延債務の利子に関し、六十パーセントは、2にいう債務繰延契約に規定する弁済期日に支払われ、残りの四十パーセントは、千九百九十七年九月三十日に始まる十回の均等半年賦払により支払われることが確認される。
3.(1) It is confirmed that with respect to the interest on the Rescheduled Debts, having accrued or accruing during the period between January 1, 1994 and December 31, 1994, both dates inclusive, sixty per cent (60%) will be paid on due dates which will be stipulated in the Rescheduling Agreement referred to in paragraph 2, and the remaining forty per cent (40%) will be paid in ten (10) equal semi-annual installments beginning on September 30, 1997.
(2) (1)にいう残りの四十パーセントに対して千九百九十五年一月一日から利子が課され、その利子率は、日本円によって契約された債務については、年五･一パーセントとし、合衆国ドルによって契約された債務については、合衆国ドル預金に対する適用可能なロンドン銀行間取引金利(六箇月の貸出しに適用される年利)に年〇･五パーセントを加えた率とする。
(2) Interest will be charged on the remaining forty per cent (40%) referred to in (1) above at the rate of five point one per cent (5.1%) per annum on the debts contracted in Japanese yen, and at the rate of nought point five per cent (0.5%) per annum above the applicable London inter-bank offered rate on United States dollar deposits applied for six months lending on the debts contracted in United States dollars, beginning from January 1, 1995.
4(1) 千九百九十四年二月二十八日に日本国政府とロシア連邦政府との間で交換された書簡(以下「従前の書簡」という。)の規定に従って千九百九十四年四月一日から千九百九十四年十二月三十一日までの間(両期日を含む。)に生じたか又は生ずる次の債務の利子に関し、八十パーセントは、千九百九十七年九月三十日に始まる十回の均等半年賦払により支払われ、残りの二十パーセントは、千九百九十四年五月十三日に銀行とVEBとの間で締結された債務繰延契約に規定された弁済期日に支払われることが確認される。
4.(1) It is confirmed that with respect to the interest on the debts mentioned below, having accrued or accruing, in accordance with the provisions of the Notes exchanged between the Government of Japan and the Government of the Russian Federation on February 28, 1994 (hereinafter referred to as "the Previous notes"), during the period between April 1, 1994 and December 31, 1994, both dates inclusive, eighty per cent (80%) will be paid in ten (10) equal semi-annual installments beginning on September 30, 1997, and the remaining twenty per cent (20%) will be paid on the due date stipulated in the Rescheduling Agreement concluded between the Banks and VEB on May 13, 1994.
(a) 従前の書簡1(1)の規定に従って繰り延べられた債務
(a) The debts which were rescheduled in accordance with the provisions of sub-paragraph (1) of paragraph 1 of the Previous notes.
(b) 千九百九十三年一月二日から千九百九十三年十二月三十一日までの間(両期日を含む。)に生じた(a)にいう債務の利子であって従前の書簡3の規定に従って支払を猶予されたものの六十パーセント
(b) The sixty per cent (60%) of the interest on the debts referred to in (a) above having accrued during the period between January 2, 1993 and December 31, 1993, both dates inclusive, which was deferred in accordance with the provisions of paragraph 3 of the Previous notes.
(2) (1)にいう八十パーセントに対して千九百九十五年一月一日から利子が課され、その利子率は、日本円によって契約された債務については、年五･一パーセントとし、合衆国ドルによって契約された債務については、合衆国ドル預金に対する適用可能なロンドン銀行間取引金利(六箇月の貸出しに適用される年利)に年〇･五パーセントを加えた率とする。
(2) Interest will be charged on the eighty per cent (80%) referred to in (1) above at the rate of five point one per cent (5.1%) per annum on the debts contracted in Japanese yen, and at the rate of nought point five per cent (0.5%) per annum above the applicable London inter-bank offered rate on United States dollar deposits applied for six months lending on the debts contracted in United States dollars, beginning from January 1, 1995.
5 支払われる利子については、ロシア連邦のすべての租税及び課徴金が免除される。
5. The interest to be paid shall be paid free from all taxes and duties of the Russian Federation.
6 ロシア連邦政府は、この書簡に基づいて生ずるすべての支払義務の履行を保証する。
6. The Government of the Russian Federation guarantees to fulfill all payment obligations arising under the present Notes.
7 ロシア連邦政府は、いずれかの第三国の居住者であって債権を有するものに対し対応する対外債務の支払計画について2、3及び4にいう条件より有利な条件を与えた場合には、当該第三国の居住者である債権を有するものに与えられる条件より不利でない条件を銀行に直ちに与える。
7. If the Government of the Russian Federation accords to creditors resident in any third country terms and conditions more favourable than those referred to in paragraph 2, 3 and 4 with regard to the payment schedule for corresponding categories of external debt, the Government of the Russian Federation will forthwith accord to the Banks terms and conditions not less favourable than those accorded to the creditors resident in such third country.
8 ロシアの債務(この取極が対象とする債務を含む。)の再編に関してロシア連邦政府の代表者及び関係債権諸国政府の代表者が新たな結論に到達した場合には、日本国政府とロシア連邦政府との間でこの取極の継続又は修正について討議するための協議が行われる。
8. If the representative of the Government of the Russian Federation and the representatives of the Governments of the creditor countries concerned come to a new conclusion in connection with reorganization of the Russian debts including the debts covered by the present arrangements, consultations will be held between the Government of Japan and the Government of the Russian Federation, in order to discuss the matter of continuation or modification of the present arrangements.
9 1から8までの規定にかかわらず、関係債権諸国が千九百九十四年六月四日にパリにおいてロシア連邦政府の代表者と関係債権諸国政府の代表者によって署名された外国の公的な債権者に支払われる債務に関するロシア連邦政府との合意を無効であると宣言した場合には、日本国政府は、この書簡の規定が無効であることをロシア連邦政府に対し書簡により通告することができる。この書簡に述べられた了解は、そのような通告が日本国政府によってなされた場合には、この書簡の交換の日から無効となる。
9. Notwithstanding the provisions of the preceding paragraphs, the Government of Japan may notify in writing the Government of the Russian Federation that the provisions of this Note are null the and void, provided that the creditor countries concerned have declared that the Agreement with the Government of the Russian Federation on the Debt due to Foreign Official Creditors signed by the representatives of the Government of Russian Federation and of the Government of the creditor countries concerned in Paris on June 4,1994 is null and void. The understanding contained in this Note shall be null and void from the date of exchange of the present Notes when such a notification is made by the Government of Japan.
