（日本側書簡）
  　書簡をもって啓上いたします。本使は、二千十年十二月八日に発表された日本・ボリビア共同声明に言及するとともに、ボリビア多民族国の持続可能な開発を促進するために供与される日本国の借款に関して日本国政府の代表者とボリビア多民族国政府の代表者との間で最近到達した次の了解を確認する光栄を有します。
  １　二十四億九千五百万円（二、四九五、〇〇〇、〇〇〇円）の額までの円貨による借款（以下「借款」という。）が、ラグナ・コロラダ地熱発電所建設計画（第一段階第一期）（以下「計画」という。）を実施することを目的として、独立行政法人国際協力機構（以下「ＪＩＣＡ」という。）により、日本国の関係法令に従って、ボリビア多民族国政府に供与されることになる。
  ２(1)　借款は、ボリビア多民族国政府とＪＩＣＡとの間で締結される借款契約に基づいて使用に供される。借款の条件及び使用に関する手続は、この了解の範囲内で、なかんずく次の原則を含むことになる前記の借款契約によって規律される。
      (a)　償還期間は、十年の据置期間の後三十年とする。
      (b)　利子率は、年〇・六五パーセントとする。
      (c)　ただし、(b)にかかわらず、借款の一部が計画のコンサルタントに対して行う支払のために使用される場合には、当該部分に係る利子率は、年〇・〇一パーセントとする。
      (d)　支出期間は、前記の借款契約の発効の日の後六年とする。
    (2)　(1)に規定する借款契約は、ＪＩＣＡが計画の実行可能性（環境に対する配慮を含む。）を確認した後に締結される。
    (3)　(1)(d)に規定する支出期間は、両政府の関係当局の同意を得て延長することができる。

Excellency,

 I have the honour to refer to the Japan-Bolivia Joint Declaration issued on December 8, 2010, and to confirm the following understanding recently reached between the representatives of the Government of Japan and of the Government of the Plurinational State of Bolivia concerning a Japanese loan to be extended with a view to promoting the sustainable development of the Plurinational State of Bolivia:

1. A loan in Japanese yen up to the amount of two billion four hundred and ninety-five million yen (\2,495,000,000) (hereinafter referred to as “the Loan”) will be extended, in accordance with the relevant laws and regulations of Japan, to the Government of the Plurinational State of Bolivia by the Japan International Cooperation Agency (hereinafter referred to as “JICA”) for the purpose of implementing the Laguna Colorada Geothermal Power Plant Construction Project (Phase 1 of First Stage)(hereinafter referred to as “the Project”).

2. (1) The Loan will be made available by a loan agreement to be concluded between the Government of the Plurinational State of Bolivia and JICA.  The terms and conditions of the Loan as well as the procedures for its utilization will be governed by the said loan agreement, within the scope of the present understanding, which will contain, inter alia, the following principles:

 (a) The repayment period will be thirty (30) years after the grace period of ten (10) years;

 (b) The rate of interest will be nought point six five per cent (0.65%) per annum;




 
 (c) Notwithstanding sub-paragraph (b) above, where a part of the Loan is made available to cover payments to consultants of the Project, then the rate of interest of the said part will be nought point nought one per cent (0.01%) per annum; and

 (d) The disbursement period will be six (6) years after the date of coming into force of the said loan agreement.

 (2) The loan agreement mentioned in sub-paragraph (1) above will be concluded after JICA is satisfied of the feasibility of the Project, including environmental consideration.

 (3) The disbursement period mentioned in sub-paragraph (1)(d) above may be extended with the consent of the authorities concerned of the two Governments.


							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
３(1)　借款は、ボリビアの公的実施機関が調達適格国の供給者、請負業者又はコンサルタントに対して行う支払で、計画の実施に必要な生産物又は役務の購入のために両者の間で締結されることのある契約に基づいて行われるものを対象として使用に供される。ただし、当該購入は、調達適格国において、それらの国で生産される生産物又はそれらの国から供給される役務について行われる。
    (2)　(1)に規定する調達適格国の範囲は、両政府の関係当局間で合意される。    
    (3)　借款の一部は、計画の実施のための適格な現地通貨の需要に充てるために使用することができる。
  ４　ボリビア多民族国政府は、３(1)に規定する生産物又は役務がＪＩＣＡの調達のためのガイドラインに従って調達されることを確保する。
  ５　ボリビア多民族国政府は、借款に基づいて購入される生産物の海上輸送及び海上保険に関し、海運会社及び海上保険会社の間の公正かつ自由な競争を妨げることのあるいかなる制限を課することも差し控える。
  ６　３(1)に規定する生産物又は役務の供給に関連してボリビア多民族国においてその役務が必要とされる日本国民は、作業の遂行のためボリビア多民族国への入国及び同国における滞在に必要な便宜を与えられる。

							

						

						

							

								
3. (1) The Loan will be made available to cover payments to be made by the Bolivian public executing agency to suppliers, contractors and/or consultants of eligible source countries under such contracts as may be entered into between them for purchases of products and/or services required for the implementation of the Project, provided that such purchases are made in such eligible source countries for products produced in and/or services supplied from those countries.

 (2) The scope of eligible source countries mentioned in sub-paragraph (1) above shall be agreed upon between the authorities concerned of the two Governments.

 (3) A part of the Loan may be used to cover eligible local currency requirements for the implementation of the Project.

4. The Government of the Plurinational State of Bolivia shall ensure that the products and/or services mentioned in sub-paragraph (1) of paragraph 3. are procured in accordance with the guidelines for procurement of JICA.

5. With regard to the shipping and marine insurance of the products purchased under the Loan, the Government of the Plurinational State of Bolivia shall refrain from imposing any restrictions that may hinder fair and free competition among the shipping and marine insurance companies.

 
6. Japanese nationals whose services may be required in the Plurinational State of Bolivia in connection with the supply of the products and/or services mentioned in sub-paragraph (1) of paragraph 3. shall be accorded such facilities as may be necessary for their entry into the Plurinational State of Bolivia and stay therein for the performance of their work.


							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
７　ボリビア多民族国政府は、次の措置をとる。
    (a)　ＪＩＣＡについて、借款及びそれから生ずる利子に対して又はそれらに関連してボリビア多民族国の領域内において課される全ての財政課徴金及び直接税を免除すること。
    (b)　ボリビアの公的実施機関を通じて、借款及びそれから生ずる利子に関し、ボリビア多民族国の領域内においてＪＩＣＡに対して課される間接税を負担すること。
    (c)　ボリビアの公的実施機関を通じて、計画の実施のための生産物又は役務の購入に関してボリビア多民族国の領域内において課される付加価値税を負担すること。
    (d)　ボリビアの公的実施機関を通じて、計画の実施に必要な物品の輸入に関する関税を負担すること。
  ８　ボリビア多民族国政府は、次のことのために必要な措置をとる。
    (a)　借款が適正にかつ専ら計画のために使用されることを確保すること。
    (b)  借款に基づく施設の建設及び当該施設の使用に当たり、計画の実施に従事する者及びボリビア多民族国の一般公衆の安全を確保し、及び維持すること。
    (c)　借款に基づいて建設される施設がこの了解に定める目的のために適正にかつ効果的に維持され、及び使用されることを確保すること。
  ９　ボリビア多民族国政府は、要請に応じ、日本国政府及びＪＩＣＡに対し、次のものを提供する。
    (a)    　計画の実施の進捗状況についての        情報及び資料
    (b)　計画に関連するその他の情報 
    10　両政府は、この了解から又はそれに関連して生ずることのあるいかなる事項についても相互に協議する。

							

						

						

							

								
7. The Government of the Plurinational State of Bolivia shall:

 (a) exempt JICA from all fiscal charges and direct taxes imposed in the territory of the Plurinational State of Bolivia on and/or in connection with the Loan as well as interest accruing therefrom;

 (b) assume, through the Bolivian public executing agency, indirect taxes imposed on JICA in the territory of the Plurinational State of Bolivia with respect to the Loan as well as interest accruing therefrom;

 (c) assume, through the Bolivian public executing agency, the Value Added Tax imposed in the territory of the Plurinational State of Bolivia with respect to the purchase of the products and/or services for the implementation of the Project; and

 (d) assume, through the Bolivian public executing agency, customs duties with respect to the import of the goods needed for the implementation of the Project.

8. The Government of the Plurinational State of Bolivia shall take necessary measures to:

 (a) ensure that the Loan be used properly and exclusively for the Project;

 (b) ensure and maintain the safety of persons engaged in the implementation of the Project and of the general public of the Plurinational State of Bolivia in constructing the facilities under the Loan and in using such facilities; and

 (c) ensure that the facilities constructed under the Loan be maintained and used properly and effectively for the purpose prescribed in the present understanding.

 
9. The Government of the Plurinational State of Bolivia shall, upon request, furnish the Government of Japan and JICA with:

 (a) information and data concerning the progress of the implementation of the Project; and

 (b) any other information related to the Project.

I have further the honour to propose that this Note and Your Excellency’s Note in reply confirming on behalf of the Government of the Plurinational State of Bolivia the foregoing understanding shall constitute an agreement between the two Governments, which shall become effective on the date of receipt by the Government of Japan of the written notification from the Government of the Plurinational State of Bolivia of the completion of necessary domestic procedures for the entry into force of such agreement.

 This Note is written in the Japanese, Spanish and English languages, each text being equally authentic, and in case of any divergence in interpretation, the English text shall prevail.

 I avail myself of this opportunity to renew to Your Excellency the assurance of my highest consideration.
