　書簡をもって啓上いたします。本大臣は、ザンビア共和国の経済の安定及び開発努力並びに南部アフリカの地域統合を促進するために供与される日本国の借款に関して日本国政府の代表者とザンビア共和国政府の代表者との間で最近到達した次の了解を確認する光栄を有します。

Honourable Minister,

　I have the honour to confirm the following understanding recently reached between the representatives of the Government of Japan and of the Government of the Republic of Zambia concerning a Japanese loan to be extended with a view to promoting the economic stabilization and development efforts of the Republic of Zambia as well as the regional integration of the Southern Africa:

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
１　二十八億七千七百万円（二、八七七、〇〇〇、〇〇〇円）の額までの円貨による借款（以下「借款」という。）が、カズングラ橋建設計画（以下「計画」という。）を実施することを目的として、独立行政法人国際協力機構（以下「ＪＩＣＡ」という。）により、日本国の関係法令に従って、ザンビア共和国政府に供与されることになる。

							

						

						

							

								
1.　A loan in Japanese yen up to the amount of two billion eight hundred and seventy-seven million yen (\2,877,000,000) (hereinafter referred to as “the Loan”) will be extended, in accordance with the relevant laws and regulations of Japan, to the Government of the Republic of Zambia by the Japan International Cooperation Agency (hereinafter referred to as “JICA”) for the purpose of implementing the Kazungula Bridge Construction Project (hereinafter referred to as “the Project”).

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
２(1)　借款は、ザンビア共和国政府とＪＩＣＡとの間で締結される借款契約に基づいて使用に供される。借款の条件及び使用に関する手続は、この了解の範囲内で、なかんずく次の原則を含むことになる前記の借款契約によって規律される。
　(a)　償還期間は、十年の据置期間の後三十年とする。
　(b)　利子率は、年〇・〇一パーセントとする。
　(c)　支出期間は、前記の借款契約の発効の日の後九年とする。

							

						

						

							

								
2.(1)　The Loan will be made available by a loan agreement to be concluded between the Government of the Republic of Zambia and JICA.  The terms and conditions of the Loan as well as the procedures for its utilization will be governed by the said loan agreement, within the scope of the present understanding, which will contain, inter alia, the following principles:
　(a)　The repayment period will be thirty (30) years after the grace period of ten (10) years;
　(b)　The rate of interest will be nought point nought one per cent (0.01%) per annum; and
　(c)　The disbursement period will be nine (9) years after the date of coming into force of the said loan agreement.

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
(2)　(1)に規定する借款契約は、ＪＩＣＡが計画の実行可能性（環境に対する配慮を含む。）を確認した後に締結される。

(3)　(1)(c)に規定する支出期間は、両政府の関係当局の同意を得て延長することができる。

３(1)　借款は、ザンビア道路開発庁が調達適格国の供給者、請負業者又はコンサルタントに対して行う支払で、計画の実施に必要な生産物又は役務の購入のために両者の間で締結されることのある契約に基づいて行われるものを対象として使用に供される。ただし、当該購入は、調達適格国において、それらの国で生産される生産物又はそれらの国から供給される役務について行われる。

							

						

						

							

								
3.(1)　The Loan will be made available to cover payments to be made by the Road Development Agency of the Government of the Republic of Zambia to suppliers, contractors and/or consultants of eligible source countries under such contracts as may be entered into between them for purchases of products and/or services required for the implementation of the Project, provided that such purchases are made in such eligible source countries for products produced in and/or services supplied from those countries.

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
(2)　(1)に規定する調達適格国の範囲は、両政府の関係当局間で合意される。

(3)　借款の一部は、計画の実施のための適格な現地通貨の需要に充てるために使用することができる。

４　ザンビア共和国政府は、３(1)に規定する生産物又は役務がアフリカ開発銀行、アフリカ開発基金及びＪＩＣＡによるアフリカのための協調融資促進制度の実施のためのガイドライン（国際競争入札の手続が適用できないか又は適当でない場合を除くほか従うべき国際競争入札の手続をなかんずく定める。）に従って調達されることを確保する。

							

						

						

							

								
4.　The Government of the Republic of Zambia shall ensure that the products and/or services mentioned in sub-paragraph (1) of paragraph 3. are procured in accordance with the Guidelines for the Implementation of the Accelerated Co-financing Facility for Africa by the African Development Bank, the African Development Fund and JICA, which set forth, inter alia, the procedures of international competitive bidding to be followed except where such procedures are inapplicable or inappropriate.

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
５　ザンビア共和国政府は、借款に基づいて購入される生産物の海上輸送及び海上保険に関し、海運会社及び海上保険会社の間の公正かつ自由な競争を妨げることのあるいかなる制限を課することも差し控える。

							

						

						

							

								
5.　With regard to the shipping and marine insurance of the products purchased under the Loan, the Government of the Republic of Zambia shall refrain from imposing any restrictions that may hinder fair and free competition among the shipping and marine insurance companies.

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
６　３(1)に規定する生産物又は役務の供給に関連してザンビア共和国においてその役務が必要とされる日本国民は、作業の遂行のためザンビア共和国への入国及び同国における滞在に必要な便宜を与えられる。

							

						

						

							

								
6.　Japanese nationals whose services may be required in the Republic of Zambia in connection with the supply of the products and/or services mentioned in sub-paragraph (1) of paragraph 3. shall be accorded such facilities as may be necessary for their entry into the Republic of Zambia and stay therein for the performance of their work.

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
７　ザンビア共和国政府は、次のものを免除する。
　(a)　ＪＩＣＡについて、借款及びそれから生ずる利子に対して又はそれらに関連してザンビア共和国において課される全ての財政課徴金及び租税
　(b)　供給者、請負業者又はコンサルタントとして活動する日本国の会社について、借款に基づいて行われる生産物又は役務の供給から生ずる所得に関してザンビア共和国において課される全ての財政課徴金及び租税
　(c)　供給者、請負業者又はコンサルタントとして活動する日本国の会社について、計画の実施に必要な自己の資材及び設備の輸入及び再輸出に関してザンビア共和国において課される全ての関税及び関連の財政課徴金
　(d)　計画の実施に従事する日本国民である被用者について、計画の実施のため供給者、請負業者又はコンサルタントとして活動する日本国の会社から取得する個人所得に対してザンビア共和国において課される全ての財政課徴金及び租税

							

						

						

							

								
7.　The Government of the Republic of Zambia shall exempt:
　(a)　JICA from all fiscal levies and taxes imposed in the Republic of Zambia on and/or in connection with the Loan as well as interest accruing therefrom;
　(b)　Japanese companies operating as suppliers, contractors and/or consultants from all fiscal levies and taxes imposed in the Republic of Zambia with respect to the income accruing from the supply of products and/or services to be provided under the Loan;
　(c)　Japanese companies operating as suppliers, contractors and/or consultants from all duties and related fiscal charges imposed in the  Republic of Zambia with respect to the import and re-export of their own materials and equipment needed for the implementation of the Project; and
　(d)　Japanese employees engaged in the implementation of the Project from all fiscal levies and taxes imposed in the Republic of Zambia on their personal income derived from Japanese companies operating as suppliers, contractors and/or consultants for the implementation of the Project.

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
８　計画の主たる目的は、ザンベジ河を横切ってザンビア共和国とボツワナ共和国との間に橋梁を(りよう)建設することである。この目的のため、ザンビア共和国政府は、ボツワナ共和国政府と共同して橋梁及(りよう)び関連施設の建設を実施する。

							

						

						

							

								
8.　The main purpose of the Project is to construct a bridge between the Republic of Zambia and the Republic of Botswana across the Zambezi river.  For this purpose, the Government of the Republic of Zambia will undertake jointly the construction of the bridge and related facilities with the Government of the Republic of Botswana.

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
９　ザンビア共和国政府は、二千十二年三月三十日にハボローネで署名されたカズングラにおける橋梁の(りよう)建設及び運営に係るザンビア共和国政府とボツワナ共和国政府との間の取極において言及される橋梁上(りよう)の国境線を設定又は変更しようとするときには、日本国政府に対し、その意思を通知する。

							

						

						

							

								
9.　The Government of the Republic of Zambia will inform the Government of Japan of its intention when the Government of the Republic of Zambia intends to mark or modify the boundary line on the bridge referred to in the Agreement between the Government of Zambia and the Government of Botswana to Sponsor the Construction and Operation of Bridge Infrastructure at Kazungula signed at Gaborone on 30th March, 2012.

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
10　ザンビア共和国政府は、ザンビア共和国政府とボツワナ共和国政府との間の取極において言及される橋梁及(りよう)び関連施設がこの了解に定める計画の目的のために適正かつ効果的に維持され、及び使用されることを確保することにおいてボツワナ共和国政府と協力する。

							

						

						

							

								
10.　The Government of the Republic of Zambia will cooperate with the Government of the Republic of Botswana in ensuring that the bridge and related facilities referred to in the agreement between the Government of the Republic of Zambia and the Government of the Republic of Botswana be maintained and used properly and effectively for the purposes of the Project prescribed in the present understanding.

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
11　ザンビア共和国政府は、次のことのために必要な措置をとる。
　(a)　借款が適正にかつ専ら計画のために使用されることを確保すること。
　(b)  ザンビア側における借款に基づく橋梁及(りよう)び関連施設の建設並びに当該橋梁及(りよう)び関連施設の使用に当たり、計画の実施に従事する者及びザンビア共和国の一般公衆の安全を確保し、及び維持すること。
　(c)　ザンビア側において借款に基づいて建設される橋梁及(りよう)び関連施設がこの了解に定める目的のために適正にかつ効果的に維持され、及び使用されることを確保すること。

							

						

						

							

								
11.　The Government of the Republic of Zambia shall take necessary measures to:
　(a)　ensure that the Loan be used properly and exclusively for the Project;
　(b)　ensure and maintain the safety of persons engaged in the implementation of the Project and of the general public of the Republic of Zambia in constructing the bridge and related facilities under the Loan and in using such bridge and related facilities on the Zambian side; and
　(c)　ensure that the bridge and related facilities constructed under the Loan on the Zambian side be maintained and used properly and effectively for the purposes prescribed in the present understanding.

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
12　ザンビア共和国政府は、要請に応じ、日本国政府及びＪＩＣＡに対し、次のものを提供する。
　（a）　計画の実施の進捗状況についての情報及び資料
　（b）　計画に関連するその他の情報

							

						

						

							

								
12.　The Government of the Republic of Zambia shall, upon request, furnish the Government of Japan and JICA with: 
　(a)　information and data concerning the progress of the implementation of the Project; and
　(b)　any other information related to the Project.

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
13　日本国政府及びザンビア共和国政府は、この了解から又はそれに関連して生ずることのあるいかなる事項についても相互に協議する。
