　書簡をもって啓上いたします。本使は、ボツワナ共和国の経済の安定及び開発努力並びに南部アフリカの地域統合を促進するために供与される日本国の借款に関して日本国政府の代表者とボツワナ共和国政府の代表者との間で最近到達した次の了解を確認する光栄を有します。

Honourable Minister,

　I have the honour to confirm the following understanding recently reached between the representatives of the Government of Japan and of the Government of the Republic of Botswana concerning a Japanese loan to be extended with a view to promoting the economic stabilization and development efforts of the Republic of Botswana as well as the regional integration of the Southern Africa:

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
１　八十七億三千五百万円（八、七三五、〇〇〇、〇〇〇円）の額までの円貨による借款（以下「借款」という。）が、カズングラ橋建設計画（以下「計画」という。）を実施することを目的として、独立行政法人国際協力機構（以下「ＪＩＣＡ」という。）により、日本国の関係法令に従って、ボツワナ共和国政府に供与されることになる。

							

						

						

							

								
1.　A loan in Japanese yen up to the amount of eight billion seven hundred and thirty-five million yen (\8,735,000,000) (hereinafter referred to as “the Loan”) will be extended, in accordance with the relevant laws and regulations of Japan, to the Government of the Republic of Botswana by the Japan International Cooperation Agency (hereinafter referred to as “JICA”) for the purpose of implementing the Kazungula Bridge Construction Project (hereinafter referred to as “the Project”).

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
２(1)　借款は、ボツワナ共和国政府とＪＩＣＡとの間で締結される借款契約に基づいて使用に供される。借款の条件及び使用に関する手続は、この了解の範囲内で、なかんずく次の原則を含むことになる前記の借款契約によって規律される。
　(a)　償還期間は、七年の据置期間の後十八年とする。
　(b)　利子率は、年一・二パーセントとする。
　(c)　ただし、(b)にかかわらず、借款の一部が計画のコンサルタントに対して行う支払のために使用され　る場合には、当該部分に係る利子率は、年〇・〇一パーセントとする。
　(d)　支出期間は、前記の借款契約の発効の日の後九年とする。

							

						

						

							

								
2.(1)　The Loan will be made available by a loan agreement to be concluded between the Government of the Republic of Botswana and JICA. The terms and conditions of the Loan as well as the procedures for its utilization will be governed by the said loan agreement, within the scope of the present understanding, which will contain, inter alia, the following principles:
　(a)　The repayment period will be eighteen (18) years after the grace period of seven (7) years;
　(b)　The rate of interest will be one point two per cent (1.2%) per annum;
　(c)　Notwithstanding sub-paragraph (b) above, where a part of the Loan is made available to cover payments to consultants of the Project, then the rate of interest of the said part will be nought point nought one per cent (0.01%) per annum; and
　(d)　The disbursement period will be nine (9) years after the date of coming into force of the said loan agreement.

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
(2)　(1)に規定する借款契約は、ＪＩＣＡが計画の実行可能性（環境に対する配慮を含む。）を確認した後に締結される。

							

						

						

							

								
(2)　The loan agreement mentioned in sub-paragraph (1) above will be concluded after JICA is satisfied of the feasibility of the Project, including environmental consideration.

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
(3)　(1)(d)に規定する支出期間は、両政府の関係当局の同意を得て延長することができる。

３(1)　借款は、ボツワナの実施機関が調達適格国の供給者、請負業者又はコンサルタントに対して行う支払で、計画の実施に必要な生産物又は役務の購入のために両者の間で締結されることのある契約に基づいて行われるものを対象として使用に供される。ただし、当該購入は、調達適格国において、それらの国で生産される生産物又はそれらの国から供給される役務について行われる。

							

						

						

							

								
3.(1)　The Loan will be made available to cover payments to be made by the Botswana executing agency to suppliers, contractors and/or consultants of eligible source countries under such contracts as may be entered into between them for purchases of products and/or services required for the implementation of the Project, provided that such purchases are made in such eligible source countries for products produced in and/or services supplied from those countries.

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
(2)　(1)に規定する調達適格国の範囲は、両政府の関係当局間で合意される。

(3)　借款の一部は、計画の実施のための適格な現地通貨の需要に充てるために使用することができる。

４　ボツワナ共和国政府は、３(1)に規定する生産物又は役務がアフリカ開発銀行、アフリカ開発基金及びＪＩＣＡによるアフリカのための協調融資促進制度の実施のためのガイドライン（国際競争入札の手続が適用できないか又は適当でない場合を除くほか従うべき国際競争入札の手続をなかんずく定める。）に従って調達されることを確保する。

							

						

						

							

								
4.　The Government of the Republic of Botswana shall ensure that the products and/or services mentioned in sub-paragraph (1) of paragraph 3. are procured in accordance with the Guidelines for the Implementation of the Accelerated Co-financing Facility for Africa by the African Development Bank, the African Development Fund and JICA, which set forth, inter alia, the procedures of international competitive bidding to be followed except where such procedures are inapplicable or inappropriate.

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
５　ボツワナ共和国政府は、借款に基づいて購入される生産物の海上輸送及び海上保険に関し、海運会社及び海上保険会社の間の公正かつ自由な競争を妨げることのあるいかなる制限を課することも差し控える。

							

						

						

							

								
5.　With regard to the shipping and marine insurance of the products purchased under the Loan, the Government of the Republic of Botswana shall refrain from imposing any restrictions that may hinder fair and free competition among the shipping and marine insurance companies.

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
６　３(1)に規定する生産物又は役務の供給に関連してボツワナ共和国においてその役務が必要とされる日本国民は、ボツワナの関係法令に従って、作業の遂行のためボツワナ共和国への入国及び同国における滞在に必要な便宜を与えられる。

							

						

						

							

								
6.　In accordance with the relevant laws and regulations of Botswana, Japanese nationals whose services may be required in the Republic of Botswana in connection with the supply of the products and/or services mentioned in sub-paragraph (1) of paragraph 3. shall be accorded such facilities as may be necessary for their entry into the Republic of Botswana and stay therein for the performance of their work.

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
７　ボツワナ共和国政府は、ＪＩＣＡについて、借款及びそれから生ずる利子に対して又はそれらに関連してボツワナ共和国において課される全ての財政課徴金及び租税を免除する。

							

						

						

							

								
7.　The Government of the Republic of Botswana shall exempt JICA from all fiscal levies and taxes imposed in the Republic of Botswana on and/or in connection with the Loan as well as interest accruing therefrom.

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
８　計画の主たる目的は、ザンベジ河を横切ってボツワナ共和国とザンビア共和国との間に橋梁を(りよう)建設することである。この目的のため、ボツワナ共和国政府は、ザンビア共和国政府と共同して橋梁及(りよう)び関連施設の建設を実施する。

							

						

						

							

								
8.　The main purpose of the Project is to construct a bridge between the Republic of Botswana and the Republic of Zambia across the Zambezi river.  For this purpose, the Government of the Republic of Botswana will undertake jointly the construction of the bridge and related facilities with the Government of the Republic of Zambia.

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
９　ボツワナ共和国政府は、二千十二年三月三十日にハボローネで署名されたカズングラにおける橋梁の(りよう)建設及び運営に係るボツワナ共和国政府とザンビア共和国政府との間の取極において言及される橋梁上(りよう)の国境線を設定又は変更しようとするときには、日本国政府に対し、その意思を通知する。

							

						

						

							

								
9.　The Government of the Republic of Botswana will inform the Government of Japan of her intention when the Government of the Republic of Botswana intends to mark or modify the boundary line on the bridge referred to in the Agreement between the Government of Botswana and the Government of Zambia to Sponsor the Construction and Operation of Bridge Infrastructure at Kazungula signed at Gaborone on 30th March, 2012.

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
10　ボツワナ共和国政府は、ボツワナ共和国政府とザンビア共和国政府との間の取極において言及される橋梁及(りよう)び関連施設がこの了解に定める計画の目的のために適正かつ効果的に維持され、及び使用されることを確保することにおいてザンビア共和国政府と協力する。

							

						

						

							

								
10.　The Government of the Republic of Botswana will cooperate with the Government of the Republic of Zambia in ensuring that the bridge and related facilities referred to in the agreement between the Government of the Republic of Botswana and the Government of the Republic of Zambia be maintained and used properly and effectively for the purposes of the Project prescribed in the present understanding.

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
11　ボツワナ共和国政府は、次のことのために必要な措置をとる。
　(a)　借款が適正にかつ専ら計画のために使用されることを確保すること。
　(b)  ボツワナ側における借款に基づく橋梁及(りよう)び関連施設の建設並びに当該橋梁及(りよう)び関連施設の使用に当たり、計画の実施に従事する者及びボツワナ共和国の一般公衆の安全を確保し、及び維持すること。
　(c)　ボツワナ側において借款に基づいて建設される橋梁及(りよう)び関連施設がこの了解に定める目的のために適正にかつ効果的に維持され、及び使用されることを確保すること。

							

						

						

							

								
11.　The Government of the Republic of Botswana shall take necessary measures to:
　(a)　ensure that the Loan be used properly and exclusively for the Project;
　(b)　ensure and maintain the safety of persons engaged in the implementation of the Project and of the general public of the Republic of Botswana in constructing the bridge and related facilities under the Loan and in using such bridge and related facilities on the Botswana side; and
　(c)　ensure that the bridge and related facilities constructed under the Loan on the Botswana side be maintained and used properly and effectively for the purposes prescribed in the present understanding.

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
12　ボツワナ共和国政府は、要請に応じ、日本国政府及びＪＩＣＡに対し、次のものを提供する。
　（a）　計画の実施の進捗状況についての情報及び資料
　（b）　計画に関連するその他の情報

							

						

						

							

								
12.　The Government of the Republic of Botswana shall, upon request, furnish the Government of Japan and JICA with: 
　(a)　information and data concerning the progress of the implementation of the Project; and
　(b)　any other information related to the Project.


							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
13　日本国政府及びボツワナ共和国政府は、この了解から又はそれに関連して生ずることのあるいかなる事項についても相互に協議する。

　本使は、更に、この書簡及び前記の了解をボツワナ共和国政府に代わって確認される閣下の返簡が日本国政府とボツワナ共和国政府との間の合意を構成し、その合意が閣下の返簡の日付の日に効力を生ずるものとすることを提案する光栄を有します。
