(Japanese Note) Tunis, October 17, 2011 Honourable President,
書簡をもって啓上いたします。本使は、二千五年七月にグレンイーグルズにおいて開催された主要八箇国（Ｇ８）首脳会議その他の会合の際に日本国政府及びアフリカ開発銀行によって表明された共同イニシアティブであるアフリカの民間セクター開発のための共同イニシアティブに関し、このイニシアティブに言及されたアフリカにおける民間セクターの開発努力を促進するために供与される日本国の借款に関して日本国政府の代表者とアフリカ開発銀行の代表者との間で最近到達した次の了解を確認する光栄を有します。
With reference to the joint initiative titled Enhanced Private Sector Assistance for Africa (hereinafter referred to as “EPSA for Africa”) announced by the Government of Japan and the African Development Bank (hereinafter referred to as “the AfDB”) on the occasions of the Gleneagles G8 Summit held in July 2005 and other meetings, I have the honour to confirm the following understanding recently reached between the representatives of the Government of Japan and of the AfDB concerning a Japanese loan mentioned in EPSA for Africa to be extended with a view to promoting the private sector development efforts in Africa:
１ 八十四億四千万円（八、四四〇、〇〇〇、〇〇〇円）の額までの円貨による借款（以下「借款」という。）が、アフリカの民間セクター開発のための共同イニシアティブの下での民間セクター支援融資（Ⅲ）（以下「融資計画」という。）を実施することを目的として、独立行政法人国際協力機構（以下「ＪＩＣＡ」という。）により、日本国の関係法令に従って、アフリカ開発銀行に供与されることになる。
1. A loan in Japanese yen up to the amount of eight billion four hundred and forty million yen (\8,440,000,000) (hereinafter referred to as “the Loan”) will be extended, in accordance with the relevant laws and regulations of Japan, to the AfDB by the Japan International Cooperation Agency (hereinafter referred to as “JICA”) for the purpose of implementing the “Third Private Sector Assistance Loan under the Joint Initiative titled EPSA for Africa” (hereinafter referred to as “the Project”).
２(1) 借款は、アフリカ開発銀行とＪＩＣＡとの間で締結される借款契約に基づいて使用に供される。借款の条件及び使用に関する手続は、この了解の範囲内で、なかんずく次の原則を含むことになる前記の借款契約によって規律される。
2. (1) The Loan will be made available by a loan agreement to be concluded between the AfDB and JICA. The terms and conditions of the Loan as well as the procedures for its utilization will be governed by the said loan agreement, within the scope of the present understanding, which will contain, inter alia, the following principles:
(a) 償還期間は、十年の据置期間の後三十年とする。
(a) The repayment period will be thirty (30) years after the grace period of ten (10) years;
(b) 利子率は、年〇・五五パーセントとする。
(b) The rate of interest will be nought point five five per cent (0.55%) per annum; and
(c) 支出期間は、前記の借款契約の発効の日の後二年とする。
(c) The disbursement period will be two (2) years after the date of coming into force of the said loan agreement.
(2) (1)に規定する借款契約は、ＪＩＣＡが融資計画の実行可能性（環境に対する配慮を含む。）を確認した後に締結される。
(2) The loan agreement mentioned in sub-paragraph (1) above will be concluded after JICA is satisfied of the feasibility, including environmental consideration, of the Project.
(3) (1)(c)に規定する支出期間は、日本国政府及びアフリカ開発銀行の関係当局の同意を得て延長することができる。
(3) The disbursement period mentioned in sub-paragraph (1)(c) above may be extended with the consent of the authorities concerned of the Government of Japan and the AfDB.
３ 借款は、融資計画に基づきアフリカ開発銀行が最終借入人に対して行う融資又はアフリカ開発銀行が他の主体に対して行う出資に充てるために使用に供される。
3. The Loan will be made available to cover credits to be extended by the AfDB to the sub-borrowers, and/or equity investments to be made by the AfDB in other entities, under the Project.
４ アフリカ開発銀行は、借款の資金が適正にかつ専ら融資計画のために使用されることを確保するために必要な措置をとる。
4. The AfDB shall take necessary measures to ensure that the proceeds of the Loan be used properly and exclusively for the Project.
５ アフリカ開発銀行は、要請に応じ、日本国政府及びＪＩＣＡに対し、次のものを提供する。
5. The AfDB shall, upon request, furnish the Government of Japan and JICA with:
(a) 融資計画の進捗状況についての情報及び資料
(a) information and data concerning the progress of the implementation of the Project; and
(b) 融資計画に関する必要なその他の情報
(b) such other information related to the Project as may be necessary.
６ 日本国政府及びアフリカ開発銀行は、この了解から又はそれに関連して生ずることのあるいかなる事項についても相互に協議する。
6. The Government of Japan and the AfDB shall consult with each other with respect to any matter that may arise from or in connection with the present understanding.
本使は、更に、この書簡及び前記の了解をアフリカ開発銀行に代わって確認される貴下の返簡が日本国政府とアフリカ開発銀行との間の合意を構成し、その合意が貴下の返簡の日付の日に効力を生ずるものとすることを提案する光栄を有します。
I have further the honour to propose that this Note and your Note in reply confirming on behalf of the AfDB the foregoing understanding shall constitute an agreement between the Government of Japan and the AfDB, which shall enter into force on the date of your Note in reply.
