(Japanese Note) Ankara, June 22, 2011 Excellency,
書簡をもって啓上いたします。本使は、日本国とトルコ共和国との間の友好関係及び経済協力を強化すること並びにトルコ共和国の開発努力を促進することを目的として供与される日本国の借款に関して日本国政府の代表者とトルコ共和国政府の代表者との間で最近到達した次の了解を確認する光栄を有します。
I have the honour to confirm the following understanding recently reached between the representatives of the Government of Japan and of the Government of the Republic of Turkey concerning Japanese loans to be extended with a view to strengthening the friendly relations and economic cooperation between the two countries and promoting development efforts of the Republic of Turkey:
Ｉ
I
１ 四十二億二千五百万円（四、二二五、〇〇〇、〇〇〇円）の額までの円貨による借款（以下「借款Ｉ」という。）が、チョルフ川流域保全計画（以下「計画Ｉ」という。）を実施することを目的として、独立行政法人国際協力機構（以下「ＪＩＣＡ」という。）により、日本国の関係法令に従って、トルコ共和国政府に供与されることになる。
1. A loan in Japanese yen up to the amount of four billion two hundred and twenty-five million yen (\4,225,000,000) (hereinafter referred to as “the Loan I”) will be extended, in accordance with the relevant laws and regulations of Japan, to the Government of the Republic of Turkey by the Japan International Cooperation Agency (hereinafter referred to as “JICA”) for the purpose of implementing the Coruh River Watershed Rehabilitation Project (hereinafter referred to as “the Project I”).
２(1) 借款Ｉは、トルコ共和国政府とＪＩＣＡとの間で締結される借款契約に基づいて使用に供される。借款Ｉの条件及び使用に関する手続は、この了解の範囲内で、なかんずく次の原則を含むことになる前記の借款契約によって規律される。
2. (1) The Loan I will be made available by a loan agreement to be concluded between the Government of the Republic of Turkey and JICA. The terms and conditions of the Loan I as well as the procedures for its utilization will be governed by the said loan agreement, within the scope of the present understanding, which will contain, inter alia, the following principles:
(a) 償還期間は、七年の据置期間の後十八年とする。
(a) The repayment period will be eighteen (18) years after the grace period of seven (7) years;
(b) 利子率は、年一・二パーセントとする。
(b) The rate of interest will be one point two per cent (1.2%) per annum;
(c) ただし、(b)にかかわらず、借款Ｉの一部が計画Ｉのコンサルタントに対して行う支払のために使用される場合には、当該部分に係る利子率は、年〇・〇一パーセントとする。
(c) Notwithstanding sub-paragraph (b) above, where a part of the Loan I is made available to cover payments to consultants of the Project I, then the rate of interest of the said part will be nought point nought one per cent (0.01%) per annum; and
(d) 支出期間は、前記の借款契約の発効の日の後八年とする。
(d) The disbursement period will be eight (8) years from the date of coming into force of the said loan agreement.
(2) (1)に規定する借款契約は、ＪＩＣＡが計画Ⅰの実行可能性（環境に対する配慮を含む。）を確認した後に締結される。
(2) The loan agreement mentioned in sub-paragraph (1) above will be concluded after JICA is satisfied of the feasibility, including environmental consideration, of the Project I.
(3) (1)(d)に規定する支出期間は、両政府の関係当局の同意を得て延長することができる。
(3) The disbursement period mentioned in sub-paragraph (1)(d) above may be extended with the consent of the authorities concerned of the two Governments.
３(1) 借款Ｉは、トルコの実施機関が調達適格国の供給者、請負業者又はコンサルタントに対して行う支払で、計画Ｉの実施に必要な生産物又は役務の購入のために両者の間で締結されることのある契約に基づいて行われるものを対象として使用に供される。ただし、当該購入は、調達適格国において、それらの国で生産される生産物又はそれらの国から供給される役務について行われる。
3. (1) The Loan I will be made available to cover payments to be made by the Turkish executing agency to suppliers, contractors and/or consultants of eligible source countries under such contracts as may be entered into between them for purchases of products and/or services required for the implementation of the Project I, provided that such purchases are made in such eligible source countries for products produced in and/or services supplied from those countries.
(2) (1)に規定する調達適格国の範囲は、両政府の関係当局間で合意される。
(2) The scope of eligible source countries mentioned in sub-paragraph (1) above shall be agreed upon between the authorities concerned of the two Governments.
(3) 借款Ｉの一部は、計画Ｉの実施のための適格な現地通貨の需要に充てるために使用することができる。
(3) A part of the Loan I may be used to cover eligible local currency requirements for the implementation of the Project I.
Ⅱ
II
１ 百二十七億八千四百万円（一二、七八四、〇〇〇、〇〇〇円）の額までの円貨による借款（以下「借款Ⅱ」という。）が、地方自治体下水道整備計画（以下「計画Ⅱ」という。）を実施することを目的として、ＪＩＣＡにより、日本国の関係法令に従って、イルラー銀行（以下「借入人」という。）に供与されることになる。
1. A loan in Japanese yen up to the amount of twelve billion seven hundred and eighty-four million yen (\12,784,000,000) (hereinafter referred to as “the Loan II”) will be extended, in accordance with the relevant laws and regulations of Japan, to Iller Bank (hereinafter referred to as “the Borrower”) by JICA for the purpose of implementing the Municipal Sewerage and Wastewater Treatment Improvement Project (hereinafter referred to as “the Project II”).
２(1) 借款Ⅱは、借入人とＪＩＣＡとの間で締結される借款契約に基づいて使用に供される。借款Ⅱの条件及び使用に関する手続は、この了解の範囲内で、なかんずく次の原則を含むことになる前記の借款契約によって規律される。
2. (1) The Loan II will be made available by a loan agreement to be concluded between the Borrower and JICA. The terms and conditions of the Loan II as well as the procedures for its utilization will be governed by the said loan agreement, within the scope of the present understanding, which will contain, inter alia, the following principles:

(2) (1)に規定する借款契約は、ＪＩＣＡが計画Ⅱの実行可能性（環境に対する配慮を含む。）を確認した後に締結される。
(2) The loan agreement mentioned in sub-paragraph (1) above will be concluded after JICA is satisfied of the feasibility, including environmental consideration, of the Project II.
(3) (1)(d)に規定する支出期間は、両政府の関係当局の同意を得て延長することができる。
(3) The disbursement period mentioned in sub-paragraph (1)(d) above may be extended with the consent of the authorities concerned of the two Governments.
３ 借款Ⅱは、計画Ⅱに基づき借入人が最終借入人に対して行う融資に充てるために使用に供される。
3. The Loan II will be made available to cover credits to be extended by the Borrower to the sub-borrowers under the Project II.
４ 借入人に供与される借款Ⅱの元本の償還並びに利子及びその他いかなる課徴金の支払も、トルコ共和国政府によって保証される。
4. The repayment of principal of the Loan II extended to the Borrower, as well as the payment of interest and any other charges thereon, shall be guaranteed by the Government of the Republic of Turkey.
５(1) 借款Ⅱの一部は、借入人が調達適格国のコンサルタントに対して行う支払で、計画Ⅱの実施に必要な役務の購入のために両者の間で締結されることのある契約に基づいて行われるものを対象として使用に供される。ただし、当該購入は、調達適格国において、それらの国から供給される役務について行われる。
5. (1) A part of the Loan II will be made available to cover payments to be made by the Borrower to consultants of eligible source countries under such contracts as may be entered into between them for purchases of services required for the implementation of the Project II, provided that such purchases are made in such eligible source countries for services supplied from those countries.
(2) (1)に規定する調達適格国の範囲は、両政府の関係当局間で合意される。
(2) The scope of eligible source countries mentioned in sub-paragraph (1) above shall be agreed upon between the authorities concerned of the two Governments.
(3) 借款Ⅱの一部は、計画Ⅱの実施のための適格な現地通貨の需要に充てるために使用することができる。
(3) A part of the Loan II may be used to cover eligible local currency requirements for the implementation of the Project II.
Ⅲ
III
１ トルコ共和国政府は、Ｉ３(1)及びⅡ５(1)に規定する生産物又は役務がＪＩＣＡの調達のためのガイドライン（国際競争入札の手続が適用できないか又は適当でない場合を除くほか従うべき国際競争入札の手続をなかんずく定める。）に従って調達されることを確保する。
1. The Government of the Republic of Turkey shall ensure that the products and/or services mentioned in sub-paragraph (1) of paragraph 3. of Part I and sub-paragraph (1) of paragraph 5. of Part II are procured in accordance with the guidelines for procurement of JICA which set forth, inter alia, the procedures of international competitive bidding to be followed except where such procedures are inapplicable or inappropriate.
２ トルコ共和国政府は、借款Ｉ及び借款Ⅱ（以下合わせて「借款」という。）に基づいて購入される生産物の海上輸送及び海上保険に関し、海運会社及び海上保険会社の間の公正かつ自由な競争を妨げることのあるいかなる制限を課することも差し控える。
2. With regard to the shipping and marine insurance of the products purchased under the Loan I and the Loan II (hereinafter collectively referred to as “the Loans”), the Government of the Republic of Turkey shall refrain from imposing any restrictions that may hinder fair and free competition among the shipping and marine insurance companies.
３ Ｉ３(1)及びⅡ５(1)に規定する生産物又は役務の供給に関連してトルコ共和国においてその役務が必要とされる日本国民は、作業の遂行のためトルコ共和国への入国及び同国における滞在に必要な便宜を与えられる。
3. Japanese nationals whose services may be required in the Republic of Turkey in connection with the supply of the products and/or services mentioned in sub-paragraph (1) of paragraph 3. of Part I and sub-paragraph (1) of paragraph 5. of Part II shall be accorded such facilities as may be necessary for their entry into the Republic of Turkey and stay therein for the performance of their work.
４ トルコ共和国政府は、ＪＩＣＡについて、借款及びそれから生ずる利子に対して又はそれらに関連してトルコ共和国において課される全ての財政課徴金及び租税を免除する。
4. The Government of the Republic of Turkey shall exempt JICA from all fiscal levies and taxes imposed in the Republic of Turkey on and/or in connection with the Loans as well as interest accruing therefrom.
５ トルコ共和国政府は、次のことのために必要な措置をとる。
5. The Government of the Republic of Turkey shall take necessary measures to:
(a) 借款が適正にかつ専ら計画Ⅰ及び計画Ⅱ（以下合わせて「計画」という。）のために使用されることを確保すること。
(a) ensure that the Loans be used properly and exclusively for the Project I and the Project II (hereinafter collectively referred to as “the Projects”);
(b) 借款に基づく施設の建設及び当該施設の使用に当たり、計画の実施に従事する者及びトルコ共和国の一般公衆の安全を確保し、及び維持すること。
(b) ensure and maintain the safety of persons engaged in the implementation of the Projects and of the general public of the Republic of Turkey in constructing the facilities under the Loans and in using such facilities; and
(c) 借款に基づいて建設される施設がこの了解に定める目的のために適正にかつ効果的に維持され、及び使用されることを確保すること。
(c) ensure that the facilities constructed under the Loans be maintained and used properly and effectively for the purposes prescribed in the present understanding.
６ トルコ共和国政府は、要請に応じ、日本国政府及びＪＩＣＡに対し、次のものを提供する。
6. The Government of the Republic of Turkey shall, upon request, furnish the Government of Japan and JICA with:
(a) 計画の進捗状況についての情報及び資料
(a) information and data concerning the progress of the implementation of the Projects; and
(b) 計画に関連するその他の情報
(b) any other information related to the Projects.
７ 両政府は、この了解から又はそれに関連して生ずることのあるいかなる事項についても相互に協議する。
7. The two Governments shall consult with each other with respect to any matter that may arise from or in connection with the present understanding.
本使は、更に、この書簡及び前記の了解をトルコ共和国政府に代わって確認される閣下の返簡が両政府間の合意を構成し、その合意が閣下の返簡の日付の日に効力を生ずるものとすることを提案する光栄を有します。
I have further the honour to propose that this Note and Your Excellency’s Note in reply confirming on behalf of the Government of the Republic of Turkey the foregoing understanding shall constitute an agreement between the two Governments, which shall enter into force on the date of Your Excellency’s Note in reply.
