(Japanese Note) Jakarta, August 18, 2011 Excellency,
書簡をもって啓上いたします。本使は、インドネシア共和国の経済の安定及び開発努力を促進するために供与される日本国の借款に関して日本国政府の代表者とインドネシア共和国政府の代表者との間で最近到達した次の了解を確認する光栄を有します。
I have the honour to confirm the following understanding recently reached between the representatives of the Government of Japan and of the Government of the Republic of Indonesia concerning a Japanese loan to be extended with a view to promoting the economic stabilization and development efforts of the Republic of Indonesia:
１ 七百三十九億四千二百万円（七三、九四二、〇〇〇、〇〇〇円）の額までの円貨による借款（以下「借款」という。）が、この書簡の付表（以下「付表」という。）１欄に掲げる事業計画を実施することを目的として、各事業計画につき付表２欄に定める配分に応じ、独立行政法人国際協力機構（以下「ＪＩＣＡ」という。）により、日本国の関係法令に従って、インドネシア共和国政府に供与されることになる。
1. A loan in Japanese yen up to the amount of seventy-three billion nine hundred and forty-two million yen (\73,942,000,000) (hereinafter referred to as “the Loan”) will be extended, in accordance with the relevant laws and regulations of Japan, to the Government of the Republic of Indonesia by the Japan International Cooperation Agency (hereinafter referred to as “JICA”) for the purpose of implementing the projects enumerated in Column 1 of the Annex attached hereto (hereinafter referred to as “the Annex”) according to the allocation for each project as specified in Column 2 of the Annex.
２(1) 借款は、インドネシア共和国政府とＪＩＣＡとの間で締結される借款契約に基づいて使用に供される。借款の条件及び使用に関する手続は、この了解の範囲内で、なかんずく付表３欄、付表４欄及び付表５欄にそれぞれ掲げる利子率、償還期間及び支出期間を含むことになる前記の借款契約によって規律される。
2. (1) The Loan will be made available by loan agreements to be concluded between the Government of the Republic of Indonesia and JICA. The terms and conditions of the Loan as well as the procedures for its utilization will be governed by the said loan agreements, within the scope of the present understanding, which will contain, inter alia, the rate of interest, the repayment period and the disbursement period enumerated respectively in Columns 3, 4 and 5 of the Annex.
(2) (1)に規定する借款契約の各々は、ＪＩＣＡが当該借款契約に係る付表１欄に掲げる事業計画の実行可能性（環境に対する配慮を含む。）を確認した後に締結される。
(2) Each of the loan agreements mentioned in sub-paragraph (1) above will be concluded after JICA is satisfied of the feasibility, including environmental consideration, of the projects enumerated in Column 1 of the Annex to which such loan agreements relate.
(3) 付表５欄に掲げるそれぞれの支出期間は、両政府の関係当局の同意を得て延長することができる。
(3) The respective disbursement periods enumerated in Column 5 of the Annex may be extended with the consent of the authorities concerned of the two Governments.
３(1) 借款は、インドネシアの実施機関が調達適格国の供給者、請負業者又はコンサルタントに対して行う支払で、付表１欄に掲げる事業計画の実施に必要な生産物又は役務の購入のために両者の間で締結されることのある契約に基づいて行われるものを対象として使用に供される。ただし、当該購入は、調達適格国において、それらの国で生産される生産物又はそれらの国から供給される役務について行われる。
3. (1) The Loan will be made available to cover payments to be made by the Indonesian executing agencies to suppliers, contractors and/or consultants of eligible source countries under such contracts as may be entered into between them for purchases of products and/or services required for the implementation of the projects enumerated in Column 1 of the Annex, provided that such purchases are made in such eligible source countries for products produced in and/or services supplied from those countries.
(2) (1)に規定する調達適格国の範囲は、両政府の関係当局間で合意される。
(2) The scope of eligible source countries mentioned in sub-paragraph (1) above shall be agreed upon between the authorities concerned of the two Governments.
(3) 借款の一部は、付表１欄に掲げる事業計画の実施のための適格な現地通貨の需要に充てるために使用することができる。
(3) A part of the Loan may be used to cover eligible local currency requirements for the implementation of the projects enumerated in Column 1 of the Annex.
４ 借款の元本の償還並びに利子及びその他いかなる課徴金の支払の責任も、インドネシア共和国政府が負う。
4. The Government of the Republic of Indonesia shall bear the responsibility for the repayment of principal of the Loan, as well as the payment of interest and any other charges thereon.
５ インドネシア共和国政府は、３(1)に規定する生産物又は役務がＪＩＣＡの調達のためのガイドライン（２(1)に規定する借款契約において言及されるものであって、国際競争入札の手続が適用できないか又は適当でない場合を除くほか従うべき国際競争入札の手続をなかんずく定めるもの）に適合するように調達されることを確保する。
5. The Government of the Republic of Indonesia shall ensure that the products and/or services mentioned in sub-paragraph (1) of paragraph 3. are procured in a manner consistent with the guidelines for procurement of JICA, which will be referred to in the loan agreements mentioned in sub-paragraph (1) of paragraph 2. and which set forth, inter alia, the procedures of international competitive bidding to be followed except where such procedures are inapplicable or inappropriate.
６ インドネシア共和国政府は、借款に基づいて購入される生産物の海上輸送及び海上保険に関し、海運会社及び海上保険会社の間の公正かつ自由な競争を妨げることのあるいかなる制限を課することも差し控える。
6. With regard to the shipping and marine insurance of the products purchased under the Loan, the Government of the Republic of Indonesia shall refrain from imposing any restrictions that may hinder fair and free competition among the shipping and marine insurance companies.
７(1) インドネシア共和国政府は、ＪＩＣＡについて、借款及びそれから生ずる利子に対して又はそれらに関連して課されるインドネシアの財政課徴金及び租税を免除する。
7. (1) The Government of the Republic of Indonesia shall exempt JICA from Indonesian fiscal levies and taxes on and/or in connection with the Loan as well as interest accruing therefrom.
(2) インドネシア共和国政府は、供給者、請負業者又はコンサルタントとして活動する日本国の会社が借款に基づいて行う生産物又は役務の供給から生ずる所得に関する全てのインドネシアの財政課徴金及び租税を負担する。
(2) The Government of the Republic of Indonesia shall assume all Indonesian fiscal levies and taxes with respect to the income of Japanese companies operating as suppliers, contractors and/or consultants accruing from the supply of the products and/or services to be provided under the Loan.
(3) インドネシア共和国政府は、供給者、請負業者又はコンサルタントとして活動する日本国の会社自身の資材及び設備であって付表１欄に掲げる事業計画の実施に必要なものの輸入及び再輸出に関する全てのインドネシアの関税及び関連の財政課徴金を負担する。
(3) The Government of the Republic of Indonesia shall assume all Indonesian duties and related fiscal charges with respect to the import and re-export of own materials and equipment of Japanese companies operating as suppliers, contractors and/or consultants needed for the implementation of the projects enumerated in Column 1 of the Annex.
８ インドネシア共和国政府は、次のことのために必要な措置をとる。
8. The Government of the Republic of Indonesia shall take necessary measures to:
(a) 借款が、この了解に基づく両政府の権利及び義務に影響を及ぼすことなく、インドネシア共和国の関係法令に従って、適正にかつ専ら付表１欄に掲げる事業計画のために使用されることを確保すること。
(a) ensure that the Loan be used properly and exclusively for the projects enumerated in Column 1 of the Annex in accordance with the relevant laws and regulations of the Republic of Indonesia, without prejudice to the rights and obligations of the two Governments under the present understanding;
(b) 借款に基づく施設の建設及び当該施設の使用に当たり、付表１欄に掲げる事業計画の実施に従事する者及びインドネシア共和国の一般公衆の安全を確保し、及び維持すること。
(b) ensure and maintain the safety of persons engaged in the implementation of the projects enumerated in Column 1 of the Annex and the general public of the Republic of Indonesia in constructing the facilities under the Loan and in using such facilities; and
(c) 借款に基づいて建設される施設がこの了解に定める目的のために適正にかつ効果的に維持され、及び使用されることを確保すること。
(c) ensure that the facilities constructed under the Loan be maintained and used properly and effectively for the purpose prescribed in the present understanding.
９ インドネシア共和国政府は、要請に応じ、日本国政府及びＪＩＣＡに対し、次のものを提供する。
9. The Government of the Republic of Indonesia shall, upon request, furnish the Government of Japan and JICA with:
(a) 借款の使途及び付表１欄に掲げる事業計画の実施の進捗状況についての情報及び資料
(a) information and data concerning the use of the Loan and the progress of the implementation of the projects enumerated in Column 1 of the Annex; and
(b) 借款及び付表１欄に掲げる事業計画に関連するその他の情報
(b) any other information related to the Loan and the projects enumerated in Column 1 of the Annex.
10 両政府は、この了解から又はそれに関連して生ずることのあるいかなる事項についても相互に協議する。
10. The two Governments shall consult with each other with respect to any matter that may arise from or in connection with the present understanding.
11 付表は、この書簡の不可分の一部を成す。
11. The Annex shall form an integral part of the present Note.
本使は、更に、この書簡及び前記の了解をインドネシア共和国政府に代わって確認される閣下の返簡が両政府間の合意を構成し、その合意が閣下の返簡の日付の日に効力を生ずるものとすることを提案する光栄を有します。
I have further the honour to propose that this Note and your Excellency’s Note in reply confirming on behalf of the Government of the Republic of Indonesia the foregoing understanding shall constitute an agreement between the two Governments, which shall enter into force on the date of your Excellency’s Note in reply.

I have further the honour to confirm on behalf of the Government of the Republic of Indonesia the foregoing understanding and to agree that Your Excellency’s Note and this Note in reply shall constitute an agreement between the two Governments, which shall enter into force on the date of this Note in reply.
