(Japanese Note)
（訳文） 書簡をもって啓上いたします。本使は、二千九年四月十六日にパリで開催されたセーシェル共和国政府の代表者と関係債権諸国（以下「債権諸国」という。）政府の代表者との間の協議において到達した結論に基づき日本国政府の代表者とセーシェル共和国政府の代表者との間で行われた最近の交渉に言及する光栄を有します。本使は、更に、当該交渉において到達した次の了解を確認する光栄を有します。
Victoria, November 23, 2010 Sir, I have the honour to refer to the recent negotiations between the representatives of the Government of Japan and of the Government of the Republic of Seychelles that were held on the basis of the conclusions reached during the consultations between the representatives of the Government of the Republic of Seychelles and of the Governments of the creditor countries concerned (hereinafter referred to as “the Creditor Countries”) held in Paris on April 16, 2009. I have further the honour to confirm the following understanding reached in the course of the said negotiations:
１ 債務繰延方式、債務支払猶予方式及び債務免除方式による債務救済措置が、株式会社日本政策金融公庫・国際協力銀行（以下「ＪＢＩＣ」という。）により、日本国の関係法令に従ってとられることになる。
1. A debt relief measure in the form of rescheduling, deferral and cancelation will be taken in accordance with the relevant laws and regulations of Japan by the Japan Bank for International Cooperation, Japan Finance Corporation (hereinafter referred to as “the JBIC”).
２(1) 繰り延べられる債務は、セーシェル共和国政府がＪＢＩＣに対して負う次の債務から成る。
2. (1) The debts to be rescheduled consist of the following debts which the Government of the Republic of Seychelles owes to the JBIC:
アンタイド・ローンの供与に関してセーシェル共和国政府と日本輸出入銀行（以下「輸銀」という。）との間で二千八年十二月三十一日より前に締結された借款契約に基づいて支払われるべき債務（以下「繰延債務」という。）は、次のとおりである。
The debts payable under the loan agreements concluded before December 31, 2008 between the Government of the Republic of Seychelles and the Export-Import Bank of Japan (hereinafter referred to as “the JEXIM”) on the extension of untied loans (hereinafter referred to as “the Rescheduled Debts”) are as follows:
二千八年十月三十一日以前に弁済期限の到来した未払の元本及び契約上の利子（遅延利子を含む。）の百パーセント（それらの内訳は、この書簡の付表に掲げられる。）
One hundred per cent (100%) of the principal and contractual interest (including late interest) having fallen due on or before October 31, 2008 and not paid, the breakdown of which is shown in the List attached hereto.
(2) 繰延債務の総額は、十億三百五十八万四千八百一円（一、〇〇三、五八四、八〇一円）になる。
(2) The total amount of the Rescheduled Debts will be one billion three million five hundred and eighty-four thousand eight hundred and one yen (\1,003,584,801).
(3) (2)に規定する総額及びこの書簡の付表は、セーシェル共和国政府の関係当局及びＪＢＩＣが行う最終的照合の後に、日本国政府及びセーシェル共和国政府の関係当局間の合意により修正することができる。
(3) Modifications may be made to the total amount referred to in sub-paragraph (2) above and to the List attached hereto by agreement between the authorities concerned of the Government of Japan and of the Government of the Republic of Seychelles, after the final verification to be made by the authorities concerned of the Government of the Republic of Seychelles and the JBIC.
３ 債務繰延べの条件は、セーシェル共和国政府とＪＢＩＣとの間で締結される債務繰延契約であって、なかんずく次の原則を含むものにおいて規定される。
3. The terms and conditions of the rescheduling will be stipulated in a rescheduling agreement to be concluded between the Government of the Republic of Seychelles and the JBIC, which will contain, inter alia, the following principles:
(1) 繰延債務の各々は、この書簡の附属書Ⅰに掲げる支払計画に従って二千十三年十二月三十一日に始まる二十八回の半年賦払によって支払われる。
(1) Each of the Rescheduled Debts will be paid in twenty-eight (28) semi-annual installments beginning on December 31, 2013 in accordance with the payment schedule shown in the Annex I attached hereto.
(2) 繰延債務に対する利子率は、日本円預金に対する適用可能なロンドン銀行間取引金利（以下「ＬＩＢＯＲ」という。）（六箇月の貸出しに適用される金利）に年〇・五パーセントを加えたものとし、繰延債務の各々の弁済期日から適用される。利子率は、毎年六月三十日及び十二月三十一日の二ロンドン銀行営業日前に決められる。
(2) The rate of interest on the Rescheduled Debts will be nought point five per cent (0.5%) per annum above the applicable London inter-bank offered rate (hereinafter referred to as “LIBOR”) on Japanese yen deposits applied for six months lending, and it will be applied from due date of each of the Rescheduled Debts. The rate of interest will be determined on the day falling two London banking days before June 30 and December 31 in each year.
４(1) ３(1)に規定する債務繰延べの条件にもかかわらず、当該条件に基づいて支払われるべき次の債務（以下「支払猶予債務Ⅰ」という。）は、(2)に規定する支払計画に従って支払われる。
繰延債務に対して二千八年十一月一日から二千九年六月三十日までの間（両期日を含む。）に課される利子の百パーセント
4. (1) Notwithstanding the terms and conditions of the rescheduling referred to in sub-paragraph (1) of paragraph 3., the following debts payable under the said terms and conditions (hereinafter referred to as “the Deferred Debts I”) will be paid in accordance with the payment schedule referred to in sub-paragraph (2) below: One hundred per cent (100%) of the interest on the Rescheduled Debts to be charged for the period between November 1, 2008 and June 30, 2009, both dates inclusive.
(2) 支払猶予債務Ⅰの総額は、この書簡の附属書Ⅱに掲げる支払計画に従って二千十四年六月三十日に始まる十回の半年賦払によって支払われる。
(2) The total amount of the Deferred Debts I will be paid in ten (10) semi-annual installments beginning on June 30, 2014 in accordance with the payment schedule in the Annex II attached hereto.
(3) 支払猶予債務Ⅰに対して適用される利子率は、日本円預金に対する適用可能なＬＩＢＯＲ（六箇月の貸出しに適用される金利）に年〇・五パーセントを加えたものとする。
(3) The rate of interest on the Deferred Debts I will be nought point five per cent (0.5%) per annum above the applicable LIBOR on Japanese yen deposits applied for six months lending.
５(1) ３(1)に規定する債務繰延べ及び４(1)に規定する支払猶予の条件にもかかわらず、６の実施の結果として、次の債務（以下「支払猶予債務Ⅱ」という。）は、(2)に規定する支払計画に従って支払われる。
5. (1) Notwithstanding the terms and conditions of the rescheduling referred to in sub-paragraph (1) of paragraph 3. and the deferral referred to in sub-paragraph (1) of paragraph 4., as a result of the implementation of paragraph 6., the following debts (hereinafter referred to as “the Deferred Debts II”) will be paid in accordance with the payment schedule referred to in sub-paragraph (2) below:
(a) 繰延債務に対して二千九年七月一日から二千九年十二月三十一日までの間（両期日を含む。）に課される利子の百パーセント
(a) One hundred per cent (100%) of the interest on the Rescheduled Debts to be charged for the period between July 1, 2009 and December 31, 2009, both dates inclusive.
(b) 繰延債務に対して二千十年一月一日から二千十年六月三十日までの間（両期日を含む。）に課される利子の四十パーセント
(b) Forty per cent (40%) of the interest on the Rescheduled Debts to be charged for the period between January 1, 2010 and June 30, 2010, both dates inclusive.
(c) 繰延債務に対して二千十年七月一日から二千十二年十二月三十一日までの間（両期日を含む。）に課される利子の四十パーセント
(c) Forty per cent (40%) of the interest on the Rescheduled Debts to be charged for the period between July 1, 2010 and December 31, 2012, both dates inclusive.
(2) 支払猶予債務Ⅱの総額は、この書簡の附属書Ⅱに掲げる支払計画に従って二千十四年六月三十日に始まる十回の半年賦払によって支払われる。
(2) The total amount of the Deferred Debts II will be paid in ten (10) semi-annual installments beginning on June 30, 2014 in accordance with the payment schedule shown in the Annex II attached hereto.
(3) 支払猶予債務Ⅱに対して適用される利子率は、日本円預金に対する適用可能なＬＩＢＯＲ（六箇月の貸出しに適用される金利）に年〇・五パーセントを加えたものとする。
(3) The rate of interest on the Deferred Debts II will be nought point five per cent (0.5%) per annum above the applicable LIBOR on Japanese yen deposits applied for six months lending.
６ 二千九年四月十六日にセーシェル共和国政府の代表者及び債権諸国政府の代表者によって署名された合意議事録に定める条件が遵守されたことを考慮して、繰延債務の総額の二十二・五パーセントが二千九年七月一日時点で免除され、当該繰延債務の総額の更に二十二・五パーセントが二千十年七月一日時点で免除される。
6. Taking into account the fact that the conditions set out in the Agreed Minutes signed by the representatives of the Government of the Republic of Seychelles and of the Governments of the Creditor Countries on April 16, 2009 have been complied with, twenty-two point five per cent (22.5%) of the total amount of the Rescheduled Debts will be cancelled as of July 1, 2009 and another twenty-two point five per cent (22.5%) of the said amount will be cancelled as of July 1, 2010.
７ セーシェル共和国の債務（この了解が対象とする債務を含む。）の再編に関連してセーシェル共和国政府の代表者及び債権諸国政府の代表者が新たな結論に到達した場合には、日本国政府とセーシェル共和国政府との間でこの了解の継続又は修正について討議するために協議が行われる。
7. If the representatives of the Government of the Republic of Seychelles and of the Governments of the Creditor Countries come to a new conclusion in connection with reorganization of the debts of the Republic of Seychelles including the debts covered by the present understanding, the Government of Japan and the Government of the Republic of Seychelles shall hold consultations in order to discuss the matter of continuation or modification of the present understanding.
本使は、更に、この書簡及び前記の了解をセーシェル共和国政府に代わって確認される貴官の返簡が両政府間の合意を構成し、その合意が貴官の返簡の日付の日に効力を生ずるものとすることを提案する光栄を有します。
I have further the honour to propose that this Note and your Note in reply confirming on behalf of the Government of the Republic of Seychelles the foregoing understanding shall constitute an agreement between the two Governments, which shall enter into force on the date of your Note in reply.
