円借款の供与に関する日本国政府とフィリピン共和国政府との間の交換公文
（日本側書簡）
(Japanese Note) Manila, March 15, 2010 Excellency,
書簡をもって啓上いたします。本使は、フィリピン共和国の経済の安定及び開発努力を促進するために供与される日本国の借款に関して日本国政府の代表者とフィリピン共和国政府の代表者との間で最近到達した次の了解を確認する光栄を有します。
I have the honour to confirm the following understanding recently reached between the representatives of the Government of Japan and of the Government of the Republic of the Philippines concerning Japanese loans to be extended with a view to promoting the economic stabilization and development efforts of the Republic of the Philippines:
Ⅰ
I
１ 九十二億二千万円（九、二二〇、〇〇〇、〇〇〇円）の額までの円貨による借款（以下「借款Ⅰ」という。）が、アジア開発銀行による第三次開発政策支援計画の下での改革計画（以下「改革計画」という。）においてフィリピン共和国政府を支援することを目的として、独立行政法人国際協力機構（以下「ＪＩＣＡ」という。）により、日本国の関係法令に従って、フィリピン共和国政府に供与されることになる。
1. A loan in Japanese yen up to the amount of nine billion two hundred and twenty million yen (\9,220,000,000) (hereinafter referred to as “the Loan I”) will be extended, in accordance with the relevant laws and regulations of Japan, to the Government of the Republic of the Philippines by the Japan International Cooperation Agency (hereinafter referred to as “JICA”) for the purpose of supporting the Government of the Republic of the Philippines in its reform program under the Development Policy Support Program, Subprogram 3 by the Asian Development Bank (hereinafter referred to as “the Reform Program”).
２(1) 借款Ⅰは、フィリピン共和国政府とＪＩＣＡとの間で締結される借款契約に基づいて使用に供される。借款Ⅰの条件及び使用に関する手続は、この了解の範囲内で、なかんずく次の原則を含むことになる前記の借款契約によって規律される。
2. (1) The Loan I will be made available by a loan agreement to be concluded between the Government of the Republic of the Philippines and JICA. The terms and conditions of the Loan I as well as the procedures for its utilization will be governed by the said loan agreement, within the scope of the present understanding, which will contain, inter alia, the following principles:
(a) 償還期間は、十年の据置期間の後二十年とする。
(a) The repayment period will be twenty (20) years after the grace period of ten (10) years;
(b) 利子率は、年一・四パーセントとする。
(b) The rate of interest will be one point four per cent (1.4%) per annum; and
(c) 支出期間は、前記の借款契約の発効の日の後三年とする。
(c) The disbursement period will be three (3) years after the date of coming into force of the said loan agreement.
(2) (1)(c)に規定する支出期間は、両政府の関係当局の同意を得て延長することができる。
(2) The disbursement period mentioned in sub-paragraph (1)(c) above may be extended with the consent of the authorities concerned of the two Governments.
Ⅱ
II
１ 百三十八億三千万円（一三、八三〇、〇〇〇、〇〇〇円）の額までの円貨による借款（以下「借款Ⅱ」という。）が、緊急財政支援円借款として、必要な経済政策を実施するために要する資金を供給することを目的として、ＪＩＣＡにより、日本国の関係法令に従って、フィリピン共和国政府に供与されることになる。
1. A loan in Japanese yen up to the amount of thirteen billion eight hundred and thirty million yen (\13,830,000,000) (hereinafter referred to as “the Loan II”) will be extended as the Emergency Budget Support Japanese ODA Loan, in accordance with the relevant laws and regulations of Japan, to the Government of the Republic of the Philippines by JICA for the purpose of providing necessary financial resources to the Government of the Republic of the Philippines in implementing its necessary economic policy.
２(1) 借款Ⅱは、フィリピン共和国政府とＪＩＣＡとの間で締結される借款契約に基づいて使用に供される。借款Ⅱの条件及び使用に関する手続は、この了解の範囲内で、なかんずく次の原則を含むことになる前記の借款契約によって規律される。
2. (1) The Loan II will be made available by a loan agreement to be concluded between the Government of the Republic of the Philippines and JICA. The terms and conditions of the Loan II as well as the procedures for its utilization will be governed by the said loan agreement, within the scope of the present understanding, which will contain, inter alia, the following principles:
(a) 償還期間は、三年の据置期間の後十二年とする。
(a) The repayment period will be twelve (12) years after the grace period of three (3) years;
(b) 利子率は、六箇月の貸出しに適用される適用可能なロンドン銀行間取引金利とする。
(b) The rate of interest will be the applicable London inter-bank offered rate applied for six months lending in Japanese yen; and
(c) 支出期間は、前記の借款契約の発効の日の後三年とする。
(c) The disbursement period will be three (3) years after the date of coming into force of the said loan agreement.
(2) (1)(c)に規定する支出期間は、両政府の関係当局の同意を得て延長することができる。
(2) The disbursement period mentioned in sub-paragraph (1)(c) above may be extended with the consent of the authorities concerned of the two Governments.
Ⅲ
III
１(1) 借款Ⅰ及び借款Ⅱ（以下合わせて「借款」という。）は、フィリピン共和国内の輸入者が調達適格国の供給者に対して既に行ったか又は行う支払で、生産物（両政府の関係当局間で合意する表に掲げる生産物を除く。）の購入又は当該生産物の購入に付随する役務の購入のために両者の間で既に締結されたか又は締結されることのある契約に基づいて行われるものを対象として使用に供される。ただし、当該購入は、調達適格国において、それらの国で生産される生産物又はそれらの国から供給される役務について行われる。
1. (1) The Loan I and The Loan II (hereinafter referred to collectively as “the Loans”) will be made available to cover payments already made and/or to be made by importers in the Republic of the Philippines to suppliers of eligible source countries under such contracts as have been and/or may be entered into between them for purchases of products, except such products as will be enumerated in a list to be mutually agreed upon between the authorities concerned of the two Governments, and/or for purchases of services incidental to the purchases of those products, provided that such purchases are made in such eligible source countries for products produced in and/or services supplied from those countries.
(2) (1)に規定する表は、両政府の関係当局間の合意によって修正することができる。
(2) The list mentioned in sub-paragraph (1) above may be modified by agreement between the authorities concerned of the two Governments.
(3) (1)に規定する調達適格国の範囲は、両政府の関係当局間で合意される。
(3) The scope of eligible source countries mentioned in sub-paragraph (1) above shall be agreed upon between the authorities concerned of the two Governments.
２ フィリピン共和国政府は、フィリピン共和国政府の名義でフィリピン中央銀行に開設される国家予算勘定に借款の円貨による支出額に等しい額をフィリピンの通貨で振り替えるようにするための措置をとる。このようにして振り返られた額は、フィリピン共和国政府の国家予算に編入される。借款Ⅰの額は、フィリピン共和国政府による改革計画の実施を支援するために使用され、また、借款Ⅱの額は、フィリピン共和国政府が必要な経済政策を実施するために要する資金を供給するために使用される。
2. The Government of the Republic of the Philippines shall take measures to have the equivalent in Philippine currency of the amount of yen disbursements of the Loans transferred to the state budget account opened in the name of the Government of the Republic of the Philippines at Bangko Sentral ng Pilipinas. The amount thus transferred shall be included in the state budget of the Government of the Republic of the Philippines. The amount of Loan I shall be used to support the implementation of the Reform Program by the Government of the Republic of the Philippines, and the amount of Loan II shall be used to provide necessary financial resources in implementing its necessary economic policy.
３ フィリピン共和国政府は、１(1)に規定する生産物又は役務がＪＩＣＡの調達のためのガイドライン（国際競争入札の手続が適用できないか又は適当でない場合を除くほか従うべき国際競争入札の手続をなかんずく定める。）に従って調達されることを確保する。
3. The Government of the Republic of the Philippines shall ensure that the products and/or services mentioned in sub-paragraph (1) of paragraph 1. be procured in accordance with the guidelines for procurement of JICA, which set forth, inter alia, the procedures of international competitive bidding to be followed except where such procedures are inapplicable or inappropriate.
４ フィリピン共和国政府は、借款に基づいて購入される生産物の海上輸送及び海上保険に関し、海運会社及び海上保険会社の間の公正かつ自由な競争を妨げることのあるいかなる制限を課することも差し控える。
4. With regard to the shipping and marine insurance of the products purchased under the Loans, the Government of the Republic of the Philippines shall refrain from imposing any restrictions that may hinder fair and free competition among the shipping and marine insurance companies.
５(1) フィリピン共和国政府は、自ら又はその実施機関を通じて、借款及びそれから生ずる利子に対し又はそれらに関連し、ＪＩＣＡに対してフィリピン共和国において課されるすべての財政課徴金及び租税を負担する。
5. (1) The Government of the Republic of the Philippines shall, by itself or through its executing agency, assume all fiscal levies and taxes imposed in the Republic of the Philippines on JICA on and/or in connection with the Loans as well as interest accruing therefrom.
(2) 前記の租税負担に関連して、フィリピン共和国政府又はその実施機関は、前記の財政課徴金、租税及びその他同様の課徴金の清算又は支払に責任を持つ。
(2) In connection with such tax assumption, the Government of the Republic of the Philippines or its executing agency shall be responsible for the liquidation or settlement of such fiscal levies, taxes and other similar charges.
６ フィリピン共和国政府は、借款が適正にかつ専ら１(1)に規定する生産物又は役務の購入のために使用されることを確保するために必要な措置をとる。
6. The Government of the Republic of the Philippines shall take necessary measures to ensure that the Loans be used properly and exclusively for purchases of products and/or services mentioned in sub-paragraph (1) of paragraph 1.
７(1) フィリピン共和国政府は、要請に応じ、日本国政府及びＪＩＣＡに対し、次のものを提供する。
7. (1) The Government of the Republic of the Philippines shall, upon request, furnish the Government of Japan and JICA with:
(a) 借款の使用及び改革計画の実施の進状(ちよく)況についての情報及び資料
(a) information and data concerning the use of the Loans and the progress of the implementation of the Reform Program; and
(b) 借款及び改革計画に関連するその他の情報
(b) any other information related to the Loans and the Reform Program.
(2) 両政府は、(1)に規定する情報及び資料に基づいて、共同して借款の使用及び改革計画の実施の進状(ちよく) 況を随時検討し、必要に応じ、改革計画の円滑な実施を確保するために適当な措置をとる。ＪＩＣＡは、その検討に参加するよう招かれる。
(2) The two Governments shall jointly review from time to time, on the basis of the information and data mentioned in sub-paragraph (1) above, the use of the Loans and the progress of the implementation of the Reform Program and take, if necessary, appropriate measures to ensure the smooth implementation of the Reform Program. JICA will be invited to participate in such review.
８ 両政府は、この了解から又はそれに関連して生ずることのあるいかなる事項についても相互に協議する。
8. The two Governments shall consult with each other with respect to any matter that may arise from or in connection with the present understanding.
本使は、更に、この書簡及び前記の了解をフィリピン共和国政府に代わって確認される閣下の返簡が両政府間の合意を構成し、その合意が閣下の返簡の日付の日に効力を生ずるものとすることを提案する光栄を有します。
I have further the honour to propose that this Note and Your Excellency’s Note in reply confirming on behalf of the Government of the Republic of the Philippines the foregoing understanding shall constitute an agreement between the two Governments, which shall enter into force on the date of Your Excellency’s Note in reply.
本使は、以上を申し進めるに際し、ここに重ねて閣下に向かって敬意を表します。
