円借款の供与に関する日本国政府とペルー共和国政府との間の交換公文
（日本側書簡）
(Japanese Note) Lima, March 15, 2010 Excellency,
書簡をもって啓上いたします。本使は、ペルー共和国の経済の安定及び開発努力を促進するために供与される日本国の借款に関して日本国政府の代表者とペルー共和国政府の代表者との間で最近到達した次の了解を確認する光栄を有します。
I have the honour to confirm the following understanding recently reached between the representatives of the Government of Japan and of the Government of the Republic of Peru concerning a Japanese loan to be extended with a view to promoting the economic stabilization and development efforts of the Republic of Peru:
１ 九十三億百万円（九、三○一、○○○、○○○円）の額までの円貨による借款（以下「借款」という。）が、リマ首都圏周辺居住域衛生改善計画（Ⅱ）（以下「計画」という。）を実施することを目的として、独立行政法人国際協力機構（以下「ＪＩＣＡ」という。）により、日本国の関係法令に従って、ペルー共和国政府に供与されることになる。
1. A loan in Japanese yen up to the amount of nine billion three hundred and one million yen (\9,301,000,000) (hereinafter referred to as “the Loan”) will be extended, in accordance with the relevant laws and regulations of Japan, to the Government of the Republic of Peru by the Japan International Cooperation Agency (hereinafter referred to as “JICA”) for the purpose of implementing the Lima Marginal Areas Sanitary Improvement Project (II) (hereinafter referred to as “the Project”).
２(1) 借款は、ペルー共和国政府とＪＩＣＡとの間で締結される借款契約に基づいて使用に供される。借款の条件及び使用に関する手続は、この了解の範囲内で、なかんずく次の原則を含むことになる前記の借款契約によって規律される。
2. (1) The Loan will be made available by a loan agreement to be concluded between the Government of the Republic of Peru and JICA. The terms and conditions of the Loan as well as the procedures for its utilization will be governed by the said loan agreement, within the scope of the present understanding, which will contain, inter alia, the following principles:
(a) 償還期間は、七年の据置期間の後十八年とする。
(a) The repayment period will be eighteen (18) years after the grace period of seven (7) years;
(b) 利子率は、年一・四パーセントとする。
(b) The rate of interest will be one point four per cent (1.4%) per annum; and
(c) ただし、(b)にかかわらず、借款の一部が計画のコンサルタントに対して行う支払のために使用される場合には、当該部分に係る利子率は、年〇・〇一パーセントとする。
(c) Notwithstanding sub-paragraph (b) above, where a part of the Loan is made available to cover payments to consultants of the Project, then the rate of interest of the said part will be nought point nought one percent (0.01%) per annum; and
(d) 支出期間は、前記の借款契約の発効の日の後三年とする。
(d) The disbursement period will be three (3) years after the date of coming into force of the said loan agreement.
(2) (1)に規定する借款契約は、ＪＩＣＡが計画の実行可能性（環境に対する配慮を含む。）を確認した後に締結される。
(2) The loan agreement mentioned in sub-paragraph (1) above will be concluded after JICA is satisfied of the feasibility, including environmental consideration, of the Project.
(3) (1)(d)に規定する支出期間は、両政府の関係当局の同意を得て延長することができる。
(3) The disbursement period mentioned in sub-paragraph (1)(d) above may be extended with the consent of the authorities concerned of the two Governments.
３(1) 借款は、ペルーの実施機関が調達適格国の供給者、請負業者又はコンサルタントに対して既に行ったか又は行う支払で、計画の実施に必要な生産物又は役務の購入のために両者の間で既に締結されたか又は締結されることのある契約に基づいて行われるものを対象として使用に供される。ただし、当該購入は、調達適格国において、それらの国で生産される生産物又はそれらの国から供給される役務について行われる。
3. (1) The Loan will be made available to cover payments already made and/or to be made by the Peruvian executing agency to suppliers, contractors and/or consultants of eligible source countries under such contracts as have been and/or may be entered into between them for purchases of products and/or services required for the implementation of the Project, provided that such purchases are made in such eligible source countries for products produced in and/or services supplied from those countries.
(2) (1)に規定する調達適格国の範囲は、両政府の関係当局間で合意される。
(2) The scope of eligible source countries mentioned in sub-paragraph (1) above shall be agreed upon between the authorities concerned of the two Governments.
(3) 借款の一部は、計画の実施のための適格な現地通貨の需要に充てるために使用することができる。
(3) A part of the Loan may be used to cover eligible local currency requirements for the implementation of the Project.
４ ペルー共和国政府は、３(1)に規定する生産物又は役務がＪＩＣＡの調達のためのガイドライン（国際競争入札の手続が適用できないか又は適当でない場合を除くほか従うべき国際競争入札の手続をなかんずく定める。）に従って調達されることを確保する。
4. The Government of the Republic of Peru shall ensure that the products and/or services mentioned in sub-paragraph (1) of paragraph 3. are procured in accordance with the guidelines for procurement of JICA, which set forth, inter alia, the procedures of international competitive bidding to be followed except where such procedures are inapplicable or inappropriate.
５ ペルー共和国政府は、借款に基づいて購入される生産物の海上輸送及び海上保険に関し、海運会社及び海上保険会社の間の公正かつ自由な競争を妨げることのあるいかなる制限を課することも差し控える。
5. With regard to the shipping and marine insurance of the products purchased under the Loan, the Government of the Republic of Peru shall refrain from imposing any restrictions that may hinder fair and free competition among the shipping and marine insurance companies.
６ ３(1)に規定する生産物又は役務の供給に関連してペルー共和国においてその役務が必要とされる日本国民は、作業の遂行のためペルー共和国への入国及び同国における滞在に必要な便宜を与えられる。
6. Japanese nationals whose services may be required in the Republic of Peru in connection with the supply of the products and/or services mentioned in sub-paragraph (1) of paragraph 3. shall be accorded such facilities as may be necessary for their entry into the Republic of Peru and stay therein for the performance of their work.
７ ペルー共和国政府は、次のものを免除する。
7. The Government of the Republic of Peru shall exempt:
(a) ＪＩＣＡについて、借款及びそれから生ずる利子に対して又はそれらに関連してペルー共和国において課されるすべての財政課徴金及び租税
(a) JICA from all fiscal levies and taxes imposed in the Republic of Peru on and/or in connection with the Loan as well as interest accruing therefrom;
(b) 供給者、請負業者又はコンサルタントとして活動する日本国の会社について、借款に基づいて行われる生産物又は役務の供給から生ずる所得に関してペルー共和国において課されるすべての財政課徴金及び租税であって、ペルー共和国の法令が認めるもの
(b) Japanese companies operating as suppliers, contractors and/or consultants from all fiscal levies and taxes imposed in the Republic of Peru with respect to the income accruing from the supply of products and/or services to be provided under the Loan as long as the Peruvian legislation allows;
(c) 供給者、請負業者又はコンサルタントとして活動する日本国の会社について、計画の実施に必要な自己の資材及び設備の輸入及び再輸出に関し、ペルー共和国においてペルー共和国の現行の法令に従って課されるすべての関税及び関連の財政課徴金
(c) Japanese companies operating as suppliers, contractors and/or consultants from all duties and related fiscal charges imposed in the Republic of Peru, in accordance with the Peruvian legislation in force, with respect to the import and re-export of their own materials and equipment needed for the implementation of the Project; and
(d) 計画の実施に従事する日本国民である被用者について、計画の実施のため供給者、請負業者又はコンサルタントとして活動する日本国の会社から取得する個人所得に対してペルー共和国において課されるすべての財政課徴金及び租税であって、ペルー共和国の法令が認めるもの
(d) Japanese employees engaged in the implementation of the Project from all fiscal levies and taxes imposed in the Republic of Peru on their personal income derived from Japanese companies operating as suppliers, contractors and/or consultants for the implementation of the Project as long as the Peruvian legislation allows.
８ ペルー共和国政府は、次のことを確保するために必要な措置をとる。
8. The Government of the Republic of Peru shall take necessary measures to:
(a) 借款が適正にかつ専ら計画のために使用されること。
(a) ensure that the Loan be used properly and exclusively for the Project;
(b) ペルーの実施機関を通じ、計画に基づく施設の建設及び当該施設の使用における安全を確保し及び維持すること。
(b) ensure and maintain, through the Peruvian executing agency, the safety in constructing the facilities under the Project and in using such facilities; and
(c) 借款に基づいて建設される施設がこの了解に定める目的のために適正にかつ効果的に維持され及び使用されること。
(c) ensure that the facilities constructed under the Loan be maintained and used properly and effectively for the purpose prescribed in the present understanding.
９ ペルー共和国政府は、要請に応じ、日本国政府及びＪＩＣＡに対し、次のものを提供する。
9. The Government of the Republic of Peru shall, upon request, furnish the Government of Japan and JICA with:
(a) 計画の実施の進捗状(ちよく)況についての情報及び資料
(a) information and data concerning the progress of the implementation of the Project; and
(b) 計画に関連するその他の情報
(b) any other information related to the Project.
10 両政府は、この了解から又はそれに関連して生ずることのあるいかなる事項についても相互に協議する。
10. The two Governments shall consult with each other with respect to any matter that may arise from or in connection with the present understanding.
本使は、更に、この書簡及び前記の了解をペルー共和国政府に代わって確認される閣下の返簡が両政府間の合意を構成し、その合意が閣下の返簡の日付の日に効力を生ずるものとすることを提案する光栄を有します。
I have further the honour to propose that this Note and Your Excellency’s Note in reply confirming on behalf of the Government of the Republic of Peru the foregoing understanding shall constitute an agreement between the two Governments, which shall enter into force on the date of Your Excellency’s Note in reply.
