  　書簡をもって啓上いたします。本使は、二千八年六月十二日にパリで開催されたトーゴ共和国政府の代表者と関係債権諸国（以下「債権諸国」という。）政府の代表者との間の協議において到達した結論に基づき日本国政府の代表者とトーゴ共和国政府の代表者との間で行われた最近の交渉に言及する光栄を有します。本使は、更に、当該交渉において到達した次の了解を確認する光栄を有します。

Excellency,

	I have the honour to refer to the recent negotiations between the representatives of the Government of Japan and of the Government of the Republic of Togo that were held on the basis of the conclusions reached during the consultations between the representatives of the Government of the Republic of Togo and of the Governments of the creditor countries concerned (hereinafter referred to as “the Creditor Countries”) held in Paris on June 12, 2008.  I have further the honour to confirm the following understanding reached in the course of the said negotiations:


１　債務支払猶予方式による債務救済措置が、独立行政法人国際協力機構（以下「ＪＩＣＡ」という。）により、日本国の関係法令に従ってとられることになる。
1.	A debt relief measure in the form of deferral will be taken in accordance with the relevant laws and regulations of Japan by the Japan International Cooperation Agency (hereinafter referred to as “JICA”).

２　支払を猶予される債務（以下「支払猶予債務」という。）は、トーゴ共和国政府がＪＩＣＡに対して負う次の債務から成る。
      　円借款の供与に関してトーゴ共和国政府と海外経済協力基金（以下「基金」という。）との間で千九百九十六年十二月十三日より前に締結された借款契約に基づいて支払われるべき債務に関し、
2.	(1)	The debts to be deferred (hereinafter referred to as “the Deferred Debts”) consist of the following debts which the Government of the Republic of Togo owes to JICA:

	For the debts payable under the loan agreements concluded before December 13,1996 between the Government of the Republic of Togo and the Overseas Economic Cooperation Fund (hereinafter referred to as “the Fund”) on the extension of yen loan, 


      (a)　二千八年三月三十一日以前に弁済期限の到来した未払の元本及び契約上の利子（遅延利子を含む。）の百パーセント（それらの内訳は、この書簡の付表一に掲げられる。）
      (b)　二千八年四月一日から二千九年三月三十一日までの間（両期日を含む。）に弁済期限の到来したか又は到来する元本及び契約上の利子（それらの内訳は、この書簡の付表二に掲げられる。）
      (c)　二千九年四月一日から二千十年三月三十一日までの間（両期日を含む。）に弁済期限の到来する元本及び契約上の利子（それらの内訳は、この書簡の付表三に掲げられる。）。ただし、国際通貨基金（以下「ＩＭＦ」という。）の理事会が、トーゴ共和国政府のための貧困削減・成長措置（以下「ＰＲＧＦ」という。）の第二次審査を二千九年六月三十日より前に承認し、かつ、トーゴ共和国政府が、二千八年六月十二日にパリでトーゴ共和国政府の代表者と債権諸国政府の代表者によって署名された合意議事録（以下「合意議事録」という。）にいう債権諸国に対する支払を弁済期日に行った場合に限る。
      (d)　二千十年四月一日から二千十一年三月三十一日までの間（両期日を含む。）に弁済期限の到来する元本及び契約上の利子（それらの内訳は、この書簡の付表四に掲げられる。）。ただし、ＩＭＦの理事会が、トーゴ共和国政府のためのＰＲＧＦの第四次審査を二千十年六月三十日より前に承認し、かつ、トーゴ共和国政府が、合意議事録にいう債権諸国に対する支払を弁済期日に行った場合に限る。

(a)	a hundred per cent (100%) of the principal and contractual interest (including late interest) having fallen due on or before March 31, 2008 and not paid, the breakdown of which is shown in the List 1 attached hereto;

	(b)	the principal and contractual interest having fallen or falling due between April 1, 2008 and March 31, 2009, both dates inclusive, the breakdown of which is shown in the List 2 attached hereto;
 
	(c)	the principal and contractual interest falling due between April 1, 2009 and March 31, 2010, both dates inclusive, the breakdown of which is shown in the List 3 attached hereto, provided that the Executive Board of the International Monetary Fund (hereinafter referred to as "the IMF") has approved before June 30, 2009 the second review of the Poverty Reduction and Growth Facility (hereinafter referred to as "the PRGF") for the Government of the Republic of Togo, and that the Government of the Republic of Togo has made on due dates the payments to the Creditor Countries referred to in the Agreed Minutes signed by the representatives of the Government of the Republic of Togo and of the Governments of the Creditor Countries in Paris on June 12, 2008 (hereinafter referred to as "the Agreed Minutes"); and

	(d)	the principal and contractual interest falling due between April 1, 2010 and March 31, 2011, both dates inclusive, the breakdown of which is shown in the List 4 attached hereto, provided that the Executive Board of the IMF has approved before June 30, 2010 the fourth review of the PRGF for the Government of the Republic of Togo, and that the Government of the Republic of Togo has made on due dates the payments to the Creditor Countries referred to in the Agreed Minutes.


(2)　支払猶予債務の総額は、四十二億三千十四万八百七十九円（四、二三〇、一四〇、八七九円）になる。
(2)	The total amount of the Deferred Debts will be four billion two hundred and thirty million one hundred and forty thousand eight hundred and seventy-nine yen (\4,230,140,879).

(3)　(2)に規定する総額及びこの書簡の付表一から四までは、トーゴ共和国政府の関係当局及びＪＩＣＡが行う最終的照合の後に、日本国政府及びトーゴ共和国政府の関係当局間の合意により修正されることがある。
(3)	Modifications may be made to the total amount referred to in sub-paragraph (2) above and to the Lists 1 to 4 attached hereto by mutual consent between the authorities concerned of the Government of Japan and of the Government of the Republic of Togo, after the final verification to be made by the authorities concerned of the Government of the Republic of Togo and JICA.

３　債務支払猶予の条件は、トーゴ共和国政府とＪＩＣＡとの間で締結される債務支払猶予契約であって、なかんずく次の原則を含むものにおいて規定される。
3.	The terms and conditions of the deferral will be stipulated in a deferral agreement to be concluded between the Government of the Republic of Togo and JICA, which will contain, inter alia, the following principles:

(1)　支払猶予債務の総額は、二千十二年四月一日に始まる五回の均等年割賦によって支払われる。
    (2)　支払猶予債務に対する利子率は、年〇・〇一パーセントとし、二千八年四月一日から適用される。
(1)	The total amount of the Deferred Debts will be paid in five (5) equal annual installments beginning on April 1, 2012.
 
	(2)	The rate of interest on the Deferred Debts will be nought point nought one per cent (0.01%) per annum and it will be applied from April 1, 2008.


  ４　トーゴの債務（この了解が対象とする債務を含む。）の再編に関連してトーゴ共和国政府の代表者及び債権諸国政府の代表者が新たな結論に到達した場合には、日本国政府とトーゴ共和国政府は、この了解の継続又は修正について討議するための協議を行う。

4.	If the representatives of the Government of the Republic of Togo and of the Governments of the Creditor Countries come to a new conclusion in connection with reorganization of the Togolese debts including the debts covered by the present understanding, the Government of Japan and the Government of the Republic of Togo shall hold consultations in order to discuss the matter of continuation or modification of the present understanding.

本使は、更に、この書簡及び前記の了解をトーゴ共和国政府に代わって確認される閣下の返簡が両政府間の合意を構成し、その合意が閣下の返簡の日付の日に効力を生ずるものとすることを提案する光栄を有します。
  　本使は、以上を申し進めるに際し、ここに閣下に向かって敬意を表します。
  　　二千八年十二月十六日にロメで
I have further the honour to propose that this Note and Your Excellency’s Note in reply confirming on behalf of the Government of the Republic of Togo the foregoing understanding shall constitute an agreement between the two Governments, which shall enter into force on the date of Your Excellency’s Note in reply.
