  　書簡をもって啓上いたします。本使は、フィリピン共和国の経済の安定及び開発努力を促進するために供与される日本国の借款に関して日本国政府の代表者とフィリピン共和国政府の代表者との間で最近到達した次の了解を確認する光栄を有します。

Manila, September 30, 2008

Excellency,

	I have the honour to confirm the following understanding recently reached between the representatives of the Government of Japan and of the Government of the Republic of the Philippines concerning a Japanese loan to be extended with a view to promoting the economic stabilization and development efforts of the Republic of the Philippines:

１　二百四十八億四千六百万円（二四、八四六、〇〇〇、〇〇〇円）の額までの円貨による借款（以下「借款」という。）が、環境開発計画（以下「計画」という。）を実施することを目的として、国際協力銀行（以下「銀行」という。）により、日本国の関係法令に従って、フィリピン開発銀行に供与されることになる。

1.	A loan in Japanese yen up to the amount of twenty-four billion eight hundred and forty-six million yen (\24,846,000,000) (hereinafter referred to as “the Loan”) will be extended, in accordance with the relevant laws and regulations of Japan, to the Development Bank of the Philippines by Japan Bank for International Cooperation (hereinafter referred to as “the Bank”) for the purpose of implementing the Environmental Development Project (hereinafter referred to as “the Project”).

２(1)　借款は、フィリピン開発銀行と銀行との間で締結される借款契約に基づいて使用に供される。借款の条件及び使用に関する手続は、なかんずく次の原則を含むことになる前記の借款契約によって規律される。

2.	(1)	The Loan will be made available by a loan agreement to be concluded between the Development Bank of the Philippines and the Bank.  The terms and conditions of the Loan as well as the procedures for its utilization will be governed by the said loan agreement which will contain, inter alia, the following principles:

　　　(a)　償還期間は、計画の貧困削減に資する上水に係る部分、下水に係る部分並びに地球環境及び公害対策に係る部分については、十年の据置期間の後三十年、計画の上水に係る部分（上述の貧困削減に資する部分を除く。）については十年の据置期間の後二十年とする。
      (b)　利子率は、計画の貧困削減に資する上水に係る部分、下水に係る部分並びに地球環境及び公害対策に係る部分については年〇・六五パーセント、計画の上水に係る部分（上述の貧困削減に資する部分を除く。）については年一・四パーセントとする。
      (c)　ただし、(b)にかかわらず、借款の一部が計画のコンサルタントに対して行う支払のために使用される場合には、当該部分に係る利子率は、年〇・〇一パーセントとする。
      (d)　支出期間は、前記の借款契約の発効の日の後七年とする。

(a)	The repayment period will be thirty (30) years after the grace period of ten (10) years with regard to water supply portion contributing to poverty reduction, sewage portion, global environment and anti-pollution portion of the Project, and twenty (20) years after the grace period of ten (10) years with regard to water supply portion (except for the said portion contributing to poverty reduction mentioned above) of the Project;

(b)	The rate of interest will be nought point six five per cent (0.65%) per annum with regard to water supply portion contributing to poverty reduction, sewage portion, global environment and anti-pollution portion of the Project, and one point four per cent (1.4%) per annum with regard to water supply portion (except for the said portion contributing to poverty reduction mentioned above) of the Project;

(c)	Notwithstanding sub-paragraph (b) above, where a part of the Loan is made available to cover payments to consultants of the Project, then the rate of interest of the said part will be nought point nought one per cent (0.01%) per annum; and

(d)	The disbursement period will be seven (7) years after the date of coming into force of the said loan agreement.

(2)　(1)に規定する借款契約は、銀行が計画の実行可能性（環境に対する配慮を含む。）を確認した後に締結される。

(2)	The loan agreement mentioned in sub-paragraph (1) above will be concluded after the Bank is satisfied of the feasibility, including environmental consideration, of the Project.

(3)　(1)(d)に規定する支出期間は、両政府の関係当局の同意を得て延長することができる。

(3)	The disbursement period mentioned in sub-paragraph (1)(d) above may be extended with the consent of the authorities concerned of the two Governments.

３　借款は、計画に基づきフィリピン開発銀行が最終借入人に対して既に行ったか又は行う融資に充てるために使用に供される。

3. 	The Loan will be made available to cover credits already extended and/or to be extended by the Development Bank of the Philippines to the sub-borrowers under the Project.

４(1)　借款の一部は、フィリピン開発銀行が調達適格国のコンサルタントに対して行う支払で、計画の実施に必要な役務の購入のために両者の間で締結されることのある契約に基づいて行われるものを対象として使用に供される。ただし、当該購入は、調達適格国において、それらの国から供給される役務について行われる。
(2)　(1)に規定する調達適格国の範囲は、両政府の関係当局間で合意される。

4.	(1)	A part of the Loan will be made available to cover payments to be made by the Development Bank of the Philippines to consultants of eligible source countries under such contracts as may be entered into between them for purchases of services required for the implementation of the Project, provided that such purchases are made in such eligible source countries for services supplied from those countries.

(2)	The scope of eligible source countries mentioned in sub-paragraph (1) above shall be agreed upon between the authorities concerned of the two Governments.

５　借款の元本の償還並びに利子及びその他いかなる課徴金の支払も、フィリピン共和国政府によって保証される。

5.	The repayment of principal of the Loan, as well as the payment of interest and any other charges thereon, shall be guaranteed by the Government of the Republic of the Philippines.

  ６　フィリピン共和国政府は、４(1)に規定する役務が銀行の調達のためのガイドラインに従って調達されることを確保する。

6.	The Government of the Republic of the Philippines shall ensure that the services mentioned in sub-paragraph (1) of paragraph 4. be procured in accordance with the guidelines for procurement of the Bank.

７　フィリピン共和国政府は、借款に基づく役務の購入に関係して購入される生産物の海上輸送及び海上保険に関し、海運会社及び海上保険会社の間の公正かつ自由な競争を妨げることのあるいかなる制限を課することも差し控える。

7.	With regard to the shipping and marine insurance of the products purchased in connection with purchases of services under the Loan, the Government of the Republic of the Philippines shall refrain from imposing any restrictions that may hinder fair and free competition among the shipping and marine insurance companies.

８　４(1)に規定する役務の供給に関連してフィリピン共和国においてその役務が必要とされる日本国民は、作業の遂行のためフィリピン共和国への入国及び同国における滞在に必要な便宜を与えられる。

8.	Japanese nationals whose services may be required in the Republic of the Philippines in connection with the supply of services mentioned in sub-paragraph (1) of paragraph 4. shall be accorded such facilities as may be necessary for their entry into the Republic of the Philippines and stay therein for the performance of their work.

９(1)　フィリピン共和国政府は、自ら又はその実施機関を通じて、次のものを負担する。

9.	(1)	The Government of the Republic of the Philippines shall, by itself or through its executing agency, assume:

(a)　借款及びそれから生ずる利子に対し又はそれらに関連し、銀行に対してフィリピン共和国において課されるすべての財政課徴金及び租税
(b)　計画の実施に必要な自己の資材及び設備の輸入及び再輸出に関し、コンサルタントとして活動する日本国の会社に対してフィリピン共和国において課されるすべての関税及び関連の財政課徴金
(c)　計画の実施に必要な役務の供給のために実施される支払及び当該供給から生ずる所得に関し、コンサルタントとして活動する日本国の会社に対してフィリピン共和国において課されるすべての財政課徴金及び租税
(d)　コンサルタントとして活動する日本国の会社から取得する個人所得に関し、計画の実施に従事する日本国民である被用者に対してフィリピン共和国において課されるすべての財政課徴金及び租税

(a)	all fiscal levies and taxes imposed in the Republic of the Philippines on the Bank on and/or in connection with the Loan as well as interest accruing therefrom;

	(b)	all duties and related fiscal charges imposed in the Republic of the Philippines on the Japanese companies operating as consultants with respect to the import and re-export of their own materials and equipment needed for the implementation of the Project;

	(c)	all fiscal levies and taxes imposed in the Republic of the Philippines on the Japanese companies operating as consultants with respect to the payment carried out for and the income accruing from the supply of the services required for the implementation of the Project; and

	(d)	all fiscal levies and taxes imposed in the Republic of the Philippines on the Japanese employees engaged in the implementation of the Project with respect to their personal income derived from Japanese companies operating as consultants.

(2)　前記の租税負担に関連して、フィリピン共和国政府又はその実施機関は、前記の財政課徴金、関税、租税及びその他同様の課徴金の清算又は支払に責任を持つ。

2)	In connection with such tax assumption, the Government of the Republic of the Philippines or its executing agency shall be responsible for the liquidation or settlement of such fiscal levies, duties, taxes and other similar charges.

10　フィリピン共和国政府は、次のことを確保するために必要な措置をとる。

10.	The Government of the Republic of the Philippines shall take necessary measures to ensure that:

(1)　借款が適正にかつ専ら計画のために使用されること。
(2)　借款に基づいて建設される施設がこの了解に定める目的のために適正にかつ効果的に維持され及び使用されること。

(1)	the Loan be used properly and exclusively for the Project; and

(2)	the facilities constructed under the Loan be maintained and used properly and effectively for the purposes prescribed in the present understanding.

11(1)　フィリピン共和国政府は、要請に応じ、日本国政府及び銀行に対し、計画の進状(ちよく)況についての情報　及び資料を提供する。
(2)　両政府は、(1)に規定する情報及び資料に基づいて、共同して借款の実施の進状(ちよく)況を随時検討し、必　要に応じ、その円滑かつ効果的な使用を確保するために適当な措置をとる。銀行は、その検討に参加するよう招かれる。

11.	(1)	The Government of the Republic of the Philippines shall, upon request, furnish the Government of Japan and the Bank with information and data concerning the progress of the implementation of the Project.

(2)	The two Governments shall jointly review from time to time, on the basis of the information and data mentioned in sub-paragraph (1) above, the progress of the implementation of the Loan and take, if necessary, appropriate measures to secure its smooth and effective utilization.  The Bank will be invited to participate in such review.

12　両政府は、この了解から又はそれに関連して生ずることのあるいかなる事項についても相互に協議する。

12.	The two Governments shall consult with each other with respect to any matter that may arise from or in connection with the present understanding.

本使は、更に、この書簡及び前記の了解をフィリピン共和国政府に代わって確認される閣下の返簡が両政府間の合意を構成し、その合意が閣下の返簡の日付の日に効力を生ずるものとすることを提案する光栄を有します。
  　本使は、以上を申し進めるに際し、ここに閣下に向かって敬意を表します。

I have further the honour to propose that this Note and Your Excellency’s Note in reply confirming on behalf of the Government of the Republic of the Philippines the foregoing understanding shall constitute an agreement between the two Governments, which shall enter into force on the date of Your Excellency’s Note in reply.
