（円借款の供与に関する日本国政府と中華人民共和国政府との間の交換公文）
書簡をもって啓上いたします。本使は、中華人民共和国の経済の安定に寄与し経済近代化努力を促進するために供与される日本国の借款に関して日本国政府の代表者と中華人民共和国政府の代表者との間で最近到達した次の了解を確認する光栄を有します。
Beijing, June 23, 2006 Excellency, I have the honour to confirm the following understanding recently reached between the representatives of the Government of Japan and of the Government of the People’s Republic of China concerning a Japanese loan to be extended with a view to contributing to the economic stabilization and promoting the economic modernization efforts of the People’s Republic of China:
１ 七百四十七億九千八百万円（七四、七九八、〇〇〇、〇〇〇円）の額までの円貨による借款（以下「借款」という。）が、この書簡の付表（以下「付表」という。）１欄に掲げる事業計画を実施することを目的として、各事業計画につき付表２欄に定める配分に応じ、国際協力銀行（以下「銀行」という。）により、日本国の関係法令に従って、中華人民共和国政府に供与されることになる。中華人民共和国財政部（以下「財政部」という。）は、中華人民共和国政府により、中華人民共和国政府に代わって、借款を受け入れ及び銀行との間で借款契約に署名する権限を与えられる。
1. A loan in Japanese yen up to the amount of seventy-four billion seven hundred and ninety-eight million yen (\ 74,798,000,000) (hereinafter referred to as “the Loan”) will be extended, in accordance with the relevant laws and regulations of Japan, to the Government of the People’s Republic of China by Japan Bank for International Cooperation (hereinafter referred to as “the Bank”) for the purpose of implementing the projects enumerated in Column 1 of the Annex attached hereto (hereinafter referred to as “the Annex”) according to the allocation for each project as specified in Column 2 of the Annex. The Ministry of Finance of the People’s Republic of China (hereinafter referred to as “the Ministry”) is authorized by the Government of the People’s Republic of China to accept the Loan and sign the loan agreements with the Bank on behalf of the Government of the People’s Republic of China.
２(1) 借款は、財政部と銀行との間で締結される借款契約に基づいて使用に供される。借款の条件及び使用に関する手続は、なかんずく付表３欄、付表４欄及び付表５欄にそれぞれ掲げる利子率、償還期間及び支出期間を含むことになる前記の借款契約によって規律される。
2. (1) The Loan will be made available by loan agreements to be concluded between the Ministry and the Bank. The terms and conditions of the Loan as well as the procedures for its utilization will be governed by the said loan agreements which will contain, inter alia, the rate of interest, the repayment period and the disbursement period enumerated respectively in Columns 3, 4, and 5 of the Annex.
(2) (1)に規定する借款契約の各々は、銀行が当該借款契約に係る事業計画の実行可能性（環境に対する配慮を含む。）を確認した後に締結される。
(2) Each of the loan agreements mentioned in sub-paragraph (1) above will be concluded after the Bank is satisfied of the feasibility, including environmental consideration, of the projects to which such loan agreements relate.
(3) 付表５欄に掲げるそれぞれの支出期間は、両政府の関係当局の同意を得て延長することができる。
(3) The respective disbursement periods enumerated in Column 5 of the Annex may be extended with the consent of the authorities concerned of the two Governments.
３(1) 借款は、中国の実施機関が調達適格国の供給者、請負業者又はコンサルタントに対して行う支払で、付表１欄に掲げる事業計画の実施に必要な生産物又は役務の購入のために両者の間で締結されることのある契約に基づいて行われるものを対象として使用に供される。ただし、当該購入は、調達適格国において、それらの国で生産される生産物又はそれらの国から供給される役務について行われる。
3. (1) The Loan will be made available to cover payments to be made by the Chinese executing agencies to suppliers, contractors and/or consultants of eligible source countries under such contracts as may be entered into between them for purchases of products and/or services required for the implementation of the projects enumerated in Column 1 of the Annex, provided that such purchases are made in such eligible source countries for products produced in and/or services supplied from those countries.
(2) (1)に規定する調達適格国の範囲は、両政府の関係当局間で合意される。
(2) The scope of eligible source countries mentioned in sub-paragraph (1) above will be agreed upon between the authorities concerned of the two Governments.
(3) 借款の一部は、貴州省環境社会発展計画及び河南省植林計画の実施のための適格な現地通貨の需要に充てるために使用することができる。
(3) A part of the Loan may be used to cover eligible local currency requirements for the implementation of the Guizhou Environmental and Social Development Project and the Henan Afforestation Project.
４ 中華人民共和国政府は、３(1)に規定する生産物又は役務が銀行の調達のためのガイドライン（国際競争入札の手続が適用できないか又は適当でない場合を除くほか従うべき国際競争入札の手続をなかんずく定める。）に従って調達されることを確保する。
4. The Government of the People’s Republic of China will ensure that the products and/or services mentioned in sub-paragraph (1) of paragraph 3. are procured in accordance with the guidelines for procurement of the Bank, which set forth, inter alia, the procedures of international competitive bidding to be followed except where such procedures are inapplicable or inappropriate.
５ 中華人民共和国政府は、借款に基づいて購入される生産物の海上輸送及び海上保険に関し、海運会社及び海上保険会社の間の公正かつ自由な競争を妨げることのあるいかなる制限を課すことも差し控える。
5. With regard to the shipping and marine insurance of the products purchased under the Loan, the Government of the People’s Republic of China will refrain from imposing any restrictions that may hinder fair and free competition among the shipping and marine insurance companies.
６ ３(1)に規定する生産物又は役務の供給に関連して中華人民共和国においてその役務が必要とされる日本国民は、作業の遂行のため中華人民共和国への入国及び同国における滞在に必要な便宜を与えられる。
6. Japanese nationals whose services may be required in the People’s Republic of China in connection with the supply of the products and/or services mentioned in sub-paragraph (1) of paragraph 3. above will be accorded such facilities as may be necessary for their entry into the People’s Republic of China and stay therein for the performance of their work.
７ 中華人民共和国政府は、次のものを免除する。
7. The Government of the People’s Republic of China will exempt:
(a) 銀行について、借款及びそれから生ずる利子に対して又はそれらに関連して中華人民共和国において課されるすべての財政課徴金及び租税
(a) the Bank from all fiscal levies and taxes imposed in the People’s Republic of China on and/or in connection with the Loan as well as interest accruing therefrom; and
(b) 供給者、請負業者又はコンサルタントとして活動する日本国の会社について、付表１欄に掲げる事業計画の実施に必要な自身の建設機材の搬入及び搬出に関して中華人民共和国において課されるすべての関税及び関連の財政課徴金
(b) Japanese companies operating as suppliers, contractors and/or consultants from all duties and related fiscal charges imposed in the People’s Republic of China with respect to the bringing-in and bringing-out of their own construction equipment needed for the implementation of the projects enumerated in Column 1 of the Annex.
８ 中華人民共和国政府は、次のことを確保するために必要な措置をとる。
8. The Government of the People’s Republic of China will take necessary measures to ensure that:
(a) 借款が適正にかつ専ら付表１欄に掲げる事業計画のために使用されること。
(a) the Loan be used properly and exclusively for the projects enumerated in Column 1 of the Annex; and
(b) 借款に基づいて建設される施設がこの了解に定める目的のために適正にかつ効果的に維持され及び使用されること。
(b) the facilities constructed under the Loan be maintained and used properly and effectively for the purposes prescribed in the present understanding.
９ 中華人民共和国政府は、要請に応じ、日本国政府及び銀行に対し、付表１欄に掲げる事業計画の進状(ちよく)況についての情報及び資料を提供する。
9. The Government of the People’s Republic of China will, upon request, furnish the Government of Japan and the Bank with information and data concerning the progress of the implementation of the projects enumerated in Column 1 of the Annex.
10 両政府は、共同して借款の実施の進状(ちよく)況を随時検討し、借款の円滑かつ効果的な使用を確保するために必要な措置をとり、また、この了解から又はそれに関連して生ずることのあるいかなる事項についても相互に協議する。
10. The two Governments will jointly review from time to time the progress of the implementation of the Loan and take necessary measures to secure smooth and effective utilization of the Loan and otherwise consult with each other with respect to any matter that may arise from or in connection with the present understanding.
11 付表は、この書簡の不可分の一部を成す。
11. The Annex shall form an integral part of the present Note.
本使は、更に、この書簡及び中華人民共和国政府に代わって前記の了解を確認される閣下の返簡が両政府間の合意を構成し、その合意が閣下の返簡の日付の日に効力を生ずるものとすることを提案する光栄を有します。
I have further the honour to propose that this Note and Your Excellency’s Note in reply confirming on behalf of the Government of the People’s Republic of China the foregoing understanding shall constitute an agreement between the two Governments, which shall enter into force on the date of Your Excellency’s Note in reply.

Beijing, June 23, 2006 Excellency, With reference to the Exchange of Notes dated today concerning a Japanese loan to be extended with a view to contributing to the economic stabilization and promoting the economic modernization efforts of the People’s Republic of China, I have the honour to propose, on behalf of the Government of Japan, that in case there is any divergence of interpretation of the said Exchange of Notes which is done in the Japanese, Chinese and English languages, the English text shall prevail.
