Excellency,

	I have the honour to confirm the following understanding recently reached between the representatives of the Government of Japan and of the Government of the Socialist Republic of Viet Nam concerning a Japanese loan to be extended with a view to promoting the economic stabilization and development efforts of the Socialist Republic of Viet Nam:



							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
１　二十億円（二、〇〇○、〇〇〇、〇〇〇円）の額までの円貨による借款（以下「借款」という。）が、第三次貧困削減支援貸付を支援するため、国際協力銀行（以下「銀行」という。）により、日本国の関係法令に従って、ベトナム社会主義共和国政府に供与されることになる。


							

						

						

							

								
1.	A loan in Japanese yen up to the amount of two billion yen (2,000,000,000) (hereinafter referred to as "the Loan") will be extended, in accordance with the relevant laws and regulations of Japan, to the Government of the Socialist Republic of Viet Nam by Japan Bank for International Cooperation (hereinafter referred to as "the Bank") to support Third Poverty Reduction Support Credit.



							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
２(1)　借款は、ベトナム社会主義共和国政府と銀行との間で締結される借款契約に基づいて使用に供される。借款の条件及び使用に関する手続は、なかんずく次の原則を含むことになる前記の借款契約によって規制される。


							

						

						

							

								
2.	(1)	The Loan will be made available by a loan agreement to be concluded between the Government of the Socialist Republic of Viet Nam and the Bank.  The terms and conditions of the Loan as well as the procedures for its utilization will be governed by the said loan agreement which will contain, inter alia, the following principles:



							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
(a)　償還期間は、十年の据置期間の後二十年とする。


							

						

						

							

								
	(a)	The repayment period will be twenty (20) years　after the grace period of ten (10) years;
	


							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
(b)　利子率は、年一・三パーセントとする。


							

						

						

							

								
(b)   The rate of interest will be one and three-tenths per cent (1.3%) per annum; and



							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
(c)　支出期間は、前記の借款契約の発効の日から二年とする。

(2)　(1)(c)に規定する支出期間は、両政府の関係当局の同意を得て延長することができる。

３(1)　借款は、ベトナム社会主義共和国内の輸入者が調達適格国の供給者に対して既に行ったか又は行う支払で、生産物（両政府の関係当局間で合意する表に掲げる生産物を除く。）の購入又は当該生産物の購入に付随する役務の購入のために両者の間で締結されることのある契約に基づいて行われるものを対象として使用に供される。ただし、当該購入は、調達適格国において、それらの国で生産される生産物又はそれらの国から供給される役務について行われる。


							

						

						

							

								
3.	(1)	The Loan shall be made available to cover payments already made and/or to be made by importers in the Socialist Republic of Viet Nam to suppliers of eligible source countries under such contracts as have been and/or may be entered into between them for purchases of products, except such products as will be enumerated in a list to be mutually agreed upon between the authorities concerned of the two Governments, and/or for purchases of services incidental to the purchase of those products, provided that such purchases are made in such eligible source countries for products produced in and/or services supplied from those countries.



							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
(2)　(1)に規定する表は、両政府の関係当局間の合意によって修正することができる。


							

						

						

							

								
	(2)	The list mentioned in sub-paragraph (1) above may be modified by agreement between the authorities concerned of the two Governments.



							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
(3)　(1)に規定する調達適格国の範囲は、両政府の関係当局間で合意される。


							

						

						

							

								
	(3)	The scope of eligible source countries mentioned in sub-paragraph (1) above shall be agreed upon between the authorities concerned of the two Governments.



							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
４　ベトナム社会主義共和国政府は、ベトナム社会主義共和国政府の名義で開設される国家予算勘定に借款の円貨による支出額に等しい額をベトナム通貨で振り替えるようにするための措置をとる。このようにして振り替えられた額は、ベトナム社会主義共和国政府の国家予算に含められ、二千二年五月に承認され及び二千三年十一月に拡大されたベトナムの包括的貧困削減成長戦略（以下「ＣＰＲＧＳ」という。）の政策目標を達成するために、ベトナム社会主義共和国の改革プログラムの実施を支援するために使用される。


							

						

						

							

								
4. The Government of the Socialist Republic of Viet Nam   shall take measures to have the equivalent in Vietnamese currency of the amount of yen disbursements of the Loan transferred to the state budget account opened in the name of the Government of the Socialist Republic of Viet Nam. The amount thus transferred shall be included in the state budget of the Government of the Socialist Republic of Viet Nam, and shall be used to support the implementation of the reform program of the Socialist Republic of Viet Nam to achieve policy goals stated in Vietnam's Comprehensive Poverty Reduction and Growth Strategy approved in May 2002 and expanded in November 2003(hereinafter referred to as "the CPRGS").



							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
５　ベトナム社会主義共和国政府は、３(1)に規定する生産物又は役務が銀行の調達のためのガイドライン（国際入札の手続が適用できないか又は適当でない場合を除くほか従うべき国際入札の手続をなかんずく定める。）に従って調達されることを確保する。


							

						

						

							

								
5.	The Government of the Socialist Republic of Viet Nam shall ensure that the products and/or services mentioned in sub-paragraph (1) of paragraph 3 are procured in accordance with the guidelines for procurement of the Bank, which set forth, inter alia, the procedures of international tendering to be followed except where such procedures are inapplicable or inappropriate.



							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
６　ベトナム社会主義共和国政府は、借款に基づいて購入される生産物の海上輸送及び海上保険に関し、海運会社及び海上保険会社の間の公正かつ自由な競争を妨げることのあるいかなる制限も課さない。


							

						

						

							

								
6.	With regard to the shipping and marine insurance of the products purchased under the Loan, the Government of the Socialist Republic of Viet Nam shall refrain from imposing any restrictions that may hinder fair and free competition among the shipping and marine insurance companies.










							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
７　ベトナム社会主義共和国政府は、銀行について、借款及びそれから生ずる利子に対して又はそれらに関連してベトナム社会主義共和国において課されるすべての財政課徴金及び租税を免除する。


							

						

						

							

								
7.	The Government of the Socialist Republic of Viet Nam shall exempt the Bank from all fiscal levies and taxes imposed in the Socialist Republic of Viet Nam on and/or in connection with the Loan as well as interest accruing therefrom.



							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
８　ベトナム社会主義共和国政府は、借款が適正にかつ専ら３(1)に規定する生産物又は役務の購入のために使用されることを確保するために必要な措置をとる。


							

						

						

							

								
8.	The Government of the Socialist Republic of Viet Nam shall take necessary measures to ensure that the Loan be used properly and exclusively for purchases of products and/or services mentioned in sub-paragraph (1) of paragraph 3.



							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
９　ベトナム社会主義共和国政府は、要請に応じ、日本国政府及び銀行に対し、借款の使途及びＣＰＲＧＳ　　　　ちよく　　　　　　　　　　　　　　　　　 
の実施の進状況に関する情報及び資料を提供する。


							

						

						

							

								
9.	The Government of the Socialist Republic of Viet Nam shall, upon request, furnish the Government of Japan and the Bank with information and data concerning the use of the Loan and the progress of the implementation of the CPRGS.



							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
10　両政府は、この了解から又はそれに関連して生ずることのあるいかなる事項についても相互に協議する。


							

						

						

							

								
10.	The two Governments shall consult with each other in respect of any matter that may arise from or in connection with the present understanding.
