　書簡をもって啓上いたします。本大臣は、日本国とエジプト・アラブ共和国との間の友好関係及び経済協力を強化すること並びにエジプト・アラブ共和国の開発努力を促進することを目的として供与される日本国の借款に関して日本国政府の代表者とエジプト・アラブ共和国政府の代表者との間で最近到達した次の了解を確認する光栄を有します。

Excellency,

	I have the honour to confirm the following understanding recently reached between the representatives of the Government of Japan and of the Government of the Arab Republic of Egypt concerning a Japanese loan to be extended with a view to strengthening the friendly relations and economic cooperation between the two countries and promoting the development efforts of the Arab Republic of Egypt:



							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
１　百三十四億九千七百万円（一三、四九七、〇〇〇、〇〇〇円）の額までの円貨による借款（以下「借
款」という。)が、ザファラーナ風力発電計画（以下「計画」という。)の実施のため、国際協力銀行（以下「銀行」という。)により、日本国の関係法令に従って、新エネルギー・再生可能エネルギー庁（以下「借入人」という。)に供与されることになる。


							

						

						

							

								
1.	A loan in Japanese yen up to the amount of thirteen billion and four hundred ninety-seven million yen (13,497,000,000) (hereinafter referred to as "the Loan") will be extended to the New & Renewable Energy Authority (hereinafter referred to as "the Borrower") by Japan Bank for International Cooperation (hereinafter referred to as "the Bank") in accordance with the relevant laws and regulations of Japan for the implementation of the Zafarana Wind Power Plant Project (hereinafter referred to as "the Project").



							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
２(1)　借款は、借入人と銀行との間で締結される借款契約に基づいて使用に供される。借款の条件及び使用に関する手続は、なかんずく次の原則を含むことになる前記の借款契約によって規制される。


							

						

						

							

								
2.	(1)	The Loan will be made available by a loan agreement to be concluded between the Borrower and the Bank.  The terms and conditions of the Loan as well as the
procedures for its utilization will be governed by the said loan agreement which will contain, inter alia, the following principles:



							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
(a)　償還期間は、十年の据置期間の後三十年とする。


							

						

						

							

								
(a) The repayment period will be thirty (30) years after the grace period of ten (10) years;



							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
(b)　利子率は、年〇・七五パーセントとする。


							

						

						

							

								
(b) The rate of interest will be nought point seven five per cent (0.75%) per annum; and



							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
(c)　支出期間は、前記の借款契約の発効の日から八年とする。


							

						

						

							

								
(c) The disbursement period will be eight (8) years from the date of coming into force of the said loan agreement.



							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
(2)　(1)にいう借款契約は、銀行が計画の実行可能性（環境に対する配慮を含む。)を確認した後に締結される。


							

						

						

							

								
	(2)	The loan agreement mentioned in sub-paragraph (1) above will be concluded after the Bank is satisfied of the feasibility, including environmental consideration, of the Project.




							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
(3)　(1)(c)にいう支出期間は、両政府の関係当局の同意を得て延長することができる。

３　借入人に供与される借款の元本の償還並びに利子及びいかなるその他の課徴金の支払も、エジプト・ア
ラブ共和国政府によって保証される。


							

						

						

							

								
3.	The repayment of principal of the Loan extended to the Borrower, as well as the payment of interest and any other charges thereon, shall be guaranteed by the Government of the Arab Republic of Egypt.



							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
４(1)　借款は、エジプトの実施機関が調達適格国の供給者、請負業者又はコンサルタントに対して行う支払で、計画の実施に必要な生産物又は役務の購入のために両者の間で締結されることのある契約に基づいて行われるものを対象として使用に供される。ただし、当該購入は、調達適格国において、それらの国で生産される生産物又はそれらの国から供給される役務について行われる。


							

						

						

							

								
4.	(1)	The Loan shall be made available to cover payments to be made by the Egyptian executing agency to suppliers, contractors and/or consultants of eligible source countries under such contracts as may be entered into between them for purchases of products and/or services required for the implementation of the Project, provided that such purchases are made in such eligible source countries for products produced in and/or services supplied from those countries.



							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
(2)　(1)にいう調達適格国の範囲は、両政府の関係当局間で合意される。


							

						

						

							

								
	(2)	The scope of eligible source countries mentioned in sub-paragraph (1) above shall be agreed upon between the authorities concerned of the two Governments.



							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
５　エジプト・アラブ共和国政府は、４(1)にいう生産物又は役務が銀行の調達のためのガイドライン（国際入札の手続が適用できないか又は適当でない場合を除くほか従うべき国際入札の手続をなかんずく定める。)に従って調達されることを確保する。


							

						

						

							

								
5.	The Government of the Arab Republic of Egypt shall ensure that the products and/or services mentioned in sub-paragraph (1) of paragraph 4 are procured in accordance with the guidelines for procurement of the Bank, which set forth, inter alia, the procedures of international tendering to be followed except where such procedures are inapplicable or inappropriate.



							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
６　エジプト・アラブ共和国政府は、借款に基づいて購入される生産物の海上輸送及び海上保険に関し、海
運会社及び海上保険会社の間の公正かつ自由な競争を妨げることのあるいかなる制限も課さない。


							

						

						

							

								
6.	With regard to the shipping and marine insurance of the products purchased under the Loan, the Government of the Arab Republic of Egypt shall refrain from imposing any restrictions that may hinder fair and free competition among the shipping and marine insurance companies.



							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
７　４(1)にいう生産物又は役務の供給に関連してエジプト・アラブ共和国においてその役務が必要とされる日本国民は、作業の遂行のためエジプト・アラブ共和国への入国及び同国における滞在に必要な便宜を与えられる。


							

						

						

							

								
7.	Japanese nationals whose services may be required in the Arab Republic of Egypt in connection with the supply of the products and/or services mentioned in sub-paragraph (1) of paragraph 4 shall be accorded such facilities as may be necessary for their entry into the Arab Republic of Egypt and stay therein for the performance of their work.



							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
８(1)　エジプト・アラブ共和国政府は、銀行について、借款及びそれから生ずる利子に対して又はそれらに関連してエジプト・アラブ共和国において課されるすべての財政課徴金及び租税を免除する。


							

						

						

							

								
8.	(1)	The Government of the Arab Republic of Egypt shall exempt the Bank from all fiscal levies and taxes imposed in the Arab Republic of Egypt on and/or in connection with the Loan as well as interest accruing therefrom.




							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
(2)　エジプト・アラブ共和国政府は、エジプト・アラブ共和国において請負業者又はコンサルタントとして活動する会社が支払う個人所得税及び法人税を除くいかなる税も、調達手続に基づいて容易に判断できる税（主要な請負業者又はコンサルタントとエジプトの実施機関との間の直接契約によって計画に供給される最終の生産物又は役務に係る関税及び付加価値税を含む。)である場合には、借入人によって支払われることを確保するために必要な措置をとる。


							

						

						

							

								
	(2)	The Government of the Arab Republic of Egypt shall take necessary measures to ensure that, except the personal income tax and corporate tax payable by the contractors and/or consultants who carry out business in the Arab Republic of Egypt, any taxes, which are easily determinable under objective procurement process, including customs duties and value added tax on imported goods, final products and/or services supplied to the project in the direct transaction between the main contractors/consultants and the Egyptian executing agency, be paid by the Borrower.



							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
９　エジプト・アラブ共和国政府は、次のことを確保するために必要な措置をとる。

(a)　借款が適正にかつ専ら計画のために使用されること。

(b)　借款に基づいて建設される施設がこの了解に定める目的のために適正にかつ効果的に維持され及び使
用されること。

10　エジプト・アラブ共和国政府は、要請に応じ、日本国政府及び銀行に対し、計画の実施の進状(ちよく)況に
関
する情報及び資料を提供する。


							

						

						

							

								
10.	The Government of the Arab Republic of Egypt shall, upon request, furnish the Government of Japan and the Bank with information and data concerning the progress of the implementation of the Project.



							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
11　両政府は、この了解から又はそれに関連して生ずることのあるいかなる事項についても相互に協議する。

  本大臣は、更に、この書簡及び前記の了解をエジプト・アラブ共和国政府に代わって確認される閣下の返簡が両政府間の合意を構成するものとみなし、その合意がその効力発生のために必要な国内手続を完了した旨のエジプト・アラブ共和国政府からの書面による通告を日本国政府が受領した時に効力を生ずるものとすることを提案する光栄を有します。
　この書簡は、ひとしく正文である日本語、アラビア語及び英語により作成され、解釈に相違がある場合には、英語の本文によるものとします。
　本大臣は、以上を申し進めるに際し、ここに閣下に向かって敬意を表します。

	I have further the honour to propose that this Note and Your Excellency's Note in reply confirming the foregoing understanding on behalf of the Government of the Arab Republic of Egypt shall be considered as constituting an agreement between the two Governments, which shall become effective upon the receipt by the Government of Japan of the written notification from the Government of the Arab Republic of Egypt of the completion of necessary domestic procedures for the entry into force of such agreement.

	This Note is written in the Japanese, Arabic and English languages, each text being equally authentic, and in case of any divergence in interpretation, the English text shall prevail.


	I avail myself of this opportunity to extend to Your Excellency the assurance of my highest consideration.
