	I have the honour to confirm the following understanding recently reached between the representatives of the Government of Japan and of the Government of the Democratic Socialist Republic of Sri Lanka concerning Japanese loans to be extended with a view to promoting the economic stabilization and development efforts of the Democratic Socialist Republic of Sri Lanka:



							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
１　二百六十一億九千万円（二六、一九〇、〇〇〇、〇〇〇円）の額までの円貨による借款（以下「借款
Ⅰ」という。)が、この書簡に附属する表（以下「付表」という。)に掲げる事業計画の実施のため、各事業計画につき付表に定める配分に応じ、国際協力銀行（以下「銀行」という。)により、日本国の関係法令に従って、スリランカ民主社会主義共和国政府に供与されることになる。


							

						

						

							

								
I

1.	A loan in Japanese yen up to the amount of twenty-six billion one hundred and ninety million yen (26,190,000,000) (hereinafter referred to as "the Loan I") will be extended to the Government of the Democratic Socialist Republic of Sri Lanka by Japan Bank for International Cooperation (hereinafter referred to as "the Bank") in accordance with the relevant laws and regulations of Japan for the implementation of the projects enumerated in the list attached hereto (hereinafter referred to as "the List"), according to the allocation for each project as specified in the List.



							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
２(1)　借款Ⅰは、スリランカ民主社会主義共和国政府と銀行との間で締結される借款契約に基づいて使用に
供される。借款Ⅰの条件及び使用に関する手続は、なかんずく次の原則を含むことになる前記の借款契約によって規制される。


							

						

						

							

								
2.	(1)	The Loan I will be made available by loan agreements to be concluded between the Government of the Democratic Socialist Republic of Sri Lanka and the Bank.  The terms and conditions of the Loan I as well as the procedures for its utilization will be governed by the said loan agreements which will contain, inter alia, the following principles:



							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
(a)　償還期間は、十年の据置期間の後二十年とする。

(b)　利子率は、年二・二パーセントとする。

(c)　支出期間は、関係借款契約の発効の日から、付表の１に掲げる事業計画については七年とし、付表の２及び３に掲げる事業計画については八年とし並びに付表の４及び５に掲げる事業計画については四年とする。

(2)　(1)にいう借款契約の各々は、銀行が当該借款契約に係る事業計画の実行可能性（環境に対する配慮を含む。)を確認した後に締結される。

３(1)　借款Ⅰは、スリランカの実施機関が調達適格国の供給者、請負業者又はコンサルタントに対して行う支払で、付表に掲げる事業計画の実施に必要な生産物又は役務の購入のために両者の間で締結されることのある契約に基づいて行われるものを対象として使用に供される。ただし、当該購入は、調達適格国において、それらの国で生産される生産物又はそれらの国から供給される役務について行われる。


							

						

						

							

								
3.	(1)	The Loan I shall be made available to cover payments to be made by the Sri Lankan executing agencies to suppliers, contractors and/or consultants of eligible source countries under such contracts as may be entered into between them for purchases of products and/or services required for the implementation of the projects enumerated in the List, provided that such purchases are made in such eligible source countries for products produced in and/or services supplied from those countries.

１　七十四億四千万円（七、四四〇、〇〇〇、〇〇〇円）の額までの円貨による借款（以下「借款Ⅱ」とい
う。)が、電力セクター改革計画（以下「計画」という。)の実施のため、銀行により、日本国の関係法令に従って、スリランカ民主社会主義共和国政府に供与されることになる。


							

						

						

							

								

II

1.	A loan in Japanese yen up to the amount of seven billion four hundred and forty million yen (7,440,000,000) (hereinafter referred to as "the Loan II") will be extended to the Government of the Democratic Socialist Republic of Sri Lanka by the Bank in accordance with the relevant laws and regulations of Japan for the implementation of the Power Sector Restructuring Program (hereinafter referred to as "the Program").

３(1)　借款Ⅱは、スリランカ民主社会主義共和国における輸入業者が調達適格国の供給者又はコンサルタントに対して既に行ったか又は行う支払で、生産物（両政府の関係当局間で相互に合意される表に掲げるものを除く。)の購入及び当該生産物の購入に付随する役務の購入のために両者の間で既に締結されたか又は締結されることのある契約に基づいて行われるものを対象として使用に供される。ただし、当該購入は、調達適格国において、それらの国で生産される生産物及びそれらの国から供給される役務について行われる。


							

						

						

							

								
3.	(1)	The Loan II shall be made available to cover the payments already made and/or to be made to suppliers and/or consultants of eligible source countries by importers in the Democratic Socialist Republic of Sri Lanka under such contracts as have been or may be entered into between them for purchases of products, except such products as will be enumerated in a list to be mutually agreed upon between the authorities concerned of the two Governments, and for purchases of services incidental to the purchases of those products, provided that such purchases are made in such eligible source countries for products produced in and services supplied from those countries.

４(1)　スリランカ民主社会主義共和国政府は、スリランカ民主社会主義共和国政府の名義でスリランカ中央銀行に開設される見返資金勘定に借款Ⅱの円貨による支出額に等しい額をスリランカ通貨で振り替えるようにするための措置をとる。このように振り替えられたスリランカ通貨の額は、計画の現地通貨の需要に充てるために使用される。


							

						

						

							

								
4.	(1)	The Government of the Democratic Socialist Republic of Sri Lanka shall take measures to have the equivalent in Sri Lankan currency of the amount of yen disbursements of the Loan II, transferred into the counterpart fund account opened in the name of the Government of the Democratic Socialist Republic of Sri Lanka at the Central Bank of Sri Lanka.  The amount of Sri Lankan currency thus transferred shall be used to cover local currency requirements of the Program.



							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
(2)　スリランカ民主社会主義共和国政府は、要請に応じ、銀行に対し、(1)にいう見返資金の使用に関する報告を提出する。

１　Ｉ２(1)(c)及びⅡ２(1)(c)にいうそれぞれの支出期間は、両政府の関係当局の同意を得てそれぞれ延長することができる。

1.	The respective disbursement periods mentioned in sub-paragraph (1)(c) of paragraph 2 of Part I and sub-paragraph (1)(c) of paragraph 2 of Part II may be extended respectively with the consent of the authorities concerned of the two Governments.



							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
２　スリランカ民主社会主義共和国政府は、Ⅰ３(1)及びⅡ３(1)にいう生産物又は役務が銀行の調達のためのガイドライン（国際入札の手続が適用できないか又は適当でない場合を除くほか従うべき国際入札の手続をなかんずく定める。)に従って調達されることを確保する。


							

						

						

							

								
2.	The Government of the Democratic Socialist Republic of Sri Lanka shall ensure that the products and/or services mentioned in sub-paragraph (1) of paragraph 3 of Part I and sub-paragraph (1) of paragraph 3 of Part II are procured in accordance with the guidelines for procurement of the Bank, which set forth, inter alia, the procedures of international tendering to be followed except where such procedures are inapplicable or inappropriate.



							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
３　Ⅰ３(1)及びⅡ３(1)にいう生産物又は役務の供給に関連してスリランカ民主社会主義共和国においてその役務が必要とされる日本国民は、作業の遂行のためスリランカ民主社会主義共和国への入国及び同国における滞在に必要な便宜を与えられる。


							

						

						

							

								
3.	Japanese nationals whose services may be required in the Democratic Socialist Republic of Sri Lanka in connection with the supply of the products and/or services mentioned in sub-paragraph (1) of paragraph 3 of Part I and sub-paragraph (1) of paragraph 3 of Part II shall be accorded such facilities as may be necessary for their entry into the Democratic Socialist Republic of Sri Lanka and stay therein for the performance of their work.



							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
４　スリランカ民主社会主義共和国政府は、借款Ⅰ及び借款Ⅱに基づいて購入される生産物の海上輸送及び海上保険に関し、海運会社及び海上保険会社の間の公正かつ自由な競争を妨げることのあるいかなる直接又は間接の制限も課さない。


							

						

						

							

								
4.	With regard to the shipping and marine insurance of the products purchased under the Loan I and the Loan II, the Government of the Democratic Socialist Republic of Sri Lanka shall refrain from imposing, directly or indirectly, any restrictions that may hinder fair and free competition among the shipping and marine insurance companies.




							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
５(1)　スリランカ民主社会主義共和国政府は、銀行について、借款Ｉ及び借款Ⅱ並びにそれらから生ずる利子に対して又はそれらに関連してスリランカ民主社会主義共和国において課されるすべての財政課徴金及び租税を免除する。


							

						

						

							

								
5.	(1)	The Government of the Democratic Socialist Republic of Sri Lanka shall exempt the Bank from all fiscal levies and taxes imposed in the Democratic Socialist Republic of Sri Lanka on and/or in connection with the Loan I and the Loan II as well as interest accruing therefrom.



							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
(2)　スリランカ民主社会主義共和国政府は、供給者、請負業者又はコンサルタントとして活動する日本国の会社に代わって、付表に掲げる事業計画及び計画の実施に必要な資材及び設備の輸入及び再輸出に関する財政課徴金を支払うための措置をとる。


							

						

						

							

								
	(2)	The Government of the Democratic Socialist Republic of Sri Lanka, on behalf of the Japanese companies operating as suppliers, contractors and/or consultants, shall make arrangements to meet the fiscal levies with respect to the import and re-export of the materials and equipment needed for the implementation of the projects enumerated in the List and of the Program.

８　両政府は、前記の了解から又はそれに関連して生ずることのあるいかなる事項についても相互に協議す
