  　書簡をもって啓上いたします。本使は、フィリピン共和国の経済の安定及び開発努力を促進することを目的として供与される日本国の借款に関して日本国政府の代表者とフィリピン共和国政府の代表者との間で最近到達した次の了解を確認する光栄を有します。

							

						

						

							

								
Excellency,

	I have the honour to confirm the following understanding recently reached between the representatives of the Government of Japan and of the Government of the Republic of the Philippines concerning a Japanese loan to be extended with a view to promoting the economic stabilization and development efforts of the Republic of the Philippines:

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
  １　三百八十七億八千六百万円（三八、七八六、〇〇〇、〇〇〇円）の額までの円貨による借款（以下「借款」という。)が、この書簡に附属する表（以下「付表」という。)に掲げる事業計画を実施するため、各事業計画につき付表に定める配分に応じ、国際協力銀行（以下「銀行」という。)により、日本国の関係法令に従って、フィリピン共和国政府に供与されることになる。

							

						

						

							

								
1.	A loan in Japanese yen up to the amount of thirty-eight billion seven hundred and eighty-six million yen (38,786,000,000) (hereinafter referred to as "the Loan") will be extended, in accordance with the relevant laws and regulations of Japan, to the Government of the Republic of the Philippines by Japan Bank for International Cooperation (hereinafter referred to as "the Bank") to implement the projects enumerated in the list attached hereto (hereinafter referred to as "the List") according to the allocation for each project as specified in the List.

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
  ２(1)　借款は、フィリピン共和国政府と銀行との間で締結される借款契約に基づいて使用に供される。借款の条件及び使用に関する手続は、なかんずく次の原則を含むことになる前記の借款契約によって規制される。

							

						

						

							

								
2.	(1)	The Loan will be made available by loan agreements to be concluded between the Government of the Republic of the Philippines and the Bank.  The terms and conditions of the Loan as well as the procedures for its utilization will be governed by the said loan agreements which will contain, inter alia, the following principles:

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
      (a)(i)　償還期間は、十年の据置期間の後二十年とする。

							

						

						

							

								
	(a)	(i)	The repayment period will be twenty (20) years after the grace period of ten (10) years;

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
        (ii)　ただし、(a)(i)にもかかわらず、借款の一部が付表の１、３及び４に掲げる事業計画のコンサルタントに対して行う支払のために使用される場合には、当該部分に係る償還期間は、十年の据置期間の後三十年とする。

							

						

						

							

								
(ii) Notwithstanding sub-paragraph (a)(i) above, where a part of the Loan is made available to cover payments to consultants of the projects mentioned in 1, 3 and 4 of the List, then the repayment period of the said part will be thirty (30) years after the grace period of ten (10) years;

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
      (b)(i)　利子率は、付表の１、２及び３に掲げる事業計画については年二・二パーセントとし、付表の４に掲げる事業計画については年一・七パーセントとする。

							

						

						

							

								
	(b)	(i)	The rate of interest will be two and two-tenths per cent (2.2%) per annum with regard to the projects mentioned in 1, 2 and 3 of the List and one and seven-tenths per cent (1.7%) per annum with regard to the project mentioned in 4 of the List;

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
        (ii)　ただし、(b)(i)にもかかわらず、借款の一部がコンサルタントに対して行う支払のために使用される場合には、当該部分に係る利子率は、付表の１、３及び４に掲げる事業計画については年〇・七五パーセントとし、付表の２に掲げる事業計画については年一・八パーセントとする。

							

						

						

							

								
(ii) Notwithstanding sub-paragraph (b)(i) above, where a part of the Loan is made available to cover payments to consultants, then the rate of interest of the said part will be seventy-five-hundredths per cent (0.75%) per annum with regard to the projects mentioned in 1, 3 and 4 of the List and one and eight-tenths per cent (1.8%) per annum with regard to the project mentioned in 2 of the List; and

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
      (c)  支出期間は、関係借款契約の発効の日から、付表の１、２及び３に掲げる事業計画については七年とし、付表の４に掲げる事業計画については八年とする。

    (3)　(1)(c)にいうそれぞれの支出期間は、両政府の関係当局の同意を得て延長することができる。

  ３(1)　借款は、フィリピンの実施機関が調達適格国の供給者、請負業者又はコンサルタントに対して行う支払で、付表に掲げる事業計画の実施に必要な生産物又は役務の購入のために両者の間で締結されることのある契約に基づいて行われるものを対象として使用に供される。ただし、当該購入は、調達適格国において、それらの国で生産される生産物又はそれらの国から供給される役務について行われる。

							

						

						

							

								
3.	(1)	The Loan will be made available to cover payments to be made by the Philippine executing agencies to suppliers, contractors and/or consultants of eligible source countries under such contracts as may be entered into between them for purchases of products and/or services required for the implementation of the projects enumerated in the List, provided that such purchases are made in such eligible source countries for products produced in and/or services supplied from those countries.

  ４　フィリピン共和国政府は、借款に基づいて購入される生産物の海上輸送及び海上保険に関し、海運会社及び海上保険会社の間の公正かつ自由な競争を妨げることのあるいかなる制限も課さない。

							

						

						

							

								
4.	With regard to the shipping and marine insurance of the products purchased under the Loan, the Government of the Republic of the Philippines will refrain from imposing any restrictions that may hinder fair and free competition among the shipping and marine insurance companies.

5.	The Government of the Republic of the Philippines will ensure that the products and/or services mentioned in sub-paragraph (1) of paragraph 3 are procured in accordance with the guidelines for procurement of the Bank, which set forth, inter alia, the procedures of international tendering to be followed except where such procedures are inapplicable or inappropriate.

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
  ６　３(1)にいう生産物又は役務の供給に関連してフィリピン共和国においてその役務が必要とされる日本国民は、作業の遂行のためフィリピン共和国への入国及び同国における滞在に必要な便宜を与えられる。

							

						

						

							

								
6.	Japanese nationals whose services may be required in the Republic of the Philippines in connection with the supply of the products and/or services mentioned in sub-paragraph (1) of paragraph 3 will be accorded such facilities as may be necessary for their entry into the Republic of the Philippines and stay therein for the performance of their work.

    (2)　両政府は、(1)にいう報告に基づいて、共同して借款の実施の進捗状況を随時検討し、必要に応じ、その円滑かつ効果的な使用を確保するために適当な措置をとる。銀行は、その検討に参加するよう招かれる。

							

						

						

							

								
	(2)	The two Governments will jointly review from time to time, on the basis of the reports mentioned in sub-paragraph (1) above, the progress of the implementation of the Loan and take, if necessary, appropriate measures to secure its smooth and effective utilization.   １　五十八億五千七百万円（五、八五七、〇〇〇、〇〇〇円）の額までの円貨による借款（以下「借款Ⅱ」という。)が、付表の３に掲げる事業計画を実施するため、銀行により、日本国の関係法令に従って、フィリピン石油公団エネルギー開発公社（以下「借入人Ⅱ」という。)に供与されることになる。

							

						

						

							

								
1.	A loan in Japanese yen up to the amount of five billion eight hundred and fifty-seven million yen (5,857,000,000) (hereinafter referred to as "the Loan II") will be extended, in accordance with the relevant laws and regulations of Japan, to the Philippine National Oil Company-Energy Development Corporation (hereinafter referred to as "the Borrower II") by the Bank to implement the project mentioned in 3 of the List.

2.	(1)	The Loan II will be made available by a loan agreement to be concluded between the Borrower II and the Bank.
