債務救済措置に関する日本国政府とナイジェリア連邦共和国政府との間の二の交換公文

（日本側書簡） （訳文） 書簡をもって啓上いたします。本使は、二千年十月二十五日、二十六日及び二十七日並びに十二月十一日、十二日及び十三日にパリで開催されたナイジェリア連邦共和国政府の代表者と関係債権諸国政府の代表者との間の協議において到達した結論に基づき日本国政府の代表者とナイジェリア連邦共和国政府の代表者との間で行われた最近の交渉に言及する光栄を有します。本使は、更に、当該交渉において到達した次の了解を確認する光栄を有します。
(Japanese Note) Abuja, September 19, 2003 Excellency, I have the honour to refer to the recent negotiations between the representatives of the Government of Japan and of the Government of the Federal Republic of Nigeria that were held on the basis of the conclusions reached during the consultations between the representatives of the Government of the Federal Republic of Nigeria and of the Governments of the creditor countries concerned held in Paris on October 25, 26 and 27 and on December 11, 12 and 13, 2000. I have further the honour to confirm the following understanding reached in the course of the said negotiations:
１ 債務繰延方式及び債務支払猶予方式による債務救済措置が、国際協力銀行（以下「銀行」という。)により、日本国の関係法令に従ってとられることになる。
1. A debt relief measure in the form of rescheduling and deferral will be taken in accordance with the relevant laws and regulations of Japan by Japan Bank for International Cooperation (hereinafter referred to as "the Bank").
２(1) 繰り延べられる債務は、ナイジェリア連邦共和国政府が銀行に対して負う次の(a)及び(b)にいう債務から成る。
2. (1) The debts to be rescheduled consist of the debts referred to in (a) and (b) below which the Government of the Federal Republic of Nigeria owes to the Bank.
(a) ナイジェリア連邦共和国政府と海外経済協力基金（以下「基金」という。)との間で千九百八十五年十月一日以前に締結された借款契約又はナイジェリア連邦共和国政府と基金との間で締結された債務繰延契約に従って支払われるべき債務は、次のとおりである。
(a) The debts payable under the Loan Agreements concluded before October 1, 1985 between the Government of the Federal Republic of Nigeria and the Overseas Economic Cooperation Fund (hereinafter referred to as "the Fund") or the rescheduling agreements concluded between the Government of the Federal Republic of Nigeria and the Fund are as follows:
(i) 過去に繰り延べられなかった債務に関し、
(i) For the debts not previously rescheduled,
(A) 二千年七月三十一日以前に弁済期限の到来した未払の元本及び契約上の利子並びにそれらの遅延利子であって二千年七月三十一日以前に生じたもの（それらの内訳は、この書簡の付表一に掲げられる。)。
(A) the principal and contractual interest having fallen due on or before July 31, 2000 and not paid, and the late interest thereon having accrued on or before July 31, 2000, the breakdown of which is shown in the List 1 attached hereto; and
(B) 二千年八月一日から二千一年七月三十一日までの間（両期日を含む。)に弁済期限の到来した未払の元本及び契約上の利子（それらの内訳は、この書簡の付表二に掲げられる。)。
(B) the principal and contractual interest having fallen due between August 1, 2000 and July 31, 2001, both dates inclusive, and not paid, the breakdown of which is shown in the List 2 attached hereto.
(ii) ナイジェリア連邦共和国政府が基金に対して負っていた債務についての債務救済措置に関して千九百八十八年四月五日に日本国政府とナイジェリア連邦共和国政府との間で交換された書簡により行われた取極に従って過去に繰り延べられた債務に関し、二千年七月三十一日以前に弁済期限の到来した未払の元本及び繰延利子並びにそれらの遅延利子であって二千年七月三十一日以前に生じたもの（それらの内訳は、この書簡の付表三に掲げられる。)。
(ii) For the debts previously rescheduled pursuant to the arrangements made by the Notes exchanged between the Government of Japan and the Government of the Federal Republic of Nigeria on April 5, 1988 concerning the debt relief measures with respect to the debts which the Government of the Federal Republic of Nigeria owed to the Fund, the principal and rescheduling interest having fallen due on or before July 31, 2000 and not paid, and the late interest thereon having accrued on or before July 31, 2000, the breakdown of which is shown in the List 3 attached hereto.
(iii) ナイジェリア連邦共和国政府が基金に対して負っていた債務についての債務救済措置に関して千九百九十年一月十九日に日本国政府とナイジェリア連邦共和国政府との間で交換された書簡により行われた取極に従って過去に繰り延べられた債務に関し、二千年七月三十一日以前に弁済期限の到来した未払の元本及び繰延利子並びにそれらの遅延利子であって二千年七月三十一日以前に生じたもの（それらの内訳は、この書簡の付表四に掲げられる。)。
(iii) For the debts previously rescheduled pursuant to the arrangements made by the Notes exchanged between the Government of Japan and the Government of the Federal Republic of Nigeria on January 19, 1990 concerning the debt relief measures with respect to the debts which the Government of the Federal Republic of Nigeria owed to the Fund, the principal and rescheduling interest having fallen due on or before July 31, 2000 and not paid, and the late interest thereon having accrued on or before July 31, 2000, the breakdown of which is shown in the List 4 attached hereto.
(iv) ナイジェリア連邦共和国政府が基金に対して負っていた債務についての債務救済措置に関して千九百九十一年十月二十八日に日本国政府とナイジェリア連邦共和国政府との間で交換された書簡により行われた取極に従って過去に繰り延べられた債務に関し、
(iv) For the debts previously rescheduled pursuant to the arrangements made by the Notes exchanged between the Government of Japan and the Government of the Federal Republic of Nigeria on October 28, 1991 concerning the debt relief measures with respect to the debts which the Government of the Federal Republic of Nigeria owed to the Fund,
(A) 二千年七月三十一日以前に弁済期限の到来した未払の元本及び繰延利子並びにそれらの遅延利子であって二千年七月三十一日以前に生じたもの（それらの内訳は、この書簡の付表五に掲げられる。)。
(A) the principal and rescheduling interest having fallen due on or before July 31, 2000 and not paid, and the late interest thereon having accrued on or before July 31, 2000, the breakdown of which is shown in the List 5 attached hereto; and
(B) 二千年八月一日から二千一年七月三十一日までの間（両期日を含む。)に弁済期限の到来した未払の繰延利子（その内訳は、この書簡の付表六に掲げられる。)。
(B) the rescheduling interest having fallen due between August 1, 2000 and July 31, 2001, both dates inclusive, and not paid, the breakdown of which is shown in the List 6 attached hereto.
(b) ナイジェリア連邦共和国政府と日本輸出入銀行（以下「輸銀」という。)との間で千九百八十五年十月一日以前に締結された借款契約又はナイジェリア連邦共和国政府と輸銀との間で締結された債務繰延契約に従って支払われるべき債務は、次のとおりである。
(b) The debts payable under the Loan Agreements concluded before October 1, 1985 between the Government of the Federal Republic of Nigeria and the Export-Import Bank of Japan (hereinafter referred to as "the JEXIM") or the rescheduling agreements concluded between the Government of the Federal Republic of Nigeria and the JEXIM are as follows:
(i) 過去に繰り延べられなかった債務に関し、二千年七月三十一日以前に弁済期限の到来した未払の元本及び契約上の利子並びにそれらの遅延利子であって二千年七月三十一日以前に生じたもの（それらの内訳は、この書簡の付表七に掲げられる。)。
(i) For the debts not previously rescheduled, the principal and contractual interest having fallen due on or before July 31, 2000 and not paid, and the late interest thereon having accrued on or before July 31, 2000, the breakdown of which is shown in the List 7 attached hereto.
(ii) ナイジェリア連邦共和国政府が輸銀に対して負っていた債務についての債務救済措置に関して千九百八十八年四月五日に日本国政府とナイジェリア連邦共和国政府との間で交換された書簡により行われた取極に従って過去に繰り延べられた債務に関し、二千年七月三十一日以前に弁済期限の到来した未払の元本及び繰延利子並びにそれらの遅延利子であって二千年七月三十一日以前に生じたもの（それらの内訳は、この書簡の付表八に掲げられる。)。
(ii) For the debts previously rescheduled pursuant to the arrangements made by the Notes exchanged between the Government of Japan and the Government of the Federal Republic of Nigeria on April 5, 1988 concerning the debt relief measures with respect to the debts which the Government of the Federal Republic of Nigeria owed to the JEXIM, the principal and rescheduling interest having fallen due on or before July 31, 2000 and not paid, and the late interest thereon having accrued on or before July 31, 2000, the breakdown of which is shown in the List 8 attached hereto.
(iii) ナイジェリア連邦共和国政府が輸銀に対して負っていた債務についての債務救済措置に関して千九百九十年一月十九日に日本国政府とナイジェリア連邦共和国政府との間で交換された書簡により行われた取極に従って過去に繰り延べられた債務に関し、二千年七月三十一日以前に弁済期限の到来した未払の元本及び繰延利子並びにそれらの遅延利子であって二千年七月三十一日以前に生じたもの（それらの内訳は、この書簡の付表九に掲げられる。)。
(iii) For the debts previously rescheduled pursuant to the arrangements made by the Notes exchanged between the Government of Japan and the Government of the Federal Republic of Nigeria on January 19, 1990 concerning the debt relief measures with respect to the debts which the Government of the Federal Republic of Nigeria owed to the JEXIM, the principal and rescheduling interest having fallen due on or before July 31, 2000 and not paid, and the late interest thereon having accrued on or before July 31, 2000, the breakdown of which is shown in the List 9 attached hereto.
(iv) ナイジェリア連邦共和国政府が輸銀に対して負っていた債務についての債務救済措置に関して千九百九十一年十月二十八日に日本国政府とナイジェリア連邦共和国政府との間で交換された書簡により行われた取極に従って過去に繰り延べられた債務に関し、
(iv) For the debts previously rescheduled pursuant to the arrangements made by the Notes exchanged between the Government of Japan and the Government of the Federal Republic of Nigeria on October 28, 1991 concerning the debt relief measures with respect to the debts which the Government of the Federal Republic of Nigeria owed to the JEXIM,
(A) 二千年七月三十一日以前に弁済期限の到来した未払の元本及び繰延利子並びにそれらの遅延利子であって二千年七月三十一日以前に生じたもの（それらの内訳は、この書簡の付表十に掲げられる。)。
(A) the principal and rescheduling interest having fallen due on or before July 31, 2000 and not paid, and the late interest thereon having accrued on or before July 31, 2000, the breakdown of which is shown in the List 10 attached hereto; and
(B) 二千年八月一日から二千一年七月三十一日までの間（両期日を含む。)に弁済期限の到来した未払の繰延利子（その内訳は、この書簡の付表十一に掲げられる。)。
(B) the rescheduling interest having fallen due between August 1, 2000 and July 31, 2001, both dates inclusive, and not paid, the breakdown of which is shown in the List 11 attached hereto.
(2)(a) (1)(a)(i)(A)、(a)(ii)及び(a)(iii)並びに(a)(iv)(A)にいう債務を、以下「繰延債務Ⅰ」と総称する。
(2) (a) The debts referred to in (a)(i)(A), (a)(ii), (a)(iii) and (a)(iv)(A) of sub-paragraph (1) above are hereinafter collectively referred to as "the Rescheduled Debts I".
(b) (1)(a)(i)(B)及び(a)(iv)(B)にいう債務を、以下「繰延債務Ⅱ」と総称する。
(b) The debts referred to in (a)(i)(B), (a)(iv)(B) of sub-paragraph (1) above are hereinafter collectively referred to as "the Rescheduled Debts II".
(c) (1)(b)(i)、(b)(ii)及び(b)(iii)並びに(b)(iv)(A)にいう債務を、以下「繰延債務Ⅲ」と総称する。
(c) The debts referred to in (b)(i), (b)(ii), (b)(iii) and (b)(iv)(A) of sub-paragraph (1) above are hereinafter collectively referred to as "the Rescheduled Debts III".
(d) (1)(b)(iv)(B)にいう債務を、以下「繰延債務Ⅳ」という。
(d) The debts referred to in (b)(iv)(B) of sub-paragraph (1) above are hereinafter referred to as "the Rescheduled Debts IV".
(3)(a) 繰延債務Ⅰの総額は、九十二億千百四十二万二千六百三十六円（九、二一一、四二二、六三六円）となる。
(3) (a) The total amount of the Rescheduled Debts I will be nine billion two hundred eleven million four hundred twenty-two thousand six hundred and thirty-six yen (9,211,422,636).
(b) 繰延債務Ⅱの総額は、十一億五千百九十六万千二百十三円（一、一五一、九六一、二一三円）となる。
(b) The total amount of the Rescheduled Debts II will be one billion one hundred fifty-one million nine hundred sixty-one thousand two hundred and thirteen yen (1,151,961,213).
(c) 繰延債務Ⅲの総額は、九十八億三千六百三十四万七千六十二円（九、八三六、三四七、〇六二円）となる。
(c) The total amount of the Rescheduled Debts III will be nine billion eight hundred thirty-six million three hundred forty-seven thousand and sixty-two yen (9,836,347,062).
(d) 繰延債務Ⅳの総額は、一億六百九十二万四千九百五十四円（一〇六、九二四、九五四円）となる。
(d) The total amount of the Rescheduled Debts IV will be one hundred six million nine hundred twenty-four thousand nine hundred and fifty-four yen (106,924,954).
(4) (3)にいう総額及びこの書簡の付表一から十一は、ナイジェリア連邦共和国政府の関係当局及び銀行が行う最終的照合の後に、日本国政府及びナイジェリア連邦共和国政府の関係当局間の合意により修正されることがある。
(4) Modifications may be made to the total amount referred to in sub-paragraph (3) above and to the Lists 1 to 11 attached hereto by agreement between the authorities concerned of the Government of Japan and of the Government of the Federal Republic of Nigeria, after the final verification to be made by the authorities concerned of the Government of the Federal Republic of Nigeria and the Bank.
(5)(a) 債務繰延べの条件は、ナイジェリア連邦共和国政府と銀行との間で締結される債務繰延契約（以下「債務繰延契約」という。)であって、なかんずく次の原則を含むものにおいて規定される。
(5) (a) The terms and conditions of the rescheduling will be stipulated in rescheduling agreements to be concluded between the Government of the Federal Republic of Nigeria and the Bank (hereinafter referred to as "the Rescheduling Agreements"), which will contain, inter alia, the following principles:
(i)(A) 繰延債務Ⅰに関し、
(i) (A) With regard to the Rescheduled Debts I:
(AA)(aa) 二百五十七万三千合衆国ドル（二、五七三、〇〇〇合衆国ドル）を一合衆国ドル当たり百十五円三十五銭（一一五・三五円）の率によって日本円に転換され及び小数点以下を一円に切り上げられた額である二億九千六百七十九万五千五百五十円（二九六、七九五、五五〇円）が、既に支払われたことが確認される。
(AA) it is confirmed that (aa) two hundred ninety-six million seven hundred ninety-five thousand five hundred and fifty yen (296,795,550), the amount converted to Japanese yen from two million five hundred and seventy-three thousand United States dollars ($2,573,000) at the rate of one hundred and fifteen point thirty-five yen (115.35) to a United States dollar with decimals rounded up to one yen and
(bb) 四十六万三千合衆国ドル（四六三、〇〇〇合衆国ドル）を一合衆国ドル当たり百二十一円（一二一円）の率によって日本円に転換され及び小数点以下を一円に切り上げられた額である五千六百二万三千円（五六、〇二三、〇〇〇円）が、既に支払われたことが確認される。
(bb) fifty-six million and twenty-three thousand yen (56,023,000), the amount converted to Japanese yen from four hundred and sixty-three thousand United States dollars ($463,000) at the rate of one hundred and twenty-one yen (121) to a United States dollar and with decimals rounded up to one yen, have been already paid;
(BB)(aa) 百十一万千合衆国ドル（一、一一一、〇〇〇合衆国ドル）を一合衆国ドル当たり百二十円三十五銭（一二〇・三五円）の率によって日本円に転換され及び小数点以下を一円に切り上げられた額である一億三千三百七十万八千八百五十円（一三三、七〇八、八五〇円）が、既に支払われたことが確認される。
(BB) it is confirmed that (aa) one hundred thirty-three million seven hundred eight thousand eight hundred and fifty yen (133,708,850), the amount converted to Japanese yen from one million one hundred and eleven thousand United States dollars ($1,111,000) at the rate of one hundred and twenty point thirty-five yen (120.35) to a United States dollar with decimals rounded up to one yen,
(bb) 百三万九千五百五十一合衆国ドル（一、〇三九、五五一合衆国ドル）を一合衆国ドル当たり百九円三十二銭（一〇九・三二円）の率によって日本円に転換され及び小数点以下を一円に切り上げられた額である一億千三百六十四万三千七百十六円（一一三、六四三、七一六円）が、既に支払われたことが確認される。
(bb) one hundred thirteen million six hundred forty-three thousand seven hundred and sixteen yen (113,643,716), the amount converted to Japanese yen from one million thirty-nine thousand five hundred fifty-one United States dollars ($1,039,551) at the rate of one hundred and nine point thirty-two yen (109.32) to a United States dollar with decimals rounded up to one yen and
(cc) 百十九万五千七百八十四合衆国ドル九十四セント（一、一九五、七八四・九四合衆国ドル）を一合衆国ドル当たり百九円三十二銭（一〇九・三二円）の率によって日本円に転換され及び小数点以下を一円に切り上げられた額である一億三千七十二万三千二百十円（一三〇、七二三、二一〇円）が、既に支払われたことが確認される。
(cc) one hundred thirty million seven hundred twenty-three thousand two hundred and ten yen (130,723,210), the amount converted to Japanese yen from one million one hundred ninety-five thousand seven hundred and eighty-four United States dollars and ninety-four cents ($1,195,784.94) at the rate of one hundred and nine point thirty-two yen (109.32) to a United States dollar with decimals rounded up to one yen, have been already paid;
(CC) 五十万四千八百二十四合衆国ドル（五〇四、八二四合衆国ドル）を一合衆国ドル当たり百九円三十二銭（一〇九・三二円）の率によって日本円に転換され及び小数点以下を一円に切り上げられた額である五千五百十八万七千三百六十円（五五、一八七、三六〇円）及び利子並びにそれらの遅延損害金は、直ちに支払われ、六百四十三万千四百五十八合衆国ドル（六、四三一、四五八合衆国ドル）を一合衆国ドル当たり百九円三十二銭（一〇九・三二円）の率によって日本円に転換された額である七億三百八万六千九百九十三円（七〇三、〇八六、九九三円）は、この書簡の附属書一に掲げる支払計画に従って二千三年九月三十日に始まる十三回の半年賦払によって支払われる。
(CC) fifty-five million one hundred eighty-seven thousand three hundred and sixty yen (55,187,360), the amount converted to Japanese yen from five hundred four thousand eight hundred and twenty-four United States dollars ($504,824) at the rate of one hundred and nine point thirty-two yen (109.32) to a United States dollar with decimals rounded up to one yen, and interest and overdue charges thereon will be paid immediately, and seven hundred three million eighty-six thousand nine hundred and ninety-three yen (703,086,993), the amount converted to Japanese yen from six million four hundred thirty-one thousand four hundred and fifty-eight United States collars ($6,431,458) at the rate of one hundred and nine point thirty-two yen (109.32) to a United States dollar, will be paid in thirteen (13) semi-annual installments beginning on September 30, 2003 in accordance with the payment schedule shown in Annex I attached hereto; and
(DD) 残額は、二千十一年九月三十日に始まる二十回の均等半年賦払によって支払われる。
(DD) the remaining amount will be paid in twenty (20) equal semi-annual installments beginning on September 30, 2011.
(B) 繰延債務Ⅱの総額は、二千十一年九月三十日に始まる二十回の均等半年賦払によって支払われる。
(B) The total amount of the Rescheduled Debts II will be paid in twenty (20) equal semi-annual installments beginning on September 30, 2011.
(C) 繰延債務Ⅲに関し、
(C) With regard to the Rescheduled Debts III:
(AA)(aa) 三百十万五千合衆国ドル（三、一〇五、〇〇〇合衆国ドル）を一合衆国ドル当たり百十五円九十銭（一一五・九〇円）の率によって日本円に転換され及び小数点以下を一円に切り上げられた額である三億五千九百八十六万九千五百円（三五九、八六九、五〇〇円）が、既に支払われたことが確認される。
(AA) it is confirmed that (aa) three hundred fifty-nine million eight hundred sixty-nine thousand and five hundred yen (359,869,500), the amount converted to Japanese yen from three million one hundred and five thousand United States dollars ($3,105,000) at the rate of one hundred and fifteen point ninety yen (115.90) to a United States dollar with decimals rounded up to one yen and
(bb) 五十五万八千合衆国ドル（五五八、〇〇〇合衆国ドル）を一合衆国ドル当たり百二十一円（一二一円）の率によって日本円に転換され及び小数点以下を一円に切り上げられた額である六千七百五十一万八千円（六七、五一八、〇〇〇円）が、既に支払われたことが確認される。
(bb) sixty-seven million five hundred and eighteen thousand yen (67,518,000), the amount converted to Japanese yen from five hundred and fifty-eight thousand United States dollars ($558,000) at the rate of one hundred and twenty-one yen (121) to a United States dollar with decimals rounded up to one yen, have been already paid;
(BB)(aa) 百三十四万三千合衆国ドル（一、三四三、〇〇〇合衆国ドル）を一合衆国ドル当たり百二十円七十銭（一二〇・七〇円）の率によって日本円に転換され及び小数点以下を一円に切り上げられた額である一億六千二百十万百円（一六二、一〇〇、一〇〇円）が、既に支払われたことが確認される。
(BB) it is confirmed that (aa) one hundred sixty-two million one hundred thousand and one hundred yen (162,100,100), the amount converted to Japanese yen from one million three hundred and forty-three thousand United States dollars ($1,343,000) at the rate of one hundred and twenty point seventy yen (120.70) to a United States dollar and with decimals rounded up to one yen,
(bb) 百二十四万八千四百五十九合衆国ドル（一、二四八、四五九合衆国ドル）を一合衆国ドル当たり百九円三十二銭（一〇九・三二円）の率によって日本円に転換され及び小数点以下を一円に切り上げられた額である一億三千六百四十八万千五百三十八円（一三六、四八一、五三八円）が、既に支払われたことが確認される。
(bb) one hundred thirty-six million four hundred eighty-one thousand five hundred and thirty-eight yen (136,481,538), the amount converted to Japanese yen from one million two hundred forty-eight thousand four hundred and fifty-nine United States dollars ($1,248,459) at the rate of one hundred and nine point thirty-two yen (109.32) to a United States dollar with decimals rounded up to one yen and
(cc) 百二十二万六千六百十三合衆国ドル七十セント（一、二二六、六一三・七〇合衆国ドル）を一合衆国ドル当たり百九円三十二銭（一〇九・三二円）の率によって日本円に転換され及び小数点以下を一円に切り上げられた額である一億三千四百九万三千四百十円（一三四、〇九三、四一〇円）が、既に支払われたことが確認される。
(cc) one hundred thirty-four million ninety-three thousand four hundred and ten yen (134,093,410), the amount converted to Japanese yen from one million two hundred twenty-six thousand six hundred and thirteen United States dollars seventy cents ($1,226,613.70) at the rate of one hundred and nine point thirty-two yen (109.32) to a United States dollar with decimals rounded up to one yen, have been already paid;
(CC) 七十六万三千四百十五合衆国ドル八十八セント（七六三、四一五・八八合衆国ドル）を一合衆国ドル当たり百九円三十二銭（一〇九・三二円）の率によって日本円に転換され及び小数点以下を一円に切り上げられた額である八千三百四十五万六千六百二十五円（八三、四五六、六二五円）及び利子並びにそれらの遅延損害金は、直ちに支払われ、七百七十五万四十七合衆国ドル（七、七五〇、〇四七合衆国ドル）を一合衆国ドル当たり百九円三十二銭（一〇九・三二円）の率によって日本円に転換され及び小数点以下を一円に切り上げられた額である八億四千七百二十三万五千百四十二円（八四七、二三五、一四二円）は、この書簡の附属書二に掲げる支払計画に従って二千三年九月三十日に始まる十三回の半年賦払によって支払われる。

(C) The rate of interest on the debts to be paid as set out in (i)(C)(AA),(BB) and (CC) above will be two point six per cent (2.6%) per annum beginning from August 1, 2000.
(D) (i)(C)(DD)に定める支払われる債務に対して二千年八月一日から適用される利子率は、年二・九パーセントとなる。
(D) The rate of interest on the debts to be paid as set out in (i)(C)(DD) above will be two point nine per cent (2.9%) per annum beginning from August 1, 2000.
(E) (i)(D)に定める支払われる債務に対してこの書簡の付表十一に掲げる各々の弁済期日から適用される利子率は、年二・九パーセントとなる。
(E) The rate of interest on the debts to be paid as set out in (i)(D) above will be two point nine per cent (2.9%) per annum beginning from each due date mentioned in the List 11 attached hereto.
(b) 債務繰延契約には、３及び４に規定する支払の条件を含む。

３(1) 支払を猶予される債務は、ナイジェリア連邦共和国政府が銀行に対して負う次の(a)及び(b)にいう債務から成る。
3. (1) The debts to be deferred consist of the debts referred to in (a) and (b) below which the Government of the Federal Republic of Nigeria owes to the Bank.
(a) ナイジェリア連邦共和国政府と基金との間で千九百八十五年十月一日以後に締結された借款契約に従って支払われるべき債務（以下「支払猶予債務Ⅰ」という。)に関し、
(a) For the debts payable under the Loan Agreements concluded on or after October 1, 1985 between the Government of the Federal Republic of Nigeria and the Fund (hereinafter referred to as "the Deferred Debts I"),
(i) 二千年七月三十一日以前に弁済期限の到来した未払の元本及び契約上の利子並びにそれらの遅延利子であって二千年七月三十一日以前に生じたもの（それらの内訳は、この書簡の付表十二に掲げられる。)。

(b) ナイジェリア国営石油会社（以下「ＮＮＰＣ」という。)と輸銀との間で千九百八十五年十月一日以後に締結された借款契約に従って支払われるべき債務（以下「支払猶予債務Ⅱ」という。)に関し、
(b) For the debts payable under the Loan Agreements concluded on or after October 1, 1985 between the Nigeria National Petroleum Corporation (hereinafter referred to as "the NNPC") and the JEXIM (hereinafter referred to as "the Deferred Debts II"),

(2)(a) 支払猶予債務Ⅰの総額は、六十七億千四百七十六万八千五百八円（六、七一四、七六八、五〇八円）となる。
(2) (a) The total amount of the Deferred Debts I will be six billion seven hundred fourteen million seven hundred sixty-eight thousand five hundred and eight yen (6,714,768,508).
(b) 支払猶予債務Ⅱの総額は、二百六十九億九千四百四十五万四千百五十七円（二六、九九四、四五四、一五七円）となる。
(b) The total amount of the Deferred Debts II will be twenty-six billion nine hundred ninety-four million four hundred fifty-four thousand one hundred and fifty-seven yen (26,994,454,157).
(3) (2)にいう総額及びこの書簡の付表十二から十五は、一方においてナイジェリア連邦共和国政府の関係当局又はＮＮＰＣ及び他方において銀行が行う最終的照合の後に、日本国政府及びナイジェリア連邦共和国政府の関係当局間の合意により修正されることがある。
(3) Modifications may be made to the total amount referred to in sub-paragraph (2) above and to the Lists 12 to 15 attached hereto by agreement between the authorities concerned of the Government of Japan and of the Government of the Federal Republic of Nigeria, after the final verification to be made by the authorities concerned of the Government of the Federal Republic of Nigeria or the NNPC on the one hand and the Bank on the other.
(4)(a) 支払猶予債務Ⅰ及び利子並びにそれらの遅延損害金の二十八パーセントは、直ちに支払われ、支払猶予債務Ⅰの五十六パーセントは、この書簡の附属書三に掲げる支払計画に従って二千三年九月三十日に始まる五回の半年賦払によって支払われる。残額の十六パーセントのうちの十億七百四十万五千七百三十九円（一、〇〇七、四〇五、七三九円）は、既に支払われたことが確認される。残額の六千六百九十五万七千二百二十一円（六六、九五七、二二一円）は、直ちに支払われる。
(4) (a) Twenty-eight per cent (28%) of the Deferred Debts I and interest and overdue charges thereon will be paid immediately, and fifty-six per cent (56%) of the Deferred Debts I will be paid in five (5) semi-annual installments beginning on September 30, 2003 in accordance with the payment schedule shown in Annex III attached hereto. It is confirmed that one billion seven million four hundred five thousand seven hundred and thirty-nine yen (1,007,405,739) out of the remaining amount of sixteen per cent (16%) was already paid. The remaining amount of sixty-six million nine hundred fifty-seven thousand two hundred and twenty-one yen (66,957,221) will be paid immediately.
(b) 支払猶予債務Ⅱ及び利子並びにそれらの遅延損害金の二十八パーセントは、直ちに支払われ、支払猶予債務Ⅱの五十六パーセントは、この書簡の附属書三に掲げる支払計画に従って二千三年九月三十日に始まる五回の半年賦払によって支払われる。残額の十六パーセントのうちの三十七億五千十八万五千八百七十三円（三、七五〇、一八五、八七三円）は、既に支払われたことが確認される。残額の五億六千八百九十二万六千七百九十三円（五六八、九二六、七九三円）及び利子並びにそれらの遅延損害金は、直ちに支払われる。
(b) Twenty-eight per cent (28%) of the Deferred Debts II and interest and overdue interests thereon will be paid immediately, and fifty-six per cent (56%) of the Deferred Debts II will be paid in five (5) semi-annual installments beginning on September 30, 2003 in accordance with the payment schedule shown in Annex III attached hereto. It is confirmed that three billion seven hundred fifty million one hundred eighty-five thousand eight hundred and seventy-three yen (3,750,185,873) out of the remaining amount of sixteen per cent (16%) was already paid. The remaining amount of five hundred sixty-eight million nine hundred twenty-six thousand seven hundred and ninety-three yen (568,926,793), and interest and overdue interest thereon will be paid immediately.
(5)(a) 支払猶予債務Ⅰに対する利子率は年一・八パーセントとし、(1)(a)(i)にいう債務に対して二千年八月一日から適用され、(1)(a)(ii)にいう債務に対してこの書簡の付表十三に掲げる各々の弁済期日から適用される。
(5) (a) The rate of interest on the Deferred Debts I will be one point eight per cent (1.8%) per annum beginning from August 1, 2000 for the debts referred to in (a)(i) of sub-paragraph (1) above, and beginning from each due date mentioned in the List 13 attached hereto for the debts referred to in (a)(ii) of sub-paragraph (1) above.
(b) 支払猶予債務Ⅱに対する利子率は年二・六パーセントとし、(1)(b)(i)にいう債務に対して二千年八月一日から適用され、(1)(b)(ii)にいう債務に対してこの書簡の付表十五に掲げる各々の弁済期日から適用される。

４(1) ２(5)(a)(ii)及び３(5)に関し、次の(a)及び(b)にいう債務は(4)にいう支払計画に従って支払われる。

(4) 支払猶予債務Ⅲのうちの八千五百五十一万三千四百十二円（八五、五一三、四一二円）並びに支払猶予債務Ⅳのうちの二億八千三百七十九万八千百八十八円（二八三、七九八、一八八円）並びにそれらの利子及び遅延損害金は直ちに支払われ、支払猶予債務Ⅲ及び支払猶予債務Ⅳの残額は、二千三年九月三十日に始まる七回の均等半年賦払によって支払われる。
(4) Eighty-five million five hundred thirteen thousand four hundred and twelve yen (85,513,412) out of the Deferred Debts III and two hundred eighty-three million seven hundred ninety-eight thousand one hundred and eighty-eight yen (283,798,188) out of the Deferred Debts IV and interest and overdue interest thereon will be paid immediately and the remainder of the Deferred Debts III and IV will be paid in seven (7) equal semi-annual installments beginning on September 30, 2003.
(5)(a) 支払猶予債務Ⅲに対して二千一年七月三十一日から適用される利子率は、年一・八パーセントとなる。

５ ナイジェリアの債務（この取極が対象とする債務を含む。)の再編に関し、ナイジェリア連邦共和国政府の代表者及び関係債権諸国政府の代表者が新たな結論に到達した場合には、日本国政府とナイジェリア連邦共和国政府との間でこの取極の継続又は修正について討議するための協議が行われる。
5. If the representative of the Government of the Federal Republic of Nigeria and the representatives of the Governments of the creditor countries concerned come to a new conclusion in connection with reorganization of the Nigerian debts including the debts covered by the present arrangements, the Government of Japan and the Government of the Federal Republic of Nigeria shall hold consultations in order to discuss the matter of continuation or modification of the present arrangements.
６ １から５までの規定にかかわらず、関係債権諸国政府の代表者が、二千年十二月十三日にパリにおいてナイジェリア連邦共和国政府の代表者と関係債権諸国政府の代表者との間で署名された合意議事録（以下「合意議事録」という。)に定めるナイジェリアの債務の再編成の条件に関する規定が合意議事録の規定に従って無効となると決定した場合には、日本国政府は、この書簡の規定が無効であることをナイジェリア連邦共和国政府に対し書面により通告することができる。この書簡に述べられた了解は、そのような通告が日本国政府によってなされた場合には、この書簡の交換の日から無効となる。
6. Notwithstanding the provisions of the preceding paragraphs, the Government of Japan may notify in writing the Government of the Federal Republic of Nigeria that the provisions of this Note are null and void, provided that the representatives of the Governments of the creditor countries concerned determine that the provisions concerning the terms of the reorganization of the Nigerian debts set out in the Agreed Minute signed by the representatives of the Government of the Federal Republic of Nigeria and of the Governments of the creditor countries concerned in Paris on December 13, 2000 (hereinafter referred to as "the Agreed Minute") become null and void in accordance with the provisions of the Agreed Minute. The understanding contained in this Note shall be null and void from the date of exchange of the present Notes when such notification is made by the Government of Japan.

(Japanese Note) Abuja, September 19, 2003 Excellency, I have the honour to refer to the recent negotiations between the representatives of the Government of Japan and of the Government of the Federal Republic of Nigeria that were held on the basis of the conclusions reached during the consultations between the representatives of the Government of the Federal Republic of Nigeria and of the Governments of the creditor countries concerned held in Paris on October 25, 26 and 27 and on December 11, 12 and 13, 2000. I have further the honour to confirm the following understanding reached in the course of the said negotiations:
１(1) この取極は、一方においてナイジェリア連邦共和国の政府若しくは連邦州又はナイジェリア連邦共和国の政府若しくは連邦州のいずれかによって全面的に所有されている公的団体（以下「債務者」という。)と他方において日本国の居住者である関係債権者（以下「債権者」という。)との間で千九百八十五年十月一日以前に契約され又は一若しくは二以上の債務者によって保証され、日本国政府が保険を引き受けた弁済期間が一年を超える商業上の債務の元本、契約上の利子、繰延利子及び遅延利子であって、次に掲げるもの（以下「繰延商業債務」という。)の総額に適用される。
1. (1) The present arrangements will apply to the total amount of the following principal of, contractual interest on, rescheduling interest on and late interest on the commercial debts with a repayment period of more than one year insured by the Government of Japan, which were contracted before October 1, 1985 between the Government or a federated State of the Federal Republic of Nigeria or a public entity wholly owned by the Government of the Federal Republic of Nigeria or by one of its federated States (hereinafter referred to as "the Debtors") on the one hand and the creditors concerned resident in Japan (hereinafter referred to as "the Creditors") on the other, or which were covered by the guarantee of one or several of the Debtors (hereinafter referred to as "the Rescheduled Commercial Debts"):
(a) 過去に繰り延べられなかった商業上の債務に関し、
(a) For the commercial debts not previously rescheduled,
(i) 二千年七月三十一日以前に弁済期限の到来した未払の元本及び契約上の利子
(i) the principal and contractual interest having fallen due on or before July 31, 2000 and not paid; and
(ii) (i)にいう債務の遅延利子であって二千年七月三十一日以前に生じた未払のもの
(ii) the late interest on the debts referred to in (i) above having accrued on or before July 31, 2000 and not paid.
(b) 千九百八十八年四月五日に日本国政府とナイジェリア連邦共和国政府との間で交換された書簡により行われた取極に従って過去に繰り延べられた商業上の債務に関し、
(b) For the commercial debts previously rescheduled pursuant to the arrangements made by the Notes exchanged between the Governments of Japan and of the Federal Republic of Nigeria on April 5, 1988,
(i) 二千年七月三十一日以前に弁済期限の到来した未払の元本及び繰延利子
(i) the principal and rescheduling interest having fallen due on or before July 31, 2000 and not paid; and
(ii) (i)にいう債務の遅延利子であって二千年七月三十一日以前に生じた未払のもの
(ii) the late interest on the debts referred to in (i) above having accrued on or before July 31, 2000 and not paid.
(c) 千九百九十年一月十九日に日本国政府とナイジェリア連邦共和国政府との間で交換された書簡により行われた取極に従って過去に繰り延べられた商業上の債務に関し、
(c) For the commercial debts previously rescheduled pursuant to the arrangements made by the Notes exchanged between the Governments of Japan and of the Federal Republic of Nigeria on January 19, 1990,
(i) 二千年七月三十一日以前に弁済期限の到来した未払の元本及び繰延利子
(i) the principal and rescheduling interest having fallen due on or before July 31, 2000 and not paid; and
(ii) (i)にいう債務の遅延利子であって二千年七月三十一日以前に生じた未払のもの
(ii) the late interest on the debts referred to in (i) above having accrued on or before July 31, 2000 and not paid.
(d) 千九百九十一年十月二十八日に日本国政府とナイジェリア連邦共和国政府との間で交換された書簡（以下「従前の書簡」という。)により行われた取極に従って過去に繰り延べられた商業上の債務に関し、
(d) For the commercial debts previously rescheduled pursuant to the arrangements made by the Notes exchanged between the Governments of Japan and of the Federal Republic of Nigeria on October 28, 1991 (hereinafter referred to as "the Previous Notes"),
(i) 二千年七月三十一日以前に弁済期限の到来した未払の元本及び繰延利子
(i) the principal and rescheduling interest having fallen due on or before July 31, 2000 and not paid;
(ii) (i)にいう債務の遅延利子であって二千年七月三十一日以前に生じた未払のもの
(ii) the late interest on the debts referred to in (i) above having accrued on or before July 31, 2000 and not paid; and
(iii) 二千年八月一日から二千一年七月三十一日までの間（両期日を含む。)に弁済期限の到来した未払の元本及び繰延利子
(iii) the principal and rescheduling interest having fallen due between August 1, 2000 and July 31, 2001, both dates inclusive, and not paid.
(2) 繰延商業債務は、日本円、合衆国ドル及びドイツ・マルクによって契約されたものから成る。
(2) The Rescheduled Commercial Debts consist of debts contracted in Japanese yen, in United States dollars and in German marks.
(a) (1)(a)(i)にいう債務の総額は、八百五十八億九百三十万六千百八十七円（八五、八〇九、三〇六、一八七円）となる。
(a) The total amount of the debts referred to in (a)(i) of sub-paragraph (1) above will be eighty-five billion eight hundred nine million three hundred six thousand one hundred and eighty-seven yen (85,809,306,187).
(b)(i) (1)(b)(i)にいう債務の総額は、日本円によって契約された債務については三百四十一億九千六百五十一万七千九百二十三円（三四、一九六、五一七、九二三円）、合衆国ドルによって契約された債務については四千三百六十三万三千三百四十八合衆国ドル四十セント（四三、六三三、三四八・四〇合衆国ドル）及びドイツ・マルクによって契約された債務については百三十四万五千三百二十一ドイツ・マルク二十九ペニッヒ（一、三四五、三二一・二九ドイツ・マルク）となる。
(b) (i) The total amount of the debts referred to in (b)(i) of sub-paragraph (1) above will be thirty-four billion one hundred ninety-six million five hundred seventeen thousand nine hundred and twenty-three yen (34,196,517,923) for the debts contracted in Japanese yen, forty-three million six hundred thirty-three thousand three hundred and forty-eight United States dollars and forty cents ($43,633,348.40) for the debts contracted in United States dollars, and one million three hundred forty-five thousand three hundred twenty-one German mark and twenty-nine pfennig (DM1,345,321.29) for the debts contracted in German marks.
(ii) (i)にいう合衆国ドル及びドイツ・マルクによって契約された債務の総額は、それぞれ百九円三十二銭（一〇九・三二円）及び五十一円十一銭（五一・一一円）の率によって少数点以下を一円に切り上げられた日本円の額に転換される。
(ii) The total amount of the debts contracted in United States dollars and in German marks referred to in (i) above will be converted into the amount of Japanese yen with decimals rounded up to one yen at the rate of one hundred and nine point thirty-two yen (109.32) and fifty-one point eleven yen (51.11) respectively.
(c) (1)(c)(i)にいう債務の総額は、八百三十六億七千百五十六万九千八百四十六円（八三、六七一、五六九、八四六円）となる。
(c) The total amount of the debts referred to in (c)(i) of sub-paragraph (1) above will be eighty-three billion six hundred seventy-one million five hundred sixty-nine thousand eight hundred and forty-six yen (83,671,569,846).
(d) (1)(d)(i)にいう債務の総額は、二百六十八億七百九十七万七千百六十五円（二六、八〇七、九七七、一六五円）となる。
(d) The total amount of the debts referred to in (d)(i) of sub-paragraph (1) above will be twenty-six billion eight hundred seven million nine hundred seventy-seven thousand one hundred and sixty-five yen (26,807,977,165).
(e) (1)(d)(iii)にいう債務の総額は、六十四億二千二百五十七万八千二百十六円（六、四二二、五七八、二一六円）となる。
(e) The total amount of the debts referred to in (d)(iii) of sub-paragraph (1) above will be six billion four hundred twenty-two million five hundred seventy-eight thousand two hundred and sixteen yen (6,422,578,216).
(f) (1)(a)(ii)、(b)(ii)、(c)(ii)及び(d)(ii)にいう債務の総額は、この書簡の附属書一に掲げる算定方法に従って算定される。
(f) The total amount of the debts referred to in (a)(ii), (b)(ii), (c)(ii) and (d)(ii) of sub-paragraph (1) above is calculated in accordance with the method of calculation shown in the Annex I attached hereto.
(3) (2)にいう総額は、日本国政府及びナイジェリア連邦共和国政府の関係当局が行う最終的照合の後に両国政府の関係当局間の合意により修正されることがある。
(3) Modifications may be made to the total amounts referred to in sub-paragraph (2) above by agreement between the authorities concerned of the Government of Japan and of the Government of the Federal Republic of Nigeria, after the final verification to be made by the authorities concerned of the two Governments.
(4)(a) (1)(a)(i)、(a)(ii)、(b)(i)、(b)(ii)、(c)(i)、(c)(ii)、(d)(i)及び(d)(ii)にいう債務に関し、
(4) (a) With regard to the debts referred to in (a)(i), (a)(ii), (b)(i), (b)(ii), (c)(i), (c)(ii), (d)(i) and (d)(ii) of sub-paragraph (1) above:
(i) 百四十五億三千九百二十八万九百円（一四、五三九、二八〇、九〇〇円）が、既に支払われたことが確認される。
(i) it is confirmed that fourteen billion five hundred thirty-nine million two hundred eighty thousand and nine hundred yen (14,539,280,900) has been already paid;
(ii)(A) 四千四百一万九千合衆国ドル（四四、〇一九、〇〇〇合衆国ドル）を一合衆国ドル当たり百二十二円五十五銭（一二二・五五円）の率によって日本円に転換され及び小数点以下を一円に切り上げられた額である五十三億九千四百五十二万八千四百五十円（五、三九四、五二八、四五〇円）が、既に支払われたことが確認される。
(ii) it is confirmed that (A) five billion three hundred ninety-four million five hundred twenty-eight thousand four hundred and fifty yen (5,394,528,450), the amount converted to Japanese yen from forty-four million and nineteen thousand United States dollars ($44,019,000) at the rate of one hundred and twenty-two point fifty-five yen (122.55) to a United States dollar with decimals rounded up to one yen has been already paid,
(B) 四千百二十二万二百一合衆国ドル（四一、二二〇、二〇一合衆国ドル）を一合衆国ドル当たり百九円三十二銭（一〇九・三二円）の率によって日本円に転換され及び小数点以下を一円に切り
上げられた額である四十五億六百十九万二千三百七十四円（四、五〇六、一九二、三七四円）のうちの四十五億六百五万六千二百七十円（四、五〇六、〇五六、二七〇円）が、既に支払われたことが確認される。
(B) four billion five hundred six million fifty-six thousand two hundred and seventy yen (4,506,056,270) out of four billion five hundred six million one hundred ninety-two thousand three hundred and seventy-four yen (4,506,192,374), the amount converted to Japanese yen from forty-one million two hundred twenty thousand two hundred and one United States dollars ($41,220,201) at the rate of one hundred and nine point thirty-two yen (109.32) to a United States dollar with decimals rounded up to one yen has been already paid,
(C) 三億四千五百八十九万九千百八十一円（三四五、八九九、一八一円）及び二千万九千二百二合衆国ドル（二〇、〇〇九、二〇二合衆国ドル）を一合衆国ドル当たり百九円三十二銭（一〇九・三二円）の率によって日本円に転換され及び小数点以下を一円に切り上げられた額である二十一億八千七百四十万五千九百六十三円（二、一八七、四〇五、九六三円）のうちの十一億五十三万二千五百十三円（一、一〇〇、五三二、五一三円）が、既に支払われたことが確認される。
(C) one billion one hundred million five hundred thirty-two thousand five hundred and thirteen yen (1,100,532,513) out of three hundred forty-five million eight hundred ninety-nine thousand one hundred and eighty-one yen (345,899,181) and two billion one hundred eighty-seven million four hundred five thousand nine hundred and sixty-three yen (2,187,405,963), the amount converted to Japanese yen from twenty million nine thousand two hundred and two United States dollars ($20,009,202) at the rate of one hundred and nine point thirty-two yen (109.32) to a United States dollar with decimals rounded up to one yen has been already paid, and
(D) 三十四億四千九百六十六万六千三百十一円（三、四四九、六六六、三一一円）が、既に支払われたことが確認され、残額の一億七千五十一万二千二百八十三円（一七〇、五一二、二八三円）は、直ちに支払われることが確認される。
(D) three billion four hundred forty-nine million six hundred sixty-six thousand three hundred and eleven yen (3,449,666,311) has been already paid, and the remaining amount of one hundred seventy million five hundred twelve thousand two hundred and eight-three yen (170,512,283) will be paid immediately;
(iii) 二億七千四百九十二万六千四百三十六合衆国ドル（二七四、九二六、四三六合衆国ドル）が転換された日本円の額は、この書簡の附属書二に掲げる支払計画（以下「支払計画Ⅰ」という。)に従って二千三年九月三十日に始まる十三回の半年賦払によって支払われる。
(iii) the amount of Japanese yen converted from two hundred seventy-four million nine hundred twenty-six thousand four hundred and thirty six United States dollars ($274,926,436) will be paid in thirteen (13) semi-annual installments beginning on September 30, 2003 in accordance with the payment scheme shown in the Annex II attached hereto (hereinafter referred to as "the Payment Scheme I"); and
(iv) 残額は、この書簡の附属書三に掲げる支払計画（以下「支払計画Ⅱ」という。)に従って二千四年九月三十日に始まる三十回の均等半年賦払によって支払われる。
(iv) the remaining amount will be paid in thirty (30) equal semi-annual installments beginning on September 30, 2004 in accordance with the payment scheme shown in the Annex III attached hereto (hereinafter referred to as "the Payment Scheme II").
(b) (1)(d)(iii)にいう債務の総額は、支払計画Ⅱに従って支払われる。
(b) The total amount of the debts referred to in (d)(iii) of sub-paragraph (1) above will be paid in accordance with the Payment Scheme II.
２(1) ナイジェリア連邦共和国政府は、繰延商業債務の各々について、当該債務が決済されていない限り、(3)に定めるところにより算定される利子を毎年三月三十一日及び九月三十日に債権者に支払う。最初の利子の支払は、二千三年九月三十日に行われる。
2. (1) The Government of the Federal Republic of Nigeria will pay to the Creditors, on March 31 and September 30 each year, interest to be calculated as described in sub-paragraph (3) below on each of the Rescheduled Commercial Debts to the extent that they have not been settled. The first payment of interest will be made on September 30, 2003.
(2) 繰延商業債務に対する二千年八月一日から適用される利子率は、年二・九パーセントとなる。
(2) The rate of interest on the Rescheduled Commercial Debts applied from August 1, 2000 will be two point nine per cent (2.9%) per annum.
(3) 支払われる利子の額は、未決済の債務の額に当該債務が決済されないままに経過した日数及び一日当たりの利子率を乗じて算定される。一日当たりの利子率は、(2)にいう利子率を三百六十五で除して算定される。前記の算定方法を算式で表したものが、この書簡の附属書四に掲げられる。
(3) The amount of interest to be paid will be calculated by multiplying the amount of the debt unsettled by the product of the number of the days the debt has not been settled and the daily interest rate. The daily interest rate is calculated by dividing the rate of interest referred to in sub-paragraph (2) above by three hundred and sixty-five (365). The illustration in the form of numerical formula of the method of calculation mentioned above is shown in the Annex IV attached hereto.
(4)(a) ナイジェリア連邦共和国政府は、支払計画Ⅰ及びⅡ又は(1)に定める利子の支払計画に基づくいずれかの支払が三十日を超えない期間遅延した場合には、未払額から生ずる遅延利子を(2)にいう利子率によって支払う。
(4) (a) In case where any payment under the Payment Schemes I and II or the payment schedule of interest as set out in sub-paragraph (1) above is delayed for not more than thirty (30) days, the Government of the Federal Republic of Nigeria will pay the late interest accruing from the overdue amount at the rate of interest referred to in sub-paragraph (2) above.
(b) ナイジェリア連邦共和国政府は、支払計画Ⅰ及びⅡ又は(1)に定める利子の支払計画に基づくいずれかの支払が三十日を超えて遅延した場合には、未払額から生ずる遅延利子を弁済期日後最初の三十日間は(2)にいう利子率によって、弁済期日後三十一日目の日以後は(2)にいう利子率に年〇・五パーセントを加えた利子率によって支払う。
(b) In case where any payment under the Payment Schemes I and II or the payment schedule of interest as set out in sub-paragraph (1) above is delayed for more than thirty (30) days, the Government of the Federal Republic of Nigeria will pay the late interest accruing from the overdue amount at the rate of interest referred to in sub-paragraph (2) above in the first thirty (30) days following the due date and at the rate of nought point five per cent (0.5%) per annum above the rate of interest referred to in sub-paragraph (2) above on or after the thirty-first (31st) day following the due date.
３(1) ２の規定にかかわらず、ナイジェリア連邦共和国政府は、(3)にいう支払計画に従って、各々の当初の弁済期日又は二千年八月一日のいずれか遅い時点から二千一年七月三十一日まで（両期日を含む。)の間
に、２の規定によって生ずる利子（以下「支払猶予商業債務」という。)を債権者に支払う。
3. (1) Notwithstanding the provisions of paragraph 2, the Government of the Federal Republic of Nigeria will pay to the Creditors in accordance with the payment scheme referred to in sub-paragraph (3) below the interest having accrued under the provisions of paragraph 2 between each original due date or August 1, 2000, whichever is the later, and July 31, 2001, both dates inclusive (hereinafter referred to as "the Deferred Commercial Debts"):
(2) 支払猶予商業債務の総額は、この書簡の附属書五に掲げる算定方法に従って算定される。
(2) The total amount of the Deferred Commercial Debts is calculated in accordance with the method of calculation shown in the Annex V attached hereto.
(3) 支払猶予商業債務は、この書簡の附属書六に掲げる支払計画（以下「支払計画Ⅲ」という。)に従って二千三年九月三十日に始まる七回の半年賦払によって支払われる。
(3) The Deferred Commercial Debts will be paid in seven (7) semi-annual installments beginning on September 30, 2003 in accordance with the payment scheme shown in the Annex VI attached hereto (hereinafter referred to as "the Payment Scheme III").
４(1) ナイジェリア連邦共和国政府は、支払猶予商業債務の各々に当該債務が決済されていない限り(3)に定めるところにより算定される利子を毎年三月三十一日及び九月三十日に、債権者に支払う。最初の利子の支払は、二千三年九月三十日に行われる。
4. (1) The Government of the Federal Republic of Nigeria will pay to the Creditors, on March 31 and September 30 each year, interest to be calculated as described in sub-paragraph (3) below on each of the Deferred Commercial Debts to the extent that they have not been settled. The first payment of interest will be made on September 30, 2003.
(2) 支払猶予商業債務に対する二千一年八月一日から適用される利子率は、年二・九パーセントとなる。
(2) The rate of interest on the Deferred Commercial Debts applied from August 1, 2001 will be two point nine percent (2.9%) per annum.
(3) 支払われる利子の額は、未決済の債務の額に当該債務が決済されないままに経過した日数及び一日当たりの利子率を乗じて算定される。一日当たりの利子率は、(2)にいう利子率を三百六十五で除して算定される。前記の算定方法を算式で表したものが、この書簡の附属書七に掲げられる。
(3) The amount of interest to be paid will be calculated by multiplying the amount of the debt unsettled by the product of the number of the days the debt has not been settled and the daily interest rate. The daily interest rate is calculated by dividing the rate of interest referred to in sub-paragraph (2) above by three hundred and sixty-five (365). The illustration in the form of numerical formula of the method of calculation mentioned above is shown in the Annex VII attached hereto.
(4)(a) ナイジェリア連邦共和国政府は、支払計画Ⅲ又は(1)に定める利子の支払計画に基づくいずれかの支払が三十日を超えない期間遅延した場合には、未払額から生ずる遅延利子を(2)にいう利子率によって支払う。
(4) (a) In case where any payment under the Payment Scheme III or the payment schedule of interest as set out in sub-paragraph (1) above is delayed for not more than thirty (30) days, the Government of the Federal Republic of Nigeria will pay the late interest accruing from the overdue amount at the rate of interest referred to in sub-paragraph (2) above.
(b) ナイジェリア連邦共和国政府は、支払計画Ⅲ又は(1)に定める利子の支払計画に基づくいずれかの支払が三十日を超えて遅延した場合には、未払額から生ずる遅延利子を弁済期日後最初の三十日間は２(2)にいう利子率によって、弁済期日後三十一日目の日以後は２(2)にいう利子に年〇・五パーセントを加えた利子率によって支払う。
(b) In case where any payment under the Payment Scheme III or the payment schedule of interest as set out in sub-paragraph (1) above is delayed for more than thirty (30) days, the Government of the Federal Republic of Nigeria will pay the late interest accruing from the overdue amount at the rate of interest referred to in sub-paragraph (2) above in the first thirty (30) days following the due date and at the rate of nought point five per cent (0.5%) per annum above the rate of interest referred to in sub-paragraph (2) of Paragraph 2 above on or after the thirty-first (31st) day following the due date.
５(1) ナイジェリア連邦共和国政府は、債務管理事務局を通じて、繰延商業債務及び支払猶予商業債務を決済するため支払計画Ⅰ、Ⅱ及びⅢに従って行われる支払の額及び日付を日本国政府に通告する。
5. (1) The Government of the Federal Republic of Nigeria will notify the Government of Japan, through the Debt Management Office, of the amount and the dates of payments which will be made in order to settle the Rescheduled Commercial Debts and the Deferred Commercial Debts in accordance with the Payment Schemes I, II and III.
(2) ナイジェリア連邦共和国政府は、繰延商業債務及び支払猶予商業債務の総額を支払計画Ⅰ、Ⅱ及びⅢに従い、債務管理事務局を通じて日本円により債権者に支払う。
(2) The Government of the Federal Republic of Nigeria will pay the total amount of the Rescheduled Commercial Debts and the Deferred Commercial Debts to the Creditors in Japanese yen through the Debt Management Office in accordance with the Payment Schemes I, II and III.
(3) 日本国政府は、商業上の関係債務が支払計画Ⅰ、Ⅱ及びⅢに従って行われる支払により決済されることを容易にするため、日本国において施行されている関係法令の範囲内で可能な措置をとる。
(3) The Government of Japan will take possible measures, within the scope of the relevant laws and regulations in force in Japan, to facilitate the settlement of the commercial debts concerned by the payments to be made in accordance with the Payment Schemes I, II and III.
６ 支払われる利子については、ナイジェリア連邦共和国のすべての租税及び課徴金が免除される。
6. The interest paid will be exempted from all taxes and duties of the Federal Republic of Nigeria.
７ ナイジェリア連邦共和国政府は、商業上の関係債務の決済に伴って、日本国政府の関係当局が指定する銀行口座に支払われる時までに生ずる銀行手数料を支払う。
7. The Government of the Federal Republic of Nigeria will pay bank charges which may be incurred in connection with the settlement of the commercial debts concerned before and up to the time a payment reaches the bank account to be designated by the authorities concerned of the Government of Japan.
８ 関係契約の条件のうちこの書簡において特に言及されていないものは、関係契約の当事者間で別段の合意がある場合を除くほか、引き続き適用されることが確認される。
8. It is confirmed that the terms and conditions of the contracts concerned which are not specifically referred to in this Note will remain applicable, unless otherwise agreed upon by the parties to the contracts concerned.
９ ナイジェリア連邦共和国政府は、いずれかの第三国の居住者であって債権を有するものに対し債務救済措置に関して１(4)又は３(3)にいう条件より有利な条件を与えた場合には、当該第三国の居住者であって債権を有する者に与えられる条件より不利でない条件を、債権者に直ちに与える。
9. If the Government of the Federal Republic of Nigeria accords to creditors resident in any third country terms and conditions more favourable than those referred to in sub-paragraph (4) of paragraph 1 or sub-paragraph (3) of paragraph 3 with regard to debt relief measures, the Government of the Federal Republic of Nigeria will forthwith accord to the Creditors the terms and conditions not less favourable than those accorded to the creditors resident in such third country.
10 ナイジェリアの債務（この取極が対象とする債務を含む。)の再編に関してナイジェリア連邦共和国政府の代表者及び関係債権諸国政府の代表者が新たな結論に到達した場合には、日本国政府とナイジェリア連邦共和国政府との間でこの取極の継続又は修正について討議するための協議が行われる。
10. If the representative of the Government of the Federal Republic of Nigeria and the representatives of the Governments of the creditor countries concerned come to a new conclusion in connection with reorganization of the Nigerian debts including the debts covered by the present arrangements, consultations will be held between the Government of Japan and the Government of the Federal Republic of Nigeria in order to discuss the matter of continuation or modification of the present arrangements.
11 １から10までの規定にかかわらず、関係債権諸国政府の代表者が、二千年十二月十三日にパリにおいてナイジェリア連邦共和国政府の代表者と関係債権諸国政府の代表者との間で署名された合意議事録（以下「合意議事録」という。)に定めるナイジェリアの債務の再編成の条件に関する規定が合意議事録の規定に従って無効となると決定した場合には、日本国政府は、この書簡の規定が無効であることをナイジェリア連邦共和国政府に対し書面により通告することができる。この書簡に述べられた了解は、そのような通告が日本国政府によってなされた場合には、この書簡の交換の日から無効となる。
11. Notwithstanding the provisions of the preceding paragraphs, the Government of Japan may notify in writing the Government of the Federal Republic of Nigeria that the provisions of this Note are null and void, provided that the representatives of the Government of the creditor countries concerned determine that the provisions concerning the terms of the reorganization of the Nigerian debts set out in the Agreed Minute signed by the representatives of the Government of the Federal Republic of Nigeria and of the Governments of the creditor countries concerned in Paris on December 13, 2000 (hereinafter referred to as "the Agreed Minute") become null and void in accordance with the provisions of the Agreed Minute. The understanding contained in this Note shall be null and void from the date of exchange of the present Notes when such notification is made by the Government of Japan.

(2)(a) １(1)(a)(ii)にいう遅延利子に関しては、Ｒは、年八・七五パーセントである。
(b)(i) １(1)(b)(ii)にいう遅延利子に関しては、Ｒは、日本円によって契約された債務については年六・八パーセント、合衆国ドルによって契約された債務については年八パーセント及びドイツ・マルクによって契約された債務については年六・六パーセントである。
(ii) Ｉの合衆国ドル及びドイツ・マルクによって契約された債務は、それぞれ百九円三十二銭（一〇九・三二円）及び五十一円十一銭（五一・一一円）の率によって日本円の額に転換される。
(c) １(1)(c)(ii)にいう遅延利子に関しては、Ｒは、年七・三パーセントである。
(d) １(1)(d)(ii)にいう遅延利子に関しては、Ｒは、従前の書簡の３(2)(a)(i)にいう適用可能な最優遇金利に年〇・八七五パーセントを加えたものである。

(2) (a) With respect to the late interest referred to in (a)(ii) of sub-paragraph (1) of paragraph 1, R is eight point seven five per cent (8.75%) per annum. (b) (i) With respect to the late interest referred to in (b)(ii) of sub-paragraph (1) of paragraph 1, R is six point eight per cent (6.8%) per annum for the debts contracted in Japanese yen, eight per cent (8%) per annum for the debts contracted in United States dollars, and six point six per cent (6.6%) per annum for the debts contracted in German marks. (ii) I for the debts contracted in United States dollars and in German marks will be converted into the amount of Japanese yen at the rate of one hundred nine point thirty-two yen (109.32) and fifty-one point eleven yen (51.11) respectively. (c) With respect to the late interest referred to in (c)(ii) of sub-paragraph (1) of paragraph 1, R is seven point three per cent (7.3%) per annum. (d) With respect to the late interest referred to in (d)(ii) of sub-paragraph (1) of paragraph 1, R is nought point eight seven five per cent (0.875%) per annum above the applicable prime rate referred to in (a)(i) of sub-paragraph (2) of paragraph 3 of the Previous Notes.
