書簡をもって啓上いたします。本使は、中華人民共和国の経済の安定に寄与し経済近代化努力を促進することを目的として供与される日本国の借款に関して日本国政府の代表者と中華人民共和国政府の代表者との間で最近到達した次の了解を確認する光栄を有します。
(Japanese Note) Beijing, March 28, 2003 Excellency, I have the honour to confirm the following understanding recently reached between the representatives of the Government of Japan and of the Government of the People’s Republic of China concerning a Japanese loan to be extended with a view to contributing to the economic stabilization and promoting the economic modernization efforts of the People’s Republic of China:
１ 千二百十二億千四百万円（一二一、二一四、〇〇〇、〇〇〇円）の額までの円貨による借款（以下「借款」という。)が、この書簡に附属する表（以下「付表」という。)に掲げる事業計画を実施するため、各事業計画につき付表に定める配分に応じ、国際協力銀行（以下「銀行」という。)により、日本国の関係法令に従って、中華人民共和国政府に供与されることになる。中華人民共和国財政部（以下「財政部」という。)は、中華人民共和国政府により、中華人民共和国政府に代わって、借款を受け入れ及び銀行との間で借款契約に署名する権限を与えられる。
1. A loan in Japanese yen up to the amount of one hundred twenty-one billion two hundred and fourteen million yen (121,214,000,000) (hereinafter referred to as “the Loan”) will be extended, in accordance with the relevant laws and regulations of Japan, to the Government of the People’s Republic of China by Japan Bank for International Cooperation (hereinafter referred to as “the Bank”) to implement the projects enumerated in the list attached hereto (hereinafter referred to as “the List”), according to the allocation for each project as specified in the List. The Ministry of Finance of the People’s Republic of China (hereinafter referred to as “the Ministry”) is authorized by the Government of the People’s Republic of China to accept the Loan and sign the loan agreements with the Bank on behalf of the Government of the People’s Republic of China.
２(1) 借款は、財政部と銀行との間で締結される借款契約に基づいて使用に供される。借款の条件及び使用に関する手続は、なかんずく次の原則を含むことになる前記の借款契約によって規制される。
2. (1) The Loan will be made available by loan agreements to be concluded between the Ministry and the Bank. The terms and conditions of the Loan as well as the procedures for its utilization will be governed by the said loan agreements which will contain, inter alia, the following principles:
(a)(i) 償還期間は、十年の据置期間の後二十年とする。
(a) (i) The repayment period will be twenty (20) years after the grace period of ten (10) years;
(ii) 利子率は、年二・二パーセントとする。
(ii) The rate of interest will be two and two-tenths per cent (2.2%) per annum;
(b) ただし、(a)にもかかわらず、借款の一部が付表の３及び８に掲げる事業計画の地球環境・公害対策関連部分に対して行う支払のために使用される場合、付表の７に掲げる事業計画の人材育成関連部分に対して行う支払のために使用される場合並びに付表の１、２、４、５及び６に掲げる地球環境・公害対策関連事業計画に対して行う支払のために使用される場合には、
(b) Notwithstanding sub-paragraph (a) above, where a part of the Loan is made available to cover payments to global environmental and industrial pollution portions of the projects mentioned in 3 and 8 of the List, to human resource development portion of the project mentioned in 7 of the List and to global environmental and industrial pollution projects mentioned in 1, 2, 4, 5 and 6 of the List, then:
(i) 当該部分に係る償還期間は、十年の据置期間の後三十年とする。
(i) the repayment period of the said part will be thirty (30) years after the grace period of ten (10) years;
(ii) 当該部分に係る利子率は、年〇・七五パーセントとする。
(ii) the rate of interest of the said part will be seventy-five-hundredths per cent (0.75%) per annum; and
(c) 支出期間は、関係借款契約の発効の日から、付表の１、２、３、４、７及び８に掲げる事業計画については七年、付表の６に掲げる事業計画については八年、付表の５に掲げる事業計画については九年とする。
(c) The disbursement period will be seven (7) years with regard to the projects mentioned in 1, 2, 3, 4, 7 and 8 of the List, eight (8) years with regard to the project mentioned in 6 of the List and nine (9) years with regard to the project mentioned in 5 of the List from the dates of coming into force of the relevant loan agreements.
(2) (1)にいう借款契約の各々は、銀行が当該借款契約に係る事業計画の実行可能性（環境に対する配慮を含む。)を確認した後に締結される。
(2) Each of the loan agreements mentioned in sub-paragraph (1) above will be concluded after the Bank is satisfied of the feasibility, including environmental consideration, of the project to which such loan agreement relates.
(3) (1)(c)にいうそれぞれの支出期間は、両政府の関係当局の同意を得て延長することができる。
(3) The respective disbursement periods mentioned in sub-paragraph (1)(c) above may be extended with the consent of the authorities concerned of the two Governments.
３(1) 借款は、中国の実施機関が調達適格国の供給者及び請負業者に対して行う支払で、付表に掲げる事業計画の実施に必要な生産物又は役務の購入のために両者の間で締結されることのある契約に基づいて行われるものを対象として使用に供される。ただし、当該購入は、調達適格国において、それらの国で生産される生産物又はそれらの国から供給される役務について行われる。
3. (1) The Loan will be made available to cover payments to be made by Chinese executing agencies to suppliers and/or contractors of eligible source countries under such contracts as may be entered into between them for purchases of products and/or services required for the implementation of the projects enumerated in the List, provided that such purchases are made in such eligible source countries for products produced in and/or services supplied from those countries.
(2) (1)にいう調達適格国の範囲は、両政府の関係当局間で合意される。
(2) The scope of eligible source countries mentioned in sub-paragraph (1) above will be agreed upon between the authorities concerned of the two Governments.
(3) 借款の一部は、付表の５、６及び８に掲げる事業計画の実施のための適格な現地通貨の需要に充てるために使用することができる。
(3) A part of the Loan may be used to cover eligible local currency requirements for the implementation of the projects mentioned in 5, 6 and 8 of the List.
４ 中華人民共和国政府は、３(1)にいう生産物又は役務が銀行の調達のためのガイドライン（国際入札の手続が適用できないか又は適当でない場合を除くほか従うべき国際入札の手続をなかんずく定める。)に従って調達されるよう必要な措置をとる。
4. The Government of the People’s Republic of China will take necessary measures for the products and/or services mentioned in sub-paragraph (1) of paragraph 3 to be procured in accordance with the guidelines for procurement of the Bank, which set forth, inter alia, the procedures of international tendering to be followed except where such procedures are inapplicable or inappropriate.
５ 中華人民共和国政府は、次のものを免除する。
5. The Government of the People’s Republic of China will exempt:
(a) 銀行について、借款及びそれから生ずる利子に対して又はそれらに関連して課される中国の財政課徴金及び租税
(a) the Bank from Chinese fiscal levies and taxes imposed on and/or in connection with the Loan as well as interest accruing therefrom; and
(b) 供給者又は請負業者として活動する日本国の会社について、付表に掲げる事業計画の実施に必要な自己の建設機材の搬入及び搬出に関して課される中国の関税及び関連の財政課徴金
(b) Japanese companies operating as suppliers and/or contractors from Chinese duties and related fiscal charges imposed with respect to the bringing-in and bringing-out of their own construction equipment needed for the implementation of the projects enumerated in the List.
６ ３(1)にいう生産物又は役務の供給に関連して中華人民共和国においてその役務が必要とされる日本国民は、作業の遂行のため中華人民共和国への入国及び同国における滞在に必要な便宜を与えられる。
6. Japanese nationals whose services may be required in the People’s Republic of China in connection with the supply of the products and/or services mentioned in sub-paragraph (1) of paragraph 3 above will be accorded such facilities as may be necessary for their entry into the People’s Republic of China and stay therein for the performance of their work.
７ 中華人民共和国政府は、借款に基づいて購入される生産物の海上輸送及び海上保険に関し、海運会社及び海上保険会社の間の公正かつ自由な競争を妨げることのあるいかなる制限も課さない。
7. With regard to the shipping and marine insurance of products purchased under the Loan, the Government of the People’s Republic of China will refrain from imposing any restrictions that may hinder fair and free competition among the shipping and marine insurance companies.
８ 中華人民共和国政府は、次のことを確保するために必要な措置をとる。
8. The Government of the People’s Republic of China will take necessary measures to ensure that:
(a) 借款が適正にかつ専ら付表に掲げる事業計画のために使用されること。
(a) the Loan be used properly and exclusively for the projects enumerated in the List; and
(b) 借款に基づいて建設される施設がこの了解に定める目的のために適正にかつ効果的に維持され及び使用されること。
(b) the facilities constructed under the Loan be maintained and used properly and effectively for the purposes prescribed in this understanding.
９ 中華人民共和国政府は、要請に応じ、日本国政府に対し、付表に掲げる事業計画の進状況についての情報を提供する。
9. The Government of the People’s Republic of China will, upon request, furnish the Government of Japan with information on the progress of the projects enumerated in the List.
10 両政府は、共同して借款の実施の進状況を随時検討し、借款の円滑かつ効果的な使用を確保するために必要な措置をとり、また、前記の了解から又はそれに関連して生ずることのあるいかなる事項についても相互に協議する。
10. The two Governments will jointly review from time to time the progress of the implementation of the Loan and take measures necessary to secure smooth and effective utilization of the Loan and otherwise consult with each other in respect of any matter that may arise from or in connection with the foregoing understanding.
