  　書簡をもって啓上いたします。本使は、ブルガリア共和国の経済の安定及び開発努力を促進することを目的として供与される日本国の借款に関して日本国政府の代表者とブルガリア共和国政府の代表者との間で最近到達した次の了解を確認する光栄を有します。

							

						

						

							

								
Excellency,

	I have the honour to confirm the following understanding recently reached between the representatives of the Government of Japan and of the Government of the Republic of Bulgaria concerning a Japanese loan to be extended with a view to promoting the economic stabilization and development efforts of the Republic of Bulgaria:

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
  １　百二十八億九千四百万円（一二、八九四、〇〇〇、〇〇〇円）の額までの円貨による借款（以下「借款」という。)が、ソフィア地下鉄拡張計画（以下「計画」という。)の実施のため、国際協力銀行（以下「銀行」という。)により、日本国の関係法令に従って、ソフィア市に供与されることになる。

							

						

						

							

								
1.	A loan in Japanese yen up to the amount of twelve billion eight hundred and ninety-four million yen (12,894,000,000) (hereinafter referred to as "the Loan") will be extended to the Municipality of Sofia by Japan Bank for International Cooperation (hereinafter referred to as "the Bank") in accordance with the relevant laws and regulations of Japan for the implementation of Sofia Metro Extension Project (hereinafter referred to as "the Project").

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
  ２(1)　借款は、ソフィア市と銀行との間で締結される借款契約に基づいて使用に供される。借款の条件及び使用に関する手続は、なかんずく次の原則を含むことになる前記の借款契約によって規制される。

							

						

						

							

								
2.	(1)	The Loan will be made available by a loan agreement to be concluded between the Municipality of Sofia and the Bank.  The terms and conditions of the Loan as well as the procedures for its utilization will be governed by the said loan agreement which will contain, inter alia, the following principles:

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
      (a)(i)　償還期間は、十年の据置期間の後二十年とする。

							

						

						

							

								
(a)	(i)	The repayment period will be twenty (20) years after the grace period of ten (10) years;

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
        (ii)　利子率は、年二・二パーセントとする。

							

						

						

							

								
(ii) The rate of interest will be two and two-tenths per cent (2.2%) per annum;

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
      (b)　ただし、(a)(ii)にもかかわらず、借款の一部が計画のコンサルタントに対して行う支払のために使用される場合には、当該部分に係る利子率は、年一・八パーセントとする。

							

						

						

							

								
(b) Notwithstanding sub-paragraph (a)(ii) above, where a part of the Loan is made available to cover payments to consultants of the Project, the rate of interest of the said part will be one and eight-tenths per cent (1.8%) per annum; and

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
      (c)　支出期間は、前記の借款契約の発効の日から七年とする。

							

						

						

							

								
(c) The disbursement period will be seven (7) years from the date of coming into force of the said loan agreement.

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
    (2)　(1)にいう借款契約は、銀行が計画の実行可能性（環境に対する配慮を含む。)を確認した後に締結される。

							

						

						

							

								
	(2)	The loan agreement mentioned in sub-paragraph (1) above will be concluded after the Bank is satisfied of the feasibility, including environmental consideration, of the Project.

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
    (3)　(1)(c)にいう支出期間は、両政府の関係当局の同意を得て延長することができる。

							

						

						

							

								
	(3)	The disbursement period mentioned in sub-paragraph (1)(c) above may be extended with the consent of the authorities concerned of the two Governments.

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
    (4)　ソフィア市に供与される借款の元本の償還並びに利子及びいかなるその他の課徴金の支払も、ブルガリア共和国政府によって保証される。

							

						

						

							

								
	(4)	The repayment of principal of the Loan extended to the Municipality of Sofia as well as the payment of interest and any other charges thereon shall be guaranteed by the Government of the Republic of Bulgaria.

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
  ３(1)　借款は、ブルガリアの実施機関が調達適格国の供給者、請負業者又はコンサルタントに対して行う支払で、計画の実施に必要な生産物又は役務の購入のために両者の間で締結されることのある契約に基づいて行われるものを対象として使用に供される。ただし、当該購入は、調達適格国において、それらの国で生産される生産物又はそれらの国から供給される役務について行われる。

							

						

						

							

								
3.	(1)	The Loan will be made available to cover payments to be made by a Bulgarian executing agency to suppliers, contractors and/or consultants of eligible source countries under such contracts as may be entered into between them for purchases of products and/or services required for the implementation of the Project, provided that such purchases are made in such eligible source countries for products produced in and/or services supplied from those countries.

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
    (2)　(1)にいう調達適格国の範囲は、両政府の関係当局間で合意される。

							

						

						

							

								
	(2)	The scope of eligible source countries mentioned in sub-paragraph (1) above will be agreed upon between the authorities concerned of the two Governments.

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
    (3)　借款の一部は、計画の実施のための適格な現地通貨の需要に充てるために使用することができる。

							

						

						

							

								
	(3)	A part of the Loan may be used to cover eligible local currency requirements for the implementation of the Project.

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
  ４　ブルガリア共和国政府は、３(1)にいう生産物又は役務が銀行の調達のためのガイドライン（国際入札の手続が適用できないか又は適当でない場合を除くほか従うべき国際入札の手続をなかんずく定める。)に従って調達されることを確保する。

							

						

						

							

								
4.	The Government of the Republic of Bulgaria will ensure that the products and/or services mentioned in sub-paragraph (1) of paragraph 3 are procured in accordance with the guidelines for procurement of the Bank, which set forth, inter alia, the procedures of international tendering to be followed except where such procedures are inapplicable or inappropriate.

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
  ５　ブルガリア共和国政府は、借款に基づいて購入される生産物の海上輸送及び海上保険に関し、海運会社及び海上保険会社の間の公正かつ自由な競争を妨げることのあるいかなる制限も課さない。

							

						

						

							

								
5.	With regard to the shipping and marine insurance of products purchased under the Loan, the Government of the Republic of Bulgaria will refrain from imposing any restrictions that may hinder fair and free competition among the shipping and marine insurance companies.

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
  ６　３(1)にいう生産物又は役務の供給に関連してブルガリア共和国においてその役務が必要とされる日本国民は、作業の遂行のためブルガリア共和国への入国及び同国における滞在に必要な便宜を与えられる。

							

						

						

							

								
6.	Japanese nationals whose services may be required in the Republic of Bulgaria in connection with the supply of the products and/or services mentioned in sub-paragraph (1) of paragraph 3 will be accorded such facilities as may be necessary for their entry into the Republic of Bulgaria and stay therein for the performance of their work.

(a) the Bank from all fiscal levies and taxes imposed in the Republic of Bulgaria on and/or in connection with the Loan as well as interest accruing therefrom;

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
    (b)　供給者、請負業者又はコンサルタントとして活動する日本国の会社について、借款に基づいて行われる生産物又は役務の供給から生ずる所得に関してブルガリア共和国において課されるすべての財政課徴金及び租税

							

						

						

							

								
(b) Japanese companies operating as suppliers, contractors and/or consultants from all fiscal levies and taxes imposed in the Republic of Bulgaria with respect to the income accruing from the supply of products and/or services to be provided under the Loan;

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
    (c)　請負業者又はコンサルタントとして活動する日本国の会社について、計画の実施に必要な自己の資材及び設備の輸入及び再輸出に関してブルガリア共和国において課されるすべての関税及び関連の財政課徴金

							

						

						

							

								
(c) Japanese companies operating as contractors and/or consultants from all duties and related fiscal charges imposed in the Republic of Bulgaria with respect to the import and re-export of their own materials and equipment needed for the implementation of the Project; and

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
    (d)　計画の実施に従事する日本国民である被用者について、供給者、請負業者又はコンサルタントとして活動する日本国の会社から取得する個人所得に対してブルガリア共和国において課されるすべての財政課徴金及び租税

							

						

						

							

								
(d) Japanese employees engaged in the implementation of the Project from all fiscal levies and taxes imposed in the Republic of Bulgaria on their personal income derived from Japanese companies operating as suppliers, contractors and/or consultants.

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
  ８　ブルガリア共和国政府は、次のことを確保するために必要な措置をとる。

							

						

						

							

								
8.	The Government of the Republic of Bulgaria will take necessary measures to ensure that:

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
    (a)　借款が適正にかつ専ら計画のために使用されること。

							

						

						

							

								
(a) the Loan be used properly and exclusively for the Project; and

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
    (b)　借款に基づいて建設される施設がこの了解に定める目的のために適正にかつ効果的に維持され及び使用されること。

							

						

						

							

								
(b) the facilities constructed under the Loan be maintained and used properly and effectively for the purposes prescribed in this understanding.

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
  ９　ブルガリア共和国政府は、要請に応じ、日本国政府及び銀行に対し、計画の実施の進捗状況に関する情報及び資料を提供する。

							

						

						

							

								
9.	The Government of the Republic of Bulgaria will, upon request, furnish the Government of Japan and the Bank with information and data concerning the progress of the implementation of the Project.

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
  10　両政府は、前記の了解から又はそれに関連して生ずることのあるいかなる事項についても相互に協議する。

							

						

						

							

								
10.	The two Governments will consult with each other in respect of any matter that may arise from or in connection with the foregoing understanding.

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
  　本使は、更に、この書簡及び前記の了解をブルガリア共和国政府に代わって確認される閣下の返簡が両政府間の合意を構成するものとみなし、その合意がその効力発生のために必要な国内手続を完了した旨のブルガリア共和国政府からの書面による通告を日本国政府が受領した時に効力を生ずるものとすることを提案する光栄を有します。

							

						

						

							

								
	I have further the honour to propose that this Note and Your Excellency's Note in reply confirming the foregoing on behalf of the Government of the Republic of Bulgaria shall be considered as constituting an agreement between the two Governments, which will become effective upon the receipt by the Government of Japan of the written notification from the Government of the Republic of Bulgaria of the completion of necessary domestic procedures for the entry into force of such agreement.
