  　書簡をもって啓上いたします。本使は、ヴィエトナム社会主義共和国の経済の安定及び開発努力を促進することを目的として供与される日本国の借款に関して日本国政府の代表者とヴィエトナム社会主義共和国政府の代表者との間で最近到達した次の了解を確認する光栄を有します。

							

						

						

							

								
Excellency,

	I have the honour to confirm the following understanding recently reached between the representatives of the Government of Japan and of the Government of the Socialist Republic of Viet Nam concerning a Japanese loan to be extended with a view to promoting the economic stabilization and development efforts of the Socialist Republic of Viet Nam:

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
  １　四百六十億五千七百万円（四六、〇五七、〇〇〇、〇〇〇円）の額までの円貨による借款（以下「借款」という。)が、この書簡に附属する表（以下「付表」という。)に掲げる事業計画を実施するため、各事業計画につき付表に定める配分に応じ、国際協力銀行（以下「銀行」という。)により、日本国の関係法令に従って、ヴィエトナム社会主義共和国政府に供与されることになる。

							

						

						

							

								
1.	A loan in Japanese yen up to the amount of forty-six billion and fifty-seven million yen (46,057,000,000) (hereinafter referred to as "the Loan") will be extended, in accordance with the relevant laws and regulations of Japan, to the Government of the Socialist Republic of Viet Nam by Japan Bank for International Cooperation (hereinafter referred to as "the Bank") to implement the projects enumerated in the list attached hereto (hereinafter referred to as "the List") according to the allocation for each project as specified in the List.

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
  ２(1)　借款は、ヴィエトナム社会主義共和国政府と銀行との間で締結される借款契約に基づいて使用に供される。借款の条件及び使用に関する手続は、なかんずく次の原則を含むことになる前記の借款契約によって規制される。

							

						

						

							

								
2.	(1)	The Loan will be made available by loan agreements to be concluded between the Government of the Socialist Republic of Viet Nam and the Bank.  The terms and conditions of the Loan as well as the procedures for its utilization will be governed by the said loan agreements which will contain, inter alia, the following principles:

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
      (a)(i)　償還期間は、十年の据置期間の後二十年とする。

							

						

						

							

								
	(a)	(i)	The repayment period will be twenty (20) years after the grace period of ten (10) years;

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
        (ii)　利子率は、年一・八パーセントとする。

							

						

						

							

								
(ii) The rate of interest will be one and eight-tenths per cent (1.8%) per annum;

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
      (b)　ただし、(a)にもかかわらず、借款の一部が付表の５に掲げる事業計画の環境関連部分に対して行う支払のために使用される場合には、当該部分に係る利子率は、年一・三パーセントとする。

							

						

						

							

								
(b) Notwithstanding sub-paragraph (a) above, where a part of the Loan is made available to cover payments to the environmental portion of the project mentioned in 5 of the List, then the rate of interest of the said part will be one and three-tenths per cent (1.3%) per annum;

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
      (c)　ただし、(a)及び(b)にもかかわらず、借款の一部が付表の２及び５に掲げる事業計画の地球環境関連部分に対して行う支払並びに付表の１、３、４、５及び６に掲げる事業計画のコンサルタントに対して行う支払のために使用される場合には、

							

						

						

							

								
(c) Notwithstanding sub-paragraphs (a) and (b) above, where a part of the Loan is made available to cover payments to the global environment portions of the projects mentioned in 2 and 5 of the List and payments to consultants of the projects mentioned in 1, 3, 4, 5 and 6 of the List, then:

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
        (i)　当該部分に係る償還期間は、十年の据置期間の後三十年とする。

        (ii)　当該部分に係る利子率は、年〇・七五パーセントとする。

      (d)　支出期間は、関係借款契約の発効の日から、付表の４に掲げる事業計画については三年、付表の２に掲げる事業計画については五年、付表の１及び３に掲げる事業計画については五年六箇月、付表の５に掲げる事業計画については七年、並びに付表の６に掲げる事業計画については七年六箇月とする。

							

						

						

							

								
(d) The disbursement period will be three (3) years with regard to the projects mentioned in 4 of the List, five (5) years with regard to the project mentioned in 2 of the List, five (5) years and six (6) months with regard to the projects mentioned in 1 and 3 of the List, seven (7) years with regard to the project mentioned in 5 of the List, and seven (7) years and six (6) months with regard to the project mentioned in 6 of the List from the dates of coming into force of the relevant loan agreements.

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
      (e)　(d)にいうそれぞれの支出期間は、両政府の関係当局の同意を得て延長することができる。

    (2)　(1)にいう借款契約の各々は、銀行が当該借款契約に係る事業計画の実行可能性（環境に対する配慮を含む。)を確認した後に締結される。

							

						

						

							

								
	(2)	Each of the loan agreements mentioned in sub-paragraph (1) above will be concluded after the Bank is satisfied of the feasibility, including the environmental consideration, of the project to which such loan agreement relates.

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
  ３(1)　借款は、ヴィエトナムの実施機関が調達適格国の供給者、請負業者又はコンサルタントに対して行う支払で、付表に掲げる事業計画の実施に必要な生産物又は役務の購入のために両者の間で締結されることのある契約に基づいて行われるものを対象として使用に供される。ただし、当該購入は、調達適格国において、それらの国で生産される生産物又はそれらの国から供給される役務について行われる。

							

						

						

							

								
3.	(1)	The Loan will be made available to cover payments to be made by Vietnamese executing agencies to suppliers, contractors and/or consultants of eligible source countries under such contracts as may be entered into between them for purchases of products and/or services required for the implementation of the projects enumerated in the List, provided that such purchases are made in such eligible source countries for products produced in and/or services supplied from those countries.

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
    (2)　(1)にいう調達適格国の範囲は、両政府の関係当局間で合意される。

  ４　ヴィエトナム社会主義共和国政府は、借款に基づいて購入される生産物の海上輸送及び海上保険に関し、海運会社及び海上保険会社の間の公正かつ自由な競争を妨げることのあるいかなる制限も課さない。

							

						

						

							

								
4.	With regard to the shipping and marine insurance of the products purchased under the Loan, the Government of the Socialist Republic of Viet Nam will refrain from imposing any restrictions that may hinder fair and free competition among the shipping and marine insurance companies.

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
  ５　ヴィエトナム社会主義共和国政府は、３(1)にいう生産物又は役務が銀行の調達のためのガイドライン（国際入札の手続が適用できないか又は適当でない場合を除くほか従うべき国際入札の手続をなかんずく定める。)に従って調達されることを確保する。

							

						

						

							

								
5.	The Government of the Socialist Republic of Viet Nam will ensure that the products and/or services mentioned in sub-paragraph (1) of paragraph 3 are procured in accordance with the guidelines for procurement of the Bank, which set forth, inter alia, the procedures of international tendering to be followed except where such procedures are inapplicable or inappropriate.

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
  ６　３(1)にいう生産物又は役務の供給に関連してヴィエトナム社会主義共和国においてその役務が必要とされる日本国民は、作業の遂行のためヴィエトナム社会主義共和国への入国及び同国における滞在に必要な便宜を与えられる。

							

						

						

							

								
6.	Japanese nationals whose services may be required in the Socialist Republic of Viet Nam in connection with the supply of the products and/or services mentioned in sub-paragraph (1) of paragraph 3 will be accorded such facilities as may be necessary for their entry into the Socialist Republic of Viet Nam and stay therein for the performance of their work.

    (2)　供給者、請負業者又はコンサルタントとして活動する日本国の会社について、借款に基づいて行われる生産物又は役務の供給から取得する所得に対してヴィエトナム社会主義共和国において課されるすべての財政課徴金及び租税

							

						

						

							

								
	(2)	Japanese companies operating as suppliers, contractors and/or consultants from all fiscal levies and taxes imposed in the Socialist Republic of Viet Nam on the income accruing from the supply of products and/or services to be provided under the Loan; and

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
    (3)　請負業者又はコンサルタントとして活動する日本国の会社について、付表に掲げる事業計画の実施に必要な自己の資材及び設備の輸入及び再輸出に関してヴィエトナム社会主義共和国において課されるすべての関税及び関連の財政課徴金

							

						

						

							

								
	(3)	Japanese companies operating as contractors and/or consultants from all duties and related fiscal charges imposed in the Socialist Republic of Viet Nam with respect to the import and re-export of their own materials and equipment needed for the implementation of the projects enumerated in the List.

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
  ８　ヴィエトナム社会主義共和国政府は、次のことを確保するために必要な措置をとる。

    (1)　借款が適正にかつ専ら付表に掲げる事業計画のために使用されること。

							

						

						

							

								
	(1)	the Loan be used properly and exclusively for the projects enumerated in the List; and

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
    (2)　借款に基づいて建設される施設がこの了解に定める目的のために適正にかつ効果的に維持され及び使用されること。

  ９　ヴィエトナム社会主義共和国政府は、要請に応じ、日本国政府及び銀行に対し、付表に掲げる事業計画の実施の進捗状況に関する情報及び資料を提供する。

The Government of the Socialist Republic of Viet Nam will, upon request, furnish the Government of Japan and the Bank with information and data concerning the progress of the implementation of the projects enumerated in the List.

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
  10　両政府は、前記の了解から又はそれに関連して生ずることのあるいかなる事項についても相互に協議する。

  ３(1)　借款は、ヴィエトナムの実施機関が調達適格国の供給者、請負業者、又はコンサルタントに対して行う支払で、計画の実施に必要な生産物又は役務の購入のために両者の間で締結されることのある契約に基づいて行われるものを対象として使用に供される。ただし、当該購入は、調達適格国において、それらの国で生産される生産物又はそれらの国から供給される役務について行われる。

							

						

						

							

								
3.	(1)	The Loan will be made available to cover payments to be made by Vietnamese executing agencies to suppliers, contractors, and/or consultants of eligible source countries under such contracts as may be entered into between them for purchases of products and/or services required for the implementation of the Project, provided that such purchases are made in such eligible source countries for products produced in and/or services supplied from those countries.

5.	With regard to the shipping and marine insurance of the products purchased under the Loan, the Government of the Socialist Republic of Viet Nam will refrain from imposing any restrictions that may hinder fair and free competition of the shipping and marine insurance companies.

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
  ６　３(1)にいう生産物又は役務の供給に関連してヴィエトナム社会主義共和国においてその役務が必要とされる日本国民は、作業の遂行のためヴィエトナム社会主義共和国への入国及び同国における滞在に必要な便宜を与えられる。

							

						

						

							

								
6.
