  　書簡をもって啓上いたします。本使は、フィリピン共和国の経済の安定及び開発努力を促進することを目的として供与される日本国の借款に関して日本国政府の代表者とフィリピン共和国政府の代表者との間で最近到達した次の了解を確認する光栄を有します。

							

						

						

							

								
Excellency,

	I have the honour to confirm the following understanding recently reached between the representatives of the Government of Japan and of the Government of the Republic of the Philippines concerning a Japanese loan to be extended with a view to promoting the economic stabilization and development efforts of the Republic of the Philippines:

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
  １　四百十九億三千百万円（四一、九三一、〇〇〇、〇〇〇円）の額までの円貨による借款（以下「借款」という。)が、中部ルソン高速道路建設計画（以下「計画」という。)を実施するため、国際協力銀行（以下「銀行」という。)により、日本国の関係法令に従って、基地転換開発庁（以下「借入人」という。)に供与されることになる。

							

						

						

							

								
1.	A loan in Japanese yen up to the amount of forty-one billion nine hundred and thirty-one million yen (41,931,000,000) (hereinafter referred to as "the Loan") will be extended, in accordance with the relevant laws and regulations of Japan, to the Bases Conversion and Development Authority (hereinafter referred to as "the Borrower") by Japan Bank for International Cooperation (hereinafter referred to as "the Bank") to implement the Subic-Clark-Tarlac Expressway Project (hereinafter referred to as "the Project").


							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
  ２(1)　借款は、借入人と銀行との間で締結される借款契約に基づいて使用に供される。借款の条件及び使用に関する手続は、なかんずく次の原則を含むことになる前記の借款契約によって規制される。

							

						

						

							

								
2.	(1)	The Loan will be made available by a loan agreement to be concluded between the Borrower and the Bank.  The terms and conditions of the Loan as well as the procedures for its utilization will be governed by the said loan agreement which will contain, inter alia, the following principles:

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
      (a)(i)　償還期間は、十年の据置期間の後三十年とする。

							

						

						

							

								
(a)	(i)	The repayment period will be thirty (30) years after the grace period of ten (10) years;

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
        (ii)　利子率は、年〇・九五パーセントとする。

							

						

						

							

								
(ii) The rate of interest will be ninety-five-hundredths per cent (0.95%) per annum;

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
      (b)　ただし、(a)にもかかわらず、借款の一部が計画のコンサルタントに対して行う支払のために使用される場合には、当該部分に係る利子率は、年〇・七五パーセントとする。

							

						

						

							

								
(b) Notwithstanding sub-paragraph (a) above, where a part of the Loan is made available to cover payments to consultants of the Project, then the rate of interest of the said part will be seventy-five-hundredths per cent (0.75%) per annum; and

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
      (c)　支出期間は、前記の借款契約の発効の日から八年とする。

							

						

						

							

								
(c) The disbursement period will be eight (8) years from the date of coming into force of the said loan agreement.

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
    (2)　(1)にいう借款契約は、銀行が当該借款契約に係る計画の実行可能性（環境に対する配慮を含む。)を確認した後に締結される。

							

						

						

							

								
	(2)	The loan agreement mentioned in sub-paragraph (1) above will be concluded after the Bank is satisfied of the feasibility, including environmental consideration, of the Project to which such loan agreement relates.

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
    (3)　(1)(c)にいう支出期間は、両政府の関係当局の同意を得て延長することができる。

							

						

						

							

								
	(3)	The disbursement period mentioned in sub-paragraph (1)(c) above may be extended with the consent of the authorities concerned of the two Governments.

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
  ３(1)　借款は、借入人が調達適格国の供給者、請負業者又はコンサルタントに対して行う支払で、計画の実施に必要な生産物又は役務の購入のために両者の間で締結されることのある契約に基づいて行われるものを対象として使用に供される。ただし、当該購入は、調達適格国において、それらの国で生産される生産物又はそれらの国から供給される役務について行われる。

							

						

						

							

								
3.	(1)	The Loan will be made available to cover payments to be made by the Borrower to suppliers, contractors and/or consultants of eligible source countries under such contracts as may be entered into between them for purchases of products and/or services required for the implementation of the Project, provided that such purchases are made in such eligible source countries for products produced in and/or services supplied from those countries.

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
    (2)　(1)にいう調達適格国の範囲は、両政府の関係当局間で合意される。

							

						

						

							

								
	(2)	The scope of eligible source countries mentioned in sub-paragraph (1) above will be agreed upon between the authorities concerned of the two Governments.

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
    (3)　借款の一部は、計画の実施のための適格な現地通貨の需要に充てるために使用することができる。

							

						

						

							

								
	(3)	A part of the Loan may be used to cover eligible local currency requirements for the implementation of the Project.

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
  ４　借款の元本の償還及び利子の支払並びにいかなるその他の課徴金も、フィリピン共和国政府によって保証される。

							

						

						

							

								
4.	The repayment of principal of the Loan, as well as the payment of interest thereon and any other charges, shall be guaranteed by the Government of the Republic of the Philippines.

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
  ５　フィリピン共和国政府は、借款に基づいて購入される生産物の海上輸送及び海上保険に関し、海運会社及び海上保険会社の間の公正かつ自由な競争を妨げることのあるいかなる制限も課さない。

							

						

						

							

								
5.	With regard to the shipping and marine insurance of the products purchased under the Loan, the Government of the Republic of the Philippines will refrain from imposing any restrictions that may hinder fair and free competition among the shipping and marine insurance companies.

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
  ６　フィリピン共和国政府は、３(1)にいう生産物又は役務が銀行の調達のためのガイドライン（国際入札の手続が適用できないか又は適当でない場合を除くほか従うべき国際入札の手続をなかんずく定める。)に従って調達されることを確保する。

							

						

						

							

								
6.	The Government of the Republic of the Philippines will ensure that the products and/or services mentioned in sub-paragraph (1) of paragraph 3 are procured in accordance with the guidelines for procurement of the Bank, which set forth, inter alia, the procedures of international tendering to be followed except where such procedures are inapplicable or inappropriate.

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
  ７　３(1)にいう生産物又は役務の供給に関連してフィリピン共和国においてその役務が必要とされる日本国民は、作業の遂行のためフィリピン共和国への入国及び同国における滞在に必要な便宜を与えられる。

							

						

						

							

								
7.	Japanese nationals whose services may be required in the Republic of the Philippines in connection with the supply of the products and/or services mentioned in sub-paragraph (1) of paragraph 3 will be accorded such facilities as may be necessary for their entry into the Republic of the Philippines and stay therein for the performance of their work.

      (b)　供給者、請負業者又はコンサルタントとして活動する日本国の会社について、計画の実施に必要な自己の資材及び設備の輸入及び再輸出に関してフィリピン共和国において課されるすべての関税及び関連の財政課徴金

							

						

						

							

								
(b) Japanese companies operating as suppliers, contractors and/or consultants from all duties and related fiscal charges imposed in the Republic of the Philippines with respect to the import and re-export of their own materials and equipment needed for the implementation of the Project.

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
    (2)　フィリピン共和国政府は、自ら又はその実施機関を通じて、次のものを負担する。

(a) all fiscal levies and taxes imposed in the Republic of the Philippines on the Japanese companies operating as suppliers, contractors and/or consultants with respect to the payment carried out for and the income accruing from the supply of the products and/or services required for the implementation of the Project; and

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
      (b)　計画の実施に従事する日本国民である被用者について、供給者、請負業者又はコンサルタントとして活動する日本国の会社から取得する個人所得に対してフィリピン共和国において課されるすべての財政課徴金及び租税

							

						

						

							

								
(b) all fiscal levies and taxes imposed in the Republic of the Philippines on the Japanese employees engaged in the implementation of the Project with respect to their personal income derived from Japanese companies operating as suppliers, contractors and/or consultants.

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
    (3)　前記の租税負担に関連して、フィリピン共和国政府又はその実施機関は前記の財政課徴金、関税、租税及びその他同様の課徴金の精算又は支払に責任を持つ。

							

						

						

							

								
	(3)	In connection with such tax assumption, the Government of the Republic of the Philippines or its executing agencies will be responsible for the liquidation or settlement of such fiscal levies, duties, taxes and other similar charges.

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
  ９　フィリピン共和国政府は、次のことを確保するために必要な措置をとる。

							

						

						

							

								
9.	The Government of the Republic of the Philippines will take necessary measures to ensure that:

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
    (a)　借款が適正にかつ専ら計画のために使用されること。

							

						

						

							

								
(a) the Loan be used properly and exclusively for the Project; and

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
    (b)　借款に基づいて建設される施設がこの了解に定める目的のために適正にかつ効果的に維持され及び使用されること。

  10(1)　フィリピン共和国政府は、要請に応じ、日本国政府及び銀行に対し、計画の実施の進捗状況に関する報告を提出する。

							

						

						

							

								
10.	(1)	The Government of the Republic of the Philippines will, upon request, furnish the Government of Japan and the Bank with reports on the progress of the implementation of the Project.

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
    (2)　両政府は、(1)にいう報告に基づいて、共同して借款の実施の進捗状況を随時検討し、必要に応じ、その円滑かつ効果的な使用を確保するために適当な措置をとる。銀行は、その検討に参加するよう招かれる。

							

						

						

							

								
	(2)	The two Governments will jointly review from time to time, on the basis of the reports mentioned in sub-paragraph (1) above, the progress of the implementation of the Loan and take, if necessary, appropriate measures to secure its smooth and effective utilization.  The Bank will be invited to participate in such review.

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
  11　両政府は、この了解から又はそれに関連して生ずることのあるいかなる事項についても相互に協議する。
