書簡をもって啓上いたします。本使は、二千一年一月二十二日及び二十三日にパリで開催されたパキスタン・イスラム共和国政府の代表者と関係債権諸国政府の代表者との間の協議において到達した結論に基づき日本国政府の代表者とパキスタン・イスラム共和国政府の代表者との間で行われた最近の交渉に言及する光栄を有します。本使は、更に、当該交渉において到達した次の了解を確認する光栄を有します。
(Japanese Note) Islamabad, October 5, 2001 Excellency, I have the honour to refer to the recent negotiations between the representatives of the Government of Japan and of the Government of the Islamic Republic of Pakistan that were held on the basis of the conclusions reached during the consultations between the representatives of the Government of the Islamic Republic of Pakistan and of the Governments of the creditor countries concerned held in Paris on January 22 and 23, 2001. I have further the honour to confirm the following understanding reached in the course of the said negotiations:
１ 債務繰延方式による債務救済措置が、国際協力銀行又は場合に応じ国際協力銀行及び関係民間銀行（以下「銀行」という。)により、日本国の関係法令に従ってとられることになる。
1. A debt relief measure in the form of rescheduling will be taken in accordance with the relevant laws and regulations of Japan by Japan Bank for International Cooperation together, where relevant, with private banks concerned (hereinafter referred to as "the Banks").
２ 繰り延べられる債務は、パキスタン・イスラム共和国政府が銀行に対して負っている次の(1)から(4)にいう債務から成る。
2. The debts to be rescheduled consist of the debts referred to in sub-paragraphs (1) to (4) below which the Government of the Islamic Republic of Pakistan owes to the Banks.
(1) 円借款の供与に関してパキスタン・イスラム共和国政府と海外経済協力基金（以下「基金」というとの間で千九百九十七年九月三十日より前に締結された借款契約に基づいて支払われるべき債務（以下「繰延債務Ⅰ」という。)は、次のとおりである。
(1) The debts payable under the Loan Agreements concluded before September 30, 1997 between the Government of the Islamic Republic of Pakistan and the Overseas Economic Cooperation Fund (hereinafter referred to as "the Fund") on the extension of Yen Loan (hereinafter referred to as "the Rescheduled Debts I") are as follows:
(i) 二千年十一月三十日以前に弁済期限の到来した未払の元本及び契約上の利子（それらの内訳は、この書簡の付表一に掲げられる。)。
(i) the principal and contractual interest having fallen due on or before November 30, 2000 and not paid, the breakdown of which is shown in the List 1 attached hereto; and
(ii) 二千年十二月一日から二千一年九月三十日までの間（両期日を含む。)に弁済期限の到来した未払の元本及び契約上の利子（それらの内訳は、この書簡の付表二に掲げられる。)。
(ii) the principal and contractual interest having fallen due between December 1, 2000 and September 30, 2001, both dates inclusive, and not paid, the breakdown of which is shown in the List 2 attached hereto.
(2) 円借款の供与に関してパキスタン・イスラム共和国政府と日本輸出入銀行（以下「輸銀」という。)との間で千九百九十七年九月三十日より前に締結された借款契約又は円借款の繰延べに関してパキスタン・イスラム共和国政府と輸銀との間で締結された債務繰延契約に基づいて支払われるべき債務（以下「繰延債務Ⅱ」という。)は、次のとおりである。
(2) The debts payable under the Loan Agreements concluded before September 30, 1997 between the Government of the Islamic Republic of Pakistan and the Export-Import Bank of Japan (hereinafter referred to as "the JEXIM") on the extension of Yen Loan or the Rescheduling Agreements concluded between the Government of the Islamic Republic of Pakistan and the JEXIM on the rescheduling of Yen Loan (hereinafter referred to as "the Rescheduled Debts II") are as follows:
(a) 過去に繰り延べられなかった債務に関し、二千年十一月三十日以前に弁済期限の到来した未払の元本及び契約上の利子（それらの内訳は、この書簡の付表三に掲げられる。)。
(a) For the debts not previously rescheduled, the principal and contractual interest having fallen due on or before November 30, 2000 and not paid, the breakdown of which is shown in the List 3 attached hereto.
(b) パキスタン・イスラム共和国政府が輸銀又は場合に応じ輸銀及び関係民間銀行に対して負っていた債務についての債務救済措置に関し千九百七十五年五月二日に日本国政府とパキスタン・イスラム共和国政府との間で交換された書簡により行われた取極に従って過去に繰り延べられた債務に関し、
(b) For the debts previously rescheduled pursuant to the arrangements made by the Notes exchanged between the Government of Japan and the Government of the Islamic Republic of Pakistan on May 2, 1975 concerning the debt relief measures with respect to the debts which the Government of the Islamic Republic of Pakistan owed to the JEXIM and, where relevant, private banks concerned,
(i) 二千年十一月三十日以前に弁済期限の到来した未払の元本及び繰延利子（それらの内訳は、この書簡の付表四に掲げられる。)。
(i) the principal and rescheduling interest having fallen due on or before November 30, 2000 and not paid, the breakdown of which is shown in the List 4 attached hereto; and
(ii) 二千年十二月一日から二千一年九月三十日までの間（両期日を含む。)に弁済期限の到来した未払の元本及び繰延利子（それらの内訳は、この書簡の付表五に掲げられる。)。
(ii) the principal and rescheduling interest having fallen due between December 1, 2000 and September 30, 2001, both dates inclusive, and not paid, the breakdown of which is shown in the List 5 attached hereto.
(c) パキスタン・イスラム共和国政府が輸銀又は場合に応じ輸銀及び関係民間銀行に対して負っていた債務についての債務救済措置に関し千九百七十六年三月十一日に日本国政府とパキスタン・イスラム共和国政府との間で交換された書簡により行われた取極に従って過去に繰り延べられた債務に関し、
(c) For the debts previously rescheduled pursuant to the arrangements made by the Notes exchanged between the Government of Japan and the Government of the Islamic Republic of Pakistan on March 11, 1976 concerning the debt relief measures with respect to the debts which the Government of the Islamic Republic of Pakistan owed to the JEXIM and, where relevant, private banks concerned,
(i) 二千年十一月三十日以前に弁済期限の到来した未払の元本及び繰延利子（それらの内訳は、この書簡の付表六に掲げられる。)。
(i) the principal and rescheduling interest having fallen due on or before November 30, 2000 and not paid, the breakdown of which is shown in the List 6 attached hereto; and
(ii) 二千年十二月一日から二千一年九月三十日までの間（両期日を含む。)に弁済期限の到来した未払の元本及び繰延利子（それらの内訳は、この書簡の付表七に掲げられる。)。
(ii) the principal and rescheduling interest having fallen due between December 1, 2000 and September 30, 2001, both dates inclusive, and not paid, the breakdown of which is shown in the List 7 attached hereto.
(d) パキスタン・イスラム共和国政府が輸銀又は場合に応じ輸銀及び関係民間銀行に対して負っていた債務についての債務救済措置に関し千九百七十六年十一月二十二日に日本国政府とパキスタン・イスラム共和国政府との間で交換された書簡により行われた取極に従って過去に繰り延べられた債務に関し、
(d) For the debts previously rescheduled pursuant to the arrangements made by the Notes exchanged between the Government of Japan and the Government of the Islamic Republic of Pakistan on November 22, 1976 concerning the debt relief measures with respect to the debts which the Government of the Islamic Republic of Pakistan owed to the JEXIM and, where relevant, private banks concerned,
(i) 二千年十一月三十日以前に弁済期限の到来した未払の元本及び繰延利子（それらの内訳は、この書簡の付表八に掲げられる。)。
(i) the principal and rescheduling interest having fallen due on or before November 30, 2000 and not paid, the breakdown of which is shown in the List 8 attached hereto; and
(ii) 二千年十二月一日から二千一年九月三十日までの間（両期日を含む。)に弁済期限の到来した未払の元本及び繰延利子（それらの内訳は、この書簡の付表九に掲げられる。)。
(ii) the principal and rescheduling interest having fallen due between December 1, 2000 and September 30, 2001, both dates inclusive, and not paid, the breakdown of which is shown in the List 9 attached hereto.
(e) パキスタン・イスラム共和国政府が輸銀又は場合に応じ輸銀及び関係民間銀行に対して負っていた債務についての債務救済措置に関し千九百七十七年十月二十六日に日本国政府とパキスタン・イスラム共和国政府との間で交換された書簡により行われた取極に従って過去に繰り延べられた債務に関し、
(e) For the debts previously rescheduled pursuant to the arrangements made by the Notes exchanged between the Government of Japan and the Government of the Islamic Republic of Pakistan on October 26, 1977 concerning the debt relief measures with respect to the debts which the Government of the Islamic Republic of Pakistan owed to the JEXIM and, where relevant, private banks concerned,
(i) 二千年十一月三十日以前に弁済期限の到来した未払の元本及び繰延利子（それらの内訳は、この書簡の付表十に掲げられる。)。
(i) the principal and rescheduling interest having fallen due on or before November 30, 2000 and not paid, the breakdown of which is shown in the List 10 attached hereto; and
(ii) 二千年十二月一日から二千一年九月三十日までの間（両期日を含む。)に弁済期限の到来した未払の元本及び繰延利子（それらの内訳は、この書簡の付表十一に掲げられる。)。
(ii) the principal and rescheduling interest having fallen due between December 1, 2000 and September 30, 2001, both dates inclusive, and not paid, the breakdown of which is shown in the List 11 attached hereto.
(f) パキスタン・イスラム共和国政府が輸銀又は場合に応じ輸銀及び関係民間銀行に対して負っていた債務についての債務救済措置に関し千九百八十一年七月四日に日本国政府とパキスタン・イスラム共和国政府との間で交換された書簡により行われた取極に従って過去に繰り延べられた債務に関し、
(f) For the debts previously rescheduled pursuant to the arrangements made by the Notes exchanged between the Government of Japan and the Government of the Islamic Republic of Pakistan on July 4, 1981 concerning the debt relief measures with respect to the debts which the Government of the Islamic Republic of Pakistan owed to the JEXIM and, where relevant, private banks concerned,
(i) 二千年十一月三十日以前に弁済期限の到来した未払の元本及び繰延利子（それらの内訳は、この書簡の付表十二に掲げられる。)。
(i) the principal and rescheduling interest having fallen due on or before November 30, 2000 and not paid, the breakdown of which is shown in the List 12 attached hereto; and
(ii) 二千年十二月一日から二千一年九月三十日までの間（両期日を含む。)に弁済期限の到来した未払の元本及び繰延利子（それらの内訳は、この書簡の付表十三に掲げられる。)。
(ii) the principal and rescheduling interest having fallen due between December 1, 2000 and September 30, 2001, both dates inclusive, and not paid, the breakdown of which is shown in the List 13 attached hereto.
(3) アンタイド・ローンの供与に関して一方においてパキスタン・イスラム共和国政府と他方において輸銀又は場合に応じ輸銀及び関係民間銀行との間で千九百九十七年九月三十日より前に締結された借款契約に基づいて支払われるべき債務（以下「繰延債務Ⅲ」という。)は、次のとおりである。
(3) The debts payable under the Loan Agreements concluded before September 30, 1997 between the Government of the Islamic Republic of Pakistan on the one hand and the JEXIM and, where relevant, private banks concerned on the other on the extension of Untied Loan (hereinafter referred to as "the Rescheduled Debts III") are as follows:
(i) 二千年十一月三十日以前に弁済期限の到来した未払の元本及び契約上の利子（それらの内訳は、この書簡の付表十四に掲げられる。)。
(i) the principal and contractual interest having fallen due on or before November 30, 2000 and not paid, the breakdown of which is shown in the List 14 attached hereto; and
(ii) 二千年十二月一日から二千一年九月三十日までの間（両期日を含む。)に弁済期限の到来した未払の元本及び契約上の利子（それらの内訳は、この書簡の付表十五に掲げられる。)。
(ii) the principal and contractual interest having fallen due between December 1, 2000 and September 30, 2001, both dates inclusive, and not paid, the breakdown of which is shown in the List 15 attached hereto.
(4) パキスタン・イスラム共和国政府と関係民間銀行との間で千九百九十七年九月三十日より前に契約され、輸銀によって保証された債務（以下「繰延債務Ⅳ」という。)は、次のとおりである。
(4) The debts contracted before September 30, 1997 between the Government of the Islamic Republic of Pakistan and the private banks concerned, and guaranteed by the JEXIM (hereinafter referred to as "the Rescheduled Debts IV") are as follows:
(i) 二千年十一月三十日以前に弁済期限の到来した未払の元本及び契約上の利子（それらの内訳は、この書簡の付表十六に掲げられる。)。
(i) the principal and contractual interest having fallen due on or before November 30, 2000 and not paid, the breakdown of which is shown in the List 16 attached hereto; and
(ii) 二千年十二月一日から二千一年九月三十日までの間（両期日を含む。)に弁済期限の到来した未払の元本及び契約上の利子（それらの内訳は、この書簡の付表十七に掲げられる。)。
(ii) the principal and contractual interest having fallen due between December 1, 2000 and September 30, 2001, both dates inclusive, and not paid, the breakdown of which is shown in the List 17 attached hereto.
３(1) 繰延債務Ⅰの総額は、五百四億五千九百四十六万九千五百三十三円（五〇、四五九、四六九、五三三円）になる。
3. (1) The total amount of the Rescheduled Debts I will be fifty billion four hundred fifty-nine million four hundred sixty-nine thousand five hundred and thirty-three yen (50,459,469,533).
(2) 繰延債務Ⅱの総額は、二十九億八千八百八十万九千五百八十四円（二、九八八、八〇九、五八四円）になる。
(2) The total amount of the Rescheduled Debts II will be two billion nine hundred eighty-eight million eight hundred nine thousand five hundred and eighty-four yen (2,988,809,584).
(3) 繰延債務Ⅲの総額は、七十九億六千四十四万六千五百六十五円（七、九六〇、四四六、五六五円）になる。
(3) The total amount of the Rescheduled Debts III will be seven billion nine hundred sixty million four hundred forty-six thousand five hundred and sixty-five yen (7,960,446,565).
(4) 繰延債務Ⅳの総額は、十六億二千四百十九万四千六百四十一円（一、六二四、一九四、六四一円）になる。
(4) The total amount of the Rescheduled Debts IV will be one billion six hundred twenty-four million one hundred ninety-four thousand six hundred and forty-one yen (1,624,194,641).
４ ３(1)から(4)にいう総額及びこの書簡の付表一から十七は、パキスタン・イスラム共和国政府の関係当局及び銀行が行う最終的照合の後に日本国政府及びパキスタン・イスラム共和国政府の関係当局間の合意により修正されることがある。
4. Modifications may be made to the total amount referred to in sub-paragraphs (1) to (4) of paragraph 3 and to the Lists 1 to 17 attached hereto by agreement between the authorities concerned of the Government of Japan and of the Government of the Islamic Republic of Pakistan, after the final verification to be made by the authorities concerned of the Government of the Islamic Republic of Pakistan and the Banks.
５ 債務繰延べの条件は、パキスタン・イスラム共和国政府と銀行との間で締結される債務繰延契約であって、なかんずく次の原則を含むものにおいて規定される。
5. The terms and conditions of the rescheduling will be stipulated in rescheduling agreements to be concluded between the Government of the Islamic Republic of Pakistan and the Banks, which will contain, inter alia, the following principles:
(1)(a) 繰延債務Ⅰ及びⅡの総額は、二千十一年十一月一日に始まる二十回の均等半年賦払によって支払われる。
(1) (a) The total amount of the Rescheduled Debts I and II will be paid in twenty (20) equal semi-annual installments beginning on November 1, 2011.
(b) 繰延債務Ⅲ及びⅣの総額は、この書簡の附属書に掲げる支払計画に従って二千四年十一月一日に始まる三十回の半年賦払によって支払われる。
(b) The total amount of the Rescheduled Debts III and IV will be paid in thirty (30) semi-annual installments beginning on November 1, 2004 in accordance with the payment schedule shown in the Annex attached to this Note.
(2)(a) 繰延債務Ⅰに対してこの書簡の付表一及び二に掲げる弁済期日からそれぞれ適用される利子率は、年一・八パーセントとする。
(2) (a) The rate of interest on the Rescheduled Debts I will be one point eight per cent (1.8%) per annum beginning respectively from the due dates mentioned in the Lists 1 and 2 attached hereto.
(b) 繰延債務Ⅱに対してこの書簡の付表三から十三に掲げる弁済期日からそれぞれ適用される利子率は、年二・七パーセントとする。
(b) The rate of interest on the Rescheduled Debts II will be two point seven per cent (2.7%) per annum beginning respectively from the due dates mentioned in the Lists 3 to 13 attached hereto.
(c) 繰延債務Ⅲに対してこの書簡の付表十四及び十五に掲げる弁済期日からそれぞれ適用される利子率は、年三・四パーセントとする。
(c) The rate of interest on the Rescheduled Debts III will be three point four per cent (3.4%) per annum beginning respectively from the due dates mentioned in the Lists 14 and 15 attached hereto.
(d) 繰延債務Ⅳに対してこの書簡の付表十六及び十七に掲げる弁済期日からそれぞれ適用される利子率は、年三・四パーセントとする。
(d) The rate of interest on the Rescheduled Debts IV will be three point four per cent (3.4%) per annum beginning respectively from the due dates mentioned in the Lists 16 and 17 attached hereto.
６ １から５までの規定にかかわらず、関係債権諸国政府の代表者が、二千一年一月二十三日にパリでパキスタン・イスラム共和国政府の代表者及び関係債権諸国政府の代表者によって署名された合意議事録（以下「合意議事録」という。)に定めるパキスタンの債務の再編成の条件に関する規定が合意議事録の規定に従って無効となると決定した場合には、日本国政府は、この書簡の規定が無効であることをパキスタン・イスラム共和国政府に対し書面により通告することができる。この書簡に述べられた了解は、そのような通告が日本国政府によってなされた場合には、この書簡の交換の日から無効となる。
6. Notwithstanding the provisions of the preceding paragraphs, the Government of Japan may notify in writing the Government of the Islamic Republic of Pakistan that the provisions of this Note are null and void, provided that the representatives of the Governments of the creditor countries concerned determine that the provisions concerning the terms of the reorganization of the Pakistani debts set out in the Agreed Minute signed by the representatives of the Government of the Islamic Republic of Pakistan and of the Governments of the creditor countries concerned in Paris on January 23, 2001 (hereinafter referred to as "the Agreed Minute") become null and void in accordance with the provisions of the Agreed Minute. The understanding contained in this Note shall be null and void from the date of exchange of the present Notes when such notification is made by the Government of Japan.

２(1) 繰り延べられる債務（以下「繰延債務」という。)の総額は、四億七千二十三万八千六百五十四円（四七〇、二三八、六五四円）になる。繰延債務は、パキスタン・イスラム共和国政府が庁に対して負っている二千年十一月三十日以前に弁済期限の到来した未払の元本及び契約上の利子から成る（それらの内訳は、この書簡の付表に掲げられる。)。
2. (1) The total amount of the debts to be rescheduled (hereinafter referred to as "the Rescheduled Debts") will be four hundred seventy million two hundred thirty-eight thousand six hundred and fifty-four yen (470,238,654). The Rescheduled Debts consist of the principal and contractual interest having fallen due on or before November 30, 2000 and not paid, owed by the Government of the Islamic Republic of Pakistan to the Agency, the breakdown of which is shown in the List attached hereto.
(2) (1)にいう総額並びにこの書簡の付表は、パキスタン・イスラム共和国政府の関係当局及び庁が行う最終的照合の後に日本国政府及びパキスタン・イスラム共和国政府の関係当局間の合意により修正されることがある。
(2) Modifications may be made to the total amount referred to in sub-paragraph (1) above and to the List attached hereto by agreement between the authorities concerned of the Government of Japan and of the Government of the Islamic Republic of Pakistan, after the final verification to be made by the authorities concerned of the Government of the Islamic Republic of Pakistan and the Agency.
３ 債務繰延べの条件は、パキスタン・イスラム共和国政府と庁との間で締結される債務繰延契約（以下「債務繰延契約」という。)であって、なかんずく次の原則を含むものにおいて規定される。
3. The terms and conditions of the rescheduling will be stipulated in a rescheduling agreement to be concluded between the Government of the Islamic Republic of Pakistan and the Agency (hereinafter referred to as "the Rescheduling Agreement"), which will contain, inter alia, the following principles:
(1) 繰延債務の総額は、二千十一年十一月一日に始まる二十回の均等半年賦払によって支払われる。
(1) The total amount of the Rescheduled Debts will be paid in twenty (20) equal semi-annual installments beginning on November 1, 2011.
(2) 繰延債務に対して各々の当初の弁済期日の翌日から債務繰延契約の締結の日の前日までの間（両期日を含む。)に適用される利子率は、年九・八五五パーセントとし、また、債務繰延契約の締結の日から適用される利子率は、年三パーセントとする。
(2) The rate of interest on the Rescheduled Debts applied for the period between the next day of each original due date and the previous day of the date of conclusion of the Rescheduling Agreement, both dates inclusive, will be nine point eight five five per cent (9.855%) per annum and the rate of interest applied from the date of conclusion of the Rescheduling Agreement will be three per cent (3%) per annum.
(3) 最初の利子の支払は、二千二年五月一日に行われ、その後に引き続き行われる利子の支払は毎年五月一日及び十一月一日に行われる。
(3) The first payment of interest will be made on May 1, 2002 and the consecutive payments of interest after the first payment will be made on May 1 and November 1, each year.
(4) パキスタン・イスラム共和国政府は、(1)に定める支払計画又は(3)に定める利子の支払計画上の支払が遅延した場合には、未払額から生ずる遅延利子を、年四パーセントの利子率によって支払う。
(4) In case where any payment under the payment schedule set out in sub-paragraph (1) above or the payment schedule of interest set out in sub-paragraph (3) above is retarded, the Government of the Islamic Republic of Pakistan will pay the late interest accruing from the overdue amount at the rate of four per cent (4%) per annum.
(5) 支払われる利子については、パキスタン・イスラム共和国のすべての租税及び課徴金が免除される。
(5) The interest paid will be exempted from all taxes and duties of the Islamic Republic of Pakistan.
４ パキスタン・イスラム共和国政府は、関係債務の決済に伴って生ずる銀行手数料を支払う。
4. The Government of the Islamic Republic of Pakistan will pay bank charges incidental to the settlement of the debts concerned.
５ パキスタン・イスラム共和国政府は、いずれかの第三国の居住者であって債権を有するものに対し債務救済措置について３(1)にいう条件より有利な条件を与えた場合には、当該第三国の居住者であって債権を有するものに与えられる条件より不利でない条件を庁に直ちに与える。
5. If the Government of the Islamic Republic of Pakistan accords to creditors resident in any third country terms and conditions more favourable than those referred to in sub-paragraph (1) of paragraph 3 with regard to debt relief measures, the Government of the Islamic Republic of Pakistan will forthwith accord to the Agency the terms and conditions not less favourable than those accorded to creditors resident in such third country.
６ １から５までの規定にかかわらず、関係債権諸国政府の代表者が、二千一年一月二十三日にパリでパキスタン・イスラム共和国政府の代表者及び関係債権諸国政府の代表者によって署名された合意議事録（以下「合意議事録」という。)に定めるパキスタンの債務の再編成の条件に関する規定が合意議事録の規定に従って無効となると決定した場合には、日本国政府は、この書簡の規定が無効であることをパキスタン・イスラム共和国政府に対し書面により通告することができる。この書簡に述べられた了解は、そのような通告が日本国政府によってなされた場合には、この書簡の交換の日から無効となる。
6. Notwithstanding the provisions of the preceding paragraphs, the Government of Japan may notify in writing the Government of the Islamic Republic of Pakistan that the provisions of this Note are null and void, provided that the representatives of the Governments of the creditor countries concerned determine that the provisions concerning the terms of the reorganization of the Pakistani debts set out in the Agreed Minute signed by the representatives of the Government of the Islamic Republic of Pakistan and of the Governments of the creditor countries concerned in Paris on January 23, 2001 (hereinafter referred to as "the Agreed Minute") become null and void in accordance with the provisions of the Agreed Minute. The understanding contained in this Note shall be null and void from the date of exchange of the present Notes when such notification is made by the Government of Japan.

書簡をもって啓上いたします。本使は、二千一年一月二十二日及び二十三日にパリで開催されたパキスタン・イスラム共和国政府の代表者と関係債権諸国政府の代表者との間の協議において到達した結論に基づき日本国政府の代表者とパキスタン・イスラム共和国政府の代表者との間で行われた最近の交渉に言及する光栄を有します。本使は、更に、当該交渉において到達した次の了解を確認する光栄を有します。
(Japanese Note) Islamabad, October 5, 2001 Excellency, I have the honour to refer to the recent negotiations between the representatives of the Government of Japan and of the Government of the Islamic Republic of Pakistan that were held on the basis of the conclusions reached during the consultations between the representatives of the Government of the Islamic Republic of Pakistan and of the Governments of the creditor countries concerned held in Paris on January 22 and 23, 2001. I have further the honour to confirm the following understanding reached in the course of the said negotiations:
１(1) この取極は、一方においてパキスタン・イスラム共和国の居住者である関係債務者と他方において日本国の居住者である関係債権者（以下「債権者」という。)との間で千九百九十七年九月三十日より前に契約され、日本国政府が保険を引き受け、及び弁済期間が一年を超える過去に繰り延べられなかった商業上の債務の元本及び契約上の利子であって、次に掲げるもの（以下「繰延商業債務」という。)の総額に適用される。
1. (1) The present arrangements will apply to the total amount of the following principal of and contractual interest on the commercial debts with a repayment period of more than one year, contracted before September 30, 1997 between the debtors concerned resident in the Islamic Republic of Pakistan on the one hand and the creditors concerned resident in Japan (hereinafter referred to as "the Creditors") on the other, insured by the Government of Japan and not previously rescheduled (hereinafter referred to as "the Rescheduled Commercial Debts"):
(a) 二千年十一月三十日以前に弁済期限の到来した未払の元本及び契約上の利子。
(a) the principal and contractual interest having fallen due on or before November 30, 2000 and not paid; and
(b) 二千年十二月一日から二千一年九月三十日までの間（両期日を含む。)に弁済期限の到来した未払の元本及び契約上の利子。
(b) the principal and contractual interest having fallen due between December 1, 2000 and September 30, 2001, both dates inclusive, and not paid.
(2) 繰延商業債務の総額は、次のとおり見積もられる。
(2) The total amount of the Rescheduled Commercial Debts is estimated as follows:
(a) (1)(a)にいう債務の総額は、四億六千三百五十六万五千六百九十八円（四六三、五六五、六九八円）と見積もられる。
(a) The total amount of the debts referred to in (a) of sub-paragraph (1) above is estimated at four hundred sixty-three million five hundred sixty-five thousand six hundred and ninety-eight yen (463,565,698).
(b) (1)(b)にいう債務の総額は、五億八千九百五十六万六千九百二円（五八九、五六六、九〇二円）と見積もられる。
(b) The total amount of the debts referred to in (b) of sub-paragraph (1) above is estimated at five hundred eighty-nine million five hundred sixty-six thousand nine hundred and two yen (589,566,902).
(3) (2)にいう総額は、日本国政府及びパキスタン・イスラム共和国政府の関係当局が行う最終的照合の後に両政府の関係当局間の合意により修正されることがある。
(3) Modifications may be made to the total amounts referred to in sub-paragraph (2) above by agreement between the authorities concerned of the Government of Japan and of the Government of the Islamic Republic of Pakistan, after the final verification to be made by the authorities concerned of the two Governments.
２(1) パキスタン・イスラム共和国政府は、パキスタン・イスラム共和国中央銀行を通じて、繰延商業債務を決済するため(4)に定める支払計画（以下「支払計画」という。)に従って行われる支払の額及び日付を日本国政府に通告する。
2. (1) The Government of the Islamic Republic of Pakistan will notify the Government of Japan, through the Central Bank of the Islamic Republic of Pakistan, of the amount and the dates of payments which will be made in order to settle the Rescheduled Commercial Debts in accordance with the payment scheme as set out in sub-paragraph (4) below (hereinafter referred to as "the Payment Scheme").
(2) パキスタン・イスラム共和国政府は、繰延商業債務の総額を支払計画に従いパキスタン・イスラム共和国中央銀行を通じて関係契約において指定された通貨により債権者に支払う。
(2) The Government of the Islamic Republic of Pakistan will pay the total amount of the Rescheduled Commercial Debts to the Creditors in the currency designated in the contracts concerned through the Central Bank of the Islamic Republic of Pakistan in accordance with the Payment Scheme.
(3) 日本国政府は、商業上の関係債務が支払計画に従って行われる支払により決済されることを容易にするため、日本国において施行されている関係法令の範囲内で可能な措置をとる。
(3) The Government of Japan will take possible measures, within the scope of the relevant laws and regulations in force in Japan, to facilitate the settlement of the commercial debts concerned by the payment to be made in accordance with the Payment Scheme.
(4) 繰延商業債務は、この書簡の附属書一に掲げる支払計画に従って二千四年十一月一日に始まる三十回の半年賦払によって支払われる。
(4) The Rescheduled Commercial Debts will be paid in thirty (30) semi-annual installments beginning on November 1, 2004 in accordance with the payment schedule shown in the Annex I attached to this Note.
３(1) パキスタン・イスラム共和国政府は、商業上の関係債務の各々について、当該債務が決済されていない限り、(3)に定めるところにより算定される利子を毎年五月一日及び十一月一日に債権者に支払う。最初の利子の支払は、二千二年五月一日に行われる。
3. (1) The Government of the Islamic Republic of Pakistan will pay to the Creditors, on May 1 and November 1 each year, interest to be calculated as described in sub-paragraph (3) below on each of the commercial debts concerned to the extent that they have not been settled. The first payment of the interest will be made on May 1, 2002.
(2)(a) 繰延商業債務に対して各々の当初の弁済期日から適用される利子率は、適用可能な日本円長期最優遇貸出金利（以下「最優遇金利」という。)に年一パーセントを加えたものとする。
(2) (a) The rate of interest on the Rescheduled Commercial Debts applied from each original due date will be one per cent (1%) per annum above the applicable Japanese yen long-term prime lending rate (hereinafter referred to as "the prime rate").
(b)(i) 毎年五月一日及び十一月一日を以下「基準日」という。基準日から次の基準日の前日までの間（両期日を含む。)を以下「金利特定期間」という。
(b) (i) The dates May 1 and November 1 each year are hereinafter referred to as "the base dates". The period between a base date and the day immediately preceding the next base date, both dates inclusive, is hereinafter referred to as "the rate fixation period".
(ii) 金利特定期間の一についての適用可能な最優遇金利とは、この書簡の中で用いるときはいつでも、金利特定期間の最初の取引日に日本国の銀行により適用されるものを意味する。
(ii) The applicable prime rate with respect to a particular rate fixation period means, whenever used in this Note, the rate applied as such by banks of Japan on the first business day in the rate fixation period.
(iii) 各最優遇金利は、関係債務が決済されていない限り、対応する金利特定期間においてのみ適用可能である。
(iii) Each prime rate is applicable only during the corresponding rate fixation period, insofar as the debt concerned remains unsettled.
(3)(a) 金利特定期間の一について支払われる利子の額は、未決済の債務の額に当該金利特定期間において債務が決済されないままに経過した日数及び一日当たりの適用可能な利子率を乗じて算定される。一日当たりの適用可能な利子率は、(2)(a)にいう利子率を三百六十五で除して算定される。前記の算定方法を算式で表したものが、この書簡の附属書二に掲げられる。
(3) (a) The amount of interest to be paid with respect to a particular rate fixation period will be calculated by multiplying the amount of the debt unsettled by the product of the number of the days the debt has not been settled in the said rate fixation period and the applicable daily interest rate. The applicable daily interest rate is calculated by dividing the rate of interest referred to in (a) of sub-paragraph (2) above by three hundred and sixty-five (365). The illustration in the form of numerical formula of the method of calculation mentioned above is shown in the Annex II attached to this Note.
(b) 関係債務が一の金利特定期間を超えて未決済である場合には、支払われる利子の額は、関係する金利特定期間の各々について算定された利子の額の合計とする。
(b) In case where the debt concerned has remained unsettled beyond one rate fixation period, the amount of interest to be paid will be the total of the amount of interest calculated with respect to each of the rate fixation periods concerned.
(4) パキスタン・イスラム共和国政府は、支払計画又は(1)に定める利子の支払計画に基づくいずれかの支払が遅延した場合には、未払額から生ずる遅延利子を、(2)(a)にいう利子率に年一パーセントを加えた率によって支払う。
(4) In case where any payment under the Payment Scheme or the payment schedule of interest as set out in sub-paragraph (1) above is retarded, the Government of the Islamic Republic of Pakistan will pay the late interest accruing from the overdue amount at the rate of one per cent (1%) per annum above the rate of interest referred to in (a) of sub-paragraph (2) above.
４ 支払われる利子については、パキスタン・イスラム共和国のすべての租税及び課徴金が免除される。
4. The interest paid will be exempted from all taxes and duties of the Islamic Republic of Pakistan.
５ パキスタン・イスラム共和国政府は、商業上の関係債務の決済に伴って生ずる銀行手数料を支払う。

６ 関係契約の条件のうちこの書簡において特に言及されていないものは、関係契約の当事者間で別段の合意がある場合を除くほか、引き続き適用されることが確認される。
6. It is confirmed that the terms and conditions of the contracts concerned not specifically referred to in this Note will remain applicable, unless otherwise agreed upon by the parties to the contracts concerned.
７ パキスタン・イスラム共和国政府は、いずれかの第三国の居住者であって債権を有するものに対し債務救済措置について２(4)にいう条件より有利な条件を与えた場合には、当該第三国の居住者であって債権を有するものに与えられる条件より不利でない条件を債権者に直ちに与える。
7. If the Government of the Islamic Republic of Pakistan accords to creditors resident in any third country terms and conditions more favourable than those referred to in sub-paragraph (4) of paragraph 2 with regard to debt relief measures, the Government of the Islamic Republic of Pakistan will forthwith accord to the Creditors the terms and conditions not less favourable than those accorded to creditors resident in such third country.
８ １から７までの規定にかかわらず、関係債権諸国政府の代表者が、二千一年一月二十三日にパリでパキスタン・イスラム共和国政府の代表者及び関係債権諸国政府の代表者によって署名された合意議事録（以下「合意議事録」という。)に定めるパキスタンの債務の再編成の条件に関する規定が合意議事録の規定に従って無効となると決定した場合には、日本国政府は、この書簡の規定が無効であることをパキスタン・イスラム共和国政府に対し書面により通告することができる。この書簡に述べられた了解は、そのような通告が日本国政府によってなされた場合には、この書簡の交換の日から無効となる。
8. Notwithstanding the provisions of the preceding paragraphs, the Government of Japan may notify in writing the Government of the Islamic Republic of Pakistan that the provisions of this Note are null and void, provided that the representatives of the Governments of the creditor countries concerned determine that the provisions concerning the terms of the reorganization of the Pakistani debts set out in the Agreed Minute signed by the representatives of the Government of the Islamic Republic of Pakistan and of the Governments of the creditor countries concerned in Paris on January 23, 2001 (hereinafter referred to as "the Agreed Minute") become null and void in accordance with the provisions of the Agreed Minute. The understanding contained in this Note shall be null and void from the date of exchange of the present Notes when such notification is made by the Government of Japan.
