    書簡をもって啓上いたします。本使は、ラオス人民民主共和国の経済の安定及び開発努力を促進すること並びに大メコン圏の経済の繁栄に貢献することを目的として供与される日本国の借款に関して、日本国政府の代表者とラオス人民民主共和国政府の代表者との間で最近到達した次の了解を確認する光栄を有します。

							

						

						

							

								
Excellency,

	I have the honour to confirm the following understanding recently reached between the representatives of the Government of Japan and of the Government of the Lao People's Democratic Republic concerning a Japanese loan to be extended with a view to promoting the economic stabilization and development efforts of the Lao People's Democratic Republic and contributing to the economic prosperity in the Greater Mekong Subregion:

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
  １　四十億千百万円（四、〇一一、〇〇〇、〇〇〇円）の額までの円貨による借款（以下「借款」という。)が、第二メコン国際橋架橋計画（以下「計画」という。)を実施するため、国際協力銀行（以下「銀行」という。)により、日本国の関係法令に従って、ラオス人民民主共和国政府に供与されることになる。

							

						

						

							

								
1.	A loan in Japanese yen up to the amount of four billion and eleven million yen (4,011,000,000) (hereinafter referred to as "the Loan") will be extended, in accordance with the relevant laws and regulations of Japan, to the Government of the Lao People's Democratic Republic by Japan Bank for International Cooperation (hereinafter referred to as "the Bank") to implement the Second Mekong International Bridge Construction Project (hereinafter referred to as "the Project").

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
  ２(1)　借款は、ラオス人民民主共和国政府と銀行との間で締結される借款契約に基づいて使用に供される。借款の条件及び使用に関する手続は、なかんずく次の原則を含むことになる前記の借款契約によって規制される。

							

						

						

							

								
2.	(1)	The Loan will be made available by a loan agreement to be concluded between the Government of the Lao People's Democratic Republic and the Bank.  The terms and conditions of the Loan as well as the procedures for its utilization will be governed by the said loan agreement which will contain, inter alia, the following principles:

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
      (a)(i)　償還期間は、十年の据置期間の後二十年とする。

							

						

						

							

								
(a)	(i)	The repayment period will be twenty (20) years after the grace period of ten (10) years;

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
        (ii)　利子率は、年一パーセントとする。

							

						

						

							

								
(ii) The rate of interest will be one per cent (1%) per annum; 

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
      (b)　ただし、(a)にもかかわらず、借款の一部が計画のコンサルタントに対して行う支払のために使用される場合には、

							

						

						

							

								
(b) Notwithstanding sub-paragraph (a) above, where a part of the Loan is made available to cover payments to the consultants of the Project, then:

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
        (i)　当該部分に係る償還期間は、十年の据置期間の後三十年とする。

							

						

						

							

								
(i) the repayment period of the said part will be thirty (30) years after the grace period of ten (10) years;

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
        (ii)　当該部分に係る利子率は、年〇・七五パーセントとする。

							

						

						

							

								
(ii) the rate of interest of the said part will be seventy-five-hundredths per cent (0.75%) per annum; and

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
      (c)　支出期間は、借款契約の発効の日から六年とする。

							

						

						

							

								
(c) The disbursement period will be six (6) years from the date of coming into force of the loan agreement.

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
    (2)  (1)にいう借款契約は、銀行が当該借款契約に係る計画の実行可能性（環境に対する配慮を含む。)を確認した後に締結される。

							

						

						

							

								
	(2)	The loan agreement mentioned in sub-paragraph (1) above will be concluded after the Bank is satisfied of the feasibility, including environmental consideration, of the Project to which such loan agreement relates.

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
    (3)  (1)(c)にいう支出期間は、両政府の関係当局の同意を得て延長することができる。

							

						

						

							

								
	(3)	The disbursement period mentioned in sub-paragraph (1)(c) above may be extended with the consent of the authorities concerned of the two Governments.

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
  ３(1)　借款は、ラオスの実施機関が調達適格国の供給者、請負業者又はコンサルタントに対して行う支払で、計画の実施に必要な生産物又は役務の購入のために両者の間で締結されることのある契約に基づいて行われるものを対象として使用に供される。ただし、当該購入は、調達適格国において、それらの国で生産される生産物又はそれらの国から供給される役務について行われる。

							

						

						

							

								
3.	(1)	The Loan will be made available to cover payments to be made by the Lao executing agency to suppliers, contractors and/or consultants of eligible source countries under such contracts as may be entered into between them for purchases of products and/or services required for the implementation of the Project, provided that such purchases are made in such eligible source countries for products produced in and/or services supplied from those countries.

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
    (2)  (1)にいう調達適格国の範囲は、両政府の関係当局間で合意される。

							

						

						

							

								
	(2)	The scope of eligible source countries mentioned in sub-paragraph (1) above will be agreed upon between the authorities concerned of the two Governments.

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
    (3)　借款の一部は、計画の実施のための適格な現地通貨の需要に充てるために使用することができる。

							

						

						

							

								
	(3)	A part of the Loan may be used to cover eligible local currency requirements for the implementation of the Project.

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
  ４　ラオス人民民主共和国政府は、３(1)にいう生産物又は役務が銀行の調達のためのガイドライン（国際入札の手続が適用できないか又は適当でない場合を除くほか従うべき国際入札の手続をなかんずく定める。）に従って調達されることを確保する。

							

						

						

							

								
4.	The Government of the Lao People's Democratic Republic will ensure that the products and/or services mentioned in sub-paragraph (1) of paragraph 3 are procured in accordance with the guidelines for procurement of the Bank, which set forth, inter alia, the procedures of international tendering to be followed except where such procedures are inapplicable or inappropriate.

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
  ５　３(1)にいう生産物又は役務の供給に関連してラオス人民民主共和国においてその役務が必要とされる日本国民は、作業の遂行のためラオス人民民主共和国への入国及び同国における滞在に必要な便宜を与えられる。

							

						

						

							

								
5.	Japanese nationals whose services may be required in the Lao People's Democratic Republic in connection with the supply of the products and/or services mentioned in sub-paragraph (1) of paragraph 3 will be accorded such facilities as may be necessary for their entry into the Lao People's Democratic Republic and stay therein for the performance of their work.

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
  ６　ラオス人民民主共和国政府は、借款に基づいて購入される生産物の海上輸送及び海上保険に関し、海運会社及び海上保険会社の間の公正かつ自由な競争を妨げることのあるいかなる制限も課さない。

							

						

						

							

								
6.	With regard to the shipping and marine insurance of the products purchased under the Loan, the Government of the Lao People's Democratic Republic will refrain from imposing any restrictions that may hinder fair and free competition among the shipping and marine insurance companies.

(a) the Bank from all fiscal levies and taxes imposed in the Lao People's Democratic Republic on and/or in connection with the Loan as well as interest accruing therefrom;

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
    (b)　供給者、請負業者又はコンサルタントとして活動する日本国の会社について、借款に基づいて行われる生産物又は役務の供給から生ずる所得に対してラオス人民民主共和国において課されるすべての財政課徴金及び租税

							

						

						

							

								
(b) Japanese companies operating as suppliers, contractors and/or consultants from all fiscal levies and taxes imposed in the Lao People's Democratic Republic on the income accruing from the supply of products and/or services to be provided under the Loan;

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
    (c)　請負業者又はコンサルタントとして活動する日本国の会社について、計画の実施に必要な自己の資材及び設備の輸入及び再輸出に関してラオス人民民主共和国において課されるすべての関税及び関連の財政課徴金

							

						

						

							

								
(c) Japanese companies operating as contractors and/or consultants from all duties and related fiscal charges imposed in the Lao People's Democratic Republic with respect to the import and re-export of their own materials and equipment needed for the implementation of the Project; and

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
    (d)　計画の実施に従事する日本国民である被用者について、供給者、請負業者又はコンサルタントとして活動する日本国の会社から取得する個人所得に対してラオス人民民主共和国において課されるすべての財政課徴金及び租税

							

						

						

							

								
(d) Japanese employees engaged in the implementation of the Project from all fiscal levies and taxes imposed in the Lao People's Democratic Republic on their personal income derived from Japanese companies operating as suppliers, contractors and/or consultants.

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
  ８　計画の主たる目的は、メコン河を横切ってラオス人民民主共和国とタイ王国との間に橋梁を建設することである。この目的のため、ラオス人民民主共和国政府は、タイ王国政府と共同して橋梁及び関連施設の建設を実施する。

							

						

						

							

								
8.	The main purpose of the Project is to construct a bridge between the Lao People's Democratic Republic and the Kingdom of Thailand across the Mekong river.  For this purpose, the Government of the Lao People's Democratic Republic will undertake jointly the construction of the bridge and related facilities with the Government of the Kingdom of Thailand.

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
  ９　ラオス人民民主共和国政府は、二千一年三月十八日にムクダハンでラオス人民民主共和国政府とタイ王国政府との間で署名された取極において設定された橋梁の所有権の境界線を変更しようとするときには、日本国政府に対し、その意思を通知する。

							

						

						

							

								
9.	The Government of the Lao People's Democratic Republic will inform the Government of Japan of its intention when the Government of the Lao People's Democratic Republic intends to modify the boundary line of ownership of the bridge established in the agreement between the Government of the Lao People's Democratic Republic and the Government of the Kingdom of Thailand signed at Mukdahan, on March 18, 2001.

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
  10(1)  ラオス人民民主共和国政府は、次のことを確保するために必要な措置をとる。

							

						

						

							

								
10.	(1) 	The Government of the Lao People's Democratic Republic will take necessary measures to ensure that:

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
      (a)　借款が適正にかつ効果的に計画のために使用されること。

							

						

						

							

								
(a) the Loan be used properly and effectively for the Project; and

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
      (b)　借款に基づいて建設され又は９にいう所有権の境界線のラオス側に位置する施設がこの了解に定める目的のために適正にかつ効果的に維持され及び使用されること。

							

						

						

							

								
(b) the facilities constructed under the Loan and/or situated on the Lao side of the line of ownership mentioned in paragraph 9 be maintained and used properly and effectively for the purposes prescribed in this understanding.

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
    (2)　ラオス人民民主共和国政府は、借款に基づいて建設されかつ９にいう所有権の境界線のタイ側に位置する橋梁及び関連施設がこの了解に定める目的のために適正にかつ効果的に維持され及び使用されることを確保することにおいてタイ王国政府と協力する。

							

						

						

							

								
	(2)	The Government of the Lao People's Democratic Republic will cooperate with the Government of the Kingdom of Thailand in ensuring that the bridge and related facilities constructed under the Loan and situated on the Thai side of the line of ownership mentioned in paragraph 9 be maintained and used properly and effectively for the purposes prescribed in this understanding.

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
  11(1)　ラオス人民民主共和国政府は、要請に応じ、日本国政府及び銀行に対し、計画の実施の進捗状況に関する情報及び資料を提供する。

							

						

						

							

								
11.	(1)	The Government of the Lao People's Democratic Republic will, upon request, furnish the Government of Japan and the Bank with information and data concerning the progress of the implementation of the Project.

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
    (2)　日本国政府及びラオス人民民主共和国政府は、共同して借款の実施の進捗状況を毎年及び必要に応じ随時検討し、その円滑かつ効果的な使用を確保するため、必要に応じ適当な措置をとる。銀行は、その検討に参加するよう招かれることがある。

							

						

						

							

								
	(2)	The Government of Japan and the Government of the Lao People's Democratic Republic will jointly review annually, and from time to time, if necessary, the progress of the implementation of the Loan and take appropriate measures, if necessary, to secure its smooth and effective utilization.   12  日本国政府及びラオス人民民主共和国政府は、前記の了解から又はそれに関連して生ずることのあるいかなる事項についても相互に協議する。

							

						

						

							

								
12.
