書簡をもって啓上いたします。本使は、二千年十一月十五日にパリで開催されたケニア共和国政府の代表者と関係債権諸国政府の代表者との間の協議において到達した結論に基づき日本国政府の代表者とケニア共和国政府の代表者との間で行われた最近の交渉に言及する光栄を有します。本使は、更に、当該交渉において到達した次の了解を確認する光栄を有します。
Excellency, I have the honour to refer to the recent negotiations between the representatives of the Government of Japan and of the Government of the Republic of Kenya that were held on the basis of the conclusions reached during the consultations between the representatives of the Government of the Republic of Kenya and of the Governments of the creditor countries concerned held in Paris on November 15, 2000. I have further the honour to confirm the following understanding reached in the course of the said negotiations:
１ 債務繰延方式による債務救済措置が、国際協力銀行又は場合に応じ、国際協力銀行及び関係民間銀行（以下「銀行」という。)により、日本国の関係法令に従ってとられることになる。
1. A debt relief measure in the form of rescheduling will be taken in accordance with the relevant laws and regulations of Japan by Japan Bank for International Cooperation together, where relevant, with private banks concerned (hereinafter referred to as "the Banks").
２ 繰り延べられる債務は、ケニア共和国政府、ケニア放送公社（以下「ＫＢＣ」という。)、タナ・アティ河開発公社（以下「ＴＡＲＤＡ」という。)、東アフリカ・ポートランド・セメント会社（以下「ＥＡＰＣ」という。)又はケニア・パイプライン会社（以下「ＫＰＣＬ」という。)が銀行に対して負う次の(1)及び(2)にいう債務から成る。
2. The debts to be rescheduled consist of the debts referred to in sub-paragraphs (1) and (2) below which the Government of the Republic of Kenya, Kenya Broadcasting Corporation (hereinafter referred to as "KBC"), the Tana and Athi Rivers Development Authority (hereinafter referred to as "the TARDA"), the East African Portland Cement Company Limited (hereinafter referred to as "the EAPC")or the Kenya Pipeline Company Limited (hereinafter referred to as "the KPCL") owes to the Banks.
(1) 円借款の供与に関して一方においてケニア共和国政府、ＫＢＣ、ＴＡＲＤＡ又はＥＡＰＣと他方において海外経済協力基金（以下「基金」という。)との間で千九百九十一年十二月三十一日より前に締結された借款契約に基づいて支払われるべき債務（以下「繰延債務Ⅰ」という。)につき、二千年七月一日から二千一年六月三十日までの間（両期日を含む。)に弁済期限の到来した未払の元本及び契約上の利子（それらの内訳は、この書簡の付表一に掲げられる。)。
(1) For the debts payable under the Loan Agreements concluded before December 31, 1991 between the Government of the Republic of Kenya, KBC, the TARDA or the EAPC on the one hand and the Overseas Economic Cooperation Fund (hereinafter referred to as "the Fund") on the other on the extension of Yen Loan (hereinafter referred to as "the Rescheduled Debts I"), the principal and contractual interest having fallen due between July 1, 2000 and June 30, 2001, both dates inclusive, and not paid, the breakdown of which is shown in the List 1 attached hereto.
(2) バイヤーズ・クレジットの供与に関して一方においてＫＰＣＬと他方において日本輸出入銀行（以下「輸銀」という。)及び関係民間銀行との間で千九百九十一年十二月三十一日より前に締結された借款契約に基づいて支払われるべき債務（以下「繰延債務Ⅱ」という。)につき、二千年七月一日から二千一年六月三十日までの間（両期日を含む。)に弁済期限の到来した未払の元本及び契約上の利子（それらの内訳は、この書簡の付表二に掲げられる。)。
(2) For the debts payable under the Loan Agreements concluded before December 31, 1991 between the KPCL on the one hand and the Export-Import Bank of Japan (hereinafter referred to as "the JEXIM") and private banks concerned on the other on the extension of Buyer's Credit (hereinafter referred to as "the Rescheduled Debts II"), the principal and contractual interest having fallen due between July 1, 2000 and June 30, 2001, both dates inclusive, and not paid, the breakdown of which is shown in the List 2 attached hereto.
３(1) 繰延債務Ⅰの総額は、八十億七千四百二十一万九千六円（八、〇七四、二一九、〇〇六円）となる。
3. (1) The total amount of the Rescheduled Debts I will be eight billion seventy-four million two hundred nineteen thousand and six yen (8,074,219,006).
(2) 繰延債務Ⅱの総額は、四億六百六十九万九千百四十三円（四〇六、六九九、一四三円）となる。
(2) The total amount of the Rescheduled Debts II will be four hundred six million six hundred ninety-nine thousand one hundred and forty-three yen (406,699,143).
４ ３(1)及び(2)にいう総額並びにこの書簡の付表一及び二は、一方においてケニア共和国政府の関係当局、ＫＢＣ、ＴＡＲＤＡ、ＥＡＰＣ又はＫＰＣＬ及び他方において銀行が行う最終的照合の後に日本国政府及びケニア共和国政府の関係当局間の合意により修正されることがある。
4. Modifications may be made to the total amount referred to in sub-paragraphs (1) and (2) of paragraph 3 and to the Lists 1 and 2 attached hereto by agreement between the authorities concerned of the Government of Japan and of the Government of the Republic of Kenya, after the final verification to be made by the authorities concerned of the Government of the Republic of Kenya, KBC, the TARDA, the EAPC or the KPCL on the one hand and the Banks on the other.
５ 債務繰延べの条件は、一方においてケニア共和国政府、ＫＢＣ、ＴＡＲＤＡ、ＥＡＰＣ又はＫＰＣＬと他方において銀行との間で締結される債務繰延契約であって、なかんずく次の原則を含むものにおいて規定される。
5. The terms and conditions of the rescheduling will be stipulated in rescheduling agreements to be concluded between the Government of the Republic of Kenya, KBC, the TARDA, the EAPC or the KPCL on the one hand and the Banks on the other, which will contain, inter alia, the following principles:
(1)(a) 繰延債務Ⅰの総額は、二千十一年六月三十日に始まる二十回の均等半年賦払によって支払われる。
(1) (a) The total amount of the Rescheduled Debts I will be paid in twenty (20) equal semi-annual installments beginning on June 30, 2011.
(b) 繰延債務Ⅱの総額は、この書簡の附属書に掲げる支払計画に従って二千四年六月三十日に始まる三十回の半年賦払によって支払われる。
(b) The total amount of the Rescheduled Debts II will be paid in thirty (30) semi-annual installments beginning on June 30, 2004 in accordance with the payment schedule shown in the Annex attached to this Note.
(2)(a) 繰延債務Ⅰに対してこの書簡の付表一にいう各々の弁済期日からそれぞれ適用される利子率は、年一・八パーセントとする。
(2) (a) The rate of interest on the Rescheduled Debts I will be one point eight per cent (1.8%) per annum beginning respectively from each due date mentioned in the List 1 attached hereto.
(b) 繰延債務Ⅱに対してこの書簡の付表二にいう各々の弁済期日からそれぞれ適用される利子率は、年五・七パーセントとする。
(b) The rate of interest on the Rescheduled Debts II will be five point seven per cent (5.7%) per annum beginning respectively from each due date mentioned in the List 2 attached hereto.
本使は、貴官が前記の了解をケニア共和国政府に代わって確認されれば幸いであります。

１ 債務繰延方式による債務救済措置が、日本国食糧庁（以下「庁」という。)により、日本国の関係法令に従ってとられることになる。
1. A debt relief measure in the form of rescheduling will be taken in accordance with the relevant laws and regulations of Japan by the Food Agency of Japan (hereinafter referred to as "the Agency").
２(1) 繰り延べられる債務（以下「繰延債務」という。)の総額は、一億千八百七十三万八千二百十四円（一一八、七三八、二一四円）となる。繰延債務は、ケニア共和国政府が庁に対して負っている次の債務から成る。
2. (1) The total amount of the debts to be rescheduled (hereinafter referred to as "the Rescheduled Debts") will be one hundred eighteen million seven hundred thirty-eight thousand two hundred and fourteen yen (118,738,214). The Rescheduled Debts consist of the following debts owed by the Government of the Republic of Kenya to the Agency.
(a) 二千年六月三十日以前に弁済期限の到来した未払の元本及び契約上の利子（それらの内訳は、この書簡の付表一に掲げられる。)。
(a) the principal and contractual interest having fallen due on or before June 30, 2000 and not paid, the breakdown of which is shown in the List 1 attached hereto; and
(b) 二千年七月一日から二千一年六月三十日までの間（両期日を含む。)に弁済期限の到来した未払の元本及び契約上の利子（それらの内訳は、この書簡の付表二に掲げられる。)。
(b) the principal and contractual interest having fallen due between July 1, 2000 and June 30, 2001, both dates inclusive, and not paid, the breakdown of which is shown in the List 2 attached hereto.
(2) (1)にいう総額並びにこの書簡の付表一及び二は、ケニア共和国政府の関係当局及び庁が行う最終的照合の後に日本国政府及びケニア共和国政府の関係当局間の合意により修正されることがある。
(2) Modifications may be made to the total amount referred to in sub-paragraph (1) above and to the Lists 1 and 2 attached hereto by agreement between the authorities concerned of the Government of Japan and of the Government of the Republic of Kenya, after the final verification to be made by the authorities concerned of the Government of the Republic of Kenya and the Agency.
３ 債務繰延べの条件は、ケニア共和国政府と庁との間で締結される債務繰延契約（以下「債務繰延契約」という。)であって、なかんずく次の原則を含むものにおいて規定される。
3. The terms and conditions of the rescheduling will be stipulated in a rescheduling agreement to be concluded between the Government of the Republic of Kenya and the Agency (hereinafter referred to as "the Rescheduling Agreement"), which will contain, inter alia, the following principles:
(1) 繰延債務の総額は、二千十一年六月三十日に始まる二十回の均等半年賦払によって支払われる。
(1) The total amount of the Rescheduled Debts will be paid in twenty (20) equal semi-annual installments beginning on June 30, 2011.
(2) 繰延債務に対して各々の当初の弁済期日の翌日から債務繰延契約の締結の日の前日までの間（両期日を含む。)に適用される利子率は、年九・八五五パーセントとし、また、債務繰延契約の締結の日から適用される利子率は、年三パーセントとする。
(2) The rate of interest on the Rescheduled Debts applied between the next day of each original due date and the previous day of the date of conclusion of the Rescheduling Agreement, both dates inclusive, will be nine point eight five five per cent (9.855%) per annum and the rate of interest applied from the date of conclusion of the Rescheduling Agreement will be three per cent (3%) per annum.
(3) 最初の利子の支払は、二千一年十二月三十一日に行われ、また、最初の支払の後に引き続き行われる利子の支払は、毎年六月三十日及び十二月三十一日に行われる。
(3) The first payment of interest will be made on December 31, 2001 and the consecutive payments of interest after the first payment will be made on June 30 and December 31, each year.
(4) ケニア共和国政府は、(1)に定める支払計画又は(3)に定める利子の支払計画に基づくいずれかの支払が遅延した場合には、未払額から生ずる遅延利子を年四パーセントの率によって支払う。
(4) In case where any payment under the payment schedule set out in sub-paragraph (1) above or the payment schedule of interest set out in sub-paragraph (3) above is retarded, the Government of the Republic of Kenya will pay the late interest accruing from the overdue amount at the rate of four per cent (4%) per annum.
(5) 支払われる利子については、ケニア共和国のすべての租税及び課徴金が免除される。
(5) The interest paid will be exempted from all taxes and duties of the Republic of Kenya.
４ ケニア共和国政府は、関係債務の決済に伴って生ずる銀行手数料を支払う。
4. The Government of the Republic of Kenya will pay bank charges incidental to the settlement of the debts concerned.
５ ケニア共和国政府は、いずれかの第三国の居住者であって債権を有するものに対し債務救済措置について３(1)にいう条件より有利な条件を与えた場合には、当該第三国の居住者であって債権を有するものに与えられる条件より不利でない条件を庁に直ちに与える。
5. If the Government of the Republic of Kenya accords to creditors resident in any third country terms and conditions more favourable than those referred to in sub-paragraph (1) of paragraph 3 with regard to debt relief measures, the Government of the Republic of Kenya will forthwith accord to the Agency the terms and conditions not less favourable than those accorded to creditors resident in such third country.

れ、ケニア共和国政府又はケニア共和国の公共部門により支払が保証されたものであって、日本国政府が保険を引き受けた弁済期間が一年を越える商業上の債務の二千年七月一日から二千一年六月三十日までの間（両期日を含む。)に弁済期限の到来した未払の元本及び契約上の利子（以下「繰延商業債務」という。)の総額に適用される。
1. (1) The present arrangements will apply to the total amount of the principal and the contractual interest having fallen due between July 1, 2000 and June 30, 2001, both dates inclusive, and not paid, of the commercial debts with a repayment period of more than one year insured by the Government of Japan, which were contracted before December 31, 1991 between the debtors concerned resident in the Republic of Kenya on the one hand and the creditors concerned resident in Japan (hereinafter referred to as "the Creditors") on the other, and which were covered by the guarantee of the Government of the Republic of Kenya or its public sector (hereinafter referred to as "the Rescheduled Commercial Debts").
(2) 繰延商業債務の総額は、二億五千七百二十四万八千四十円（二五七、二四八、〇四〇円）と見積もられる。
(2) The total amount of the Rescheduled Commercial Debts is estimated at two hundred fifty-seven million two hundred forty-eight thousand and forty yen (257,248,040).
(3) (2)にいう総額は、日本国政府及びケニア共和国政府の関係当局が行う最終的照合の後に両政府の関係当局間の合意により修正されることがある。
(3) Modifications may be made to the total amount referred to in sub-paragraph (2) above by agreement between the authorities concerned of the Government of Japan and of the Government of the Republic of Kenya, after the final verification to be made by the authorities concerned of the two Governments.
２(1) ケニア共和国政府は、ケニア共和国中央銀行を通じて、繰延商業債務を決済するため(4)に定める支払計画（以下「支払計画」という。)に従って行われる支払の額及び日付を日本国政府に通告する。
2. (1) The Government of the Republic of Kenya will notify the Government of Japan, through the Central Bank of the Republic of Kenya, of the amount and the dates of payments which will be made in order to settle the Rescheduled Commercial Debts in accordance with the payment scheme as set out in sub-paragraph (4) below (hereinafter referred to as "the Payment Scheme").
(2) ケニア共和国政府は、繰延商業債務の総額を支払計画に従いケニア共和国中央銀行を通じて関係契約において指定された通貨により債権者に支払う。
(2) The Government of the Republic of Kenya will pay the total amount of the Rescheduled Commercial Debts to the Creditors in the currency designated in the contracts concerned through the Central Bank of the Republic of Kenya in accordance with the Payment Scheme.
(3) 日本国政府は、商業上の関係債務が支払計画に従って行われる支払により決済されることを容易にするため、日本国において施行されている関係法令の範囲内で可能な措置をとる。
(3) The Government of Japan will take possible measures, within the scope of the relevant laws and regulations in force in Japan, to facilitate the settlement of the commercial debts concerned by the payment to be made in accordance with the Payment Scheme.
(4) 繰延商業債務は、この書簡の附属書一に掲げる支払計画に従って二千四年六月三十日に始まる三十回の半年賦払によって支払われる。
(4) The Rescheduled Commercial Debts will be paid in thirty (30) semi-annual installments beginning on June 30, 2004 in accordance with the payment schedule shown in the Annex I attached to this Note.
３(1) ケニア共和国政府は、商業上の関係債務の各々について、当該債務が決済されていない限り、(3)に定めるところにより算定される利子を毎年六月三十日及び十二月三十一日に債権者に支払う。最初の利子の支払は、二千一年十二月三十一日に行われる。
3. (1) The Government of the Republic of Kenya will pay to the Creditors, on June 30 and December 31 each year, interest to be calculated as described in sub-paragraph (3) below on each of the commercial debts concerned to the extent that they have not been settled. The first payment of the interest will be made on December 31, 2001.
(2)(a) 繰延商業債務に対して各々の当初の弁済期日からこの書簡の交換の日の前日までの間（両期日を含む。)に適用される利子率は、関係契約において定められた遅延利子の率とする。
(2) (a) The rate of interest on the Rescheduled Commercial Debts applied between each original due date and the day previous to the date of exchange of the present Notes, both dates inclusive, will be the rate of late interest provided for in the contracts concerned.
(b) 繰延商業債務に対してこの書簡の交換の日から適用される利子率は、年六・一五パーセントとする。
(b) The rate of interest on the Rescheduled Commercial Debts applied from the date of exchange of the present Notes will be six point one five per cent (6.15%) per annum.
(3) 支払われる利子の額は、未決済の債務の額に債務が決済されないままに経過した日数及び一日当たりの利子率を乗じて算定される。一日当たりの利子率は、(2)にいう利子率を三百六十五で除して算定される。前記の算定方法を算式で表したものが、この書簡の附属書二に掲げられる。
(3) The amount of interest to be paid will be calculated by multiplying the amount of the debt unsettled by the product of the number of the days the debt has not been settled and the daily interest rate. The daily interest rate is calculated by dividing the rate of interest referred to in sub-paragraph (2) above by three hundred and sixty-five (365). The illustration in the form of numerical formula of the method of calculation mentioned above is shown in the Annex II attached to this Note.
(4) ケニア共和国政府は、支払計画又は(1)に定める利子の支払計画に基づくいずれかの支払が遅延した場合には、未払額から生ずる遅延利子を年七・一五パーセントの率によって支払う。
(4) In case where any payment under the Payment Scheme or the payment schedule of interest as set out in sub-paragraph (1) above is retarded, the Government of the Republic of Kenya will pay the late interest accruing from the overdue amount at the rate of seven point one five per cent (7.15%) per annum.
４ 支払われる利子については、ケニア共和国のすべての租税及び課徴金が免除される。
4. The interest paid will be exempted from all taxes and duties of the Republic of Kenya.
５ ケニア共和国政府は、商業上の関係債務の決済に伴って生ずる銀行手数料を支払う。
5. The Government of the Republic of Kenya will pay bank charges incidential to the settlement of the commercial debts concerned.
６ 関係契約の条件のうちこの書簡において特に言及されていないものは、関係契約の当事者間で別段の合意がある場合を除くほか、引き続き適用されることが確認される。
6. It is confirmed that the terms and conditions of the contracts concerned not specifically referred to in this Note will remain applicable, unless otherwise agreed upon by the parties to the contracts concerned.
７ ケニア共和国政府は、いずれかの第三国の居住者であって債権を有するものに対し債務救済措置について２(4)にいう条件より有利な条件を与えた場合には、当該第三国の居住者であって債権を有するものに与えられる条件より不利でない条件を債権者に直ちに与える。
7. If the Government of the Republic of Kenya accords to creditors resident in any third country terms and conditions more favourable than those referred to in sub-paragraph (4) of paragraph 2 with regard to debt relief measures, the Government of the Republic of Kenya will forthwith accord to the Creditors the terms and conditions not less favourable than those accorded to creditors resident in such third country.
