  　書簡をもって啓上いたします。本使は、フィリピン共和国の経済の安定及び開発努力を促進することを目的として供与される日本国の借款に関して、日本国政府の代表者とフィリピン共和国政府の代表者との間で最近到達した次の了解を確認する光栄を有します。


							

						

						

							

								
Excellency,

	I have the honour to confirm the following understanding recently reached between the representatives of the Government of Japan and of the Government of the Republic of the Philippines concerning a Japanese loan to be extended with a view to promoting the economic stabilization and development efforts of the Republic of the Philippines:


							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
  １　三百六十三億円（三六、三〇〇、〇〇〇、〇〇〇円）の額までの円貨による借款（以下「借款」という。）が、「メトロマニラ大気改善セクター開発計画」（以下「計画」という。）を支援するため、海外経済協力基金（以下「基金」という。）により、日本国の関係法令に従って、フィリピン共和国政府に供与されることになる。

							

						

						

							

								
1.	A loan in Japanese yen up to the amount of thirty-six billion and three hundred million yen (36,300,000,000) (hereinafter referred to as "the Loan") will be extended to the Government of the Republic of the Philippines by the Overseas Economic Cooperation Fund (hereinafter referred to as "the Fund") in accordance with the relevant laws and regulations of Japan to support the Metro Manila Air Quality Improvement Sector Development Program (hereinafter referred to as "the Program").


							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
  ２(1)　借款は、フィリピン共和国政府と基金との間で締結される借款契約に基づいて使用に供される。借款の条件及び使用に関する手続は、なかんずく次の原則を含むことになる前記の借款契約によって規制される。

							

						

						

							

								
2.	(1)	The Loan will be made available by a loan agreement to be concluded between the Government of the Republic of the Philippines and the Fund.  The terms and conditions of the Loan as well as the procedures for its utilization will be governed by the said loan agreement which will contain, inter alia, the following principles:

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
      (a)(ⅰ)　償還期間は、十年の据置期間の後三十年とする。

							

						

						

							

								
	(a)	(i)	The repayment period will be thirty (30) years after the grace period of ten (10) years;

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
        (ⅱ)　利子率は、年〇・七五パーセントとする。

							

						

						

							

								
(ii) The rate of interest will be seventy-five hundredths per cent (0.75%) per annum; and

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
      (b)　支出期間は、関係借款契約の発効の日から四年とする。

							

						

						

							

								
(b) The disbursement period will be four (4) years from the date of coming into force of the said loan agreement.

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
    (2)　(1)(b)にいう支出期間は、両政府の関係当局の同意を得て延長することができる。

  ３(1)　借款は、フィリピン共和国内の輸入者による調達適格国の供給者に対して既に行ったか又は行う支払で、生産物（両政府の関係当局間で相互に合意する表に掲げる生産物を除く。）の購入及び当該生産物の購入に付随する役務の購入のために当該輸入者と当該供給者との間で既に締結されたか又は締結されることのある契約に基づいて行われるものを対象として使用に供される。ただし、当該購入は、調達適格国において、それらの国で生産される生産物及びそれらの国から供給される役務について行われる。

							

						

						

							

								
3.	(1)	The Loan will be made available to cover payments already made and/or to be made to suppliers of eligible source countries by importers in the Republic of the Philippines under such contracts as have been or may be entered into between them for purchases of products, except such products as will be enumerated in a list to be mutually agreed upon between the authorities concerned of the two Governments, and for purchases of services incidental to the purchases of those products, provided that such purchases are made in such eligible source countries for products produced in and services supplied from those countries.

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
    (2)　(1)にいう表には、両政府の関係当局間の合意によって修正を加えることができる。

							

						

						

							

								
	(2)	The list mentioned in sub-paragraph (1) above may be modified by agreement between the authorities concerned of the two Governments.

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
    (3)　(1)にいう調達適格国の範囲は、両政府の関係当局間で合意される。

  ４(1)　フィリピン共和国政府は、フィリピン共和国政府の名義でバンコ・セントラル・ナン・ピリピナス銀行（以下「銀行」という。）に開設される見返資金勘定に銀行が借款の円貨による支出額に等しい額をフィリピン通貨で振り替えるようにするための措置をとる。このようにして振り替えられたフィリピン通貨は、計画、既に基金より供与された日本国の借款により支援されたフィリピン共和国政府の開発事業及び両政府の関係当局が別途合意する他のフィリピン共和国政府の開発事業の現地通貨の需要に充てるために使用されなければならない。

							

						

						

							

								
4.	(1)	The Government of the Republic of the Philippines will take measures to have the equivalent in Philippine currency of the amount of yen disbursements of the Loan transferred by the Bangko Sentral ng Pilipinas (hereinafter referred to as "the Bank") to the counterpart fund account opened in the name of the Government of the Republic of the Philippines at the Bank.  The amount of Philippine currency thus transferred shall be used to cover local currency requirements of the Program, the development projects of the Government of the Republic of the Philippines already supported under Japanese loans extended by the Fund, and other development projects of the Republic of the Philippines which will be separately agreed upon between the authorities concerned of the two Governments.

  ５　フィリピン共和国政府は、３(1)にいう生産物又は役務が基金の調達のためのガイドライン（国際入札の手続が適用できないか又は適当でない場合を除くほか従うべき国際入札の手続をなかんずく定める。）に従って調達されることを確保する。

							

						

						

							

								
5.	The Government of the Republic of the Philippines will ensure that the products and/or services mentioned in sub-paragraph (1) of paragraph 3 are procured in accordance with the guidelines for procurement of the Fund, which set forth, inter alia, the procedures of international tendering to be followed except where such procedures are inapplicable or inappropriate.

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
  ６　フィリピン共和国政府は、基金について、借款及びそれから生ずる利子に対して又はそれらに関連してフィリピン共和国において課されるすべての財政課徴金及び租税を免除する。

							

						

						

							

								
6.	The Government of the Republic of the Philippines will exempt the Fund from all fiscal levies and taxes imposed in the Republic of the Philippines on and/or in connection with the Loan as well as interest accruing therefrom.

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
  ７　フィリピン共和国政府は、借款に基づいて購入される生産物の海上輸送及び海上保険に関し、海運会社及び海上保険会社の公正かつ自由な競争を妨げることのあるいかなる制限も課さない。

							

						

						

							

								
7.	With regard to the shipping and marine insurance of the products purchased under the Loan, the Government of the Republic of the Philippines will refrain from imposing any restrictions that may hinder fair and free competition among the shipping and marine insurance companies.

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
  ８　３(1)にいう契約に基づいて行われる生産物又は役務の供給に関連してフィリピン共和国においてその役務が必要とされる日本国民は、作業の遂行のためフィリピン共和国への入国及び同国における滞在に必要な便宜を与えられる。

							

						

						

							

								
8.	Japanese nationals whose services may be required in the Republic of the Philippines in connection with the supply of the products and/or services to be provided under the contracts referred to in sub-paragraph (1) of paragraph 3 will be accorded such facilities as may be necessary for their entry into the Republic of the Philippines and stay therein for the performance of their work.

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
  ９　フィリピン共和国政府は、借款が適正にかつ専ら３(1)にいう生産物又は役務を購入するために使用されるため及び４(1)にいう見返資金が適正にかつ専ら４(1)にいう計画及び４(1)にいう開発事業の現地通貨の需要に充てられることを確保するために必要な措置をとる。

							

						

						

							

								
9.	The Government of the Republic of the Philippines will take necessary measures to ensure that the Loan be used properly and exclusively for the purchases of products and/or services mentioned in sub-paragraph (1) of paragraph 3, and that the counterpart fund mentioned in sub-paragraph (1) of paragraph 4 be used properly and exclusively to cover the local currency requirements of the Program mentioned in sub-paragraph (1) of paragraph 4 and the development projects mentioned in sub-paragraph (1) of paragraph 4.

10.     (2)　両政府は、(1)にいう報告に基づいて、共同して借款の実施の進捗状況を随時検討し、必要に応じ、それらの円滑かつ効果的な使用を確保するために適当な措置をとる。基金は、その検討に参加するよう招かれる。

							

						

						

							

								
	(2)	The two Governments will jointly review from time to time, on the basis of the reports mentioned in sub-
paragraph (1) above, the progress of the implementation of the Loan and take, if necessary, appropriate measures to secure its smooth and effective utilization.  The Fund will be invited to participate in such review.

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
  11　両政府は、この了解から又はそれに関連して生ずることのあるいかなる事項についても相互に協議する。
