  １  九百十三億九千九百万円（九一、三九九、〇〇〇、〇〇〇円）の額までの円貨による借款（以下「借款Ⅰ」という。）が、この書簡に附属する表（以下「付表」という。）に掲げる事業計画の実施のため、各事業計画につき付表に定める配分に応じ、海外経済協力基金（以下「基金」という。）により、日本国の関係法令に従って、マレイシア政府及びマレイシア電力公社（以下「マレイシア側の借入人」と総称する。）に供与されることになる。

							

						

						

							

								
1.	A loan in Japanese yen up to the amount of ninety-one billion three hundred and ninety-nine million yen (91,399,000,000) (hereinafter referred to as "the Loan I") will be extended to the Government of Malaysia and Tenaga National Berhad (hereinafter jointly referred to as "the Malaysian Borrowers") by the Overseas Economic Cooperation Fund (hereinafter referred to as "the Fund") in accordance with the relevant laws and regulations of Japan for the implementation of the projects enumerated in the List attached hereto (hereinafter referred to as "the List"), according to the allocation for each project as specified in the List.

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
  ２(1)　借款Ⅰは、マレイシア側の借入人と基金との間で締結される借款契約に基づいて使用に供される。借款Ⅰの条件及び使用に関する手続は、なかんずく次の原則を含むことになる前記の借款契約によって規制される。

							

						

						

							

								
2.	(1)	The Loan I will be made available by loan agreements to be concluded between the Malaysian Borrowers and the Fund.  The terms and conditions of the Loan I as well as the procedures for its utilization will be governed by the said loan agreements which will contain, inter alia, the following principles:

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
      (a)(ⅰ)　償還期間は、七年の据置期間の後十八年とする。

							

						

						

							

								
	(a)	(i)	the repayment period will be eighteen (18) years after the grace period of seven (7) years;

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
        (ⅱ)  利子率は、年一・七パーセントとする。

      (b)　ただし、(a)にもかかわらず、借款Ⅰの一部が付表の２に掲げる事業計画のコンサルタントに対して行う支払のために使用される場合、付表の１及び４に掲げる人材育成関連事業計画に対して行う支払のために使用される場合並びに付表の３に掲げる地球環境関連事業計画に対して行う支払のために使用される場合には、当該部分については、次のとおりとする。

							

						

						

							

								
(b) Notwithstanding sub-paragraph (a) above, where a part of the Loan I is made available to cover payments to consultants of the project mentioned in 2 of the List, to the human resource development projects mentioned in 1 and 4 of the List and to the global environment project mentioned in 3 of the List, then:

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
        (ⅰ)  償還期間は、十年の据置期間の後三十年とする。

							

						

						

							

								
(i) the repayment period of the said part will be thirty (30) years after the grace period of ten (10) years;


							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
        (ⅱ)  利子率は、年〇・七五パーセントとする。

      (c)  支出期間は、関係借款契約の発効の日から、付表の１及び２に掲げる事業計画については十年、付表の４に掲げる事業計画については九年、並びに付表の３に掲げる事業計画については七年とする。

							

						

						

							

								
(c) The disbursement period will be ten (10) years with regard to the projects mentioned in 1 and 2 of the List, nine (9) years with regard to the project mentioned in 4 of the List and seven (7) years with regard to the project mentioned in 3 of the List from the date of coming into force of the relevant loan agreements.

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
    (2)　(1)にいう借款契約の各々は、基金が当該借款契約に係る事業計画の実行可能性（環境に対する配慮を含む。）を確認した後に締結される。

							

						

						

							

								
	(2)	Each of the loan agreements mentioned in sub-paragraph (1) above will be concluded after the Fund is satisfied of the feasibility, including the environmental consideration, of the project to which such loan agreement relates.

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
  ３(1)　借款Ⅰは、マレイシアの実施機関が調達適格国の供給者、請負業者又はコンサルタントに対して行う支払で、付表に掲げる事業計画の実施に必要な生産物又は役務の購入のために両者の間で締結されることのある契約に基づいて行われるものを対象として使用に供される。ただし、当該購入は、調達適格国において、それらの国で生産される生産物又はそれらの国から供給される役務について行われる。

							

						

						

							

								
3.	(1)	The Loan I will be made available to cover payments to be made by Malaysian executing agencies to suppliers, contractors and/or consultants of eligible source countries under such contracts as may be entered into between them for purchases of products and/or services required for the implementation of the projects enumerated in the List, provided that such purchases are made in such eligible source countries for products produced in and/or services supplied from those countries.

4.	The repayment of principal of the Loan I extended to Tenaga Nasional Berhad mentioned in paragraph 1, as well as the payment of interest thereon, shall be guaranteed by the Government of Malaysia.

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
  ５  マレイシア政府は、３(1)にいう生産物又は役務が基金の調達のためのガイドライン（国際入札の手続が適用できないか又は適当でない場合を除くほか従うべき国際入札の手続をなかんずく定める。）に従って調達されることを確保する。

							

						

						

							

								
5.	The Government of Malaysia will ensure that the products and/or services mentioned in sub-paragraph (1) of paragraph 3 are procured in accordance with the guidelines for procurement of the Fund, which set forth, inter alia, the procedures of international tendering to be followed except where such procedures are inapplicable or inappropriate.

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
  ６  ３(1)にいう生産物又は役務の供給に関連してマレイシアにおいてその役務が必要とされる日本国民は、作業の遂行のためマレイシアへの入国及び同国における滞在に必要な便宜を与えられる。

							

						

						

							

								
6.	Japanese nationals whose services may be required in Malaysia in connection with the supply of the products and/or services mentioned in sub-paragraph (1) of paragraph 3 shall be accorded such facilities as may be necessary for their entry into Malaysia and stay therein for the performance of their work.

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
  ７  マレイシア政府は、借款Ⅰに基づいて購入される生産物の海上輸送及び海上保険に関し、海運会社及び海上保険会社の間の公正かつ自由な競争を妨げることのあるいかなる制限も課さない。

							

						

						

							

								
7.	With regard to the shipping and marine insurance of the products purchased under the Loan I, the Government of Malaysia will refrain from imposing any restrictions that may hinder fair and free competition among the shipping and marine insurance companies.

  １　百六十二億九千六百万円（一六、二九六、〇〇〇、〇〇〇円）の額までの円貨による借款（以下「借款Ⅱ」という。）が、中小企業育成基金計画（以下「計画」という。）の実施のため、基金により、日本国の関係法令に従って、マレイシア政府に供与されることになる。

							

						

						

							

								
1.	A loan in Japanese yen up to the amount of sixteen billion two hundred and ninety-six million yen (16,296,000,000) (hereinafter referred to as "the Loan II") will be extended to the Government of Malaysia by the Fund, in accordance with the relevant laws and regulations of Japan, for the implementation of the Small and Medium Industries Development Fund Program (hereinafter referred to as "the Program").

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
  ２(1)　借款Ⅱは、マレイシア政府と基金との間で締結される借款契約に基づいて使用に供される。借款Ⅱの条件及び使用に関する手続は、なかんずく次の原則を含むことになる前記の借款契約によって規制される。

							

						

						

							

								
2.	(1)	The Loan II will be made available by a loan agreement to be concluded between the Government of Malaysia and the Fund. 3.	The Loan II will be made available to cover credits to be extended by the Bank Pembangunan Malaysia Berhad, the Malaysian Industrial Development Finance Berhad and the Bank Industri Malaysia Berhad to the sub-borrowers under the Program.

							

						

						

					

					
				
			
		
			
			
				
				

				
				
				
					

						

							

								
  ４(1)　借款Ⅱの一部は、プンバングナン・マレイシア・ベルハド銀行、マレイシア産業開発金融公社及びインダストリ・マレイシア・ベルハド銀行が調達適格国のコンサルタントに対して行う支払で、借款Ⅱの実施に必要な役務の購入のために両者の間で締結されることのある契約に基づいて行われるものを対象として使用に供される。ただし、当該購入は、調達適格国において、それらの国から供給される役務について行われる。

							

						

						

							

								
4.	(1)	A part of the Loan II will be made available to cover payments to be made by the Bank Pembangunan Malaysia Berhad, the Malaysian Industrial Development Finance Berhad and the Bank Industri Malaysia Berhad to consultants of eligible source countries under such contracts as may be entered into between them for purchase of services required for the implementation of the Loan II, provided that such purchase is made in such eligible source countries for services supplied from those countries.
