書簡をもって啓上いたします。本使は、ドミニカ共和国政府の代表者と関係債権諸国政府の代表者との間の一連の協議に妥当な考慮を払い日本国政府の代表者とドミニカ共和国政府の代表者との間で行われた最近の交渉に言及する光栄を有します。
Excellency, I have the honour to refer to the recent negotiations between the representatives of the Government of Japan and of the Government of the Dominican Republic that were held with due consideration for a series of the consultations between the representatives of the Government of the Dominican Republic and of the Governments of the creditor countries concerned.
本使は、更に、当該交渉において到達した次の了解を確認する光栄を有します。
I have further the honour to confirm the following understanding reached in the course of the said negotiations:
1(1) この取極は、千九百八十四年六月三十日より前に契約され、日本国政府が保険を引き受けた弁済期間が一年を超える次の商業上の債務であって、一方においてドミニカ共和国政府及びドミニカ共和国の政府企業(以下「債務者」という。)と他方において日本国の居住者である関係債権者(以下「債権者」という。)との間で契約されたもの又はドミニカ共和国政府若しくはドミニカ共和国の公共部門が保証したものの元本及び繰延利子(以下「支払猶予商業債務」という。)の総額に適用される。
1. (1) The present arrangements will apply to the total amount of the following principal of and rescheduling interest on the commercial debts insured by the Government of Japan, with a repayment period of more than one year, and contracted before June 30, 1984, which were contracted between the Government and governmental corporations of the Dominican Republic (hereinafter referred to as "the Debtors") on the one hand and the creditors concerned resident in Japan (hereinafter referred to as "the Creditors") on the other, or which were covered by the guarantee of the Government of the Dominican Republic or its public sector (hereinafter referred to as "the Deferred Commercial Debts"):
日本国政府が保険を引き受けたドミニカの商業上の債務についての債務救済措置に関し千九百九十三年二月十日に日本国政府とドミニカ共和国政府との間で交換された書簡により行われた取極に従って繰り延べられた債務に関し、千九百九十八年九月三十日から千九百九十九年十二月三十一日までの間(両期日を含む。)に弁済期限の到来したか又は到来する未払の元本及び繰延利子
With respect to the commercial debts rescheduled pursuant to the arrangements made by the Notes exchanged between the Government of Japan and the Government of the Dominican Republic on February 10, 1993 concerning the debt relief measures with respect to the Dominican commercial debts insured by the Government of Japan, the principal and rescheduling interest having fallen or falling due between September 30, 1998 and December 31, 1999, both dates inclusive, and not paid.
(2) 支払猶予商業債務の総額は、十一億七百四十九万六千五百六十七円(一、一〇七、四九六、五六七円)と見積もられる。
(2) The total amount of the Deferred Commercial Debts is estimated at one billion one hundred seven million four hundred ninety-six thousand five hundred and sixty-seven yen (1,107,496,567).
(3) (2)にいう総額は、日本国政府及びドミニカ共和国政府の関係当局が行う最終的照合の後に両政府の関係当局間の合意により修正されることがある。
(3) Modifications may be made to the total amount referred to in sub-paragraph (2) above by agreement between the authorities concerned of the Government of Japan and of the Government of the Dominican Republic, after the final verification to be made by the authorities concerned of the two Governments.
2(1) ドミニカ共和国政府は、ドミニカ共和国中央銀行を通じて、支払猶予商業債務を決済するため(4)に掲げる支払計画(以下「支払計画」という。)に従って行われる支払の額及び支払日を債権者に通告する。
2. (1) The Government of the Dominican Republic will notify the Creditors, through the Central Bank of the Dominican Republic, of the amount and the dates of payments which will be made in order to settle the Deferred Commercial Debts in accordance with the payment scheme as set out in sub-paragraph (4) below (hereinafter referred to as "the Payment Scheme").
(2) ドミニカ共和国政府は、支払猶予債務の総額を支払計画に従いドミニカ共和国中央銀行を通じ日本円により債権者に支払い、また、同政府以外の関係債務者が支払うことを確保する。
(2) The Government of the Dominican Republic will pay, or will ensure that other debtors concerned pay, the total amount of the Deferred Commercial Debts to the Creditors in Japanese yen through the Central Bank of the Dominican Republic in accordance with the Payment Scheme.
(3) 日本国政府は、商業上の関係債務が支払計画に従って行われる支払により決済されることを容易にするため、日本国において施行されている関係法令の範囲内で可能な措置をとる。
(3) The Government of Japan will take possible measures, within the scope of the relevant laws and regulations in force in Japan, to facilitate the settlement of the commercial debts concerned by the payment to be made in accordance with the Payment Scheme.
(4) 支払猶予商業債務を構成する債務の各々は、次の支払計画によって支払われる。
(4) Each of the debts composing the Deferred Commercial Debts will be paid in accordance with the following payment schedule.
(a) 千九百九十八年十二月三十一日に弁済期限の到来した繰延利子は、千九百九十九年六月三十日に支払われる。
(a) the rescheduling interest having fallen due on December 31, 1998 will be paid on June 30, 1999.
(b) 千九百九十九年三月三十一日に弁済期限の到来した元本及び繰延利子は、千九百九十九年九月三十日に支払われる。
(b) the principal and rescheduling interest having fallen due on March 31, 1999 will be paid on September 30, 1999.
(c) 千九百九十九年六月三十日に弁済期限の到来する繰延利子は、千九百九十九年十二月三十一日に支払われる。
(c) the rescheduling interest falling due on June 30, 1999 will be paid on December 31, 1999.
(d) 千九百九十九年九月三十一日に弁済期限の到来する元本及び繰延利子は、二千年三月三十一日に支払われる。
(d) the principal and rescheduling interest falling due on September 30, 1999 will be paid on March 31, 2000.
(e) 千九百九十九年十二月三十一日に弁済期限の到来する繰延利子は、二千年六月三十日に支払われる。
(e)the rescheduling interest falling due on December 31, 1999 will be paid on June 30, 2000.
3(1) ドミニカ共和国政府は、商業上の関係債務の各々について、(2)に定めるところにより算定される利子を支払計画に定めるそれぞれの支払日に債権者に支払う。
3. (1) The Government of the Dominican Republic will pay to the Creditors, on each payment date stipulated in the Payment Scheme, interest to be calculated as described in sub-paragraph (2) below on each of the commercial debts concerned.
(2)(a) 支払猶予商業債務に対して、それぞれの当初の弁済期日からこの書簡の交換の日の前日までの間(両期日を含む。)に適用される利子率は、年八・五パーセントとする。
(2) (a) The rate of interest on the Deferred Commercial Debts applied for the period between each original due date and the previous day of the date of exchange of the present Notes, both dates inclusive, will be eight point five per cent (8.5%) per annum.
(b) 支払猶予商業債務に対して、この書簡の交換の日から適用される利子率は、年八パーセントとする。
(b) The rate of interest on the Deferred Commercial Debts applied from the date of the exchange of the present Notes will be eight per cent (8%) per annum.
(3) 支払われる利子の額は、未決済の債務の額に当該債務が決済されないままに経過した日数及び一日当たりの利子率を乗じて算定される。一日当たりの利子率は、(2)にいう利子率を三百六十五で除して算定される。前記の算定方法を算式で表したものが、この書簡の附属書に掲げられる。
(3) The amount of interest to be paid will be calculated by multiplying the amount of the debt unsettled by the product of the number of the days the debt has not been settled and the daily interest rate. The daily interest rate is calculated by dividing the rate of interest referred to in (2) above by three hundred sixty-five (365). The illustration in the form of numerical formula of the method of calculation mentioned above is shown in the Annex attached hereto.
(4) ドミニカ共和国政府は、2(4)にいう支払計画((1)に定める利子の支払計画を含む。)上の支払が遅延した場合には、未払額から生ずる遅延利子を年八・五パーセントの利子率によって支払う。
(4) In case where any payment under the Payment Scheme as set out in sub-paragraph (4) of paragraph 2, including the payment schedule of interest set out in sub-paragraph (1) above is retarded, the Government of the Dominican Republic will pay the late interest accruing from the overdue amount at the rate of eight point five per cent (8.5%) per annum.
4 支払われる利子については、ドミニカ共和国のすべての租税及び課徴金が免除される。
4. The interest paid will be exempted from all taxes and duties of the Dominican Republic.
5 ドミニカ共和国政府は、商業上の関係債務の決済に伴う銀行手数料を支払う。
5. The Government of the Dominican Republic will pay bank charges incidental to the settlement of the commercial debts concerned.
6 債務者が支払計画(利子の支払計画を含む。)に従って商業上の関係債務を決済するためドミニカ共和国において必要とされる措置をとらなかった場合には、ドミニカ共和国政府は、当該債務が債務者と債権者との間で関係契約に従って決済されることを、ドミニカ共和国において施行されている関係法令の範囲内で容易にする。ドミニカ共和国政府は、また、関係契約によって指定された通貨による商業上の関係債務の支払金の自由な移転を保証する。
6. If the Debtors fail to take such measures as are required in the Dominican Republic for the settlement of the commercial debts concerned in accordance with the Payment Scheme, including the payment schedule of interest, the Government of the Dominican Republic will facilitate, within the scope of the relevant laws and regulations in force in the Dominican Republic, the settlement between the Debtors and the Creditors of such commercial debts in accordance with the contracts concerned. The Government of the Dominican Republic will also guarantee the free transfer of payments of the commercial debts concerned in the currency designated in the contracts concerned.
7 関係契約の条件のうちこの書簡において特に言及されていないものは、関係契約の当事者間で別段の合意がある場合を除くほか、引き続き適用されることが確認される。
7. It is confirmed that the terms and conditions of the contracts concerned not specifically referred to in this Note will remain applicable, unless otherwise agreed upon by the parties to the contracts concerned.
8 ドミニカ共和国政府は、いずれかの第三国の居住者である債権者に対し債務救済措置について2(4)に定める条件より有利な条件を与えた場合には、当該第三国の居住者である債権者に与えられる条件より不利でない条件を、債権者に直ちに与える。
8. If the Government of the Dominican Republic accords to creditors resident in any third country terms and conditions more favourable than those referred to in sub-paragraph (4) of paragraph 2 with regard to debt relief measures, the Government of the Dominican Republic will forthwith accord to the Creditors the terms and conditions not less favourable than those accorded to creditors resident in such third country.
本使は、更に、この書簡及びドミニカ共和国政府に代わって前記の取極を確認される閣下の返簡が両政府間の合意を構成するものとみなし、その合意がその効力発生のために必要なドミニカ共和国の国内手続を完了した旨の同国政府からの書面による通告を日本国政府が受領した日に効力を生ずることを提案する光栄を有します。
I have further the honour to propose that this Note and Your Excellency's Note in reply confirming on behalf of the Government of the Dominican Republic the foregoing arrangements shall be regarded as constituting an agreement between the two Governments, which will become effective on the date of receipt by the Government of Japan of the written notification from the Government of the Dominican Republic of the completion of necessary domestic procedures for the entry into force of such agreement.

1 債務救済措置が、海外経済協力基金(以下「基金」という。)により、日本国の関係法令に従ってとられることになる。
1. A debt relief measure will be taken by the Overseas Economic Cooperation Fund (hereinafter referred to as "the Fund") in accordance with the relevant laws and regulations of Japan.
2(1) 支払が猶予される債務(以下「支払猶予債務」という。)は、ドミニカ共和国政府が基金に対して負う債務(過去に繰り延べられた債務を含む。)であってこの書簡の付表に掲げるものから成る。
2. (1) The debts to be deferred (hereinafter referred to as "the Deferred Debts") consist of the debts (including previously rescheduled debts) owed by the Government of the Dominican Republic to the Fund, the breakdown of which is shown in the List attached hereto:
(2) 支払猶予債務の総額は、十八億三千四百八十二万六千五百五十九円(一、八三四、八二六、五五九円)と見積もられる。
(2) The total amount of the Deferred Debts is estimated at one billion eight hundred thirty-four million eight hundred twenty-six thousand five hundred fifty-nine yen (1,834,826,559).
(3) (2)にいう総額及びこの書簡の付表は、ドミニカ共和国政府の関係当局及び基金が行う最終的照合の後に日本国政府及びドミニカ共和国政府の関係当局間の合意により修正されることがある。
(3) Modifications may be made to the total amounts referred to in sub-paragraph (2) above, as well as to the List attached hereto by agreement between the authorities concerned of the Government of Japan and of the Government of the Dominican Republic, after the final verification to be made by the authorities concerned of the Government of the Dominican Republic and the Fund.
3 1にいう債務救済措置の条件は、ドミニカ共和国政府と基金との間で締結される契約であって、なかんずく次の原則を含むものにおいて規定される。
3. The terms and conditions of the debt relief measure mentioned in paragraph 1 above will be stipulated in an agreement to be concluded between the Government of the Dominican Republic and the Fund, which will contain, inter alia, the following principles:
(1) 支払猶予債務を構成する債務のそれぞれの弁済期日は、それぞれの当初の弁済期日から六箇月間延長される。
(1) Each due date of the debts composing the Deferred Debts will be extended for six months from the respective original due date.
(2)(a) (1)に従い延長された六箇月の期間については、支払猶予債務を構成するそれぞれの債務の元本のみに対して利子が生じ、当該利子は、当該元本の支払日に支払われる。
(2) (a) With respect to the period of six months extended in accordance with sub-paragraph (1) above, the interest will accrue only on the principal of each of the debts composing the Deferred Debts, and such interest will be paid on the date on which such principal is paid.
(b) (a)にいう利子の率は、関連するそれぞれの借款契約に定める契約上の利子率と同等の率とする。
(b) The rate of interest mentioned in (a) above, will be the same as the contractual interest rate stipulated in each relevant Loan Agreement.
(3) (1)及び(2)による支払が遅延した場合には、ドミニカ共和国政府は、未払額から生ずる遅延利子を関連するそれぞれの借款契約に定める遅延利子率によって支払う。
(3) In case where any payment under the provisions of (1) and (2) above is retarded, the Government of the Dominican Republic will pay the late interest accruing from the overdue amount at the late interest rate stipulated in each relevant Loan Agreement.
4 ドミニカ共和国の債務(この取極が対象とする債務を含む。)の再編に関してドミニカ共和国政府の代表者及び関係債権諸国の代表者が新たな結論に達した場合には、日本国政府とドミニカ共和国政府との間でこの取極の継続又は修正について討議するための協議が行われる。
4. If the representative of the Government of the Dominican Republic and the representatives of the Governments of the creditor countries concerned come to a new conclusion in connection with reorganization of the Dominican Debts including the debts covered by the present arrangements, consultations will be held between the Government of Japan and the Government of the Dominican Republic in order to discuss the matter of continuation or modification of the present arrangements.
本使は、更に、この書簡及びドミニカ共和国政府に代わって前記の取極を確認される閣下の返簡が両政府間の合意を構成するものとみなし、その合意がその効力発生のために必要なドミニカ共和国の国内手続を完了した旨の同国政府からの書面による通告を日本国政府が受領した日に効力を生ずることを提案する光栄を有します。
