円借款の供与に関する日本国政府とタイ王国政府との間の交換公文

Bangkok, September 25, 1998
書簡をもって啓上いたします。本使は、タイ王国の経済の安定及び開発努力を促進することを目的として供与される日本国の借款に関して、日本国政府の代表者とタイ王国政府の代表者との間で最近到達した次の了解を確認する光栄を有します。
Excellency, I have the honour to confirm the following understanding recently reached between the representatives of the Government of Japan and of the Government of the Kingdom of Thailand concerning Japanese loans to be extended with a view to promoting the economic stabilization and development efforts of the Kingdom of Thailand:
Ⅰ
I
1 三百七十二億八千三百万円(三七、二八三、〇〇〇、〇〇〇円)の額までの円貨による事業計画借款(以下「借款I」という。)が、この書簡に附属する表A(以下「付表A」という。)に掲げる事業計画を実施するため、各事業計画につき付表Aに定める配分に応じ、海外経済協力基金(以下「基金」という。)により、日本国の関係法令に従って、タイ王国政府及びタイ王国の国家企業(以下「タイ側の借入人I」という。)に供与されることになる。
1. A loan in Japanese yen up to the amount of thirty-seven billion two hundred and eighty-three million yen(37,283,000,000) (hereinafter referred to as "the Loan I") will be extended, in accordance with the relevant laws and regulations of Japan, to the Government and the State Enterprises of the Kingdom of Thailand (hereinafter referred to as "the Thai Borrowers I") by the Overseas Economic Cooperation Fund (hereinafter referred to as "the Fund") to implement the projects enumerated in the list A attached hereto (hereinafter referred to as "the List A") according to the allocation for each project as specified in the List A.
2(1) 借款Ⅰは、タイ側の借入人Ⅰと基金との間で締結される借款契約に基づいて使用に供される。借款Ⅰの条件及び使用に関する手続は、なかんずく次の原則を含むことになる前記の借款契約によって規制される。
2.(1) The Loan I will be made available by loan agreements to be concluded between the Thai Borrowers I and the Fund. The terms and conditions of the Loan I as well as the procedures for its utilization will be governed by the said loan agreements which will contain, the following principles:
(a)(ⅰ) 償還期間は、七年の据置期間の後十八年とする。
(a)(i) the repayment period will be eighteen (18) years after the grace period of seven (7) years;
(ⅱ) 利子率は、年二・二パーセントとする。
(ii) the rate of interest will be two and two-tenths per cent (2.2%) per annum;
(b) ただし、(a)にもかかわらず、借款Ⅰの一部が付表Aの2に掲げる事業計画の環境部分に対して行う支払のために使用される場合には、当該部分に係る金利については年一・七パーセントとする。
(b) notwithstanding sub-paragraph (a) above, where a part of the Loan I is made available to cover payment to the environmental portion of the project mentioned in 2 of the List A, then the rate of interest of the said part will be one and seven-tenths per cent (1.7%) per annum;
(c) ただし、(a)及び(b)にもかかわらず、借款Ⅰの一部が付表Aの2から5までに掲げる事業計画のコンサルタントに対して行う支払のために使用される場合、付表Aの1及び2に掲げる事業計画の地球環境関連部分に対して行う支払のために使用される場合並びに付表Aの4に掲げる事業計画の人材育成関連部分に対して行う支払のために使用される場合には、
(c) notwithstanding sub-paragraphs (a) and (b) above, where a part of the Loan I is made available to cover payments to the consultants of the projects mentioned in 2 to 5 of the List A, to the global environment portions of the projects mentioned in 1 and 2 of the List A and to the human resource development portion of the project mentioned in 4 of the List A, then;
(ⅰ) 当該部分に係る償還期間は、十年の据置期間の後三十年とする。
(i) the repayment period of the said part will be thirty (30) years after the grace period of ten (10) years;
(ⅱ) 当該部分に係る利子率は、年〇・七五パーセントとする。
(ii) the rate of interest of the said part will be seventy-five-hundredths per cent (0.75%) per annum; and
(d) 支出期間は、関係借款契約の発効の日から、付表Aの1及び3に掲げる事業計画については五年とし、付表Aの5、2及び4に掲げる事業計画についてはそれぞれ六年、七年及び八年とする。
(d) the disbursement period will be five (5) years with regard to the projects mentioned in 1 and 3 of the List A and six (6) years, seven (7) years and eight (8) years with regard to the projects mentioned in 5, 2 and 4 respectively of the List A from the dates of coming into force of the relevant loan agreements.
(2) (1)にいう借款契約の各々は、基金が当該借款契約に係る事業計画の実行可能性(環境に対する配慮を含む。)を確認した後に締結される。
(2) Each of the loan agreements mentioned in sub-paragraph (1) above will be concluded after the Fund is satisfied of the feasibility, including environmental consideration, of the project to which such loan agreement relates.
3(1) 借款Ⅰは、タイの実施機関が調達適格国の供給者、請負業者又はコンサルタントに対して行う支払で、付表Aに掲げる事業計画の実施に必要な生産物又は役務の購入のために両者の間で既に締結されたか又は締結されることのある契約に基づいて行われるものを対象として使用に供される。ただし、当該購入は、調達適格国において、それらの国で生産される生産物又はそれらの国から供給される役務について行われる。
3.(1) The Loan I will be made available to cover payments to be made by the Thai executing agencies to suppliers, contractors and/or consultants of eligible source countries under such contracts as have been and/or may be entered into between them for purchases of products and/or services required for the implementation of the projects enumerated in the List A, provided that such purchases are made in such eligible source countries for products produced in and/or services supplied from those countries.
(2) (1)にいう調達適格国の範囲は、両政府の関係当局間で合意される。
(2) The scope of eligible source countries mentioned in sub-paragraph (1) above will be agreed upon between the authorities concerned of the two Governments.
(3) 借款Ⅰの一部は、付表Aに掲げる事業計画の実施のための適格な現地通貨の需要に充てるために使用することができる。
(3) A part of the Loan I may be used to cover eligible local currency requirements for the implementation of the projects enumerated in the List A.
4 タイ王国政府は、3(1)にいう生産物又は役務が基金の調達のためのガイドライン(国際入札の手続が適用できないか又は適当でない場合を除くほか従うべき国際入札の手続をなかんずく定める。)に従って調達されることを確保する。
4. The Government of the Kingdom of Thailand will ensure that the products and/or services mentioned in sub-paragraph (1) of paragraph 3 above are procured in accordance with the guidelines for procurement of the Fund, which set forth, inter alia, the procedures of international tendering to be followed except where such procedures are inapplicable or inappropriate.
5 タイ王国政府は、借款Ⅰに基づいて購入される生産物の海上輸送及び海上保険に関し、海運会社及び海上保険会社の公正かつ自由な競争を妨げることのあるいかなる制限も課さない
5. With regard to the shipping and marine insurance of the products purchased under the Loan I, the Government of the Kingdom of Thailand will refrain from imposing any restrictions that may hinder fair and free competition of the shipping and marine insurance companies.
6 3(1)にいう生産物又は役務の供給に関連してタイ王国においてその役務が必要とされる日本国民は、タイ王国の関係法令に従って、作業の遂行のためタイ王国への入国及び同国における滞在に必要な便宜を与えられる。
6. Japanese nationals whose services may be required in the Kingdom of Thailand in connection with the supply of the products and/or services mentioned in sub-paragraph (1) of paragraph 3 above will be accorded, in accordance with the relevant laws and regulations of the Kingdom of Thailand/ such facilities as may be necessary for their entry into the Kingdom of Thailand and stay therein for the performance of their work.
Ⅱ
II
1 三百四億五千四百万円(三〇、四五四、〇〇〇、〇〇〇円)の額までの円貨による借款(以下「借款Ⅱ」という。)が、この書簡に附属する表B(以下「付表B」という。)に掲げる計画を実施するため、各計画につき付表Bに定める配分に応じ、基金により、日本国の関係法令に従って、農業及び農業協同組合銀行並びにタイ産業金融公社(以下「タイ側の借入人Ⅱ」という。)に供与されることになる。
1. A loan in Japanese yen up to the amount of thirty billion four hundred and fifty-four million yen (30,454,000,000) (hereinafter referred to as "the Loan II") will be extended, in accordance with the relevant laws and regulations of Japan, by the Fund to the Bank for Agriculture and Agricultural Cooperatives and the Industrial Finance Corporation of Thailand (hereinafter jointly referred to as "the Thai Borrowers II") for the implementation of the programs enumerated in the list B attached hereto (hereinafter referred to as "the List B") according to the allocation for each program as specified in the List B.
2(1) 借款Ⅱは、タイ側の借入人Ⅱと基金との間で締結される借款契約に基づいて使用に供される。借款Ⅱの条件及び使用に関する手続は、なかんずく次の原則を含むことになる前記の借款契約により規制される。
2.(1) The Loan II will be made available by loan agreements to be concluded between the Thai Borrowers II and the Fund. The terms and conditions of the Loan II as well as the procedures for its utilization will be governed by the said loan agreements which will contain, inter alia, the following principles:
(a)(ⅰ) 償還期間は、七年の据置期間の後十八年とする。
(a)(i) the repayment period will be eighteen (18) years after the grace period of seven (7) years ;
(ⅱ) 利子率は年一・〇パーセントとする。
(ii) the rate of interest will be one per cent (1.0%) per annum;
(b) ただし、(a)にもかかわらず、借款Ⅱの一部が付表Bに掲げる計画のコンサルタントに対して行う支払のために使用される場合並びに地球環境関連部分、公害対策関連部分及び人材育成関連部分に対して行う支払のために使用される場合には、
(b) notwithstanding sub-paragraph (a) above, where a part of the Loan II is made available to cover payments to the consultants, the global environment, anti-pollution and human resource development portions of the projects enumerated in the List B, then;
(ⅰ) 償還期間は、十年の据置期間の後三十年とする。
(i) the repayment period of the said part will be thirty (30) years after the grace period of ten (10) years;
(ⅱ) 利子率は、年〇・七五パーセントとする。
(ii) the rate of interest of the said part will be seventy-five-hundredths per cent (0.75%) per annum; and
(c) 支出期間は、付表Bの1及び2に掲げる事業計画については、関係借款契約の発効の日からそれぞれ五年及び六年とする。
(c) the disbursement period will be five (5) years and six (6) years with regard to the programs mentioned in 1 and 2 respectively of the List B from the dates of coming into force of the relevant loan agreements.
(2) (1)にいう借款契約の各々は、基金が当該借款契約に係る計画の実行可能性(環境に対する配慮を含む。)を確認した後に締結される。
(2) Each of the loan agreements mentioned in sub-paragraph (1) above will be concluded after the Fund is satisfied of the feasibility, including environmental consideration, of the program to which such loan agreement relates.
3(1) 付表Bの1に掲げる計画に係る借款Ⅱは、当該計画に基づき農業及び農業協同組合銀行が借入人に対して行う融資に充てるために使用に供される。
3.(1) The Loan II for the program mentioned in 1 of the List B will be made available to cover credits to be extended by the Bank for Agriculture and Agricultural Cooperatives to sub-borrowers under the said program.
(2) 付表Bの2に掲げる計画に係る借款Ⅱは、当該計画に基づきタイ産業金融公社が借入人に対して行う融資に充てるために使用に供される。
(2) The Loan II for the program mentioned in 2 of the List B will be made available to cover credits to be extended by the Industrial Finance Corporation of Thailand to sub-borrowers under the said program.
4(1) 借款Ⅱの一部は、タイ側の借入人Ⅱが調達適格国のコンサルタントに対して行う支払で、借款Ⅱの実施のために必要な役務の購入のために両者の間で締結されることのある契約に基づいて行われるものを対象として使用に供される。ただし、当該購入は、調達適格国において、それらの国から供給される役務について行われる。
4.(1) A part of the Loan II will be made available to cover payments to be made by the Thai Borrowers II to consultants of eligible source countries under such contracts as may be entered into between them for purchase of services required for the implementation of the Loan II, provided that such purchases are made in such eligible source countries for services supplied from those countries.
(2) (1)にいう調達適格国の範囲は、両政府の関係当局間で合意される。
(2) The scope of eligible source countries mentioned in sub-paragraph (1) above will be agreed upon between the authorities concerned of the two Governments.
5 タイ王国政府は、4(1)にいう役務が基金の調達のためのガイドライン(国際入札の手続が適用できないか又は適当でない場合を除くほか従うべき国際入札の手続をなかんずく定める。)に従って調達されることを確保する。
5. The Government of the Kingdom of Thailand will ensure that the services mentioned in sub-paragraph (1) of paragraph 4 above are procured in accordance with the guidelines for procurement of the Fund, which set forth, inter alia, the procedures of international tendering to be followed except where such procedures are inapplicable or inappropriate.
6 4(1)にいう役務の供給に関連してタイ王国においてその役務が必要とされる日本国民は、タイ王国の関係法令に従って、作業の遂行のためタイ王国への入国及び同国における滞在に必要な便宜を与えられる。
6. Japanese nationals whose services may be required in the Kingdom of Thailand in connection with the supply of the services mentioned in sub-paragraph (1) of paragraph 4 above will be accorded, in accordance with the relevant laws and regulations of the Kingdom of Thailand, such facilities as may be necessary for their entry into the Kingdom of Thailand and stay therein for the performance of their work.
Ⅲ
III
1 タイ王国の国家企業に供与される借款Ⅰ及び借款Ⅱの元本の償還及び利子の支払は、タイ王国政府によって保証される。
1. The repayment of principal of the Loan I extended to the State Enterprises of the Kingdom of Thailand and of the Loan II, as well as the payment of interest thereon, shall be guaranteed by the Government of the Kingdom of Thailand.
2 Ⅰ2(1)(d)及びⅡ2(1)(c)にいう支出期間は、両政府の関係当局の同意を得て延長することができる。
2. The respective disbursement periods mentioned in sub-paragraph (1)(d) of paragraph 2 of Part I and sub-paragraph (1)(c) of paragraph 2 of Part II may be extended with the consent of the authorities concerned of the two Governments.
3 タイ王国政府は、基金について、借款Ⅰ及び借款Ⅱ並びにそれらから生ずる利子に対して又はそれらに関連してタイ王国の法律に基づいて課されるすべての財政課徴金及び租税を免除する。
3. The Government of the Kingdom of Thailand will exempt the Fund from all fiscal levies and taxes imposed under the laws of the Kingdom of Thailand on and/or in connection with the Loan I and the Loan II as well as interest accruing therefrom.
4 タイ王国政府は、次のことを確保するために必要な措置をとる。
4. The Government of the Kingdom of Thailand will take necessary measures to ensure that:
(1) 借款Ⅰが適正にかつ専らⅠ3(1)にいう生産物又は役務を購入するために使用されること。
(1) the Loan I be used properly and exclusively for purchases of products and/or services mentioned in sub-paragraph (1) of paragraph 3 of Part I;
(2) 借款Ⅱが適正にかつ専らⅡ3及びⅡ4(1)に定める目的のために使用されること。
(2) the Loan II be used properly and exclusively for the purposes prescribed in paragraph 3 of Part II and sub-paragraph (1) of paragraph 4 of Part II; and
(3) 借款Ⅰに基づいて建設される施設がこの了解に定める目的のために適正にかつ効果的に維持され及び使用されること。
(3) the facilities constructed under the Loan I be maintained and used properly and effectively for the purposes prescribed in this understanding.
5(1) タイ王国政府は、要請に応じ、日本国政府及び基金に対し、借款Ⅰ及び借款Ⅱの実施の進捗状況に関する情報及び資料を提出する。
5.(1) The Government of the Kingdom of Thailand will, upon request, furnish the Government of Japan and the Fund with information and data concerning the progress of the implementation of the Loan I and the Loan II.
(2) 両政府は、共同して借款Ⅰ及び借款Ⅱの実施の進捗状況を毎年及び必要に応じ随時検討し、それらの円滑かつ効果的な使用を確保するため必要に応じ適当な措置をとる。基金は、その検討に参加するよう招かれることがある。
(2) The two Governments will jointly review annually, and from time to time, if necessary, the progress of the implementation of the Loan I and the Loan II and take appropriate measures, if necessary, to secure their smooth and effective utilization. The Fund may be invited to participate in such review.
6 両政府は、前記の了解から又はそれに関連して生ずることのあるいかなる事項についても相互に協議する。
6. The two Governments will consult with each other with respect to any matter that may arise from or in connection with the foregoing understanding.
本使は、閣下が前記の了解をタイ王国政府に代わって確認されれば幸いであります。
I should be grateful if Your Excellency would confirm the foregoing understanding on behalf of the Government of the Kingdom of Thailand.
本使は、以上を申し進めるに際し、ここに重ねて閣下に向かって敬意を表します。
