円借款の供与に関する日本国政府と南アフリカ共和国政府との間の交換公文

Cape Town, February 19, 1998
書簡をもって啓上いたします。本使は、南アフリカ共和国の経済の安定及び開発努力を促進することを目的として供与される日本国の借款に関して日本国政府の代表者と南アフリカ共和国政府の代表者との間で最近到達した次の了解を確認する光栄を有します。
Excellency, I have the honour to confirm the following understanding recently reached between the representatives of the Government of Japan and of the Government of the Republic of South Africa concerning a Japanese loan to be extended with a view to promoting the economic stabilization and development efforts of the Republic of South Africa:
1(1) 六十二億三千万円(六、二三〇、〇〇〇、〇〇〇円)の額までの円貨による借款(以下「借款」という。)が、都市通勤鉄道近代化計画(以下「計画」という。)の実施のため、海外経済協力基金(以下「基金」という。)により、日本国の関係法令に従って、南アフリカ通勤鉄道公社(以下「借入人」という。)に供与されることになる。
1.(1) A loan in Japanese yen up to the amount of six billion two hundred and thirty million yen(6,230,000,000) (hereinafter referred to as "the Loan")will be extended, in accordance with the relevant laws and regulations of Japan, to the South African Rail Commuter Corporation Limited (hereinafter referred to as "the Borrower") by the Overseas Economic Cooperation Fund (hereinafter referred to as "the Fund") for the implementation of the Urban Rail Passenger Transport Modernization Project (hereinafter referred to as "the Project").
(2) 借款は、千九百九十三年六月二十五日に日本国政府により公表された開発途上国への資金協力計画の2(2)に沿って供与されることになる。
(2) The Loan will be extended in line with sub-paragraph (2) of paragraph 2 of the "Funds for Development" Initiative announced by the Government of Japan on June 25,1993.
2(1) 借款は、借入人と基金との間で締結される借款契約に基づいて使用に供される。借款の条件及び使用関する手続は、なかんずく次の原則を含むことになる前記の借款契約によって規制される。
2.(1) The Loan will be made available by a loan agreement to be concluded between the Borrower and the Fund. The terms and conditions of the Loan as well as the procedures for its utilization will be governed by the said loan agreement which will contain, inter alia, the following principles:
(a) 償還期間は、七年の据置期間の後十八年とする。
(a) The repayment period will be eighteen (18) years after the grace period of seven (7) years;
(b) 利子率は、年二・七パーセントとする。
(b) The rate of interest will be two and seven-tenths per cent (2.7%) per annum; and
(c) 支出期間は、前記の借款契約の発効の日から七年とする。
(c) The disbursement period will be seven (7) years from the date of coming into force of the said loan agreement.
(2) (1)にいう借款契約は、基金が計画の実行可能性(環境に対する配慮を含む。)を確認した後に締結される。
(2) The loan agreement mentioned in sub-paragraph (1) above will be concluded after the Fund is satisfied of the feasibility, including environmental consideration, of the Project.
(3) (1)(c)にいう支出期間は、両政府の関係当局の同意を得て延長することができる。
(3) The disbursement period mentioned in sub-paragraph (1)(c) above may be extended with the consent of the authorities concerned of the two Governments.
3 借款の元本の償還及び利子の支払は、南アフリカ共和国政府によって保証される。
3. The repayment of principal of the Loan as well as the payment of interest thereon shall be guaranteed by the Government of the Republic of South Africa.
4(1) 借款は、南アフリカの実施機関が調達適格国の供給者又は、請負業者に対して行う支払で、計画の実施に必要な生産物又は役務の購入のために両者の間で締結されることのある契約に基づいて行われるものを対象として使用に供される。ただし、当該購入は、調達適格国において、それらの国で生産される生産物又はそれらの国から供給される役務について行われる。
4.(1) The Loan will be made available to cover payments to be made by the Borrower to suppliers and/or contractors of eligible source countries under such contracts as may be entered into between them for purchases of products and/or services required for the implementation of the Project, provided that such purchases are made in such eligible source countries for products produced in and/or services supplied from those countries.
(2) (1)にいう調達適格国の範囲は、両政府の関係当局間で合意される。
(2) The scope of eligible source countries mentioned in sub-paragraph (1) above will be agreed upon between the authorities concerned of the two Governments.
5 南アフリカ共和国政府は、4(1)にいう生産物又は役務が基金の調達のためのガイドライン(国際入札の手続が適用できないか又は適当でない場合を除くほか従うべき国際入札の手続をなかんずく定める。)に従って調達されることを確保する。
5. The Government of the Republic of South Africa will ensure that products and/or services mentioned in sub- paragraph (1) of paragraph 4 above are procured in accordance with the guidelines for procurement of the Fund, which set forth, inter alia, the procedures of international tendering to be followed except where such procedures are inapplicable or inappropriate.
6 南アフリカ共和国政府は、借款に基づいて購入される生産物の海上輸送及び海上保険に関し、海運会社及び海上保険会社の間の公正かつ自由な競争を妨げることのあるいかなる制限も課さない。
6. With regard to the shipping and marine insurance of the products purchased under the Loan, the Government of the Republic of South Africa will refrain from imposing any restrictions that may hinder fair and free competition among the shipping and marine insurance companies.
7 4(1)にいう生産物又は役務の供給に関連して南アフリカ共和国においてその役務が必要とされる日本国民は、外国人の入国及び滞在に関する南アフリカ共和国の法令に従って、作業の遂行のため南アフリカ共和国への入国及び同国における滞在に必要な便宜を与えられる。
7. Subject to South African laws regarding the entry and sojourn of aliens, Japanese nationals whose services may be required in the Republic of South Africa in connection with the supply of products and/or services mentioned in sub- paragraph (1) of paragraph 4 above will be accorded such facilities as may be necessary for their entry into the Republic of South Africa and stay therein for the performance of their work.
8 南アフリカ共和国政府は、基金について、借款及びそれから生ずる利子に対して又はそれらに関連して南アフリカ共和国において課されるすべての財政課徴金及び直接税を免除する。
8. The Government of the Republic of South Africa will exempt the Fund from all fiscal levies and direct taxes imposed in the Republic of South Africa on and/or in connection with the Loan as well as interest accruing therefrom.
9 南アフリカ共和国政府は、次のことを確保するために必要な措置をとる。
9. The Government of the Republic of South Africa will take necessary measures to ensure that:
(a) 借款が適正にかつ専ら4(1)にいう生産物又は役務を購入するために使用されること。
(a) the Loan be used properly and exclusively for purchases of products and/or services mentioned in sub-paragraph (1) of paragraph 4; and
(b) 借款に基づいて建設される施設がこの了解に定める目的のために適正にかつ効果的に維持され及び使用されること。
(b) the facilities constructed under the Loan be maintained and used properly and effectively for the purposes prescribed in this understanding.
10 南アフリカ共和国政府は、要請に応じ、日本国政府及び基金に対し、借款の実施の進捗状況に関する報告を提出する。
10. The Government of the Republic of South Africa will, upon request, furnish the Government of Japan and the Fund with reports on the progress of the implementation of the Loan.
11 両政府は、前記の了解から又はそれに関連して生ずることのあるいかなる事項についても相互に協議する。
11. The two Governments will consult with each other with respect to any matter that may arise from or in connection with the foregoing understanding.
本使は、閣下が前記の了解を南アフリカ共和国政府に代わって確認されれば幸いであります。
I should be grateful if Your Excellency would confirm the foregoing understanding on behalf of the Government of the Republic of South Africa.
