円借款の供与に関する日本国政府とアルメニア共和国政府との間の交換公文

Yerevan, December 8, 1998
書簡をもって啓上いたします。本官は、アルメニア共和国の経済の安定及び開発努力を促進することを目的として供与される日本国の借款に関して日本国政府の代表者とアルメニア共和国政府の代表者との間で最近到達した次の了解を確認する光栄を有します。
Excellency, I have the honour to confirm the following understanding recently reached between the representatives of the Government of Japan and of the Government of the Republic of Armenia concerning a Japanese loan to be extended with a view to promoting the economic stabilization and development efforts of the Republic of Armenia:
1(1) 五十三億九千九百万円(五、三九九、〇〇〇、〇〇〇円)の額までの円貨による借款(以下「借款」という。)が、送配電網整備計画(以下「計画」という。)の実施のため、海外経済協力基金(以下「基金」という。)により、日本国の関係法令に従って、アルメニア共和国政府に供与されることになる。
1.(1) A loan in Japanese yen up to the amount of five billion three hundred and ninety-nine million yen (5,399,000,000) (hereinafter referred to as "the Loan") will be extended to the Government of the Republic of Armenia by the Overseas Economic Cooperation Fund (hereinafter referred to as "the Fund") in accordance with the relevant laws and regulations of Japan for the implementation of the Electricity Transmission and Distribution Project (hereinafter referred to as "the Project").
(2) 借款は、コンサルタントに対して行う支払のために使用される部分を除き、千九百九十三年六月二十五日に日本国政府により公表された開発途上国への資金協力計画の2(2)に沿って供与されることになる。
(2) The Loan will be extended in line with sub-paragraph (2) of paragraph 2 of the "Funds for Development" Initiative announced by the Government of Japan on June 25,1993, except where a part of the Loan is made available to cover payments to consultants.
2(1) 借款は、アルメニア共和国政府と基金との間で締結される借款契約に基づいて使用に供される。借款の条件及び使用に関する手続は、なかんずく次の原則を含むことになる前記の借款契約によって規制される。
(1) 2.The Loan will be made available by a loan agreement to be concluded between the Government of the Republic of Armenia and the Fund. The terms and conditions of the Loan as well as the procedures for its utilization will be governed by the said loan agreement which will contain, inter alia, the following principles:
(a)(ⅰ) 償還期間は、十年の据置期間の後二十年とする。
(a)(i) The repayment period will be twenty (20) years after the grace period of ten (10) years;
(ⅱ) 利子率は、年一・八パーセントとする。
(ii) The rate of interest will be one and eight-tenths per cent (1.8%) per annum;
(b) ただし、(a)にもかかわらず、借款の一部がコンサルタントに対して行う支払のために使用される場合には、
(b) Notwithstanding sub-paragraph (a) above, where a part of the Loan is made available to cover payments to consultants, then:
(ⅰ) 当該部分に係る償還期間は、十年の据置期間の後三十年とする。
(i) The repayment period of the said part will be thirty (30) years after the grace period of ten (10) years;
(ⅱ) 当該部分に係る利子率は、年〇・七五パーセントとする。
(ii) The rate of interest of the said part will seventy-five-hundredths per cent (0.75%) per annum; and
(c) 支出期間は、前記の借款契約の発効の日から六年とする。
(c) The disbursement period will be six (6) years from the date of coming into force of the said loan agreement.
(2) (1)にいう借款契約は、基金が計画の実行可能性(環境に対する配慮を含む。)を確認した後に締結される。
(2) The loan agreement mentioned in sub-paragraph (1) above will be concluded after the Fund is satisfied of the feasibility, including environmental consideration, of the Project.
(3) (1)(c)にいう支出期間は、両政府の関係当局の同意を得て延長することができる。
(3) The disbursement period mentioned in sub-paragraph (1) (c) above may be extended with the consent of the authorities concerned of the two Governments.
3(1) 借款は、アルメニアの実施機関が調達適格国の供給者、請負業者又はコンサルタントに対して行う支払で、計画の実施に必要な生産物又は役務の購入のために両者の間で締結されることのある契約に基づいて行われるものを対象として使用に供される。ただし、当該購入は、調達適格国において、それらの国で生産される生産物又はそれらの国から供給される役務について行われる。
3.(1) The Loan will be made available to cover payments to be made by Armenian executing agency to suppliers, contractors and/or consultants of eligible source countries under such contracts as may be entered into between them for purchases of products and/or services required for the implementation of the Project, provided that such purchases are made in such eligible source countries for products produced in and/or services supplied from those countries.
(2) (1)にいう調達適格国の範囲は、両政府の関係当局間で合意される。
(2) The scope of eligible source countries mentioned in sub-paragraph (1) above will be agreed upon between the authorities concerned of the two Governments.
(3) 借款の一部は、計画の実施のための適格な現地通貨の需要に充てるために使用することができる。
(3) A part of the Loan may be used to cover eligible local currency requirements for the implementation of the Project.
4 アルメニア共和国政府は、3(1)にいう生産物又は役務が基金の調達のためのガイドライン(国際入札の手続が適用できないか又は適当でない場合を除くほか従うべき国際入札の手続をなかんずく定める。)に従って調達されることを確保する。
4. The Government of the Republic of Armenia will ensure that the products and/or services mentioned in sub-paragraph (1) of paragraph 3 are procured in accordance with the guidelines for procurement of the Fund, which set forth, inter alia, the procedures of international tendering to be followed except where such procedures are inapplicable or inappropriate.
5 アルメニア共和国政府は、借款に基づいて購入される生産物の海上輸送及び海上保険に関し、海運会社及び海上保険会社の間の公正かつ自由な競争を妨げることのあるいかなる制限も課さない。
5. With regard to the shipping and marine insurance of products purchased under the Loan, the Government of the Republic of Armenia will refrain from imposing any restrictions that may hinder fair and free competition among the shipping and marine insurance companies.
6 3(1)にいう生産物又は役務の供給に関連してアルメニア共和国においてその役務が必要とされる日本国民は、作業の遂行のためアルメニア共和国への入国及び同国における滞在に必要な便宜を与えられる。
6. Japanese nationals whose services may be required in the Republic of Armenia in connection with the supply of the products and/or services mentioned in sub-paragraph (1) of paragraph 3 will be accorded such facilities as may be necessary for their entry into the Republic of Armenia and stay therein for the performance of their work.
7 アルメニア共和国政府は、次のものを免除する。
7. The Government of the Republic of Armenia will exempt:
(a) 基金について、借款及びそれから生ずる利子に対して又はそれらに関連してアルメニア共和国において課されるすべての財政課徴金及び租税
(a) the Fund from all fiscal levies and taxes imposed in the Republic of Armenia on and/or in connection with the Loan as well as interest accruing therefrom;
(b) 供給者、請負業者又はコンサルタントとして活動する日本国の会社について、借款に基づいて行われる生産物又は役務の供給から取得する所得に関してアルメニア共和国において課されるすべての財政課徴金及び租税
(b) Japanese companies operating as suppliers, contractors and/or consultants from all fiscal levies and taxes imposed in the Republic of Armenia with respect to the income accruing from the supply of products and/or services to be provided under the Loan;
(c) 請負業者又はコンサルタントとして活動する日本国の会社について、計画の実施のために必要な自己の資材及び設備の輸入及び再輸出に関してアルメニア共和国において課されるすべての関税及び関連の財政課徴金
(c) Japanese companies operating as contractors and/or consultants from all duties and related fiscal charges imposed in the Republic of Armenia with respect to the import and re-export of their own materials and equipment needed for the implementation of the Project; and
(d) 計画の実施に従事する日本国民である被用者について、供給者、請負業者又はコンサルタントとして活動する日本国の会社から取得する個人所得に対してアルメニア共和国において課されるすべての財政課徴金及び租税
(d) Japanese employees engaged in the implementation of the Project from all fiscal levies and taxes imposed in the Republic of Armenia on their personal income derived from Japanese companies operating as suppliers, contractors and/or consultants.
8 アルメニア共和国政府は、次のことを確保するために必要な措置をとる。
8. The Government of the Republic of Armenia will take necessary measures to ensure that:
(a) 借款が適正にかつ専ら計画のために使用されること。
(a) the Loan be used properly and exclusively for the Project; and
(b) 借款に基づいて建設される施設がこの了解に定める目的のために適正にかつ効果的に維持され及び使用されること。
(b) the facilities constructed under the Loan be maintained and used properly and effectively for the purposes prescribed in this understanding.
9 アルメニア共和国政府は、要請に応じ、日本国政府及び基金に対し、計画の実施の進捗状況に関する情報及び資料を提供する。
9. The Government of the Republic of Armenia will, upon request, furnish the Government of Japan and the Fund with information and data concerning the progress of the implementation of the Project.
10 両政府は、前記の了解から又はそれに関連して生ずることのあるいかなる事項についても相互に協議する。
10. The two Governments will consult with each other in respect of any matter that may arise from or in connection with the foregoing understanding.
本官は、閣下が前記の了解をアルメニア共和国政府に代わって確認されれば幸いであります。
I should be grateful if Your Excellency would confirm the foregoing understanding on behalf of the Government of the Republic of Armenia.
