円借款の供与に関する日本国政府とヴィエトナム社会主義共和国政府との間の交換公文

Hanoi, January 28, 1994
書簡をもって啓上いたします。本使は、ヴィエトナム社会主義共和国の経済の安定及び開発努力を促進することを目的として供与される日本国の借款に関して日本国政府の代表者とヴィエトナム社会主義共和国政府の代表者との間で最近到達した次の了解を確認する光栄を有します。
Excellency, I have the honour to confirm the following understanding recently reached between the representatives of the Government of Japan and of the Government of the Socialist Republic of Viet Nam concerning Japanese loans to be extended with a view to promoting the economic stabilization and the development efforts of the Socialist Republic of Viet Nam:

1(1) 四百九十八億四百万円(四九、八〇四、〇〇〇、〇〇〇円)の額までの円貨による借款(以下「借款I｣という。)が、この書簡に附属する表(以下「付表」という。)に掲げる事業計画を実施するため、各事業計画につき付表に定める配分に応じ、海外経済協力基金(以下「基金」という。)により、日本国の関係法令に従って、ヴィエトナム社会主義共和国政府に供与されることになる。
1. (1) A loan in Japanese yen up to the amount of forty-nine billion eight hundred and four million yen (49,804,000,000) (hereinafter referred to as "the Loan I") will be extended, in accordance with the relevant laws and regulations of Japan, to the Government of the Socialist Republic of Viet Nam by the overseas Economic Cooperation Fund (hereinafter referred to as "the Fund") to implement the projects enumerated in the List attached hereto (hereinafter referred to as "the List") according to the allocation for each project as specified in the List.
(2) 付表の1、2、3、4、6及び7に掲げる事業計画のための借款Iは、千九百九十三年六月二十五日に日本国政府により公表された開発途上国への資金協力計画の2(2)に沿って供与されることになる。
(2) The Loan I for the projects mentioned in 1, 2, 3, 4, 6 and 7 of the List will be extended in line with sub-paragraph (2) of paragraph 2 of the "Funds for Development" Initiative announced by the Government of Japan on June 25, 1993.
2(1) 借款Iは、ヴィエトナム社会主義共和国政府と基金との間で締結される借款契約に基づいて使用に供される。借款Iの条件及び使用に関する手続は、なかんずく次の原則を含むことになる前記の借款契約によって規制される。
2. (1) The Loan I will be made available by loan agreements to be concluded between the Government of the Socialist Republic of Viet Nam and the Fund. The terms and conditions of the Loan I as veil as the procedures for its utilization will be governed by the said loan agreements which will contain, inter alia, the following principles:
(a) 償還期間は、十年の据置期間の後二十年とする。
(a) The repayment period will be twenty (20) years after the grace period of ten (10) years.
(b) 利子率は、年一･〇パーセントとする。
(b) The rate of interest will be one per cent (1.0%) per annum.
(c) 支出期間は、付表の2及び3に掲げる事業計画については、関係借款契約の発効の日から三年とし、付表の1、4、5、6及び7に掲げる事業計画については、関係借款契約の発効の日から五年とする。
(c) The disbursement period will be three (3) years with regard to the projects mentioned in 2 and 3 of the List, and five (5) years with regard to the projects mentioned in 1, 4, 5, 6 and 7 of the List from the date of coming into force of the relevant loan agreement.
(2) (1)にいう借款契約の各々は、基金が当該借款契約にかかる事業計画の実行可能性(環境に対する配慮を含む。)を確認した後に締結される。
(2) Each of the loan agreements mentioned in sub-paragraph (1) above will be concluded after the Fund is satisfied of the feasibility, including environmental consideration, of the project to which such loan agreement relates.
3(1) 借款Iは、ヴィエトナムの実施機関が調達適格国の供給者、請負業者又はコンサルタントに対して行う支払で、付表に掲げる事業計画の実施に必要な生産物又は役務の購入のために両者の間で既に締結されたか又は締結されることのある契約に基づいて行われるものを対象として使用に供される。ただし、当該購入は、調達適格国において、それらの国で生産される生産物又はそれらの国から供給される役務について行われる。
3. (1) The Loan I will be made available to cover payments to be made by Vietnamese executing agencies to suppliers, contractors and/or consultants of eligible source countries under such contracts as have been and/or may be entered into between them for purchases of products and/or services required for the implementation of the projects enumerated in the List, provided that such purchases are made in such eligible source countries for products produced in and/or services supplied from those countries.
(2) 借款Iの一部は、付表に掲げる事業計画の実施のための適格な現地通貨の需要に充てるために使用することができる。
(2) A part of the Loan I may be used to cover eligible local currency requirements for the implementation of the projects enumerated in the List.
II
II
1(1) 二十五億円(二、五〇〇、〇〇〇、〇〇〇円)の額までの円貨による借款(以下「借款II｣という。)が、地方道路整備計画及び上水道整備計画(以下「計画｣という。)を支援するため、基金により、日本国の関係法令に従って、ヴィエトナム社会主義共和国政府に供与されることになる。
1. (1) A loan in Japanese yen up to the amount of two billion five hundred million yen (2,500,000,000) (hereinafter referred to as "the Loan II") will be extended, in accordance with the relevant laws and regulations of Japan, to the Government of the Socialist Republic of Viet Nam by the Fund to support the Provincial and District Road Rehabilitation Program and the Water Supply Rehabilitation program (hereinafter referred to as "the Programs").
(2) 借款IIは、千九百九十三年六月二十五日に日本国政府により公表された開発途上国への資金協力計画の2(2)に沿って供与されることになる。
(2) The Loan II will be extended in line with sub-paragraph (2) of paragraph 2 of the "Funds for Development" Initiative announced by the Government of Japan on June 25, 1993.
2 借款IIは、ヴィエトナム社会主義共和国政府と基金との間で締結される借款契約に基づいて使用に供される。借款IIの条件及び使用に関する手続は、なかんずく次の原則を含むことになる前記の借款契約によって規制される。
2. The Loan II will be made available by a loan agreement to be concluded between the Government of the Socialist Republic of Viet Nam and the Fund. The terms arid conditions of the Loan II as well as the procedures for its utilization will be governed by the said loan agreement which will contain, inter alia, the following principles:
(a) 償還期間は、十年の据置期間の後二十年とする。
(a) The repayment period will be twenty (20) years after the grace period of ten (10) years.
(b) 利子率は、年一･〇パーセントとする。
(b) The rate of interest will be one per cent (1.0%) per annum.
(c) 支出期間は、借款契約の発効の日から三年とする。
(c) The disbursement period will be three (3) years from the date of coming into force of the said loan agreement.
3(1) 借款IIは、次のものを対象として使用に供される。
3. (1) The Loan II will be made available:
(a) ヴィエトナム社会主義共和国内の輸入者が調達適格国の供給者に対して行う支払で、両政府の関係当局間で合意される表に掲げる生産物の購入及び当該生産物の購入に付随する役務の購入のために当該輸入者と当該供給者との間で既に締結されたか又は締結されることのある契約に基づいて行われるもの
(a) to cover payments to be made to suppliers of eligible source countries by importers in the Socialist Republic of Viet Nam under such contracts as have been and/or may be entered into between them for purchases of such products as will be enumerated in a list to be mutually agreed upon between the authorities concerned of the two Governments and for purchases of services incidental to the purchases of those products; and
(b) ヴィエトナム社会主義共和国政府が調達適格国のコンサルタントに対して行う支払で、計画の実施及び(a)にいう生産物の調達に関連する役務の購入のためにヴィエトナム社会主義共和国政府とコンサルタントとの間で締結されることのある契約に基づいて行われるもの
(b) to cover payments to be made by the Government of the Socialist Republic of Viet Nam to consultants of eligible source countries under such contracts as may be entered into between them for purchases of services related to the implementation of the Programs and to the procurement of products mentioned in sub-paragraph (a) above.
(a)及び(b)にいう購入は、調達適格国において、それらの国で生産される生産物又はそれらの国から供給される役務について行われる。
The purchases mentioned in sub-paragraphs (a) and (b) above shall be made in such eligible source countries for products produced in and services supplied from those countries.
(2) (1)(a)にいう表には、両政府の関係当局間の合意によって修正を加えることができる。
(2) The list mentioned in sub-paragraph (1)(a) above may be modified by agreement between the authorities concerned of the two Governments.
4(1) ヴィエトナム社会主義共和国政府は、ヴィエトナム社会主義共和国政府の名義でヴィエトナム外国貿易銀行に開設される見返資金勘定に同銀行が3(1)(a)の規定に基づいて行われる借款の円貨による支出の額に等しい額をヴィエトナム通貨で振り替えるようにするための措置をとる。このようにして振り替えられたヴィエトナム通貨は、ヴィエトナム社会主義共和国政府の経済社会開発事業計画のために使用されなければならない。
4. (1) The Government of the Socialist Republic of Viet Nam will take measures to have the equivalent in Vietnamese currency of the amount of yen disbursements of the Loan II to be made under sub-paragraph (1)(a) of paragraph 3 transferred by the Bank for Foreign Trade of Viet Nam to the counterpart fund account opened in the name of the Government of the Socialist Republic of Viet Nam in the Bank for Foreign Trade of Viet Nam. The amount of Vietnamese currency thus transferred shall be used for the economic and social development projects of the Government of the Socialist Republic of Viet Nam.
(2) ヴィエトナム社会主義共和国政府は、日本国政府に対し、(1)にいう見返資金の使用についての報告を提出する。
(2) The Government of the Socialist Republic of Viet Nam will furnish the Government of Japan with reports on the use of the counterpart fund mentioned in sub-paragraph (1) above.

III
1 I2(1)(c)及びII2(c)にいうそれぞれの支出期間は、両政府の関係当局の同意を得て延長することができる。
1. The respective disbursement periods mentioned in sub-paragraph (1)(c) of paragraph 2 of Part I and sub-paragraph (c) of paragraph 2 of Part II may be extended with the consent of the authorities concerned of the two Governments.
2 I3(1)及びII3(1)にいう調達適格国のそれぞれの範囲は、両政府の関係当局間で合意される。
2. The respective scopes of eligible source countries mentioned in sub-paragraph (1) of paragraph 3 of Part I and sub-paragraph (1) of paragraph 3 of Part II will be agreed upon between the authorities concerned of the two Governments.
3 ヴィエトナム社会主義共和国政府は、I3(1)、II3(1)(a)及びII3(1)(b)にいう生産物又は役務が基金の調達のためのガイドライン(国際入札の手続が適用できないか又は適当でない場合を除くほか従うベき国際入札の手続をなかんずく定める。)に従って調達されることを確保する。
3. The Government of the Socialist Republic of Viet Nam will ensure that products and/or services mentioned in sub-paragraph (1) of paragraph 3 of Part I and sub-paragraphs (1)(a) and (1)(b) of paragraph 3 of Part II are procured in accordance with the guidelines for procurement of the Fund, which set forth, inter alia the procedures of international tendering to be followed except where such procedures are inapplicable or inappropriate.
4 ヴィエトナム社会主義共和国政府は、借款I及び借款IIに基づいて購入される生産物の海上輸送及び海上保険に関し、両国の海運会社及び海上保険会社の間の公正かつ自由な競争を妨げることのあるいかなる制限も課さない。
4. With regard to the shipping and marine insurance of products purchased under the Loan I and the Loan II, the Government of the Socialist Republic of Viet Nam will refrain from imposing any restrictions that may hinder fair and free competition between the shipping and marine insurance companies of the two countries.
5 I3(1)、II3(1)(a)及びII3(1)(b)にいう生産物又は役務の供給に関連してヴィエトナム社会主義共和国においてその役務が必要とされる日本国民は、作業の遂行のためヴィエトナム社会主義共和国への入国及び同国における滞在に必要な便宜を与えられる。
5. Japanese nationals whose services may be required in the Socialist Republic of Viet Nam in connection with the supply of products and/or services mentioned in sub-paragraph (1) of paragraph 3 of Part I and sub-paragraphs (L)(a) and (l)(b) of paragraph 3 of Part II will be accorded such facilities as may be necessary for their entry into the Socialist Republic of Viet Nam and stay therein for the performance of their work.
6 ヴィエトナム社会主義共和国政府は、次のものを免除する。
6. The Government of the Socialist Republic of Viet Nam will exempt:
(a) 基金について、借款I及び借款II並びにそれらから生ずる利子に対して又はそれらに関連してヴィエトナム社会主義共和国において課されるすべての財政課徴金又は租税
(a) The Fund from all fiscal levies or taxes imposed in the Socialist Republic of Viet Nam on and/or connection with the Loan I and the Loan II as well as interest accruing there from;
(b) 供給者、請負業者又はコンサルタントとして活動する日本国の会社について、借款I及び借款IIに基づいて行われる生産物又は役務の供給から取得する所得に対してヴィエトナム社会主義共和国において課されるすベての財政課徴金又は租税
(b) Japanese companies operating as suppliers, contractors and/or consultants from all fiscal levies or taxes imposed in the Socialist Republic of Viet Nam on the income accruing from the supply of products and/or services to be provided under the Loan I and the Loan II;
(c) 請負業者又はコンサルタントとして活動する日本国の会社について、付表に掲げる事業計画の実施又はII3(1)(b)にいう役務の供給に必要な自己の資材及び設備の輸入及び再輸出に関してヴィエトナム社会主義共和国において課されるすべての関税及び関連の財政課徴金
(c) Japanese companies operating as contractors and/or consultants from all duties and related fiscal charges imposed in the Socialist Republic of Viet Nam with respect to the import and re-export of their own materials and equipment needed for the implementation of the projects enumerated in the List or for the supply of services mentioned in sub-paragraph (1)(b) of paragraph 3 of Part II; and
(d) 付表に掲げる事業計画の実施又はII3(1)(b)にいう役務の供給に従事する日本人である被用者について、供給者、請負業者又はコンサルタントとして活動する日本国の会社から取得する個人所得に対してヴィエトナム社会主義共和国において課されるすベての財政課徴金又は租税
(d) Japanese employees engaged in the implementation of the projects enumerated in the List or engaged in the supply of services mentioned in sub-paragraph (1)(b) of paragraph 3 of Part II from all fiscal levies or taxes imposed in the Socialist Republic of Viet Nam on their personal income derived from Japanese companies operating as suppliers, contractors and/or consultants.
7 ヴィエトナム社会主義共和国政府は、次のことを確保するために必要な措置をとる。
7. The Government of the Socialist Republic of Viet Nam will take necessary measures to ensure that:
(1) 借款I及び借款IIが適正にかつ専らI3(1)、II3(1)(a)及びII3(1)(b)のそれぞれにいう生産物又は役務を購入するために使用されること。
(1) the Loan I and the Loan II be used properly and exclusively for purchases of products and/or services mentioned respectively in sub-paragraph (1) of paragraph 3 of Part I and sub-paragraphs (1)(a) and (1)(b) of paragraph 3 of Part II;
(2) 借款Iに基づいて建設される施設がこの了解に定める目的のために適正にかつ効果的に維持され及び使用されること。
(2) the facilities constructed under the Loan I be maintained and used properly and effectively for the purposes prescribed in this understanding.
8 ヴィエトナム社会主義共和国政府は、要請に応じ、日本国政府及び基金に対し、付表に掲げる事業計画及び計画の実施の進捗状況に関する情報及び資料を提供する。
8. The Government of the Socialist Republic of Viet Nam will, upon request, furnish the Government of Japan and the Fund with information and data concerning the progress of the implementation of the projects enumerated in the List and the Programs.
9 両政府は、前記の了解から又はそれに関連して生ずることのあるいかなる事項についても相互に協議する。
9. The two Governments will consult with each other in respect of any matter that may arise from or in connection with the foregoing understanding.
本使は、閣下が前記の了解をヴィエトナム社会主義共和国政府に代わって確認されれば幸いであります。
I should be grateful if Your Excellency would confirm the foregoing understanding on behalf of the Government of the Socialist Republic of Viet Nam.
