円借款の供与に関する日本国政府とタイ王国政府との間の交換公文

Bangkok, September 28, 1994
書簡をもって啓上いたします。本使は、タイ王国の経済社会開発努力を促進することを目的として供与される日本国の借款に関して、日本国政府の代表者とタイ王国政府の代表者との間で最近到達した次の了解を確認する光栄を有します。
Excellency, I have the honour to confirm the following understanding recently reached between the representatives of the Government of Japan and of the Government of the Kingdom of Thailand concerning a Japanese loan to be extended with a view to promoting the economic and social development efforts of the Kingdom of Thailand:
1(1) 八百二十三億三千四百万円(八二、三三四、〇〇〇、〇〇〇円)の額までの円貨による借款(以下「借款」という。)が、この書簡に附属する表(以下「付表」という。)に掲げる計画を実施するため、各計画につき付表に定める配分に応じ、海外経済協力基金(以下「基金」という。)により、日本国の関係法令に従って、タイ王国の政府及び国家企業(以下「タイ側の借入人」という。)に供与されることになる。
1.(1) A loan in Japanese yen up to the amount of eighty-two billion three hundred and thirty-four million yen (82,334,000,000) (hereinafter referred to as "the Loan") will be extended, in accordance with the relevant laws and regulations of Japan, to the Government and the State Enterprises of the Kingdom of Thailand (hereinafter referred to as "the Thai Borrowers") by the Overseas Economic Cooperation Fund (hereinafter referred to as "the Fund") to implement the projects enumerated in the list attached hereto (hereinafter referred to as "the List") according to the allocation for each project as specified in the List.
(2) 借款は、千九百九十三年六月二十五日に日本国政府により公表された開発途上国への資金協力計画の2(2)に沿って供与されることになる。
(2) The Loan will be extended in line with sub-paragraph (2) of paragraph 2 of the "Funds for Development" Initiative announced by the Government of Japan on June 25, 1993.
2(1) 借款は、タイ側の借入人と基金との間で締結される借款契約に基づいて使用に供される。借款の条件及び使用に関する手続は、なかんずく次の原則を含むことになる前記の借款契約によって規制される。
2.(1) The Loan will be made available by loan agreements to be concluded between the Thai Borrowers and the Fund. The terms and conditions of the Loan as well as the procedures for its utilization will be governed by the said loan agreements which will contain, inter alia, the following principles:
(a) 償還期間は、七年の据置期間の後十八年とする。
(a) The repayment period will be eighteen (18) years after the grace period of seven (7) years.
(b) 利子率は、年三パーセントとする。
(b) The rate of interest will be three (3) per cent per annum.
(c) 支出期間は、付表の4及び5に掲げる計画については、関係借款契約の発効の日から六年とし、付表の1、2、3及び6に掲げる計画については、関係借款契約の発効の白から七年とする。
(c) The disbursement period will be six (6) years with regard to the projects mentioned in 4 and 5 of the List, and seven (7) years with regard to the projects mentioned in 1, 2, 3 and 6 of the List from the date of coming into force of the relevant loan agreement.
(2) (1)にいう借款契約の各々は、基金が当該借款契約に係る計画の実行可能性(環境に対する配慮を含む。)を確認した後に締結される。
(2) Each of the loan agreements mentioned in sub-paragraph (1) above will be concluded after the Fund is satisfied of the feasibility, including environmental consideration, of the project to which such loan agreement relates.
(3) (1)(c)にいう支出期間は、両政府の関係当局の同意を得て延長することができる。
(3) The disbursement periods mentioned in sub-paragraph (1) (c) above may be extended with the consent of the authorities concerned of the two Governments.
3 タイ王国の国家企業に供与される借款の元本の償還及び利子の支払は、タイ王国政府によって保証される。
3. The repayment of principal of the Loan extended to the State Enterprises of the Kingdom of Thailand, as well as the payment of interest thereon, shall be guaranteed by the Government of the Kingdom of Thailand.
4(1) 借款は、タイの実施機関が調達適格国の供給者、請負業者又はコンサルタントに対して行う支払で、付表に掲げる計画の実施に必要な生産物又は役務の購入のために両者の間で既に締結されたか又は締結されることのある契約に基づいて行われるものを対象として使用に供される。ただし、当該購入は、調達適格国において、それらの国で生産される生産物又はそれらの国から供給される役務について行われる。
4.(1) The Loan will be made available to cover payments to be made by Thai executing agencies to suppliers, contractors and/or consultants of eligible source countries under such contracts as have been and/or may be entered into between them for purchases of products and/or services required for the implementation of the projects enumerated in the List, provided that such purchases are made in such eligible source countries for products produced in and/or services supplied from those countries.
(2) (1)にいう調達適格国の範囲は、両政府の関係当局間で合意される。
(2) The scope of eligible source countries mentioned in sub-paragraph (1) above will be agreed upon between the authorities concerned of the two Governments.
(3) 借款の一部は、付表に掲げる計画の実施のための適格な現地通貨の需要に充てるために使用することができる。
(3) A part of the Loan may be used to cover eligible local currency requirements for the implementation of the projects enumerated in the List.
5 タイ王国政府は、4(1)にいう生産物又は役務が基金の調達のためのガイドライン(国際入札の手続が適用できないか又は適当でない場合を除くほか従うベき国際入札の手続をなかんずく定める。)に従って調達されることを確保する。
5. The Government of the Kingdom of Thailand will ensure that products and/or services mentioned in sub-paragraph (1) of paragraph 4 are procured in accordance with the guidelines for procurement of the Fund, which set forth, inter alia, the procedures of international tendering to be followed except where such procedures are inapplicable or inappropriate.
6 4(1)にいう生産物又は役務の供給に関連してタイ王国においてその役務が必要とされる日本国民は、タイ王国の関係法令に従って、作業の遂行のためタイ王国への入国及び同国における滞在に必要な便宜を与えられる。
6. Japanese nationals whose services may be required in the Kingdom of Thailand in connection with the supply of products and/or services mentioned in sub-paragraph (1) of paragraph 4 will be accorded, in accordance with the relevant laws and regulations of the Kingdom of Thailand, such facilities as may be necessary for their entry into the Kingdom of Thailand and stay therein for the performance of their work.
7 タイ王国政府は、基金について、借款及びそれから生ずる利子に対して又はそれらに関連してタイ王国の法律に基づいて課されるすベての財政課徴金又は租税を免除する。
7. The Government of the Kingdom of Thailand will exempt the Fund from all fiscal levies or taxes imposed under the laws of the Kingdom of Thailand on and/or in connection with the Loan as well as interest accruing there from.
8 タイ王国政府は、借款に基づいて購入される生産物の海上輸送及び海上保険に関し、両国の海運会社及び海上保険会社の公正かつ自由な競争を妨げることのあるいかなる制限も課さない。
8. With regard to the shipping and marine insurance of products purchased under the Loan, the Government on the Kingdom of Thailand will refrain from imposing any restrictions that may hinder fair and free competition of the shipping and marine insurance companies of the two countries.
9 タイ王国政府は、次のことを確保するために必要な措置をとる。
9. The Government on the Kingdom of Thailand will take necessary measures to ensure that:
(1) 借款が適正にかつ専ら付表に掲げる計画のために使用されること。
(1) The Loan be used properly and exclusively for the projects enumerated in the List; and
(2) 借款に基づいて建設される施設がこの了解に定める目的のために適正にかつ効果的に維持され及び使用されること。
(2) The facilities constructed under the Loan be maintained and used properly and effectively for the purposes prescribed in this understanding.
10(1) タイ王国政府は、要請に応じ、日本国政府及び基金に対し、付表に掲げる計画の実施の進捗状況に関する情報及び資料を提出する。
10. (1) The Government on the Kingdom on Thailand will, upon request, furnish the Government on Japan and the Fund with information and data concerning the progress of the implementation of the projects enumerated in the List.
(2) 両政府は、共同して借款の実施の進捗状況を毎年又は必要に応じ随時検討し、借款の円滑かつ効果的な使用を確保するため必要に応じ適当な措置をとる。基金は、その検討に参加するよう招かれることがある。
(2) The two Governments will jointly review annually, and from time to time, if necessary, the progress of the implementation of the Loan and take appropriate measures, if necessary, to secure smooth and effective utilization of the Loan. The Fund may be invited to participate in such review.
11 両政府は、前記の了解から又はそれに関連して生ずることのあるいかなる事項についても相互に協議する。
11. The two Governments will consult with each other with respect to any matter that may arise from or in connection with the foregoing understanding.
本使は、閣下が前記の了解をタイ王国政府に代わって確認されれば幸いであります。
I should be grateful if Your Excellency would confirm the foregoing understanding on behalf on the Government on the Kingdom of Thailand.
