円借款の供与に関する日本国政府とフィリピン共和国政府との間の交換公文

(Japanese Note)

　Manila, July 15, 1994

　書簡をもって啓上いたします。本使は、フィリピン共和国の経済の開発及び安定のための努力を促進することを目的として供与される日本国の借款に関して日本国政府の代表者とフィリピン共和国政府の代表者との間で最近到達した次の了解を確認する光栄を有します。

　Excellency,
I have the honour to confirm the following understanding recently reached between the representatives of the Government of Japan and of the Government of the Republic of the Philippines concerning a Japanese loan to be extended with a view to promoting the economic development and the stabilization efforts of the Republic of the Philippines:

1(1)　百十四億三千三百万円(一一、四三三、〇〇〇、〇〇〇円)の額までの円貨による借款(以下「借款」という。)が、地方電化計画(以下「計画」という。)の実施のため、海外経済協力基金(以下「基金」という。)により、日本国の関係法令に従って、フィリピン共和国政府に供与されることになる。

1.(1) A loan in Japanese yen up to the amount of eleven billion four hundred and thirty-three million yen (1,433,000,000) (hereinafter referred to as "the Loan") will be extended, in accordance with the relevant laws and regulations of Japan, to the Government of the Republic of the Philippines by the Overseas Economic Cooperation Fund (hereinafter referred to as "the Fund") for the implementation of the Rural Electrification Project (hereinafter referred to as "the Project").

(2)　借款は、千九百九十三年六月二十五日に日本国政府により公表された開発途上国への資金協力計画の2(2)に沿って供与されることになる。

(2) The Loan will be extended in line with sub-paragraph (2) of paragraph 2 of the "Funds for Development" Initiative announced by the Government of Japan on June 25, 1993.

2(1)　借款は、フィリピン共和国政府と基金との間で締結される借款契約に基づいて使用に供される。借款の条件及び使用に関する手続は、なかんずく次の原則を含むことになる前記の借款契約によって規制される。

2.(1) The Loan will be made available by a loan agreement to be concluded between the Government of the Republic of the Philippines and the Fund. The tens and conditions of the Loan as veil as the procedures for its utilization will be governed by the said loan agreement which will contain, inter alia, the following principles:

(a)　償還期間は、十年の据置期間の後二十年とする。

(a) The repayment period will be twenty (20) years after the grace period of ten (10) years.

(b)　利子率は、年三パーセントとする。

(b) The rate of interest will be three (3) per cent Per annum.

(c)　支出期間は、前記の借款契約の発効の日から七年とする。

(c) The disbursement period will be seven (7) years from the date of coming into force of the said loan agreement.

(2)　(1)にいう借款契約は、基金が計画の実行可能性(環境に対する配慮を含む。)を確認した後に締結されれる。

(2) The loan agreement mentioned in sub-paragraph (1) above will be concluded after the Fund is satisfied of the feasibility, including environmental consideration, of the Project.

(3)　(1)(c)にいう支出期間は、両政府の関係当局の同意を得て延長することができる。

(3) The disbursement period mentioned in sub-paragraph (1)(c) above may be extended with the consent of the authorities concerned of the two Governments.

3(1)　借款は、フィリピンの実施機関が調達適格国の供給者、請負業者又はコンサルタントに対して行う支払で、計画の実施に必要な生産物又は役務の購入のために両者の間で締結されることのある契約に基づいて行われるものを対象として使用に供される。ただし、当該購入は、調達適格国において、それらの国で生産される生産物又はそれらの国から供給される役務について行われる。

3.(1) The Loan will be made available to cover payments to be made by the Philippine executing agencies to suppliers, contractors and/or consultants of eligible source countries under such contracts as may be entered into between then for purchases of products and/or services required for the implementation of the Project, provided that such purchases are made in such eligible source countries for products produced in and/or services supplied from those countries.

(2)　(1)にいう調達適格国の範囲は、両政府の関係当局間で合意される。

(2) The scope of eligible source countries mentioned in sub-paragraph (1) above will be agreed upon between the authorities concerned of the two Governments.

(3)　借款の一部は、計画の実施のための適格な現地通貨の需要に充てるために使用することができる。

(3) A part of the Loan may be used to cover eligible local currency requirements for the implementation of the Project.

4　フィリピン共和国政府は、3(1)にいう生産物又は役務が基金の調達のためのガイドライン(国際入札の手続が適用できないか又は適当でない場合を除くほか従うべき国際入札の手続をなかんずく定める。)に従って調達されることを確保する。

4. The Government of the Republic of the Philippines will ensure that products and/or services mentioned in sub-paragraph (1) of paragraph 3 are procured in accordance with the guidelines for procurement of the Fund, which set forth, inter alia, the procedures of international tendering to be followed except where such procedures are inapplicable or inappropriate.

5(1)　フィリピン共和国政府は、要請に応じ、日本国政府に対し、計画の実施の進捗状況についての報告を提出する。

5.(1) The Government of the Republic of the Philippines will, upon request, furnish the Government of Japan with reports on the progress of the implementation of the Project.

(2)　両政府は、(1)にいう報告に基づいて、共同して借款の実施状況を随時検討し、必要に応じ、借款の円滑かつ効果的な使用を確保するために適当な措置をとる。基金は、その検討に参加するよう招かれる。

(2) The two Governments will jointly review from time to time, on the basis of the reports mentioned in sub-paragraph (1) above, the progress of the implementation of the Loan and take, if necessary, appropriate measures to secure smooth and effective utilization of the Loan. The Fund will be invited to participate in such review.

6　3(1)にいう契約に基づいて行われる生産物又は役務の供給に関連してフィリピン共和国においてその役務が必要とされる日本国民は、作業の遂行のためフィリピン共和国への入国及び同国における滞在に必要な便宜を与えられる。

6. Japanese nationals whose services may be required in the Republic of the Philippines in connection with the supply of products and/or services to be provided under the contracts referred to in sub-paragraph (1) of paragraph 3 will be accorded such facilities as may be necessary for their entry into the Republic of the Philippines and stay therein for the performance of their work.

7(1)　フィリピン共和国政府は、基金について、借款及びそれから生ずる利子に対して又はそれらに関連してフィリピン共和国において課されるすべての財政課徴金又は租税を免除する。

7.(1) The Government of the Republic of the Philippines will exempt the Fund from all fiscal levies or taxes imposed in the Republic of the Philippines on and/or in connection with the Loan as well as interest accruing there from.

(2)　フィリピン共和国政府は、供給者、請負業者又はコンサルタントとして活動する日本国の会社及び国民が借款に基づいて行われる生産物若しくは役務の供給から取得する所得に対して又はそれに関連してフィリピン共和国において課されるすべての財政課徴金又は租税を自ら又はその実施機関若しくは関係機関を通じて負担する。

(2) The Government of the Republic of the Philippines will, itself or through its executing agencies or instrumentalities, assume all fiscal levies or taxes imposed in the Republic of the Philippines on Japanese firms and nationals operating as suppliers, contractors or consultants on and/or in connection with any income that may accrue from the supply of products and/or services to be provided under the Loan.

8(1)　両政府は、借款に基づいて購入される生産物の海上輸送に関し、千九百七十九年五月十日にマニラで署名された日本国とフィリピン共和国との間の友好通商航海条約に基づいて海運を発展させるために相互の協力を促進する。

8.(1) with regard to the shipping of products purchased under the Loan, the two Governments will promote mutual cooperation for the development of shipping, under the Treaty of Amity, Commerce and Navigation between Japan and the Republic of the Philippines signed at Manila on 10 May, 1979.

(2)　両政府は、借款に基づいて購入される生産物の海上保険に関し、それぞれの国の関係法令の範囲内で、両国の海上保険会社の間の公正かつ自由な競争を妨げることのあるいかなる制限も課さない。

(2) With regard to the marine insurance of products purchased under the Loan, the two Governments will refrain, within the scope of the relevant laws and regulations of their respective countries, from imposing any restrictions that may hinder fair and free competition between the marine insurance companies of the two countries.

9　フィリピン共和国政府は、次のことを確保するために必要な措置をとる。

9. The Government of the Republic of the Philippines will take necessary measures to ensure that:

(a)　借款が適正にかつ専ら計画のために使用されること。

(a) the Loan be used properly and exclusively for the Project; and

(b)　借款に基づいて建設される施設がこの了解に定める目的のために適正にかつ効果的に維持され及び使用されること。

(b) the facilities constructed under the Loan be maintained and used properly and effectively for the purposes prescribed in this understanding.

10　両政府は、この了解から又はそれに関連して生ずることのあるいかなる事項についても相互に協議する。

10. The two Governments will consult with each other with respect to any matter that may arise from or in connection with this understanding.

　本使は、閣下が前記の了解をフィリピン共和国政府に代わって確認されれば幸いであります。

　I should be grateful if Your Excellency would confirm the foregoing understanding on behalf of the Government of the Republic of the Philippines.

　本使は、以上を申し進めるに際し、ここに重ねて閣下に向かって敬意を表します。
