円借款の供与に関する日本国政府とマレイシア政府との間の交換公文

Kuala Lumpur, July 15, 1994 The Honourable Datuk Clifford F. Herbert,
書簡をもって啓上いたします。本使は、日本国とマレイシアとの間の友好関係及び経済協力を強化することを目的として供与される日本国の借款に関して日本国政府の代表者とマレイシア政府の代表者との間で最近到達した次の了解を確認する光栄を有します。
I have the honour to confirm the following understanding recently reached between the representatives of the Government of Japan and of the Government of Malaysia concerning a Japanese loan to be extended with a view to strengthening the friendly relations and economic cooperation between the two countries:
1(1) 六百十五億千八百万円(六一、五一八、〇〇〇、〇〇〇円)の額までの円貨による借款(以下「借款」という。)が、クアラ･ランプール新空港建設計画(以下「計画」という。)の実施のため、海外経済協力基金(以下「基金」という。)により、日本国の関係法令に従って、KL国際空港公団(以下「借入人」という。)に供与されることになる。
1. (1) A loan in Japanese yen up to the amount of sixty-one billion five hundred and eighteen million yen (61,518,000,000) (hereinafter referred to as "the Loan") will be extended to the KL International Airport Berhad (hereinafter referred to as "the Borrower") by the Overseas Economic Cooperation Fund (hereinafter referred to as "the Fund") in accordance with the relevant laws and regulations of Japan for the implementation of the Kuala Lumpur International Airport Project (hereinafter referred to as "the Project").
(2) 借款は、千九百九十三年六月二十五日に日本国政府により公表された開発途上国への資金協力計画の2(2)に沿って供与されることになる。
(2) The Loan will be extended in line with sub-paragraph (2) of paragraph 2 of the "Funds for Development" Initiative announced by the Government of Japan on June 25, 1993.
2(1) 借款は、借入人と基金との間で締結される借款契約に基づいて使用に供される。借款の条件及び使用に関する手続は、なかんずく次の原則を含むことになる前記の借款契約によって規制される。
2. (1) The Loan will be made available by a loan agreement to be concluded between the Borrower and the Fund. The terms and conditions of the Loan as well as the procedures for its utilization will be governed by the said loan agreement which will contain, inter alia, the following principles:
(a) 償還期間は、七年の据置期間の後十八年とする。
(a) The repayment period will be eighteen (18) years after the grace period of seven (7) years;
(b) 利子率は、年三パーセントとする。
(b) The rate of interest will be three (3.0) percent per annum; and
(c) 支出期間は、前記の借款契約の発効の日から七年とする。
(c) The disbursement period will be seven (7) years from the date of coming into force of the said loan agreement.
(2) (1)にいう借款契約は、基金が計画の実行可能性(環境に対する配慮を含む。)を確認した後に締結される。
(2) The loan agreement mentioned in sub-paragraph (1) above will be concluded after the Fund is satisfied of the feasibility, including environmental consideration, of the Project.
(3) (1)(c)にいう支出期間は、両政府の関係当局の同意を得て延長することができる。
(3) The disbursement period mentioned in sub-paragraph (1) (c) above may be extended with the consent of the authorities concerned of the two Governments.
3(1) 借款は、マレイシアの実施機関が調達適格国の供給者、請負業者又はコンサルタントに対して既に行ったか又は行う支払で、計画の実施に必要な生産物又は役務の購入のために両者の間で既に締結されたか又は締結されることのある契約に基づいて行われるものを対象として使用に供される。ただし、当該購入は、調達適格国において、それらの国で生産される生産物又はそれらの国から供給される役務について行われる。
3. (1) The Loan will be made available to cover payments already made and/or to be made by Malaysian executing agency to suppliers, contractors and/or consultants of eligible source countries under such contracts as have been or may be entered into between them for purchases of products and/or services required for the implementation of the Project, provided that such purchases are made in such eligible source countries for products produced in and/or services supplied from those countries.
(2) (1)にいう調達適格国の範囲は、両政府の関係当局間で合意される。
(2) The scope of eligible source countries mentioned in sub-paragraph (1) above will be agreed upon between the authorities concerned of the two Governments.
(3) 借款の一部は、計画の実施のための適格な現地通貨の需要に充てるために使用することができる。
(3) A part of the Loan may be used to cover eligible local currency requirements for the implementation of the Project.
4 借款の元本の償還及び利子の支払は、マレイシア政府によって保証される。
4. The repayment of principal of the Loan as well as the payment of interest thereon shall be guaranteed by the Government of Malaysia.
5 マレイシア政府は、3(1)にいう生産物又は役務が基金の調達のためのガイドライン(国際入札の手続が適用できないか又は適当でない場合を除くほか従うべき国際入札の手続をなかんずく定める。)に従って調達されることを確保する。
5. The Government of Malaysia will ensure that products and/or services mentioned in sub-paragraph (1) of paragraph 3 are procured in accordance with the guidelines for procurement of the Fund, which set forth, inter alia, the procedures of international tendering to be followed except where such procedures are inapplicable or inappropriate.
6 3(1)にいう生産物又は役務の供給に関連してマレイシアにおいてその役務が必要とされる日本国民は、作業の遂行のためマレイシアヘの入国及び同国における滞在に必要な便宜を与えられる。
6. Japanese nationals whose services may be required in Malaysia in connection with the supply of products and/or services mentioned in sub-paragraph (1) of paragraph 3 will be accorded such facilities as may be necessary for their entry into Malaysia and stay therein for the performance of their work.
7 マレイシア政府は、基金について、借款及びそれらから生ずる利子に対して又はそれらに関連してマレイシアにおいて課されるすべての財政課徴金又は租税を免除する。
7. The Government of Malaysia will exempt the Fund from all fiscal levies or taxes imposed in Malaysia on and/or in connection with the Loan as well as interest accruing there from.
8 マレイシア政府は、借款に基づいて購入される生産物の海上輸送及び海上保険に関し、両国の海運会社及び海上保険会社の公正かつ自由な競争を妨げることのあるいかなる制限も課さない。
8. With regard to the shipping and marine insurance of products purchased under the Loan, the Government of Malaysia will refrain from imposing any restrictions that may hinder fair and free competition of the shipping and marine insurance companies of the two countries.
9 マレイシア政府は、次のことを確保するために必要な措置をとる。
9. The Government of Malaysia will take necessary measures to ensure that:
(a) 借款が適正にかつ専ら計画のために使用されること。
(a) the Loan be used properly and exclusively for the Project, and
(b) 借款に基づいて建設される施設がこの了解に定める目的のために適正にかつ効果的に維持され及び使用されること。
(b) the facilities constructed under the Loan be maintained and used properly and effectively for the purposes prescribed in this understanding.
10 マレイシア政府は、要請に応じ、日本国政府及び基金に対し、計画の実施の進捗状況に関する情報及び資料を提供する。
10. The Government of Malaysia will, upon request, furnish the Government of Japan and the Fund with information and data concerning the progress of the implementation of the Project.
11 両政府は、前記の了解から又はそれに関連して生ずることのあるいかなる事項についても、毎年又は必要に応じ随時相互に協議する。
11. The two Governments will, annually and from time to time if necessary, consult with each other in respect of any matter that may arise from or in connection with the foregoing understanding.
本使は、貴官が前記の了解をマレイシア政府に代わって確認されれば幸いであります。
I should be grateful if you would confirm the foregoing understanding on behalf of the Government of Malaysia.
