円借款の供与に関する日本国政府とイラン・イスラム共和国政府との間の交換公文

(Japanese Note)Tehran, May 29, 1993Excellency,
書簡をもって啓上いたします。本使は、イラン・イスラム共和国政府の経済の再建及び開発のための努力に寄与し、また、日本国とイラン・イスラム共和国との間の友好関係及び経済協力を強化することを目的として供与される日本国の借款に関して日本国政府の代表者とイラン・イスラム共和国政府の代表者との間で最近到達した次の了解を確認する光栄を有します。
I have the honour to confirm the following understanding recently reached between the representatives of the Government of Japan and of the Government of the Islamic Republic of Iran concerning a Japanese loan to be extended with a view to contributing to the efforts of the Government of the Islamic Republic of Iran for economic reconstruction and development, as well as to strengthening the friendly relations and economic cooperation between the two countries:
1 三百八十六億千四百万円(三八、六一四、〇〇〇、〇〇〇円)の額までの円貨による借款(以下「借款」という。)が、ゴダーレ・ランダール水力発電計画(以下「計画」という。)を実施するため、海外経済協力基金(以下「基金」という。)により、日本国の関係法令に従って、イラン・イスラム共和国政府に供与されることになる。
1. A loan in Japanese Yen up to the amount of thirty-eight billion six hundred and fourteen million yen (38,614,000,000) (hereinafter referred to as "the Loan") will be extended to the Government of the Islamic Republic of Iran by the overseas Economic Cooperation Fund (hereinafter referred to as "the Fund") in accordance with the relevant laws and regulations of Japan to implement the Godar-e-Landar Hydroelectric Power Project (hereinafter referred to as "the Project").
2(1) 借款は、イラン・イスラム共和国政府と基金との間で締結される借款契約に基づいて使用に供される。借款の条件及び使用に関する手続は、なかんずく次の原則を含むことになる前記の借款契約によって規制される。
2.(1) The Loan will be made available by a loan agreement to be concluded between the Government of the Islamic Republic of Iran and the Fund. The terms and conditions of the Loan as well as the procedures for its utilization will be governed by the said loan agreement which will contain, inter alia, the following principles:
(a) 償還期間は、七年の据置期間の後十八年とする。
(a) The repayment period will be eighteen (18)years after the grace period of seven (7) years.
(b) 利子率は、年三パーセントとする。
(b) The rate of interest will be three (3) per cent per annum.
(c) 支出期間は、前記の借款契約の発効の日から十年とする。
(c) The disbursement period will be ten (10) years from the date of coming into force of the said loan agreement.
(2) (1)にいう借款契約は、基金が計画の実行可能性(環境に対する配慮を含む。)を確認した後に締結される。
(2) The loan agreement mentioned in subparagraph (1) above will be concluded after the Fund is satisfied of the feasibility, including environmental consideration, of the Project.
(3) (1)(c)にいう支出期間は、両政府の関係当局の同意を得て延長することができる。
(3) The disbursement period mentioned in sub-paragraph (1) (c) above may be extended with the consent of the authorities concerned of the two Governments.
3(1) 借款は、イランの実施機関が調達適格国の供給者、請負業者又はコンサルタントに対して行う支払で、計画の実施に必要な生産物又は役務の購入のために両者の間で既に締結されたか又は締結されることのある契約に基づいて行われるものを対象として使用に供される。ただし、当該購入は、調達適格国において、それらの国で生産される生産物又はそれらの国から供給される役務について行われる。
3.(1) The Loan will be made available to cover payments to be made by the Iranian executing agency to suppliers, contractors and/or consultants of eligible source countries under such contracts as have been or may be entered into between them for purchases of products and/or services required for the implementation of the Project, provided that such purchases are made in eligible source countries for products produce in and/or services supplied from those countries.
(2) (1)にいう調達適格国の範囲は、両政府の関係当局間で合意される。
(2) The scope of eligible source countries mentioned in sub-paragraph (1) above will be agreed upon between the authorities concerned of the two Governments.
4 イラン・イスラム共和国政府は、3(1)にいう生産物又は役務が基金の調達のためのガイドライン(国際入札の手続が適用できないか又は適当でない場合を除くほか従うべき国際入札の手続をなかんずく定める。)に従って調達されることを確保する。
4. The Government of the Islamic Republic of Iran will ensure that the products and/or services mentioned in sub-paragraph (1) of paragraph 3 are procured in accordance with the guidelines for procurement of the Fund which set forth, inter alia, the procedures of international tendering to be followed except where such procedures are inapplicable or inappropriate.
5(1) イラン・イスラム共和国政府は、借款に基づいて購入される生産物の海上輸送に関し、両国の海運会社の公正かつ自由な競争を妨げることのあるいかなる制限も課さない。
5.(1) With regard to the shipping of products purchased under the Loan, the Government of the Islamic Republic of Iran will refrain from imposing any restrictions that may hinder fair and free competition of the shipping companies of the two countries.
(2) イラン・イスラム共和国政府は、借款に基づいて購入される生産物の海上保険に関し、イラン・イスラム共和国の関係法令の範囲内で両国の海上保険会社の公正な競争のために必要な措置をとる。
(2) With regard to the marine insurance of products purchased under the Loan, the Government of the Islamic Republic of Iran will take necessary measures for fair competition of the marine insurance companies of the two countries within the scope of the relevant laws and regulations of the Islamic Republic of Iran.
6 3(1)にいう生産物又は役務の供給に関連してイラン・イスラム共和国においてその役務が必要とされる日本国民は、イラン・イスラム共和国への入国、同国における滞在及び同国からの出国に必要な便宣(入国査証、滞在許可、就労許可及び出国査証の取得の申請に対する好意的な配慮を含む。)を与えられる。
6. Japanese nationals whose services may be required in the Islamic Republic of Iran in connection with the supply of products and/or services mentioned in sub-paragraph (1) of paragraph 3 will be accorded facilities, which may be necessary for entry into, stay in and departure from the Islamic Republic of Iran, including favourable consideration to applications for acquisition of entry visa, resident permit, work permit and exit visa.
7(1) 基金は、借款及びそれから生ずる利子に対して又はそれらに関連してイラン・イスラム共和国において課されるすべての財政課徴金又は租税を免除される。
7.(1) The Fund is exempted from all fiscal levies or taxes imposed in the Islamic Republic of Iran on and/or in connection with the Loan as well as interest accruing therefrom.
(2) 供給者、請負業者又はコンサルタントとして活動する日本国の会社が借款に基づいて行う生産物又は役務の供給から取得する所得に関してイラン・イスラム共和国において課されるすべての財政課徴金又は租税は、3(1)にいうイランの実施機関によって負担される。
(2) All the charge of fiscal levies or taxes imposed in the Islamic Republic of Iran with respect to the income accruing from the supply of products and/or services to be provided under the Loan by the Japanese companies operating as suppliers, contractors and/or consultants will be met or borne by the Iranian executing agency mentioned in subparagraph (1) of paragraph 3.
(3) 計画の実施のために必要な自己の資材及び設備の請負業者又はコンサルタントとして活動する日本国の会社による輸入及び再輸出に関してイラン・イスラム共和国において課されるすべての関税及び関連の財政課徴金は、3(1)にいうイランの実施機関によって負担される。
(3) All the charge of duties and related fiscal charges imposed in the Islamic Republic of Iran with respect to the import and re-export of the materials and equipment needed for the implementation of the Project by the Japanese companies operating as contractors and/or consultants will be met or borne by the Iranian executing agency mentioned in sub-paragraph (1) of paragraph 3.
(4) 計画の実施に従事する日本人の被用者が供給者、請負業者又はコンサルタントとして活動する日本国の会社から取得する個人所得に関してイラン・イスラム共和国において課されるすべての財政課徴金又は租税は、3(1)にいうイランの実施機関によって負担される。
(4) All the cahrge of fiscal levies or taxes imposed in the Islamic Republic of Iran with respect to personal income of Japanese employees engaged in the implementation of the Project derived from Japanese companies operating as suppliers, contractors and/or consultants will be met or borne by the Iranian executing agency mentioned in subparagraph (1) of paragraph 3.
8 イラン・イスラム共和国政府は、次のことを確保するために必要な措置をとる。
8. The Government of the Islamic Republic of Iran will take necessary measures to ensure that:
(a) 借款が適正にかつ専ら計画のために使用されること。
(a) the Loan be used properly and exclusively for the Project; and
(b) 借款に基づいて建設される施設がこの了解に定める目的のために適正にかつ効果的に維持され及び使用されること。
(b) the facilities constructed under the Loan be maintained and used properly and effectively for the purposes prescribed in this understanding.
9 イラン・イスラム共和国政府は、要請に応じ、日本国政府及び基金に対し、計画の実施の進捗状況に関する情報及び資料を提供する。
9. The Government of the Islamic Republic of Iran will, upon request, furnish the Government of Japan and the Fund with information and date concerning the progress of the implementation of the Project.
10 両政府は、前記の了解から又はそれに関連して生ずることのあるいかなる事項についても相互に協議する。
10. The two Governments will consult with each other with respect to any matter that may arise from or in connection with the foregoing understanding.
本使は、閣下が前記の了解をイラン・イスラム共和国政府に代わって確認されれば幸いであります。
I should be grateful if Your Excellency would confirm the foregoing understanding on behalf of the Government of the Islamic Republic of Iran.
