円借款の供与に関する日本国政府とマレイシア政府との間の交換公文

Kuala Lumpur, 28 May 1992
書簡をもって啓上いたします。本使は、日本国とマレイシアとの間の友好関係及び経済協力を強化することを目的としてマレイシアに対して供与される日本国の借款に関して日本国政府の代表者とマレイシア政府の代表者との間で最近到達した次の了解を確認する光栄を有します。
Excellency, I have the honour to confirm the following understanding recently reached between the representatives of the Government of Japan and of the Government of Malaysia concerning a Japanese loan to be extended to Malaysia with a view to strengthening the friendly relations and economic cooperation between the two countries:

1(1) 四百八十九憶五千百万円(四八、九五一、〇〇〇、〇〇〇円)の額までの円貨による借款(以下「借款I」という。)が、この書簡に附属する事業計画表(以下「事業計画表」という。)に掲げる計画の実施のため、各計画につき事業計画表に定める配分に応じ、海外経済協力基金(以下「基金」という。)により、日本国の関係法令に従って、マレイシア政府及びマレイシアの公社(以下「マレイシア側の借入人」と総称する。)に供与されることになる。
1.(1) A loan in Japanese yen up to the amount of forty-eight billion nine hundred fifty-one million yen (48, 951, 000, 000) (hereinafter referred to as "the Loan I") will be extended to the Government and governmental corporations of Malaysia (hereinafter jointly referred to as "the Malaysian Borrowers" by the Overseas Economic Cooperation Fund (hereinafter referred to as "the Fund") in accordance with the relevant laws and regulations of Japan for the implementation of the projects enumerated in the Project List attached hereto (hereinafter referred to as "the Project List"), according to the allocation for each project as specified in the Project List.
(2) 事業計画表の3及び4に掲げる計画に対する借款Iは、資金還流措置の下で供与されることになる。
(2) The Loan I for the projects mentioned in 3 and 4 of the Project List will be extended under the Financial Recycling Scheme.
2(1) 借款Iは、関係するマレイシア側の借入人と基金との間で締結される借款契約に基づいて使用に供される。借款Iの条件及び使用に関する手続は、なかんずく次の原則を含むことになる前記の借款契約によって規制される。
2.(1) The Loan I will be made available by loan agreements to be concluded between the relevant Malaysian Borrowers and the Fund. The terms and conditions of the Loan I as well as the procedures for its utilization will be governed by the said loan agreements which will contain, inter alia, the following principles:
(a) 償還期間は、七年の据置期間の後十八年とする。
(a) The repayment Period will be eighteen (18) years after the grace period of seven (7) years.
(b) 利子率は、年三パーセントとする。
(b) The rate of interest will be three (3.0) per cent per annum.
(c) 支出期間は、事業計画表の1に掲げる計画については、関係借款契約の発効の日から十年とし、事業計画害の2に掲げる計画については、関係借款契約の発効の日から五年とし、事業計画表の3に掲げる計画についでは、関係借款契約の発効の日から七年とし、事業計画表の4に掲げる計画については、関係借款契約の発効の日から二年とする。
(c) The disbursement period will be ten (10) years with regard to the project mentioned in 1 of the Project List, five (5) years with regard to the project mentioned in 2 of the Project List, seven (7) years with regard to the project mentioned in 3 of the Project List, and two (2) years with regard to the project mentioned in 4 of the Project List from the date of coming into force of the relevant loan agreement.
(2) (1)にいう借款契約の各々は、基金が当該借款契約に係る計画の実行可能性(環境に対する配慮を合む。)を確認した後に締結される。
(2) Each of the loan agreements mentioned in sub-paragraph (1) above will be concluded after the Fund is satisfied of the feasibility, including environmental consideration, of the project to which such loan agreement relates.
(3) (1)(c)にいう支出期間は、両政府の関係当局の同意を得て延長することができる。
(3) The disbursement period mentioned in sub-paragraph (1) (c) above may be extended with the consent of the authorities concerned of the two Governments.
3(1) 借款Iは、マレイシアの実施機関が調達適格国の供給者、請負業者又はコンサルタントに対して既に行ったか又は行う支払で、事業計画表に掲げる計画の実施に必要な生産物又は役務の購入のために両者の間で既に締結されたか又は締結されることのある契約に基づいて行われるものを対象として使用に供される。ただし、当該購入は、調達適格国において、それらの国で生産される生産物又はそれらの国から供給される役務について行われる。
3.(1) The Loan I will be made available to cover payments already made and/or to be made by Malaysian executing agencies to suppliers, contractors and/or consultants of eligible source countries under such contracts as have been or may be entered into between them for purchases of products and/or services required for the implementation of the projects enumerated in the Project List, provided that such purchases are made in such eligible source countries for products produced in and/or services supplied from those countries.
(2) (1)にいう調達適格国の範囲は、両政府の関係当局間で合意される。
(2) The scope of eligible source countries mentioned in sub-paragraph (1) above will be agreed upon between the authorities concerned of the two Governments.
(3) 借款Iの一部は、事業計画表に掲げる計画の実施のための適格な現地通貨の需要に充てるために使用することができる。
(3) A part of the Loan I may be used to cover eligible local currency requirements for the implementation of the projects enumerated in the Project List.
4 1にいう公社に供与される借款Iの元本の償還及び利子の支払は、マレイシア政府によって保証される。
4. The repayment of principal of the Loan I extended to governmental corporations mentioned in paragraph 1, as well as the payment of interest thereof, shall be guaranteed by the Government of Malaysia.
5 マレイシア政府は、3(1)にいう生産物又は役務が基金の調達のためのガイドライン(国際入札の手続が適用できないか又は適当でない場合を除くほか従うべき国際入札の手続をなかんずく定める。)に従って調達されることを確保する。
5. The Government of Malaysia will ensure that products and/or services mentioned in sub-paragraph (1) of paragraph 3 are procured in accordance with the guidelines for procurement of the Fund, which set forth, inter alia, the procedures of international tendering to be followed except where such procedures are inapplicable or inappropriate.
6 3(1)にいう生産物又は役務の供給に関連してマレイシアにおいてその役務が必要とされる日本国民は、作業の遂行のためマレイシアヘの入国及び同国における滞在に必要な便宜を与えられる。

Japanese nationals whose services may be required in Malaysia in connection with the supply of products and/or services mentioned in sub-paragraph (1) of paragraph 3 will be accorded such facilities as may be necessary for their entry into Malaysia and stay therein for the performance of their work.

1 百三十九臆八千万円(一三、九八〇、〇〇〇、〇〇〇円)の額までの円貨による借款(以下「借款」という。)が、中小企業育成事業計画(以下「SMIPP」という。)の実施のため、基金により、日本国の関係法令に従って、マレイシア産業開発金融公社(以下「MIDF」という。)、インダストリ・マレイシア・べルハド銀行(以下「BIMB」という。)及びプンバングナン・マレイシア・べルハド銀行(以下「BPMB」という。)に供与されることになる。
1. A loan in Japanese yen up to the amount of thirteen billion nine hundred and eighty million yen (13,980, 000, 000) (hereinafter referred to as "the Loan") will be extended to Malaysian Industrial Development Finance Berhad (hereinafter referred to as "MIDF"), Bank Industri Malaysia Berhad (hereinafter referred to as 'BIMB") and Bank Pembangunan Malaysia Berhad (hereinafter referred to as "BPMB") by the Overseas Economic Cooperation Fund (hereinafter referred to as "the Fund") in accordance with the relevant laws and regulations of Japan for the implementation of Small and Medium Scale industry Promotion Program (hereinafter referred to as "the SMIPP").
2(1) 借款IIは、基金とMIDF、BIMB及びBPMBとの間で各々締結される借款契約に基づいて、マレイシア政府が策定した計画の下でMIDF、BIMB及びBPMBが企業に対して行う融資に充てるために使用に供される。借款IIの条件及び使用に関する手続は、なかんずく次の原則を含むことになる前記の借款契約によって規制される。
2.(1) The Loan II will be made available to cover credits to be extended by MIDF, BIMB and BPMB to the enterprises under the project formed by the Government of Malaysia, by loan agreements to be concluded between the Fund and MIDF, BIMB and BPMB respectively. The terms and conditions of the Loan II as well as the procedures for its utilization will be governed by the said loan agreements which will contain, inter alia, the following principles
(a) 償還期間は、七年の据置期間の後十八年とする。
(a) The repayment period will be eighteen (b) (18) years after the grace period of seven (7) years.
(b) 利子率は、年三パーセントとする。
(b) The rate of interest will be three (3.0) per cent per annum.
(c) 支出期間は、各々の借款契約の発効の日から五年とする。
(c) The disbursement period will be five (5) years from the date of coming into force of each of the loan agreements.
(2) (1)にいう借款契約は、基金がSMIPPの実行可能性(環境に対する配慮を含む。)を確認した後に締結される。
(2) The loan agreements mentioned in sub-paragraph (1) above will be concluded after the Fund is satisfied of the feasibility, including environmental consideration, of the SMIPP.
(3) (1)(c)にいう支出期間は、両政府の関係当局の同意を得て延長することができる。
(3) The disbursement period mentioned in sub-paragraph (1) (c) above may be extended with the consent of the authorities concerned of the two Governments.
4 1にいうMIDF、BIMB及びBPMBに供与される借款IIの元本の償還及び利子の支払は、マレイシア政府によって保証される。
(4) The repayment of principal of the Loan II extended to MIDF, BIMB and BPMB mentioned in paragraph 1, as well as the payment of interest thereon, shall be guaranteed by the Government of Malaysia.
3(1) 借款IIの一部は、MIDF、BIMB及びBPMBが調達適格国のコンサルタントに対して行う支払で、SMIPの実施に必要な役務の購入のために両者の間で締結されることのある契約に基づいて行われるものを対象として使用に供される。ただし、当該購入は、調達適格国において、それらの国から供給される役務について行われる。
3.(1) A part of the Loan II will be made available to cover payments to be made by MIDF, BIMB and BPMB to Consultants of eligible source countries under such contracts as may be entered into between them for purchases of services required for the implementation of the SMIPP, provided that such purchases are made in such eligible source countries for services supplied from those countries.
(2) (1)にいう調達適格国の範囲は、両政府の関係当局間で合意される。
(2) The scope of eligible source countries mentioned in sub-paragraph (1) above will be agreed upon between the authorities concerned of the two Governments.
4 マレイシア政府は、3(1)にいう役務が基金の調達のためのガイドライン(国際入札の手続が適用できないか又は適当でない場合を除くほか従うべき国際入札の手続をなかんずく定める。)に従って調達されることを確保する。
4. The Government of Malaysia will ensure that services mentioned in sub-paragraph (1) of paragraph 3 are procured in accordance with the guidelines for procurement of the Fund, which set forth, inter alia, the procedures of international tendering to be followed except where such procedures are inapplicable or inappropriate.
5 3(1)にいう役務の供給に関連してマレイシアにおいてその役務が必要とされる日本国民は、作業の遂行のためマレイシアヘの入国及び同国における滞在に必要な便宜を与えられる。
5. Japanese nationals whose services may be required in Malaysia in connection with the supply of services mentioned in sub-paragraph (1) of paragraph 3 will be accorded such facilities as may be necessary for their entry into Malaysia and stay therein for the performance of their work.
III
III
1 マレイシア政府は、基金について、借款I及び借款II並びにそれらから生ずる利子に対して又はそれらに関連してマレイシアにおいて課されるすべての財政課徴金又は租税を免除する。
1. The Government of Malaysia will exempt the Fund from all fiscal levies or tales imposed in Malaysia on and/or in connection with the Loan I and the Loan II as well as interest accruing therefrom.
2 マレイシア政府は、次のことを確保するために必要な措置をとる。
2. The Government of Malaysia will take necessary measures to ensure that:
(a) 借款I及び借款IIが適正にかつ専ら事業計画表に掲げる計画及びSMIPPのためにそれぞれ使用されること。
(a) the Loan I and the Loan II be used properly and exclusively for the projects enumerated in the Project List and the SMIPP respectively, and
(b) 借款Iに基づいて建設される施設がこの了解に定める目的のために適正にかつ効果的に維持され及び使用されること
(b) the facilities constructed under the Loan I be maintained and used properly and effectively for the purposes Prescribed in this understanding.
3 マレイシア政府は、要請に応じ、日本国政府及び基金に対し、事業計画表に掲げる計画及びSMIPPの実施の進捗状況に関する情報及び資料を提供する。
3. The Government of Malaysia will, upon request, furnish the Government of Japan and the Fund with information and data concerning the progress of the implementation of the projects enumerated in the Project List and the SMIPP.
4 両政府は、前記の了解から又はそれに関連して生ずることのあるいかなる事項についても、毎年又は必要に応じ随時相互に協議する。
4. The two Governments will, annually and from time to time if necessary, consult with each other in respect of any matter that may arise from or in connection with the foregoing understanding.
本使は、閣下が前記の了解をマレイシア政府に代わつて確認されれば幸いであります。
I should be grateful if Your Excellency would confirm the foregoing understanding on behalf of the Government of Malaysia.
