円借款の供与に関する日本国政府とエジプト・アラブ共和国政府との間の交換公文

書簡をもって啓上いたします。本使は、日本国とエジプト･アラブ共和国との間の友好関係及び経済協力を強化することを目的として資金還流措置の下でエジプト･アラブ共和国に対して供与される日本国の借款(今次事態によつて影響を被つた中東関係国に対する日本国の経済的支援策の一環として日本国政･府によつて表明されたもの)に関して日本国政府の代表者とエ･ジプト･アラプ共和国政府の代表者との間で最近到達した次の了解を確認する光栄を有します。
Excellency, I have the honour to confirm the following understanding recently reached between the representatives of the Government of Japan and of Egypt concerning a Japanese loan to be extended to the Arab Republic of Egypt with a view to strengthening the friendly relations sand economic cooperation between the two countries, under the Financial Recycling Scheme, announced by the Government of Japan as one of the measures for Japan's economic assistance to the Middle Eastern countries affected by the current situation:
1 百二十四億九千万円(一二、四九〇、〇〇〇、〇〇〇円)の額までの円貨による借款(以下「借款」という。)が、ベニスエフ･セメント工場建設計画Ⅲ(以下「計画」という。)の実施のため、海外経済協力基金(以下「基金」という。)により、日本国の関係法令に従つて、エジプト･アラブ共和国政府に供与されることになる。
1. A loan in Japanese yen up to the amount of twelve billion four hundred and ninety million yen (12,490,000,000) (hereinafter referred to as "the loan") will be extended to the Government of the Arab Republic of Egypt by the Overseas Economic Cooperation Fund (hereinafter referred to as "the fund") in accordance with the relevant laws and regulations of Japan for the implementation of Beni-Suef Cement Factory Construction Project III(hereinafter referred to as "the project").
2(1) 借款は、エジプト･アラブ共和国政府と基金との間で締結される借款契約に基づいて使用に供される。借款の条件及び使用に関する手続は、なかんずく次の原則を含むことになる前記の借款契約によつて規制される。
2.(1) The Loan will be made available by loan agreement to be concluded between the Government of the Arab Republic of Egypt and the Fund. The terms and conditions of the Loan as well as the procedures for its utilization will be governed by the said loan agreement which will contain, inter alia, the following principles:
(a) 償還期間は、十年の据置期間の後二十年とする。
(a) The repayment period will be twenty (20) years after the grace period of ten (10) years.
(b) 利子率は、年二･七パーセントとする。
(b) The rate of interest will be two and seven tenth (2.7) per cent per annum.
(c) 支出期間は、前記の借款契約の発効の日から五年とする。
(c) The disbursement period will be five (5) years from the date of coming into force of the said loan agreement.
(d) 事務手数料の率は、〇･一パーセントとする。
(d) The rate of the service charge will be one tenth (0.1) per cent.
(e) 借款の元本の償還又は利子の支払に延滞が生ずる場合には、延滞料が支払われなければならない。
(e) The overdue charge shall be paid where the repayment of principal of the Loan or the payment of interest thereon should be delayed.
(f) 前記に掲げるもの以外のいかなる費用の負担も基金からエジプト･アラブ共和国政府に対して求められることは、ない。
(f) No financing costs other than those referred to above will be charged by the Fund to the Government of the Arab Republic of Egypt.
(2) (1)にいう借款契約は、基金が計画の実行可能性(環境に対する配慮を含む。)を確認した後に締結される。
(2) The loan agreement mentioned in sub-paragraph (1) above will be concluded after the Fund is satisfied of the feasibility, including environmental consideration, of the Project.
(3) (1)(c)にいう支出期間は、両政府の関係当局の同意を得て延長することができる。
(3) The disbursement period mentioned in sub-paragraph (1) (c) above may be extended with the consent of the authorities concerned of the two Governments.
(4) (1)(e)にいう延滞料の率は、両政府の関係当局間で合意される。
(4) The rate of the overdue charge mentioned in sub-paragraph (1) (e) above will be agreed upon between the authorities concerned of the two Governments.
3(1) 借款は、エジプトの実施機関が調達適格国の供給者又は･請負業者に対して行う支払で、計画の実施に必要な生産物又は役務の購入のために両者の間で既に締結されたか又は締結されることのある契約に基づいて行われるものを対象として使用に供される。ただし、当該購入は、調達適格国において、それらの国で生産される生産物又はそれらの国から供給される役務について行われる。
3.(1) The Loan will be made available to cover payments to be made by Egyptian executing agencies to suppliers and/or contractors of eligible source countries under such contracts as have been or may be entered into between them for purchases of products and/or services required for the implementation of the Project, provided that such purchases are made in such eligible source countries for products produced in and/or services supplied from those countries.
(2) (1)にいう調達適格国の範囲は、両政府の関係当局間で合意される。
(2) The scope of eligible source countries mentioned in sub-paragraph (1) above will be agreed upon between the authorities concerned of the two Governments.
4 エジプト･アラブ共和国政府は、3(1)にいう生産物又は役務が基金の調達のためのガイドライン(国際入札の手続が適用できないか又は適当でない場合を除くほか従うべき国際入札の手続をなかんずく定める。)に従って調達されることを確保する。
4. The Government of the Arab Republic of Egypt will ensure that products and/or services mentioned in sub-paragraph (1) of paragraph 3 are procured in accordance with the guidelines for procurement of the Fund, which set forth, inter alia, the procedures of international tendering to be followed except where such procedures are inapplicable or inappropriate.
5 エジプト･アラブ共和国政府は、借款に基づいて購入される生産物の海上輸送及び海上保険に関し、両国の海運会社及び海上保険会社の間の公正かつ自由な競争を妨げることのあるいかなる制限も課さない。
5. With regard to the shipping and marine insurance of products purchased under the Loan, the Government of the Arab Republic of Egypt will refrain from imposing any restrictions that may hinder fair and free competition between the shipping and marine insurance companies of the two countries.
6 3(1)にいう生産物又は役務の供給に関連してエジプト･アラブ共和国においてその役務が必要とされる日本国民は、作業の遂行のためエジプト･アラブ共和国への入国及び同国における滞在に必要な便宜を与えられる。
6. Japanese nationals whose services may be required in the Arab Republic of Egypt in connection with the supply of the products and/or services mentioned in sub-paragraph (1) of paragraph 3 will be accorded such facilities as may be necessary for their entry into the Arab Republic of Egypt and stay therein for the performance of their work.
7 エジプト･アラブ共和国政府は、基金について、借款及びそれから生ずる利子に対して又はそれらに関連してエジプト･アラブ共和国において課されることのあるいかなる財政課徴金又は租税も課されないことを確保する。
7. The Government of the Arab Republic of Egypt will secure that the Fund will not be subject to any fiscal levies or taxes imposed in the Arab Republic of Egypt on and/or in connection with the Loan as well as interest accruing therefrom.
8 エジブト･アラブ共和国政府は、次のことを確保するために必要な措置をとる。
8. The Government of the Arab Republic of Egypt will take necessary measures to ensure that:
(a) 借款が適正にかつ専ら計画のために使用されること。
(a) The Loan be used properly and exclusively for the Project, and
(b) 借款に基づいて建設される施設がこの了解に定める目的のために適正にかつ効果的に維持され及び使用されること。
(b) The facilities constructed under the Loan be maintained and used properly and effectively for the purposes prescribed in this under standing.
9 エジプト･アラブ共和国政府は、妥当な要請が行われた場合には、日本国政府に対し、計画の実施の進捗状況に関する情報及び資料を提供する。
9. The Government of the Arab Republic of Egypt will, whenever reasonably asked, furnish the Government of Japan with information and data concerning the progress of the implementation of the Project.
10 両政府は、前記の了解から又はそれに関連して生ずることのあるいかなる事項についても相互に協議する。
10. The two Governments will consult with each other in respect of any matter that may arise from or in connection with the foregoing understanding.
本使は、更に、この書簡及び前記の了解をエジプト･アラブ共和国政府に代わって確認される閣下の返簡が両政府間の合意を構成するものとみなし、その合意がその効力発生のために必要な国内手続を完了した旨のエジプト･アラブ共和国政府からの書面による通告を日本国政府が受領した時に効力を生ずるものとすることを提案する光栄を有します。
I have further the honour to propose that this Note and Your Excellency's Note in reply confirming the foregoing on behalf of the Government of the Arab Republic of Egypt shall between the two Governments, which will become effective upon the receipt by the Government of Japan of the written notification from the Government of the Arab Republic of Egypt of the completion of necessary domestic procedures for the entry into force of such agreement.

This Note is written in the Japanese Arabic and English languages, each text being equally authentic, and in case of any divergence in interpretation, the English text shall prevail.

書簡をもって啓上いたします。本大臣は、本日付けの閣下の次の書簡を受領したことを確認する光栄を有します。
Excellency, I have the honour to acknowledge the receipt of Your Excellency's Note of today's date, which reads as follows:

本大臣は、更に、前記の了解がエジプト･アラブ共和国政府の了解でもあることを同政府に代わつて確認するとともに、閣下の書簡及びこの返簡が両政府間の合意を構成するものとみなし、その合意がその効力発生のために必要な国内手続を完了した旨のエジプト･アラブ共和国政府からの書面による通告を日本国政府が受領した時に効力を生ずるものとすることに同意する光栄を有します。
I have further the honour to confirm on behalf of the Government of the Arab Republic of Egypt that the foregoing is also the understanding of the Government of the Arab Republic of Egypt and to agree that Your Excellency's Note and this Note in reply shall be considered as constituting an agreement between the two Governments, which will become effective upon the receipt by the Government of Japan of the written notification from the Government of the Arab Republic of Egypt of the completion of necessary domestic procedures for the entry into force of such agreement.
