円借款の供与に関する日本国政府とフィリピン共和国政府との間の交換公文

(Japanese Note)

　Manila, 31 May

　書簡をもって啓上いたします。本使は、東南アジア諸国連合の構成国の民間部門の発展及び同諸国間の域内経済協力の推進を奨励することを目的として、また、資金還流措置の下で利用される「ASEAN・日本開発ファンド」(以下「AJDF」という。)のカテゴリーB資金協力の下で供与される日本国の借款に関し、日本国政府の代表者とフィリピン共和国政府の代表者との間で最近到達した次の了解を確認する光栄を有します。

　Excellency,
　I have the honour to confirm the follow understanding recently reached between the representatives of the Government of Japan of the Government of the Republic of the Philippines concerning a Japanese loan to extended under category B financial cooperation of the "ASEAN-Japan Development Fund" (hereinafter referred to as "the AJDF") designed to encourage the development of the private sector of the Member Countries of the Association of South East Asian Nations and the promotion of intra-regional economic cooperation of those countries and made available under the Financial Recycling Scheme:

1　三百六十七億七千万円(三六、七七〇、〇〇〇、〇〇〇円)の額までの円貨による借款(以下「借款」という。)が、海外経済協力基金(以下「基金」という。)により、日本国の関係法令に従って、フィリピン開発銀行(以下「DBP」という。)及びフィリピン土地銀行(以下「LBP」という。)に供与されることになる。

1. A loan in Japanese yen up to the amount of thirty-six billion seven hundred and seventy million yen (36,770,000,000) (hereinafter referred to as "the Loan") will be extended to the Development Bank of the Philippines (hereinafter referred to as "the DBP") and the Land Bank of the Philippines (hereinafter referred to as "the LBP") by the Overseas Economic Cooperation Fund (hereinafter referred to as "the Fund") in accordance with the relevant laws and regulations of Japan.

2(1)　借款は、フィリピン共和国政府がAJDFのために策定した計画(以下「計画」という。)の下でDBP及びLBPが借入人に対して行う融資に充てるために、基金とDBPとの間及び基金とLBPとの間で各々締結される借款契約に基づいて使用に供される。借款の条件及び使用に関する手続は、なかんずく次の原則を含むことになる前記の借款契約によって規制される。

2.(1) The Loan will be made available to cover credits to be extended by the DBP and the LBP to sub-borrowers under the project formed by the Government of the Republic of the Philippines for the AJDF (hereinafter referred to as "the Project"), by loan agreements to be concluded between the Fund, and the DBP and the LBP respectively. The terms and conditions of the Loan as well as the procedures for its utilization will be governed by the said loan agreements which will contain, inter alia, the following principles:

(a)　償還期間は、十年の据置期間の後二十年とする。

(a) The repayment period will be twenty (20) years after the grace period of ten (10) years.

(b)　利子率は、年二・五パーセントとする。

(b) The rate of interest will be two and a half (2.5) per cent per annum.

(c)　支出期間は、関係借款契約の発効の日から五年とする。

(c) The disbursement period will be five (5) years from the date of coming into force of the relevant loan agreement.

(2)　(1)にいう借款契約は、基金が計画の実行可能性(環境に対する配慮を含む。)を確認した後に締結される。

(2) The loan agreements mentioned in sub-paragraph (1) above will be concluded after the Fund is satisfied of the feasibility, including environmental consideration, of the Project.

(3)　(1)(c)にいう支出期間は、両政府の関係当局の同意を得て延長することができる。

(3) The disbursement period mentioned in sub-paragraph (1) (c) above may be extended with the consent of the authorities concerned of the two Governments.

(4)　借款の元本の償還及び利子の支払は、フィリピン共和国政府によって保証される。

(4) The repayment of principal of the Loan and the payment of interest thereon, shall be guaranteed by the Government of the Republic of the Philippines.

3(1)　借款の一部は、LBPが調達適格国のコンサルタントに対して行う支払で、計画の実施に必要な役務の購入のために両者の間で締結されることのある契約に基づいて行われるものを対象として使用に供される。ただし、当該購入は、調達適格国において、それらの国から供給される役務について行われる。

3.(1) A part of the Loan will be made available to cover payments to be made by the LBP to consultants of eligible source countries under such contracts as may be entered into between them for purchases of services required for the implementation of the Project, provided that such purchases are made in such eligible source countries for services supplied from those countries.

(2)　(1)にいう調達適格国の範囲は、両政府の関係当局間で合意される。

(2) The scope of eligible source countries mentioned in sub-paragraph (1) above will be agreed upon between the authorities concerned of the two Governments.

4　フィリピン共和国政府は、3(1)にいう役務が基金の調達のためのガイドライン(国際入札の手続が適用できないか又は適当でない場合を除くほか従うべき国際入札の手続をなかんずく定める。)に従って調達されることを確保する。

4. The Government of the Republic of the Philippines will ensure that services mentioned in sub-paragraph (1) of paragraph 3 are procured in accordance with the guidelines for procurement of the Fund, which set forth, inter alia, the procedures of international tendering to be followed except where such procedures are inapplicable or inappropriate.

5　3(1)にいう役務の供給に関連してフィリピン共和国においてその役務が必要とされる日本国民は、作業の遂行のためフィリピン共和国への入国及び同国における滞在に必要な便宜を与えられる。

5. Japanese nationals whose services may be required in the Republic of the Philippines in connection with the supply of services mentioned in sub-paragraph (1) of paragraph 3 will be accorded such facilities as may be necessary for their entry into the Republic of the Philippines and stay therein for the performance of their work.

6(1)　フィリピン共和国政府は、基金について、借款及びそれから生ずる利子に対して又はそれらに関連してフィリピン共和国において課されるすべての財政課徴金又は租税を免除する。

6.(1) The Government of the Republic of the Philippines will exempt the Fund from all fiscal levies or taxes imposed in the Republic of the Philippines on and/or in connection with the Loan as well as interest accruing therefrom.

(2)　フィリピン共和国政府は、コンサルタントとして活動する日本国の会社及び国民が借款に基づいて行われる役務の供給から取得する所得に対して又はそれに関連してフィリピン共和国において課されるすべての財政課徴金又は租税を自ら又はその実施機関若しくは関係機関を通じて負担する。

(2) The Government of the Republic of the Philippines will, itself or through its executing agencies or instrumentalities, assume all fiscal levies or taxes imposed in the Republic of the Philippines on Japanese firms and nationals operating as consultants on and/or in connection with any income that may accrue from the supply of services to be provided Under the Loan.

7　フィリピン共和国政府は、自ら又はその実施機関若しくは関係機関を通じて、借款が適正にかつ専ら計画のために使用されることを確保するために必要な措置をとる。

7. The Government of the Republic of the Philippines will, itself or through its executing agencies or instrumentalities, take necessary measures to ensure that the Loan be used properly and exclusively for the Project.

8(1)　フィリピン共和国政府は、自ら又はその実施機関若しくは関係機関を通じて、要請に応じ、日本国政府に対し、計画の進捗状況についての報告を提出する。

8.(1) The Government of the Republic of the Philippines will, itself Or through its executing agencies or instrumentalities, upon request, furnish the Government of Japan with reports on the progress of the Project.

(2)　両政府は、(1)にいう報告に基づいて、共同して借款の実施状況を随時検討し、必要に応じ、借款の円滑かつ効果的な使用を確保するために適当な措置をとる。

(2) The two Governments will jointly review from time to time, on the basis of the reports mentioned in sub-paragraph (1) above, the progress of the implementation of the Loan and take, if necessary, appropriate measures to secure smooth and effective utilization of the Loan.

9　両政府は、この了解から又はそれに関連して生ずることのあるいかなる事項についても相互に協議する。

9. The two Governments will consult with each other with respect to any matter that may arise from or in connection with this understanding.

　本使は、閣下が前記の了解をフィリピン共和国政府に代わって確認されれば幸いであります。

　I should be grateful if Your Excellency would confirm the foregoing understanding on behalf of the Government of the Republic of the Philippines.

　本使は、以上を申し進めるに際し、ここに閣下に向かって敬意を表します。
