　Dhdka, August 29, 1991

　書簡をもって啓上いたします。本官は、日本国とバングラデシュ人民共和国との間の友好協力関係を強化することを目的として行われる日本国の経済協力に関して日本国政府の代表者とバングラデシュ人民共和国政府の代表者との間で最近行われた討議に言及するとともに、次の取極を日本国政府に代わって提案する光栄を有します。

　Sir,
　I have the honour to refer to the recent discussions held between the representatives of the Government of Japan and of the Government of the People's Republic of Bangladesh concerning Japanese economic cooperation to be extended with a view to strengthening friendly and cooperative relations between the two countries, and to propose on behalf of the Government of Japan the following arrangements:

1　日本国政府は、バングラデシュ人民共和国政府がメグナグムティ橋建設計画(以下「計画」という。)を実施することに寄与するため、日本国の関係法令に従い、バングラデシュ人民共和国政府に対し、八十二億三百万円(八、二〇三、〇〇〇、〇〇〇円)を限度とする額の贈与(以下「贈与」という。)を行う。

1. For the purpose of contributing to the execution of the project for the construction of Meghna Gumti Bridge (hereinafter referred to as "the Project") by the Government of the People's Republic of Bangladesh, the Government of Japan will extend to the Government of the People's Republic of Bangladesh, in accordance with the relevant laws and regulations of Japan, a grant up to eight billion two hundred and three million yen (8,203,000,000) (hereinafter referred to as "the Grant").

2(1)　贈与は、次の各期について両政府の間で行われる別途の取極に従うことを条件として使用に供される。

2.(1)  The Grant will be made available subject to further arrangements between the two Governments to be made for each of the following terms:

(a)　第一期(この取極の効力発生の日から千九百九十二年三月三十一日までの期間)

(a) term I (period between the date of coming into force of the present arrangements and March 31, 1992);

(b)　第二期(千九百九十二年四月一日から千九百九十三年三月三十一日までの期間)

(b) term II (period between April 1, 1992 and March 31, 1993);

(c)　第三期(千九百九十三年四月一日から千九百九十四年三月三十一日までの期間)

(c) term III (period between April 1, 1993 and March 31, 1994);

(d)　第四期(千九百九十四年四月一日から千九百九十五年三月三十一日までの期間)

(d) term IV (period between April 1, 1994 and March 31, 1995); and

(e)　第五期(千九百九十五年四月一日から千九百九十六年三月三十一日までの期間)

(e) term V (period between April 1, 1995 and March 31, 1996).

(2)　(1)にいう別途の取極は、交換公文の形式により行われ、(1)にいう各期間に割り当てられる贈与額を定める。このように割り当てられた贈与額は、関係取極の効力発生の日から関係期間の終了までの期間に使用に供される。ただし、両政府の関係当局間の合意によつて各期間が延長される場合は、この限りでない。

(2) Each of the arrangements referred to in sub-paragraph (1) above will be made in the form of exchange of notes and will specify the amount of a grant to be allocated for each of the terms referred to in sub-paragraph (1) above. The amount thus allocated will be made available during the period between the date of coming into force of the arrangement concerned and the end of the term concerned, unless each period is extended by mutual agreement between the authorities concerned of the two Governments.

3(1)　贈与は、バングラデシュ人民共和国政府により適正にかつ専ら次に掲げる日本国又はバングラデシュの生産物及び日本国民又はバングラデシュ国民の役務を購入するために使用される。(国民という語は、この取極の中で用いるときはいつでも、日本国民の場合は日本国の自然人又はその支配する日本国の法人を意昧し、バングラデシュ国民の場合はバングラデシュの自然人又は法人を意味する。)

3.(1)  The Grant will be used by the Government of the People's Republic of Bangladesh properly and exclusively for the purchase of the products of Japan or Bangladesh and the services of Japanese or Bangladesh nationals listed below: (The term nationals whenever used in the present arrangements means Japanese physical per 6ons or Japanese juridical persons controlled by Japanese physical persons in the case of Japanese nationals, and Bangladesh physical or juridical persons in the case of Bangladesh nationals.)

(a)　橋梁、取付道路及び関連施設(以下「施設」と総称する。)の建設のために必要な生産物及び役務

(a) products and services necessary for the construction of a bridge, access roads and related facilities of the Project (hereinafter jointly referred to as "the Facilities");

(b)　計画の実施のために必要な車両

(b) vehicles necessary for the execution of the Project; and

(c)　(a)及び(b)にいう生産物のバングラデシュ人民共和国の港までの輸送のために必要な役務及び同国における国内輸送のための役務

(c) services necessary for the transportation of the products referred to in (a) and (b) above to ports in the People's Republic of Bangladesh, and those for internal transportation therein.

(2)　(1)の規定にかかわらず、贈与は、両政府が必要と認める場合には、(1)(a)及び(b)にいう生産物で日本国又はバングラデシュの生産物以外のもの並びに(1)(a)及び(c)にいう役務で日本国民又はバングラデシュ国民の役務以外のものの購入のために使用することができる。

(2) Notwithstanding the provisions of sub-paragraph (1) above, when the two Governments deem it necessary, the Grant may be used for the purchase of the products of the kind mentioned in (a) and (b) of sub-paragraph (1) above, which are products of countries other than Japan or Bangladesh and the services of the kind mentioned in (a) and (c) of sub-paragraph (1) above, which are services of nationals of countries other than Japan or Bangladesh.

4　バングラデシュ人民共和国政府又はその指定する当局は、3にいう生産物及び役務を購入するため、日本国民と円貨建ての契約を締結する。この契約は、贈与の対象として適格であることが日本国政府により認証されなければならない。

4. The Government of the People's Republic of Bangladesh or its designated authority will enter into contracts in Japanese yen with Japanese nationals for the purchase of the products and services referred to in paragraph 3. Such contracts shall be verified by the Government of Japan to be eligible for the Grant.

5(1)　日本国政府は、4の規定に従って認証された契約(以下「認証された契約」という。)に基づいてバングラデシュ人民共和国政府又はその指定する当局が負う債務の弁済に充てるための資金を、バングラデシュ人民共和国政府又はその指定する当局によって指定される日本国の外国為替公認銀行(以下「銀行」という。)に開設されるバングラデシュ人民共和国政府名義の勘定に日本円で払い込むことにより、贈与を実施する。

5.(1)  The Government of Japan will execute the Grant by making payments in Japanese yen to cover the obligations incurred by the Government of the People's Republic of Bangladesh or its designated authority under the contracts verified in accordance with the provisions of paragraph 4 (hereinafter referred to as "the Verified Contracts" ) to an account to be opened in the name of the Government of the People's Republic of Bangladesh in an authorized foreign exchange bank of Japan designated by the Government of the People's Republic of Bangladesh or its designated authority (hereinafter referred to as "the Bank").

(2)　(1)にいう払込みは、バングラデシュ人民共和国政府又はその指定する当局が発行する支払授権書に基づいて銀行が支払請求書を日本国政府に提出した時に行われる。

(2) The payments referred to in sub-paragraph (1) above will be made when payment requests are presented by the Bank to the Government of Japan under an authorization to pay issued by the Government of the People's Republic of Bangladesh or its designated authority.

(3)　(1)にいう勘定の目的は、日本国政府が払い込む日本円を受領すること及び認証された契約の当事者である日本国民に対する支払を行うことに限られる。勘定の貸記及び借記に関する手続細目は、銀行とバングラデシュ人民共和国政府又はその指定する当局との間の協議により合意される。

(3) The sole purpose of the account referred to in sub-paragraph (1) above is to receive the payments in Japanese yen by the Government of Japan and to pay to the Japanese nationals who are parties to the Verified Contracts. The procedural details concerning the credit to and debit from the account will be agreed upon through consultation between the Bank and the Government of the People's Republic of Bangladesh or its designated authority.

6(1)　バングラデシュ人民共和国政府は、次のことのために必要な措置をとる。

6.(1)  The Government of the People's Republic of Bangladesh will take necessary measures:

(a)　施設の建設のために必要な土地を確保し、かつ、用地の整地を行うこと。

(a) to secure a lot of land necessary for the construction of the Facilities and to clear the site;

(b)　用地の外における配電、給水、排水その他の付随的な施設を提供すること。

(b) to provide facilities for distribution of electricity, water supply and drainage and other incidental facilities outside the site;

(c)　贈与に基づいて購入される生産物のバングラデシュ人民共和国の陸揚港における陸揚げ及び通関並びに同国における国内輸送が速やかに行われることを確保すること。

(c) to ensure prompt unloading and customs clearance at ports of disembarkation in the People's Republic of Bangladesh and internal transportation therein of the products purchased under the Grant;

(d)　日本国民に関し、認証された契約に基づく生産物及び役務の供与についてバングラデシュ人民共和国における関税、内国税その他の財政課徴金を免税すること。

(d) to exempt Japanese nationals from customs duties, internal taxes and other fiscal levies which may be imposed in the People's Republic of Bangladesh with respect to the supply of the products and services under the Verified Contracts;

(e)　認証された契約に基づく生産物及び役務の供与に関連して役務を供与することを必要とされる日本国民に対し、その作業の遂行のためのバングラデシュ人民共和国への入国及び同国における滞在に必要な便宜を与えること。

(e) to accord Japanese nationals whose services may be required in connection with the supply of the products and services under the Verified Contracts such facilities as may be necessary for their entry into the People Is Republic of Bangladesh and stay therein for the performance of their work;

(f)　贈与に基づいて建設される施設及び購入される生産物が計画の実施のため適正にかつ効果的に維持され及び使用されることを確保すること。

(f) to ensure that the Facilities constructed and the products purchased under the Grant be maintained and used properly and effectively for the execution of the Project: and

(g)　計画の実施のために必要なすべての経費(贈与によって負担されるものを除く。)を負担すること。

(g) to bear all the expenses, other than those covered by the Grant, necessary for the execution of the Project.

(2)　バングラデシュ人民共和国政府は、贈与に基づいて購入される生産物の海上輸送及び海上保険に関し、海運会社及び海上保険会社の間の公正かつ自由な競争を妨げることのあるいかなる制限も課さない。

(2) With regard to the shipping and marine insurance of products purchased under the Grant, the Government of the People's Republic of Bangladesh will refrain from imposing any restrictions that may hinder fair and free competition among the shipping and marine insurance companies.

(3)　贈与に基づいて購入される生産物は、バングラデシュ人民共和国より再輸出されてはならない。

(3) The products purchased under the Grant shall not be re-exported from the People's Republic of Bangladesh.

7　両政府は、この取極から又はこれに関連して生ずるいかなる問題についても相互に協議する。

7. The two Governments will consult with each

　With reference to the Exchange of Notes dated today concerning Japanese economic cooperation to be extended with a view to strengthening friendly and cooperative relations between Japan and the People's Republic of Bangladesh, I have the honour to refer to the recent discussions held between the representatives of the Government of Japan and of the Government of the People's Republic of Bangladesh, and to propose on behalf of the Government of Japan, in accordance with paragraph 2 of the above-mentioned Exchange of Notes, the following arrangements:

　日本国政府は、バングラデシュ人民共和国政府がメグナグムティ橋建設計画を実施することに寄与するため、バングラデシュ人民共和国政府に対し、この取極の効力発生の日から千九百九十二年三月三十一日までの期間(ただし、この期間は、両政府の関係当局間の合意によって延長することができる。)に、十一億六千八百万円(一、一六八、〇〇〇、〇〇〇円)を限度とする額の贈与を行う。

　For the purpose of contributing to the execution of the project for the construction of the Meghna Gumti Bridge by the Government of the People's Republic of Bangladesh, the Government of Japan will extend to the Government of the People's Republic of Bangladesh a grant up to one billion one hundred and sixty-eight million yen (1,168,000,000) during the period between the date of coming into force of the present arrangements and March 31, 1992, unless the period is extended by mutual agreement between
