円借款の供与に関する日本国政府とパプア･ニューギニア政府との間の交換公文

書簡をもって啓上いたします。本使は、日本国とパプア・ニューギニアとの間の友好関係及び経済協力を強化することを目的として供与される日本国の借款に関して日本国政府の代表者とパプア・ニューギニア政府の代表者との間で最近到達した次の了解を確認する光栄を有します。
Excellency, I have the honour to confirm the following under standing recently reached between the representatives of the Government of Japan and of the Government of Papua New Guinea concerning Japanese loans to be extended with a view to strengthening the friendly relations and economic cooperation between the two countries:
Ⅰ
I
1 八十九億七千六百万円(八、九七六、〇〇〇、〇〇〇円)の額までの円貨による事業計画借款(以下「借款Ⅰ」という。)が、この書簡に附属する事業計画表(以下「事業計画表」という。)に掲げる事業計画を実施するため、各事業計画につき事業計画表に定める配分に応じ、海外経済協力基金(以下「基金」という。)により、日本国の関係法令に従って、パプア・ニューギニア政府に供与されることになる。
1. A project loan in Japanese yen up to the amount of eight billion nine hundred and seventy-six million yen (8,976, 000' 000) (hereinafter referred to as "the Loan I") will be extended to the Government of Papua New Guinea by the Overseas Economic Cooperation Fund (hereinafter referred to as "the Fund") in accordance with the relevant laws and regulations of Japan for the implementation of the projects enumerated in the Project List attached hereto (hereinafter refer red to as "the Project List") according to the allocation for each project as specified in the Project List.
2(1) 借款Ⅰは、パプア・ニューギニア政府と基金との間で締結される借款契約に基づいて使用に供される。借款Ⅰの条件及び使用に関する手続は、なかんずく次の原則を含むことになる前記の借款契約によって規制される。
2. (1) The Loan I will be made available by loan agreements to be concluded between the Government of Papua New Guinea and the Fund. The terms and conditions of the Loan I as well as the procedures for its utilization will be governed by the said loan agreements which will contain, inter alia, the following principles:
(a)償還期間は、十年の据置期間の後二十年とする。
(a) The repayment period will be twenty (20) years after the grace period of ten (10) years.
(b)利子率は、年二・七パーセントとする。
(b) The rate of interest will be two point seven (2.7) per cent per annum.
(c)支出期間は、事業計画表に掲げる事業計画について、関係借款契約の発効の日から七年とする。
(c) The disbursement period of the projects enumerated in the Project List will be seven (7) years from the date of coming into force of the relevant loan agreement.
(2) (1)にいう借款契約の各々は、基金が当該借款契約に係る事業計画の実行可能性(環境に対する配慮を含む。)を確認した後に締結される。
(2) Each of the loan agreements mentioned in sub-paragraph (1) above will be concluded after the Fund is satisfied of the feasibility, including environmental consideration, of the project to which such loan agreement relates.
3(1) 借款Ⅰは、パプア・ニューギニアの実施機関が調達適格国の供給者、請負業者又はコンサルタントに対して行う支払で、事業計画表に掲げる事業計画の実施に必要な生産物又は役務の購入のために両者の間で締結されることのある契約に基づいて行われるものを対象として使用に供される。ただし、当該購入は、調達適格国において、それらの国で生産される生産物又はそれらの国から供給される役務について行われる。
3. (1) The Loan I will be made available to cover payments to be made by Papua New Guinean executing agencies to suppliers, contractors and/or consultants of eligible source countries under such contracts as may be entered into between them for purchases of products and/or services to be required for the implementation of the projects enumerated in the Project List, provided that such purchases are made in such eligible source countries for products produced in and/or services supplied from those countries.
(2) 借款Ⅰの一部は、事業計画表に掲げる事業計画の実施のための適格な現地通貨の需要に充てるために使用することができる。
(2) A part of the Loan I may be used to cover eligible local currency requirements for the implementation of the projects enumerated in the Project List.
4 3(1)にいう生産物又は役務の供給に関連してパプア・ニューギニアにおいてその役務が必要とされる日本国民は、作業の遂行のためパプア・ニューギニアへの入国及び同国における滞在に必要な便宜を与えられる。
4. Japanese nationals whose services may be required in Papua New Guinea in connection with the supply of products and/or services mentioned in sub-paragraph (1) of paragraph 3 will be accorded such facilities as may be necessary for their entry into Papua New Guinea and stay therein for the performance of their work.
II
II
1 二十八億九千四百万円(二、八九四、〇〇〇、〇〇〇円)の額までの円貨による借款(以下「借款II」という。)が、パプア・ニューギニア政府の農業セクター計画(以下「計画」という。)を支援するため、資金還流措置の下で、基金により、日本国の関係法令に従って、パプア・ニューギニア政府に供与されることになる。
1. A loan in Japanese yen up to the amount of two billion eight hundred and ninety-four million yen (2, 894, 000, 000) (hereinafter referred to as "the Loan II") will be extended under the Financial Recycling Scheme to the Government of Papua New Guinea by the Fund in accordance with the relevant laws and regulations of Japan to support the Agriculture Sector Program (hereinafter referred to as "the Program") of the Government of Papua New Guinea.
2 借款IIは、パプア・ニューギニア政府と基金との間で締結される借款契約に基づいて使用に供される。借款IIの条件及び使用に関する手続は、なかんずく次の原則を含むことになる前記の借款契約によって規制される。
2. The Loan II will be made available by a loan agreement to be concluded between the Government of Papua New Guinea and the Fund. The terms and conditions of the Loan II as well as the procedures for its utilization will be governed by the said loan agreement which will contain, inter alia, the following principles:
(1) 償還期間は、十年の据置期間の後二十年とする。

3 借款IIは、パプア・ニューギニア国内の輸入者による調達適格国の供給者に対する支払で、計画の実施中に必要な生産物の購入及び当該生産物の購入に付随する役務の購入のために当該輪入者と当該供給者との間で既に締結されたか又は締結されることのある契約に基づいて行われるものを対象として使用に供される。ただし、当該購入は、調達適格国において、それらの国で生産される生産物及びそれらの国から供給される役務について行われる。
3. The Loan II will be made available to cover payments to suppliers of eligible source countries by importers in Papua New Guinea under such contracts as have been or may be entered into between them for purchases of products required during the implementation of the Program and for purchases of services incidental to the purchases of those products, provided that such purchases are made in such eligible source countries for products produced in and services supplied from those countries.
4(1) パプア・ニューギニア政府は、パプア・ニューギニア政府の名義でパプア・ニューギニア中央銀行に開設される見返資金勘定に同銀行が借款IIの円貨による支出額に等しい額をパプア・ニューギニア通貨で振り替えるようにするための措置をとる。このようにして振り替えられたパプア・ニューギニア通貨は、パプア・ニューギニア政府の経済社会開発事業計画のために使用されなければならない。
4. (1) The Government of Papua New Guinea will take measures to have the equivalent in Papua New Guinean currency of the amount of yen disbursements of the Loan II transferred by the Central Bank of Papua New Guinea to the counterpart fund account opened in the name of the Government of Papua New Guinea in the Central Bank of Papua New Guinea. The amount of Papua New Guinean currency thus transferred shall be used for the economic and social development projects of the Government of Papua New Guinea.
(2) パプア・ニューギニア政府は、要請に応じ、日本国政府に対し、(1)にいう見返資金の使用についての報告を提出する。
(2) The Government of Papua New Guinea will, upon request, furnish the Government of Japan with reports on the use of the counterpart fund mentioned in sub-paragraph (1) above.
III
III
1 Ⅰ2(1)(c)及びII2(3)にいうそれぞれの支出期間は、両政府の関係当局の同意を得て延長することができる。
1. The respective disbursement periods mentioned in sub-paragraph (1) (c), paragraph 2 of part I and sub-paragraph (3), paragraph 2 of part II may be extended with the consent of the authorities concerned of the two Governments.
2 Ⅰ3(1)及びII3にいう調達適格国のそれぞれの範囲は、両政府の関係当局間で合意される。
2. The respective scopes of eligible source countries mentioned in sub-paragraph (1),paragraph 3 of part I and paragraph 3 of part II will be agreed upon between the authorities concerned of the two Governments.
3 パプア・ニューギニア政府は、I3(1)及びII3のそれぞれにいう生産物又は役務が基金の調達のためのガイドライン(国際入札の手続が適用できないか又は適当でない場合を除くほか従うべき国際入札の手続をなかんずく定める。)に従って調達されることを確保する。
3. The Government of Papua New Guinea will ensure that products and/or services mentioned respectively in sub--paragraph (1), paragraph 3 of part I and paragraph 3 of part II are procured in accordance with the guidelines for procurement of the Fund, which set forth, inter alia, the procedures of international tendering to be followed except where such procedures are inapplicable or inappropriate.
4 パプア・ニューギニア政府は、借款Ⅰ及び借款IIに基づいて購入される生産物の海上輸送及び海上保険に関し、両国の海運会社及び海上保険会社の公正かつ自由な競争を妨げることのあるいかなる制限も課さない。
4. With regard to the shipping and marine insurance of products purchased under the Loan I and the Loan II, the Government of Papua New Guinea will refrain from imposing any restrictions that may hinder fair and free competition of the shipping and marine insurance companies of the two countries.
5 パプア・ニューギニア政府は、次のものを免除する。
5. The Government of Papua New Guinea will exempt:
(a) 基金について、借款Ⅰ及び借款II並びにそれらから生ずる利子に対して又はそれらに関連してパプア・ニューギニアにおいて課されるすべての財政課徴金又は租税
(a) The Fund from all fiscal levies or taxes imposed in Papua New Guinea on and/or in connection with the Loan I and the Loan II and interest accruing therefrom;
(b) 供給者、請負業者又はコンサルタントとして活動する日本国の会社について、借款Ⅰに基づいて行われる生産物又は役務の供給から取得する所得に関してパプア・ニューギニアにおいて課されるすべての財政課徴金又は租税
(b) Japanese companies operating as suppliers, contractors and/or consultants from all fiscal levies or taxes imposed in Papua New Guinea with respect to the income accruing from the supply of products and/or services to be provided under the Loan I;
(c) 請負業者又はコンサルタントとして活動する日本国の会社について、事業計画表に掲げる事業計画の実施に必要な資材及び設備の輸入及び再輸出に関してパプア・ニューギニアにおいて課されるすべての関税及び関連の財政課徴金
(c) Japanese companies operating as contractors and/or consultants from all duties and related fiscal charges imposed in Papua New Guinea with respect to the import and re-export of the materials and equipment needed for the implementation of the projects enumerated in the Project List; and
(d) 事業計画表に掲げる事業計画の実施に従事する日本国民である被用者について、日本国の会社(ただし、それらの会社が事業計画表に掲げる事業計画の実施のための供給者、請負業者又はコンサルタントとして活動する場合に限る。)から取得する個人所得に対してパプア・ニューギニアにおいて課されるすべての財政課徴金又は租税
(d) Japanese employees engaged in the implementation of the projects enumerated in the Project List from all fiscal levies or taxes imposed in Papua New Guinea on their Personal income derives from Japanese companies, provided that those companies operate as suppliers, contractors and/or consultants for the implementation of the projects enumerated in the Project List.
6 パプア・ニューギニア政府は、次のことを確保するために必要な措置をとる。
6. The Government of Papua New Guinea will take necessary measures to ensure that:
(a) 借款Ⅰ及び借款IIが適正にかつ専らⅠ3(1)及びII3のそれぞれにいう生産物又は役務を購入するために使用されること。
(a) the Loan I and the Loan II be used properly and exclusively for the purchases of products and/or services mentioned respectively in sub--paragraph (1), paragraph 3 of part I and paragraph 3 of part I and
(b) 借款Ⅰに基づいて建設される施設がこの了解に定められた目的のために適正にかつ効果的に維持され及び使用されること。
(b) the facilities constructed under the Loan I be maintained and used properly and effectively for the purpose prescribed in this under standing.
7 パプア・ニューギニア政府は、要請に応じ、日本国政府及び基金に対し、事業計画表に掲げる事業計画及び計画の実施の進捗状況に関する情報及び資料を提供する。
7. The Government of Papua New Guinea will, upon request, furnish the Government of Japan and the Fund with information and data concerning the progress of the implementation of the projects enumerated in the Project List and the Program.
8 両政府は、前記の了解から又はそれに関連して生することのあるいかなる事項についても相互に協議する。
8. The two Governments will consult with each other with respect to any matter that may arise from or in connection with the foregoing understanding.
本使は、閣下が前記の了解をパプア・ニューギニア政府に代わって確認されれば幸いであります。
I should be grateful if Your Excellency would confirm the foregoing understanding on behalf of the Government of Papua New Guinea.
